This SMARTnet Exhibit is an Exhibit to the Equipment Donation agreement ("Agreement") entered into by Cisco<br />
and Recipient and is incorporated into the Agreement by this reference. In the event of a conflict between the terms<br />
of this Exhibit and the Agreement, the terms of this Exhibit shall govern.<br />
