<strong>The</strong> Court, having reviewed <strong>the</strong> motion ("Motion") filed by <strong>the</strong> <strong>Monitor</strong>, Michael A.<br />
<strong>Grassmueck</strong> (<strong>the</strong> "<strong>Monitor</strong>") for an order closing case <strong>and</strong> discharging <strong>the</strong> <strong>Monitor</strong> effective upon<br />
completion of <strong>the</strong> final closing tasks <strong>and</strong> for o<strong>the</strong>r related relief, <strong>and</strong> good cause appearing<br />
<strong>the</strong>refore, orders as follows:<br />
1. <strong>The</strong> Motion is granted in its entirety.<br />
2. <strong>The</strong> Court authorizes <strong>the</strong> closing of <strong>the</strong> <strong>Monitor</strong>ship matter <strong>and</strong> discharges <strong>the</strong><br />
<strong>Monitor</strong>, effective upon completion of <strong>the</strong> following tasks:<br />

<strong>The</strong> final pro rata distribution to investors in accordance with <strong>the</strong> previously<br />
approved Distribution Plan;<br />
Payment of all administrative expenses <strong>and</strong> professional fees <strong>and</strong> costs,<br />
pursuant to an order from this Court;<br />
<strong>The</strong> destruction of all records related to this matter in <strong>the</strong> possession or<br />
control of <strong>the</strong> <strong>Monitor</strong>;<br />
<strong>The</strong> turn over of any residual funds held by <strong>the</strong> <strong>Monitor</strong> to <strong>the</strong> Securities <strong>and</strong><br />
Exchange Commission; <strong>and</strong><br />
<strong>The</strong> filing with this Court of <strong>the</strong> <strong>Monitor</strong>'s declaration confirming completion<br />
of <strong>the</strong> above <strong>and</strong> attaching <strong>the</strong> final accounting.<br />

3. Upon completion of <strong>the</strong> foregoing tasks, <strong>the</strong> <strong>Monitor</strong> shall be discharged of all<br />
duties under <strong>the</strong> December 17, 2007, <strong>Order</strong> Appointing <strong>Monitor</strong> <strong>and</strong> O<strong>the</strong>r Ancillary Relief <strong>and</strong><br />
<strong>the</strong> subsequently entered amendments to this <strong>Order</strong>. Pursuant to <strong>the</strong> discharge, <strong>the</strong> <strong>Monitor</strong> is<br />
released from any <strong>and</strong> all claims <strong>and</strong> liabilities associated with <strong>the</strong> <strong>Monitor</strong>ship, <strong>the</strong> entities<br />
covered by <strong>the</strong> <strong>Order</strong> Appointing <strong>Monitor</strong>, <strong>and</strong> <strong>the</strong> defendants named in this action.<br />
