The Court, having reviewed the motion ("Motion") filed by the Monitor, Michael A.
Grassmueck (the "Monitor") for an order closing case and discharging the Monitor effective upon
completion of the final closing tasks and for other related relief, and good cause appearing
therefore, orders as follows:
1. The Motion is granted in its entirety.
2. The Court authorizes the closing of the Monitorship matter and discharges the
Monitor, effective upon completion of the following tasks:

The final pro rata distribution to investors in accordance with the previously
approved Distribution Plan;
Payment of all administrative expenses and professional fees and costs,
pursuant to an order from this Court;
The destruction of all records related to this matter in the possession or
control of the Monitor;
The turn over of any residual funds held by the Monitor to the Securities and
Exchange Commission; and
The filing with this Court of the Monitor's declaration confirming completion
of the above and attaching the final accounting.

3. Upon completion of the foregoing tasks, the Monitor shall be discharged of all
duties under the December 17, 2007, Order Appointing Monitor and Other Ancillary Relief and
the subsequently entered amendments to this Order. Pursuant to the discharge, the Monitor is
released from any and all claims and liabilities associated with the Monitorship, the entities
covered by the Order Appointing Monitor, and the defendants named in this action.
