Q. What is the difference between<br />
a start price and a reserve price?<br />
A. A starting price is simply the price the bidding begins at. The<br />
reserve price is the undisclosed amount the seller would<br />
accept for the property. The reserve ensures the property<br />
cannot be sold for less than the seller is prepared to accept.<br />

conditional and unconditional auction?<br />
A. An unconditional auction is what most people understand an<br />
auction to be i.e. the property is sold on the fall of a<br />
hammer. A <strong>Pattinson</strong> Auction innovation is the conditional<br />
auction which gives both parties 28 days (unless otherwise<br />
agreed) to exchange contracts on the property following the<br />
fall of the hammer, providing sellers and buyers with protection<br />

General Conditions Of Sale<br />

1. In these conditions the following terms shall bear the following meanings:<br />
a. “the Auctioneers” - Keith <strong>Pattinson</strong> Limited.<br />
b. “information about the Auction” - Information appearing in this catalogue.<br />
c. “The particulars” - The description of the identity of the property (including any<br />
plan or photograph contained in this catalogue and any addendum thereto)<br />
d. “The property” - The property offered for sale at the auction sale to which this<br />
catalogue relates if appropriate each separate lot.<br />
e. “Special Conditions” - The Special Conditions of sale to each property (if any)<br />
set out in this catalogue and/or in the separate booklet of Special Conditions<br />
applicable to this sale or in any addendum thereto.<br />
f. “Standard Conditions” - The Standard Conditions of Sale (Fourth Edition).<br />
Terms used here or in the Special Conditions shall have the same meaning as<br />
in the Standard Conditions.<br />
2. The Special Conditions shall apply to the sale of the properties to which they<br />
relate respectively. Subject thereto the Standard Conditions shall apply to this<br />
sale in so far as those conditions are applicable to a sale by auction and are not<br />
inconsistent with the said Special Conditions and/or these General Conditions<br />
which shall also apply to the sale. In cases where the General Conditions and<br />
Standard Conditions confl ict, the General Conditions shall prevail.<br />
3. Standard Conditions 2.2 and 5.1 shall not apply. From the date of the contract<br />
the <strong>Property</strong> shall be at the risk of the Buyer The Seller is under no obligation to<br />
ensure the property and the Buyers bears all risk of losses or damage.<br />
4. If the Seller has an option to charge VAT such option may be exercised by the<br />
Seller in its discretion at any time prior to the actual completion of the sale.<br />
5. Standard Conditions 2.3.3 shall be amended so as to omit the words “up to<br />
the reserve price”<br />
6. Standard Conditions 6.1 shall be amended so as to substitute the words “28<br />
days from” for the words “20 working days after”.<br />
6.1 Standard Conditions 6.4 shall be amended so that the Buyer shall only be<br />
required to pay on completion up to six months’ rent, service charge, or other<br />
monies due from tenants in respect of the property. The Buyer, will, however,<br />
remain bound to the Seller to forward to him forthwith upon receipt the balance<br />
of any monies which would otherwise fall to be apportioned to him which are<br />
actually received by the Buyer following completion.<br />
7. In Standard Conditions 8.3.3 the words “either party” shall be deleted and the<br />
words “the Seller” inserted in their place.<br />
8. The Buyer accepts title of the Seller to the property as at the date of the Contract.<br />
The Buyer shall not raise any objection or requisition or enquiry in respect of<br />
any rights covenants obligations privileges licences subsisting acquired or being<br />
acquired over or in respect of the property and the Seller or the Auctioneers<br />
shall be under no liability to disclose the same whether or not the same are<br />
known to them.<br />
9. The property is sold subject to and with the benefi t of agreements rights<br />
exceptions reservations restrictions stipulations covenants declarations and<br />
other matters (if any) referred to in the property proprietorship and charges<br />
register relating to the property where it is registered at H.M. Land Registry<br />
except charges securing repayment of indebtedness of the Seller and any other<br />
matters as are referred to in the special conditions relating to the property details<br />
whereof having been available for inspection by the Buyer and the Buyer shall<br />
be deemed to purchase with full knowledge and notice thereof and will not raise<br />
any requisition or objections in respect thereof. The <strong>Property</strong> is sold subject to<br />
such of the following as may affect it, whether they arise before or after the date<br />
of contract and whether or not they are disclosed by the Seller or are apparent<br />
from inspection of the property:a.<br />
Matters registered or capable of registration as local land charges;<br />
b. Matters registered or capable of registration by any competent authority or under<br />
the provisions of any statute;<br />
c. Notices, orders, demands, proposals and requirements of any competent<br />
authority;<br />
d. Charges, notices, orders, restrictions, agreements and any other matters relating<br />
to Town and Country planning, highways of public health;<br />
e. Rights, easements, quasi easements, and wayleaves;<br />
f. Outgoings and liabilities;<br />
g. Anything that is an overriding interest within the meaning of Section 70 of the<br />
Land Registration Act 1925 or would be if the <strong>Property</strong> were registered land;<br />
h. Matters that ought to be disclosed by the searches and enquiries a prudent<br />
Buyer would make, whether or not the Buyers has made them;<br />
i. Anything the Seller does not know and could not reasonably know about.<br />
And where such matter would expose the Seller to liability the Buyer is to comply<br />
with it and indemnify the Seller against liability.<br />
10. The property is sold subject to and with the benefi t of any leases tenancy<br />
agreements licences notices and other similar documents relating to any<br />
leasehold title in the property referred to in the Special Conditions and Particulars<br />
relating to the property and copies of such documents being available for<br />
inspection at the offi ces of the Sellers solicitors the Buyer shall be deemed to<br />
have inspected such documents before making an offer for the property and<br />
shall raise no objection or requisition in respect of the same or as the identity<br />
of the tenants or the amounts of the rent or other sums payable under such<br />
documents. The assurance to the Buyer shall contain a covenant by the Buyer<br />
to observe and perform all the covenants agreements and conditions on the<br />
part of the Seller or its predecessors in title contained in such documents and<br />
to indemnify the Seller against all actions claims expenses and liability in respect<br />
thereof.<br />
11. If the Seller’s title is in the process of being registered at H.M Land Registry<br />
the Buyer shall not require the Seller to complete registration of the title to the<br />
property prior to completing the sale to the Buyer. The Seller will assist the Buyer<br />
procuring the registration of the Buyer’s interest.<br />
12. The Seller will be under no obligation to clear any chattels or rubbish from the<br />
property, prior to completion.<br />
13. The Buyer buys with full knowledge of;-<br />
a. The documents of title (including, if title is registered, the entries on the register<br />
and the fi led plan) and other documents listed or referred to in the Special<br />
Conditions relating to the property.<br />
b. The physical condition of the property and what could reasonably be discovered<br />
on inspection of it, whether or not the Buyer had inspected it.<br />
14. The Buyer is not relying on information contained in the particulars or in any replies<br />
to preliminary enquiries or Seller’s <strong>Property</strong> Information Form, or other information<br />
supplied by or on behalf of the Seller, but on the Buyers own verifi cation and<br />
confi rmation of that information. If any information is not correct any liability of the<br />
Seller and any remedy of the Buyer are excluded to the extent permitted by Statute.<br />
15. The Auctioneers reserve the right to regulate the bidding and to refuse in their<br />
sole discretion to accept any bid or bids without giving any reason for such<br />
refusal.<br />
16. No person may advance less at a bid than a sum named from time to time by<br />
the Auctioneer.<br />
17. The property may be withdrawn from the auction either before or after the<br />
commencement of the sale.<br />
18. The highest bidder for each property shall be the Buyer of that property.<br />
19. The Auctioneers reserve the right to sell in separate lots if the whole is unsold<br />

or sell in one lot where individual lots are offered. The Auctioneers reserve<br />
the right to sell prior to auction and will announce alterations immediately<br />
before the sale and/or refer them in an addendum to the catalogue.<br />
20. Immediately following the sale of each property the Buyer of that property shall<br />
sign a memorandum of sale and supply his full name and proof of his identity<br />
and address to the Auctioneers. In the event of his failure to do so Auctioneers<br />
may sign on his behalf or re-offer the property for sale as though it had not<br />
been sold.<br />
21. Each Buyer shall be deemed to be personally liable on making an accepted<br />
bid even though he purports to act as agent for a principal so that both are<br />
jointly and severally liable under the contract unless acting as agent and written<br />
authority signed by his principal is lodged with Auctioneers prior to sale.<br />
22. Immediately following the sale of each property the Buyer shall pay a deposit<br />
of 10% of the purchase price to the Auctioneers as agents for the Seller. In<br />
case a Buyer fails to pay a deposit as above or any cheque given as a deposit<br />
is dishonoured upon presentation then, without notice, the Seller shall have the<br />
right to deem the conduct of such a Buyer a repudiation of the contract and<br />
the Seller may resell without notice and/or take such steps as are available to<br />
him as a consequence of such breach of contract but without prejudice to any<br />
claim he may have against the original successful bidder for breach of contract<br />
or otherwise.<br />
23. All statements made in the Particulars or otherwise save for any statements<br />
made in writing by the Seller’s solicitors relating to the property, the subject of<br />
the Auction are made without responsibility on the part of the Auctioneers or the<br />
Seller. No such statement may be relied upon as a statement of representation<br />
of fact. An intending Buyer must satisfy himself by inspection or otherwise as to<br />
the correctness of any such statement and save as much as herein provided<br />
neither the Seller not the Auctioneers nor any person in their employment has<br />
any authority to make or give any representation or warranty whatever in relation<br />
to any property the subject of the auction.<br />
24. Every person on the Auctioneer’s premises before, during or after the sale shall<br />
be deemed to be there at his/her own risk and with notice of the condition of<br />
the premises and their contents. Such person shall have no claim against the<br />
Auctioneer’s in respect of any injury sustained or any accident which may occur<br />
from any cause whatsoever. The matters set out in the Information about the<br />
Auction are deemed to be incorporated in these terms.<br />
25. In the light of the nature of the sale and the information given it is to be implied<br />
from any Buyer or would-be Buyer bidding at the sale that they accept that<br />
the limitations upon the responsibilities of the Auctioneer herein contained are<br />
reasonable.<br />
26. The property is believed to be and shall be taken as being correctly described,<br />
but all Buyers are deemed to have verifi ed such description themselves and<br />
any incorrect statement, error or omission found in the particulars or Special<br />
Conditions of sale shall not annul the sale or entitle the Buyer to rescind the<br />
contract, nor shall the Buyer claim to be allowed any compensation in respect<br />
thereof.<br />
27. No objection or requisition shall be raised as to the permitted user of the property<br />
for the purposes of the Town and County Planning Acts or any Act or Acts for the<br />
time being amended or replacing the same and nothing herein contained shall<br />
be deemed to constitute any warranty by any Seller or the Auctioneers that a<br />
property or any part thereof is authorised under the Town and County Planning<br />
Acts for use of any specifi c purpose.<br />
28. The only representation as to passing rents upon which the Buyer may rely are<br />
those contained in the Special Conditions of sale or replies to Tenancy Enquiries<br />
made available by the Seller’s solicitors at or prior to the auction (if any).<br />
29. If a property is let no representation is made or is to be implied as to the<br />
existence or otherwise of any sub-tenancy.<br />
30. No representation or warranty is made or to be implied as to the ownership<br />
of any chattels or installations in the property but the Seller and Buyer shall<br />
jointly and severally indemnify the Auctioneers against any third party claims of<br />
whatever nature in respect thereof.<br />
31. The Auctioneers shall bear no responsibility for any claims by Seller or Buyer<br />
arising out of this sale in respect of specifi c contractual obligations undertaken<br />
by the Auctioneers in writing prior to the sale.<br />
32. Each Purchaser will take the property or properties subject to and shall be<br />
responsible for the compliance with all notices and/or requirements relating to<br />
the same whether such notices and/or requirements shall have been made by<br />
the local authorities or any other person or body.<br />
33. Nothing shall be incorporated in any sale either collaterally or directly or indirectly<br />
whether by way of condition, warranty or representation as to whether in the<br />
case of property sold subject to any tenancy or tenancies, there are subsisting<br />
any sub-tenancies or similar such occupations and, whether or not any such<br />
shall be disclosed at or before the Auction, the purchaser shall be deemed to<br />
purchase will full knowledge of any sub-tenancies that there may be whether or<br />
not he shall have enquiries of the Auctioneer or have inspected and no objection<br />
shall be taken or requisition made on account thereof.<br />
34. Unless otherwise stated, the sale is subject to a reserve price for each of the<br />
properties, and the Seller reserves the right to bid themselves or through their<br />
agents at the Auction and to sell all or any part of the property by private Treaty<br />
before the Auction.<br />
35. The tenure of the properties and the estate or interest sold are as stated in the<br />
particulars. For the avoidance of any doubt the Auctioneers shall not be liable in<br />
any circumstances as a result of the Sellers inability to show title or of any defect<br />
in the Sellers title.<br />
36. The Buyer accepts the administration fee payable with the deposit is nonrefundable<br />
under any circumstances.<br />
37. The Seller and the Buyer hereby authorise the Auctioneer to satisfy his<br />
commission and expenses account from the deposit where;-<br />
a. a conditional auction deposit is paid but the sale fails to exchange the auctioneer<br />
is entitled to 50% and Seller is entitled to 50% of the deposit. Unless, failure to<br />
exchange is as a direct result of the sellers inability to exchange which will result<br />
in the deposit being returned to the Buyer in full. On exchange the deposit will be<br />
made available to settle, in part, the auctioneers commission fee.<br />
b. an unconditional auction deposit is paid the auctioneer is entitled to satisfy his<br />
full commission fee immediately from the deposit paid in every circumstance.<br />
38. The properties shall be sold subject to the matters (if any) contained in the<br />
addendum to this Auction Catalogue which shall be available in the Auction<br />
Room on the day of the sale and the Buyer shall be deemed to purchase with<br />
full knowledge of the matters as set out therein.<br />
39. The contracts are enforceable only by the Seller and the Buyer and (if applicable)<br />
their successors in title and, to the extent permitted by these conditions, by the<br />
auctioneers.<br />
40. The Buyer must not assign, mortgage or otherwise transfer or part with the<br />
whole or any part of the Buyer’s interest under the contract.<br />
