1. Introducti<strong>on</strong><br />

1.1 Internati<strong>on</strong>al arbitrati<strong>on</strong> is the default choice of dispute resoluti<strong>on</strong> forum for crossborder<br />

commercial c<strong>on</strong>tracts, largely because it offers neutrality and awards that<br />

are enforceable around the world.<br />

1.2 The <strong>in</strong>ternati<strong>on</strong>al arbitrati<strong>on</strong> community is c<strong>on</strong>t<strong>in</strong>uously work<strong>in</strong>g to improve its<br />

product for the benefit of bus<strong>in</strong>ess users. Papers such as the UNCITRAL Notes <strong>on</strong><br />

Organis<strong>in</strong>g Arbitral Proceed<strong>in</strong>gs, the IBA Rules <strong>on</strong> the Tak<strong>in</strong>g of Evidence <strong>in</strong><br />

Internati<strong>on</strong>al Commercial Arbitrati<strong>on</strong>, the IBA Guidel<strong>in</strong>es <strong>on</strong> C<strong>on</strong>flicts of Interest <strong>in</strong><br />

Internati<strong>on</strong>al Arbitrati<strong>on</strong>, and the ICC <str<strong>on</strong>g>Commissi<strong>on</strong></str<strong>on</strong>g>’s Techniques <strong>on</strong> C<strong>on</strong>troll<strong>in</strong>g<br />

Time and Cost <strong>in</strong> Arbitrati<strong>on</strong> are all documents aimed at mak<strong>in</strong>g <strong>in</strong>ternati<strong>on</strong>al<br />

arbitrati<strong>on</strong> work better.<br />

1.3 Although some of these papers refer to the role of the arbitral tribunal <strong>in</strong><br />

encourag<strong>in</strong>g settlement, at present, it is <strong>on</strong>ly <strong>in</strong> certa<strong>in</strong> jurisdicti<strong>on</strong>s that tribunals<br />

are pro-active <strong>in</strong> this regard. It is certa<strong>in</strong>ly very rare for tribunals to recommend<br />

that the parties try us<strong>in</strong>g mediati<strong>on</strong> dur<strong>in</strong>g the course of the arbitral proceed<strong>in</strong>gs.<br />

Indeed, whilst courts <strong>in</strong> Europe now generally enforce multi-tier dispute resoluti<strong>on</strong><br />

clauses and decl<strong>in</strong>e jurisdicti<strong>on</strong> where these are not observed, arbitral tribunals<br />

tend to accept jurisdicti<strong>on</strong> and proceed with the arbitrati<strong>on</strong>, even where <strong>on</strong>e party<br />

has clearly breached an obligati<strong>on</strong> to mediate before commenc<strong>in</strong>g arbitral<br />

proceed<strong>in</strong>gs.<br />

1.4 Some research 1 suggests that settlement rates <strong>in</strong> arbitrati<strong>on</strong> are significantly lower<br />

than they are <strong>in</strong> many nati<strong>on</strong>al courts, particularly those courts where judges<br />

systematically promote early settlement and the use of ADR techniques such as<br />

mediati<strong>on</strong>.<br />

1.5 The <str<strong>on</strong>g>CEDR</str<strong>on</strong>g> <str<strong>on</strong>g>Commissi<strong>on</strong></str<strong>on</strong>g> for <strong>Settlement</strong> <strong>in</strong> Internati<strong>on</strong>al Arbitrati<strong>on</strong> (the <str<strong>on</strong>g>Commissi<strong>on</strong></str<strong>on</strong>g>)<br />

was formed to review the current practice regard<strong>in</strong>g the promoti<strong>on</strong> of settlement<br />

by <strong>in</strong>ternati<strong>on</strong>al arbitral tribunals and to come up with recommendati<strong>on</strong>s to<br />

improve this aspect of the process for end-users. A key premise of the<br />

<str<strong>on</strong>g>Commissi<strong>on</strong></str<strong>on</strong>g>’s work, which is supported by studies of the attitudes of <strong>in</strong>ternati<strong>on</strong>al<br />

bus<strong>in</strong>ess to dispute resoluti<strong>on</strong> 2 is that parties generally want their problems solved<br />

cost effectively and efficiently and that this will often be best achieved through<br />

negotiated settlement.<br />

1.6 Attached to this Report 3 are the follow<strong>in</strong>g documents:<br />

2. Objectives, Pr<strong>in</strong>ciples and Summary<br />

2.1 The purpose of the Recommendati<strong>on</strong>s set out <strong>in</strong> this Report is to provide tools<br />

which can be used by all of the different participants <strong>in</strong> <strong>in</strong>ternati<strong>on</strong>al arbitrati<strong>on</strong><br />

proceed<strong>in</strong>gs. These tools are all designed to <strong>in</strong>crease the prospects of parties to<br />

the proceed<strong>in</strong>gs be<strong>in</strong>g able to settle their disputes without the need to proceed<br />

through to the c<strong>on</strong>clusi<strong>on</strong> of arbitral proceed<strong>in</strong>gs.<br />

2.2 The <str<strong>on</strong>g>CEDR</str<strong>on</strong>g> <str<strong>on</strong>g>Commissi<strong>on</strong></str<strong>on</strong>g> has c<strong>on</strong>sidered the different approaches currently adopted<br />

for the encouragement of settlement with<strong>in</strong> arbitrati<strong>on</strong> proceed<strong>in</strong>gs. These <strong>in</strong>clude<br />

the use by arbitrators <strong>in</strong> Ch<strong>in</strong>a and <strong>in</strong> H<strong>on</strong>g K<strong>on</strong>g of mediati<strong>on</strong> techniques. They<br />

also <strong>in</strong>clude the approach prevalent <strong>in</strong> Germany and Switzerland where arbitrators<br />

are generally will<strong>in</strong>g at an early stage <strong>in</strong> the proceed<strong>in</strong>gs to provide the parties with<br />

an <strong>in</strong>dicati<strong>on</strong> of their prelim<strong>in</strong>ary views <strong>on</strong> the issues <strong>in</strong> the case. This can<br />

encourage settlement discussi<strong>on</strong>s between the parties and provide focus for those<br />

discussi<strong>on</strong>s.<br />

2.3 By way of c<strong>on</strong>trast, the typical comm<strong>on</strong> law approach is for arbitrators to refra<strong>in</strong><br />

from engag<strong>in</strong>g with the parties <strong>on</strong> the substantive issues for fear that this may<br />

suggest that they have prejudged the case before hear<strong>in</strong>g all of the evidence and<br />

argument. However, the comm<strong>on</strong> law jurisdicti<strong>on</strong>s do make use of other<br />

techniques to promote settlement such as “offers to settle” which are described <strong>in</strong><br />

more detail below and <strong>in</strong> Appendix 3. The <str<strong>on</strong>g>Commissi<strong>on</strong></str<strong>on</strong>g> has identified the<br />

techniques and approaches that it c<strong>on</strong>siders be<strong>in</strong>g of most value and has <strong>in</strong>cluded<br />

these with<strong>in</strong> its Recommendati<strong>on</strong>s.<br />

2.4 The <str<strong>on</strong>g>Commissi<strong>on</strong></str<strong>on</strong>g> c<strong>on</strong>siders that the follow<strong>in</strong>g three pr<strong>in</strong>ciples should apply to<br />

<strong>in</strong>ternati<strong>on</strong>al arbitrati<strong>on</strong> proceed<strong>in</strong>gs and these three pr<strong>in</strong>ciples underp<strong>in</strong> the<br />

Recommendati<strong>on</strong>s:<br />

2.4.1 An arbitral tribunal has a primary resp<strong>on</strong>sibility to produce an award,<br />

which is b<strong>in</strong>d<strong>in</strong>g and enforceable.<br />

2.4.2 Unless otherwise agreed by the parties, the arbitral tribunal, assisted by<br />

the arbitral <strong>in</strong>stituti<strong>on</strong> where applicable, should also take steps to assist<br />

the parties <strong>in</strong> achiev<strong>in</strong>g a negotiated settlement of part or all of their<br />

dispute.<br />

2.4.3 In assist<strong>in</strong>g the parties with settlement, the tribunal should not act <strong>in</strong> such<br />

a way as would make its award susceptible to a successful challenge.<br />

Specifically, the tribunal should not meet with any of the Parties<br />

separately, or obta<strong>in</strong> <strong>in</strong>formati<strong>on</strong> from any Party which is not shared with<br />

the other Parties, unless such practices are acceptable <strong>in</strong> the courts of all<br />

jurisdicti<strong>on</strong>s which might have reas<strong>on</strong> to c<strong>on</strong>sider the validity of the<br />

tribunal’s award or unless the Parties explicitly c<strong>on</strong>sent to this approach<br />

and its c<strong>on</strong>sequences.<br />

2.5 The <str<strong>on</strong>g>Commissi<strong>on</strong></str<strong>on</strong>g> recognises that by apply<strong>in</strong>g the third of these pr<strong>in</strong>ciples, an<br />

arbitrator will be discouraged from engag<strong>in</strong>g <strong>in</strong> a med-arb process, which <strong>in</strong>volves<br />

meet<strong>in</strong>g privately with each party as part of the mediati<strong>on</strong> phase. The <str<strong>on</strong>g>Commissi<strong>on</strong></str<strong>on</strong>g><br />

has c<strong>on</strong>cluded that whilst this form of med-arb has been used successfully by some<br />

arbitrators, it carries significant risks to the <strong>in</strong>tegrity of the arbitral process and<br />

hence to the enforceability of any arbitral award <strong>in</strong> the event that settlement is<br />

not achieved <strong>in</strong> the mediati<strong>on</strong> phase. In additi<strong>on</strong>, this form of med-arb may result<br />

<strong>in</strong> a mediati<strong>on</strong> phase which is less effective than would be the case if the mediati<strong>on</strong><br />

were to be c<strong>on</strong>ducted by a third party mediator. Whilst currently the <str<strong>on</strong>g>Commissi<strong>on</strong></str<strong>on</strong>g><br />

does not therefore specifically recommend a med-arb process, which <strong>in</strong>volves<br />

private meet<strong>in</strong>gs with the parties, it has c<strong>on</strong>sidered safeguards that can be used <strong>in</strong><br />

order to m<strong>in</strong>imise the risks <strong>in</strong>volved with such an approach. These are set out at<br />

Appendix 2 entitled “Safeguards for arbitrators who use private meet<strong>in</strong>gs with<br />

each party as a means of facilitat<strong>in</strong>g settlement”.<br />

2.6 The participants <strong>in</strong> the arbitral process to whom the Recommendati<strong>on</strong>s are<br />

addressed are arbitrators, arbitral <strong>in</strong>stituti<strong>on</strong>s and parties and their counsel. The<br />

Recommendati<strong>on</strong>s are organised by reference to each of these categories.<br />

2.7 In summary, the Recommendati<strong>on</strong>s are <strong>in</strong>tended to achieve the follow<strong>in</strong>g purposes:<br />

2.7.1 Rem<strong>in</strong>d all participants that arbitrati<strong>on</strong> proceed<strong>in</strong>gs may be used <strong>in</strong><br />

c<strong>on</strong>juncti<strong>on</strong> with other processes to achieve efficient and cost-effective<br />

outcomes.<br />

2.7.2 Encourage arbitrators to use appropriate techniques <strong>in</strong> the course of their<br />

c<strong>on</strong>duct of the arbitrati<strong>on</strong> to promote and encourage settlement. An<br />

“appropriate” technique is <strong>on</strong>e that will assist the parties, will not lead to<br />

successful challenges to their role as arbitrators and will not jeopardise the<br />

enforceability of any award that the tribunal may ultimately make.<br />

2.7.3 Offer suggesti<strong>on</strong>s to arbitral <strong>in</strong>stituti<strong>on</strong>s <strong>on</strong> how to design processes which<br />

are <strong>in</strong>tended to facilitate settlement and ways to allow them to be more<br />

readily accessible to parties to arbitral proceed<strong>in</strong>gs.<br />

2.7.4 Produce a list of pr<strong>in</strong>ciples which will give guidance when arbitral<br />

<strong>in</strong>stituti<strong>on</strong>s, tribunals or parties are c<strong>on</strong>sider<strong>in</strong>g the use of comb<strong>in</strong>ed<br />

adjudicati<strong>on</strong> and settlement processes such as Med-Arb, Arb-Med etc.<br />

2.7.5 Offer guidance <strong>on</strong> the draft<strong>in</strong>g of arbitrati<strong>on</strong> clauses which record the<br />

agreement of the parties regard<strong>in</strong>g the approach that the arbitral tribunal<br />

is to take to facilitate settlement.<br />

3. <str<strong>on</strong>g>CEDR</str<strong>on</strong>g> Rules for the Facilitati<strong>on</strong> of <strong>Settlement</strong> <strong>in</strong><br />

Internati<strong>on</strong>al Arbitrati<strong>on</strong> Proceed<strong>in</strong>gs<br />

3.1 In additi<strong>on</strong> to its Recommendati<strong>on</strong>s, the <str<strong>on</strong>g>Commissi<strong>on</strong></str<strong>on</strong>g> has prepared <str<strong>on</strong>g>CEDR</str<strong>on</strong>g> Rules [See<br />

Appendix 1]. These Rules apply the Recommendati<strong>on</strong>s. They are designed to be<br />

<strong>in</strong>corporated by agreement <strong>in</strong>to the procedure to be adopted <strong>in</strong> an arbitrati<strong>on</strong>. 4<br />

This can be d<strong>on</strong>e either <strong>in</strong> a c<strong>on</strong>tractual agreement to arbitrate embodied <strong>in</strong> a<br />

c<strong>on</strong>tract, or by <strong>in</strong>clusi<strong>on</strong> by arbitral <strong>in</strong>stituti<strong>on</strong>s <strong>in</strong> their rules of arbitrati<strong>on</strong>, or by<br />

way of a procedural agreement made by the parties, possibly recorded <strong>in</strong> an order<br />

made by c<strong>on</strong>sent by an arbitral tribunal early <strong>in</strong> the proceed<strong>in</strong>gs.<br />

3.2 By adopt<strong>in</strong>g the <str<strong>on</strong>g>CEDR</str<strong>on</strong>g> Rules, Parties will ensure that their arbitral tribunal will<br />

facilitate settlement of their dispute and will also know how that facilitati<strong>on</strong> will<br />

be undertaken.<br />

3.3 The Recommendati<strong>on</strong>s <strong>in</strong> this Report are <strong>in</strong>tended to be of use to arbitrators,<br />

arbitral <strong>in</strong>stituti<strong>on</strong>s and Parties whether or not the Parties choose to adopt the<br />

<str<strong>on</strong>g>CEDR</str<strong>on</strong>g> Rules.<br />

4. Recommendati<strong>on</strong>s<br />

4.1 These Recommendati<strong>on</strong>s are not prescriptive. Many of the Recommendati<strong>on</strong>s are<br />

already be<strong>in</strong>g implemented <strong>in</strong> some parts of the world both by arbitral <strong>in</strong>stituti<strong>on</strong>s<br />

and some arbitrators. One of the aims of the Recommendati<strong>on</strong>s is to identify<br />

techniques that have been used successfully so that they can be adopted more<br />

widely.<br />

Arbitrators<br />

4.2 Steps that arbitrators can take with<strong>in</strong> the c<strong>on</strong>text of most exist<strong>in</strong>g arbitral rules<br />

<strong>in</strong>clude the follow<strong>in</strong>g:<br />

4.2.1 Enforce multi-tier dispute resoluti<strong>on</strong> clauses <strong>in</strong> accordance with the<br />

applicable law if pre-arbitrati<strong>on</strong> phases have not been completed <strong>in</strong><br />

accordance with the clause. If the parties have agreed that they will, for<br />

example, c<strong>on</strong>duct a mediati<strong>on</strong> before embark<strong>in</strong>g <strong>on</strong> arbitrati<strong>on</strong><br />

proceed<strong>in</strong>gs, then this agreement should be enforced if the applicable law<br />

so provides. Not <strong>on</strong>ly does this respect the will of the parties (assum<strong>in</strong>g<br />

that they have not varied the agreement set out <strong>in</strong> the multi-tier clause),<br />

but it also provides the parties with an opportunity to engage <strong>in</strong> a<br />

settlement process before <strong>in</strong>curr<strong>in</strong>g significant costs <strong>in</strong> the arbitrati<strong>on</strong><br />

proceed<strong>in</strong>gs. In general terms, enforcement of such clauses will usually<br />

<strong>in</strong>volve either stay<strong>in</strong>g the arbitral proceed<strong>in</strong>gs or decl<strong>in</strong><strong>in</strong>g jurisdicti<strong>on</strong>.<br />

4.2.2 Rem<strong>in</strong>d the parties’ counsel that it is best practice for <strong>in</strong>ternal party<br />

representatives to be present at the first procedural c<strong>on</strong>ference.<br />

Arbitrators can rem<strong>in</strong>d the parties at that c<strong>on</strong>ference that they can settle<br />

their dispute at any time. Direct communicati<strong>on</strong> between the arbitral<br />

tribunal and the parties will ensure that the parties themselves understand<br />

the opti<strong>on</strong>s available to them. This may be of particular benefit where the<br />

may have different expectati<strong>on</strong>s of the tribunal’s role regard<strong>in</strong>g<br />

settlement.<br />

4.2.3 Where necessary, discuss with the parties and their counsel the different<br />

ADR processes which might assist and discuss with them ways <strong>in</strong> which such<br />

processes might be accommodated with<strong>in</strong> the arbitral process (for example<br />

by way of a “mediati<strong>on</strong> w<strong>in</strong>dow” dur<strong>in</strong>g the proceed<strong>in</strong>gs). This form of<br />

discussi<strong>on</strong> may be particularly useful where <strong>on</strong>e or more of the parties or<br />

counsel is not familiar with mediati<strong>on</strong> or other ADR processes, or where the<br />

parties come from different legal traditi<strong>on</strong>s.<br />

4.2.4 Questi<strong>on</strong> the parties’ counsel and the parties themselves at appropriate<br />

junctures <strong>in</strong> the arbitral process regard<strong>in</strong>g the status of settlement<br />

discussi<strong>on</strong>s and the potential use of other forms of ADR to assist. The use<br />

of mediati<strong>on</strong> or other ADR processes may be appropriate at different stages<br />

of the arbitral process, and it can be helpful for the parties’ counsel to be<br />

rem<strong>in</strong>ded of this as the process progresses.<br />

4.2.5 If both parties agree, provide an <strong>in</strong>dicati<strong>on</strong> as to the tribunal’s prelim<strong>in</strong>ary<br />

view <strong>on</strong> the merits of the case. This can be d<strong>on</strong>e <strong>in</strong> different ways. One<br />

approach is for the tribunal to set out the issues <strong>in</strong> the case that it has<br />

identified and what the tribunal c<strong>on</strong>siders will be required <strong>in</strong> terms of<br />

evidence from each party <strong>in</strong> order to prevail <strong>on</strong> the key issues.<br />

4.2.6 If both parties agree, chair <strong>on</strong>e or more settlement meet<strong>in</strong>gs attended by<br />

<strong>in</strong>ternal representatives of the Parties (or other pers<strong>on</strong>s with authority to<br />

negotiate and settle) at which possible terms of settlement are<br />

negotiated. The <strong>in</strong>volvement of <strong>on</strong>e or more members of the tribunal or a<br />

neutral chairpers<strong>on</strong> can improve the chances of settlement discussi<strong>on</strong>s<br />

prov<strong>in</strong>g successful. Up<strong>on</strong> the request of the parties, the members of the<br />

arbitral tribunal or the chairpers<strong>on</strong> may submit to the parties proposed<br />

terms of settlement. Arbitrators should not meet with the Parties<br />

separately or obta<strong>in</strong> any <strong>in</strong>formati<strong>on</strong> from <strong>on</strong>e Party which is not shared<br />

with the other Parties. The arbitrators must also avoid putt<strong>in</strong>g pressure <strong>on</strong><br />

the parties to settle.<br />

4.2.7 Propose that the parties be at liberty to make offers to settle dur<strong>in</strong>g the<br />

arbitral proceed<strong>in</strong>gs with a view to settl<strong>in</strong>g the case and protect<strong>in</strong>g their<br />

positi<strong>on</strong> <strong>on</strong> legal costs. Where the Party to whom such an offer has been<br />

made has not accepted it and that party has not achieved a better result <strong>in</strong><br />

the award, the arbitral tribunal shall be at liberty to take this fact <strong>in</strong>to<br />

account when c<strong>on</strong>sider<strong>in</strong>g the allocati<strong>on</strong> of the costs of the arbitrati<strong>on</strong><br />

between the Parties. A more detailed descripti<strong>on</strong> of how offers to settle<br />

can operate is set out at Appendix 3.<br />

4.3 If, as a c<strong>on</strong>sequence of his or her <strong>in</strong>volvement <strong>in</strong> the facilitati<strong>on</strong> of settlement, any<br />

arbitrator develops doubts as to his or her ability to rema<strong>in</strong> impartial or<br />

<strong>in</strong>dependent <strong>in</strong> the future course of the arbitrati<strong>on</strong> proceed<strong>in</strong>gs, that arbitrator<br />

should resign.<br />

Arbitral <strong>in</strong>stituti<strong>on</strong>s<br />

4.4 Instituti<strong>on</strong>s adm<strong>in</strong>ister<strong>in</strong>g arbitrati<strong>on</strong> proceed<strong>in</strong>gs can take various steps to assist.<br />

Some of these can be taken with<strong>in</strong> the c<strong>on</strong>text of exist<strong>in</strong>g rules and procedures.<br />

Others would require a change to those rules and/or the <strong>in</strong>troducti<strong>on</strong> of new<br />

services.<br />

4.5 Arbitral <strong>in</strong>stituti<strong>on</strong>s have a pivotal role to play for several reas<strong>on</strong>s:<br />

4.5.1 It is their rules that are <strong>in</strong>corporated <strong>in</strong>to the parties’ c<strong>on</strong>tracts by way of<br />

the arbitrati<strong>on</strong> agreement. These rules can be structured <strong>in</strong> a way which<br />

facilitates settlement discussi<strong>on</strong>s between the parties.<br />

4.5.2 Arbitral <strong>in</strong>stituti<strong>on</strong>s can <strong>in</strong>form the arbitrators that they appo<strong>in</strong>t as to the<br />

approach that those arbitrators should take to the encouragement and<br />

facilitati<strong>on</strong> of settlement <strong>in</strong>itiatives.<br />

4.5.3 Case managers with<strong>in</strong> the <strong>in</strong>stituti<strong>on</strong> are often the first po<strong>in</strong>t of c<strong>on</strong>tact for<br />

the parties <strong>on</strong>ce a decisi<strong>on</strong> to refer a dispute to arbitrati<strong>on</strong> has been taken.<br />

They c<strong>on</strong>t<strong>in</strong>ue to be a c<strong>on</strong>tact po<strong>in</strong>t for the parties, <strong>in</strong>dependent from the<br />

tribunal. At all stages they are <strong>in</strong> a positi<strong>on</strong> to check with the parties the<br />

status of settlement negotiati<strong>on</strong>s and, where appropriate, make suggesti<strong>on</strong>s<br />

to progress settlement <strong>in</strong>itiatives. In a similar way, they can communicate<br />

separately with the tribunal regard<strong>in</strong>g the same matters.<br />

4.5.4 Arbitral <strong>in</strong>stituti<strong>on</strong>s are <strong>in</strong> a positi<strong>on</strong> to <strong>in</strong>troduce new approaches and<br />

products <strong>in</strong>to the market.<br />

4.6 Operat<strong>in</strong>g with<strong>in</strong> their exist<strong>in</strong>g rules, <strong>in</strong>stituti<strong>on</strong>s could take the follow<strong>in</strong>g steps 5 :<br />

4.6.1 Instruct case managers to <strong>in</strong>itiate a discussi<strong>on</strong> regard<strong>in</strong>g settlement with<br />

counsel represent<strong>in</strong>g the parties when the proceed<strong>in</strong>gs are commenced.<br />

This is likely to <strong>in</strong>volve ask<strong>in</strong>g whether the parties have already used ADR<br />

techniques and discuss<strong>in</strong>g with them whether it would be helpful to use<br />

such techniques immediately or at some later stage <strong>in</strong> the arbitral<br />

proceed<strong>in</strong>gs.<br />

4.6.2 Provide <strong>in</strong>formati<strong>on</strong> to counsel and the parties about ways of facilitat<strong>in</strong>g<br />

settlement negotiati<strong>on</strong>s. This is likely to be of particular value and<br />

importance for parties and lawyers from jurisdicti<strong>on</strong>s where ADR techniques<br />

are less comm<strong>on</strong>ly used.<br />

4.6.3 Where the <strong>in</strong>stituti<strong>on</strong> either offers ADR services (such as mediati<strong>on</strong>), or is<br />

able to recommend an ADR <strong>in</strong>stituti<strong>on</strong> that provides such services, this can<br />

be drawn to the attenti<strong>on</strong> of the parties.<br />

4.6.4 Encourage arbitrators appo<strong>in</strong>ted by the <strong>in</strong>stituti<strong>on</strong> to take the steps<br />

identified above at paragraph [4.2] and select sole arbitrators and<br />

chairmen for appo<strong>in</strong>tment who are likely to be pro-active <strong>in</strong> this regard.<br />

4.6.5 Support arbitrators who take such steps if queries are raised by the<br />

parties.<br />

4.6.6 Provide tra<strong>in</strong><strong>in</strong>g to arbitrators <strong>in</strong> how to give an early view <strong>on</strong> the merits<br />

<strong>in</strong> order to encourage settlement, without mak<strong>in</strong>g themselves or their<br />

award vulnerable to a successful challenge.<br />

4.6.7 Provide tra<strong>in</strong><strong>in</strong>g to all participants <strong>in</strong> the arbitrati<strong>on</strong> process <strong>on</strong> alternative<br />

dispute resoluti<strong>on</strong> techniques.<br />

4.7 Additi<strong>on</strong>al steps which are likely to require changes to exist<strong>in</strong>g rules or the<br />

<strong>in</strong>troducti<strong>on</strong> of new rules <strong>in</strong>clude the follow<strong>in</strong>g:<br />

4.7.1 Incorporate the <str<strong>on</strong>g>CEDR</str<strong>on</strong>g> Rules for the Facilitati<strong>on</strong> of <strong>Settlement</strong> <strong>in</strong><br />

Internati<strong>on</strong>al Arbitrati<strong>on</strong> <strong>in</strong>to their rules of arbitrati<strong>on</strong>. This could be<br />

d<strong>on</strong>e either for all cases, or as an opti<strong>on</strong> which the parties can select.<br />

4.7.2 Include a provisi<strong>on</strong> with<strong>in</strong> the <strong>in</strong>stituti<strong>on</strong>’s rules of arbitrati<strong>on</strong> which<br />

provides that a tribunal can and will, with the written c<strong>on</strong>sent of all<br />

parties, chair settlement meet<strong>in</strong>gs and/or provide a provisi<strong>on</strong>al view <strong>on</strong><br />

the merits with a view to facilitat<strong>in</strong>g settlement discussi<strong>on</strong>s. This<br />

provisi<strong>on</strong> can also c<strong>on</strong>firm that the participati<strong>on</strong> <strong>in</strong> settlement meet<strong>in</strong>gs<br />

and the fact of provid<strong>in</strong>g a provisi<strong>on</strong>al view <strong>on</strong> the merits given <strong>in</strong><br />

accordance with the rules shall not be the basis for a challenge to the<br />

tribunal or to its arbitral award.<br />

Parties and their counsel<br />

4.8 Given that settlement is a voluntary process, the approach of the parties, advised<br />

by their counsel, is of key importance. Rules of arbitrati<strong>on</strong> regard<strong>in</strong>g settlement<br />

and encouragement from tribunals and <strong>in</strong>stituti<strong>on</strong>s will be of significantly reduced<br />

effect if the parties are not will<strong>in</strong>g to engage and work c<strong>on</strong>structively.<br />

4.9 Steps that parties and their counsel can take <strong>in</strong>clude the follow<strong>in</strong>g:<br />

4.9.1 Give careful c<strong>on</strong>siderati<strong>on</strong> to the type of dispute resoluti<strong>on</strong> process they<br />

want at the time of negotiat<strong>in</strong>g the dispute resoluti<strong>on</strong> clause <strong>in</strong> their<br />

c<strong>on</strong>tract. If the parties agree that it may be helpful to have the assistance<br />

of an arbitral <strong>in</strong>stituti<strong>on</strong> and an arbitral tribunal that are actively look<strong>in</strong>g<br />

for ways to support them <strong>in</strong> settl<strong>in</strong>g the dispute, select the rules of an<br />

arbitral <strong>in</strong>stituti<strong>on</strong> that behaves <strong>in</strong> this way. The parties may also c<strong>on</strong>sider<br />

us<strong>in</strong>g multi-tier dispute resoluti<strong>on</strong> clauses that provide for negotiati<strong>on</strong><br />

and/or mediati<strong>on</strong> before arbitrati<strong>on</strong>.<br />

4.9.2 C<strong>on</strong>sider the use of ADR processes at the outset and throughout the<br />

arbitral process and use such ADR processes al<strong>on</strong>gside or <strong>in</strong> c<strong>on</strong>juncti<strong>on</strong><br />

with arbitrati<strong>on</strong>. It may be appropriate for mediati<strong>on</strong> to take place dur<strong>in</strong>g<br />

a pause <strong>in</strong> the arbitrati<strong>on</strong> (a “mediati<strong>on</strong> w<strong>in</strong>dow”) or a mediati<strong>on</strong> process<br />

can run <strong>on</strong> a parallel track with the arbitrati<strong>on</strong> proceed<strong>in</strong>gs so that work <strong>on</strong><br />

settlement can be undertaken without delay<strong>in</strong>g the arbitrati<strong>on</strong>.<br />

4.9.3 Party representatives with authority to settle the dispute should be proactively<br />

<strong>in</strong>volved dur<strong>in</strong>g the arbitrati<strong>on</strong> and be ready to engage directly<br />

with the arbitral tribunal and other neutrals (where appo<strong>in</strong>ted). This<br />

should reduce the risk that opportunities for settlement are missed. It also<br />

enables the party to ensure that the approach be<strong>in</strong>g taken by its legal<br />

counsel is c<strong>on</strong>sistent with its own objectives and <strong>in</strong>terests.<br />

4.9.4 Parties and their counsel should be aware that if the counter party to the<br />

dispute comes from a jurisdicti<strong>on</strong> with a legal system and traditi<strong>on</strong> which<br />

is different to its own, the approach of that party to settlement<br />

negotiati<strong>on</strong>s and ADR processes may also be very different. Gett<strong>in</strong>g the<br />

best result is likely to <strong>in</strong>volve obta<strong>in</strong><strong>in</strong>g an understand<strong>in</strong>g of the traditi<strong>on</strong>s<br />

of the other side and be<strong>in</strong>g sensitive to those when propos<strong>in</strong>g and<br />

participat<strong>in</strong>g <strong>in</strong> any settlement process<br />

4.9.5 Parties and their counsel should be ready to discuss the questi<strong>on</strong> of<br />

settlement with the tribunal and/or the arbitral <strong>in</strong>stituti<strong>on</strong> and c<strong>on</strong>sider<br />

the possible use of ADR or other settlement techniques at the outset of or<br />

later <strong>in</strong> the arbitrati<strong>on</strong> proceed<strong>in</strong>gs. One technique that the parties may<br />

c<strong>on</strong>sider is request<strong>in</strong>g the tribunal to give an early provisi<strong>on</strong>al view <strong>on</strong> the<br />

Arbitrati<strong>on</strong><br />

Introducti<strong>on</strong><br />

1. These <str<strong>on</strong>g>CEDR</str<strong>on</strong>g> <strong>Settlement</strong> Rules are designed to <strong>in</strong>crease the prospects of Parties to<br />

<strong>in</strong>ternati<strong>on</strong>al arbitrati<strong>on</strong> proceed<strong>in</strong>gs be<strong>in</strong>g able to settle their disputes without the<br />

need to proceed through to the c<strong>on</strong>clusi<strong>on</strong> of those proceed<strong>in</strong>gs. The Rules outl<strong>in</strong>e<br />

steps which Arbitral Tribunals are to take (and are not to take) with a view to<br />

facilitat<strong>in</strong>g settlement by the Parties.<br />

2. The <str<strong>on</strong>g>CEDR</str<strong>on</strong>g> <strong>Settlement</strong> Rules are designed to supplement the legal provisi<strong>on</strong>s and the<br />

<strong>in</strong>stituti<strong>on</strong>al or ad hoc rules accord<strong>in</strong>g to which the Parties are c<strong>on</strong>duct<strong>in</strong>g their<br />

arbitrati<strong>on</strong> 6 . The Rules can be <strong>in</strong>corporated <strong>on</strong> an ad hoc basis by agreement of the<br />

Parties, as part of an <strong>in</strong>stituti<strong>on</strong>’s rules, or with<strong>in</strong> a c<strong>on</strong>tract clause requir<strong>in</strong>g<br />

arbitrati<strong>on</strong> 7<br />

3. These Rules were first <strong>in</strong>troduced by The <str<strong>on</strong>g>CEDR</str<strong>on</strong>g> <str<strong>on</strong>g>Commissi<strong>on</strong></str<strong>on</strong>g> <strong>on</strong> <strong>Settlement</strong> <strong>in</strong><br />

Article 1 Def<strong>in</strong>iti<strong>on</strong>s<br />

1. “Arbitral Tribunal” means a sole arbitrator or a panel of arbitrators<br />

facilitate settlement of the Parties’ dispute.<br />

their purpose, without c<strong>on</strong>traventi<strong>on</strong> of the c<strong>on</strong>flict<strong>in</strong>g mandatory provisi<strong>on</strong> of law.<br />

3. In case of c<strong>on</strong>flict between any provisi<strong>on</strong>s of the <str<strong>on</strong>g>CEDR</str<strong>on</strong>g> <strong>Settlement</strong> Rules and the<br />

General Rules, the Arbitral Tribunal shall apply the <str<strong>on</strong>g>CEDR</str<strong>on</strong>g> <strong>Settlement</strong> Rules <strong>in</strong> the<br />

manner that it determ<strong>in</strong>es best <strong>in</strong> order to accomplish the purposes of both the General<br />

Rules and the <str<strong>on</strong>g>CEDR</str<strong>on</strong>g> <strong>Settlement</strong> Rules, unless the Parties agree to the c<strong>on</strong>trary.<br />

4. In the event of any dispute regard<strong>in</strong>g the mean<strong>in</strong>g of the <str<strong>on</strong>g>CEDR</str<strong>on</strong>g> <strong>Settlement</strong> Rules, the<br />

Arbitral Tribunal shall <strong>in</strong>terpret them accord<strong>in</strong>g to their purpose and <strong>in</strong> the manner<br />

most appropriate for the particular arbitrati<strong>on</strong>.<br />

5. Insofar as the <str<strong>on</strong>g>CEDR</str<strong>on</strong>g> <strong>Settlement</strong> Rules and the General Rules are silent <strong>on</strong> any matter<br />

c<strong>on</strong>cern<strong>in</strong>g the facilitati<strong>on</strong> of settlement and the Parties have not agreed otherwise,<br />

the Arbitral Tribunal may facilitate settlement, as it deems appropriate, <strong>in</strong> accordance<br />

with the general pr<strong>in</strong>ciples of the <str<strong>on</strong>g>CEDR</str<strong>on</strong>g> <strong>Settlement</strong> Rules.<br />

Article 3 General Pr<strong>in</strong>ciples<br />

1. In assist<strong>in</strong>g the Parties with settlement, the Arbitral Tribunal shall not know<strong>in</strong>gly act <strong>in</strong><br />

such a way as would make its award susceptible to a successful challenge.<br />

2. Subject to Article 3(1), the Arbitral Tribunal will take proactive steps <strong>in</strong> accordance<br />

with these <str<strong>on</strong>g>CEDR</str<strong>on</strong>g> <strong>Settlement</strong> Rules to assist the Parties to achieve a negotiated<br />

settlement of part or all of their dispute.<br />

3. The Parties agree that the Arbitral Tribunal’s facilitati<strong>on</strong> of settlement <strong>in</strong> accordance<br />

with these Rules will not be asserted by any Party as grounds for disqualify<strong>in</strong>g the<br />

Arbitral Tribunal (or any member of it) or for challeng<strong>in</strong>g any award rendered by the<br />

Arbitral Tribunal.<br />

4. Noth<strong>in</strong>g said or d<strong>on</strong>e by any Party or its counsel <strong>in</strong> the course of any settlement<br />

discussi<strong>on</strong>s, or <strong>in</strong> the course of any other steps taken by the Arbitral Tribunal to<br />

facilitate settlement, shall be used aga<strong>in</strong>st a Party <strong>in</strong> the event that the arbitrati<strong>on</strong><br />

resumes (save as regards the allocati<strong>on</strong> of costs <strong>in</strong> accordance with Article [6] of these<br />

Rules).<br />

5. The Arbitral Tribunal shall not take <strong>in</strong>to account for the purpose of mak<strong>in</strong>g an award,<br />

any substantive matters discussed <strong>in</strong> settlement meet<strong>in</strong>gs or communicati<strong>on</strong>s, unless<br />

such matter has already been <strong>in</strong>troduced <strong>in</strong> the arbitrati<strong>on</strong>. Further, the Arbitral<br />

Tribunal shall not judge the credibility of any witness <strong>on</strong> the basis of either the witness<br />

hav<strong>in</strong>g been a party representative dur<strong>in</strong>g settlement discussi<strong>on</strong>s, or anyth<strong>in</strong>g said by or<br />

about, or attributed to, the witness dur<strong>in</strong>g settlement discussi<strong>on</strong>s.<br />

Article 4 Discussi<strong>on</strong> at First Procedural C<strong>on</strong>ference<br />

<str<strong>on</strong>g>CEDR</str<strong>on</strong>g> <str<strong>on</strong>g>Commissi<strong>on</strong></str<strong>on</strong>g> <strong>on</strong> <strong>Settlement</strong> <strong>in</strong> Internati<strong>on</strong>al Arbitrati<strong>on</strong> - Rules and Recommendati<strong>on</strong>s<br />

1. The Arbitral Tribunal shall <strong>in</strong>vite the Parties themselves (represented by a member of<br />

their management or <strong>in</strong>-house legal functi<strong>on</strong>) to participate <strong>in</strong> the First Procedural<br />

C<strong>on</strong>ference (or such other early hear<strong>in</strong>g or discussi<strong>on</strong> as is used to establish the<br />

procedure for the arbitrati<strong>on</strong>). The Parties shall be encouraged to speak directly with<br />

the Arbitral Tribunal dur<strong>in</strong>g the First Procedural C<strong>on</strong>ference <strong>on</strong> matters relat<strong>in</strong>g to<br />

settlement.<br />

2. At the First Procedural C<strong>on</strong>ference, the Arbitral Tribunal shall:<br />

2.1. ensure that the Parties understand that they can settle their dispute or part of<br />

their dispute at any time;<br />

2.2. ensure that the Parties are aware of the different dispute resoluti<strong>on</strong> processes<br />

(such as mediati<strong>on</strong>) which, <strong>in</strong> the op<strong>in</strong>i<strong>on</strong> of the Arbitral Tribunal, might assist the<br />

Parties <strong>in</strong> settl<strong>in</strong>g their dispute;<br />

2.3. where appropriate, discuss with the Parties how other dispute resoluti<strong>on</strong> processes<br />

used to facilitate settlement might be accommodated at an appropriate time<br />

with<strong>in</strong> the procedure for the arbitrati<strong>on</strong> (for example by way of a Mediati<strong>on</strong><br />

W<strong>in</strong>dow);<br />

2.4. discuss and agree with the Parties the steps that the Arbitral Tribunal will be<br />

tak<strong>in</strong>g <strong>in</strong> accordance with Article 5 of the <str<strong>on</strong>g>CEDR</str<strong>on</strong>g> <strong>Settlement</strong> Rules to facilitate<br />

settlement;<br />

2.5. discuss and agree with the Parties whether the Arbitral Tribunal, when allocat<strong>in</strong>g<br />

the costs of the arbitrati<strong>on</strong> between the Parties, is to take <strong>in</strong>to account offers to<br />

settle <strong>in</strong> the manner described <strong>in</strong> Article [6] below; and<br />

2.6. discuss and agree with the Parties the po<strong>in</strong>ts dur<strong>in</strong>g the course of the arbitrati<strong>on</strong><br />

when the topic of settlement will be discussed aga<strong>in</strong> between the Parties and the<br />

Arbitral Tribunal.<br />

Article 5 Facilitati<strong>on</strong> of <strong>Settlement</strong> by Arbitral Tribunal<br />

1. Unless otherwise agreed by the Parties <strong>in</strong> writ<strong>in</strong>g, the Arbitral Tribunal may, if it<br />

c<strong>on</strong>siders it helpful to do so, take <strong>on</strong>e or more of the follow<strong>in</strong>g steps to facilitate a<br />

settlement of part or all of the Parties’ dispute:<br />

1.1. provide all Parties with the Arbitral Tribunal’s prelim<strong>in</strong>ary views <strong>on</strong> the issues <strong>in</strong><br />

dispute <strong>in</strong> the arbitrati<strong>on</strong> and what the Arbitral Tribunal c<strong>on</strong>siders will be<br />

necessary <strong>in</strong> terms of evidence from each Party <strong>in</strong> order to prevail <strong>on</strong> those issues ;<br />

1.2. provide all Parties with prelim<strong>in</strong>ary n<strong>on</strong>-b<strong>in</strong>d<strong>in</strong>g f<strong>in</strong>d<strong>in</strong>gs <strong>on</strong> law or fact <strong>on</strong> key<br />

issues <strong>in</strong> the arbitrati<strong>on</strong>;<br />

1.3. where requested by the parties <strong>in</strong> writ<strong>in</strong>g, offer suggested terms of settlement as<br />

a basis for further negotiati<strong>on</strong>.<br />

1.4. where requested by the Parties’ <strong>in</strong> writ<strong>in</strong>g, chair <strong>on</strong>e or more settlement meet<strong>in</strong>gs<br />

attended by representatives of the Parties at which possible terms of settlement<br />

may be negotiated;<br />

2. The Arbitral Tribunal shall not:<br />

2.1. meet with any Party without all other Parties be<strong>in</strong>g present; or<br />

2.2. obta<strong>in</strong> <strong>in</strong>formati<strong>on</strong> from any Party which is not shared with the other Parties;<br />

3. The Arbitral Tribunal shall:<br />

3.1. <strong>in</strong>sert a Mediati<strong>on</strong> W<strong>in</strong>dow <strong>in</strong> the arbitral proceed<strong>in</strong>gs when requested to do so by<br />

all Parties <strong>in</strong> order to enable settlement discussi<strong>on</strong>s, through mediati<strong>on</strong> or<br />

otherwise, to take place;<br />

3.2. adjourn the arbitral proceed<strong>in</strong>gs for a specified period so as to enable mediati<strong>on</strong><br />

to take place when requested to do so by a Party <strong>in</strong> circumstances where the<br />

c<strong>on</strong>tract <strong>in</strong> dispute c<strong>on</strong>ta<strong>in</strong>s a mandatory mediati<strong>on</strong> provisi<strong>on</strong> which requires the<br />

Parties to mediate any relevant dispute, and the Parties have failed to do so<br />

before the time the issue is raised <strong>in</strong> the arbitrati<strong>on</strong> (provided that such failure<br />

was not due to the acti<strong>on</strong> or <strong>in</strong>acti<strong>on</strong> of the Party request<strong>in</strong>g the adjournment).<br />

Article 6 Costs<br />

1. When c<strong>on</strong>sider<strong>in</strong>g the allocati<strong>on</strong> between the Parties of the costs of the arbitrati<strong>on</strong>,<br />

(<strong>in</strong>clud<strong>in</strong>g the Parties own legal and other costs) the Arbitral Tribunal may take <strong>in</strong>to<br />

account<br />

1.1. any offer to settle that has been made by a Party where the Party to whom such<br />

an offer has been made has not d<strong>on</strong>e better <strong>in</strong> the award of the Arbitral Tribunal<br />

than the terms of the offer to settle;<br />

1.2. any unreas<strong>on</strong>able refusal by a party to make use of a Mediati<strong>on</strong> W<strong>in</strong>dow; or<br />

1.3. any failure by a Party to comply with a requirement to mediate or negotiate <strong>in</strong> the<br />

c<strong>on</strong>tract between the Parties which is the subject of the arbitrati<strong>on</strong>.<br />

Article 7 Arbitrator impartiality and <strong>in</strong>dependence<br />

1. If, as a c<strong>on</strong>sequence of his or her <strong>in</strong>volvement <strong>in</strong> the facilitati<strong>on</strong> of settlement, any<br />

arbitrator develops doubts as to his or her ability to rema<strong>in</strong> impartial or <strong>in</strong>dependent <strong>in</strong><br />

the future course of the arbitrati<strong>on</strong> proceed<strong>in</strong>gs, that arbitrator shall resign.<br />

Appendix 2<br />

Safeguards for arbitrators who use private meet<strong>in</strong>gs with each party as a<br />

means of facilitat<strong>in</strong>g settlement.<br />

1. The Report of the <str<strong>on</strong>g>CEDR</str<strong>on</strong>g> <str<strong>on</strong>g>Commissi<strong>on</strong></str<strong>on</strong>g> states as follows at paragraphs 2.4.3 and 2.5:<br />

1.1. “In assist<strong>in</strong>g the parties with settlement, the tribunal should not act <strong>in</strong> such a way<br />

as would make its award susceptible to a successful challenge. Specifically, the<br />

tribunal should not meet with any of the Parties separately, or obta<strong>in</strong> <strong>in</strong>formati<strong>on</strong><br />

from any Party which is not shared with the other Parties, unless such practices<br />

are acceptable <strong>in</strong> the courts of all jurisdicti<strong>on</strong>s which might have reas<strong>on</strong> to<br />

c<strong>on</strong>sider the validity of the tribunal’s award or unless the Parties explicitly<br />

c<strong>on</strong>sent to this approach and its c<strong>on</strong>sequences.<br />

1.2. The <str<strong>on</strong>g>Commissi<strong>on</strong></str<strong>on</strong>g> recognises that by apply<strong>in</strong>g the third of these pr<strong>in</strong>ciples, an<br />

arbitrator will be discouraged from engag<strong>in</strong>g <strong>in</strong> a med-arb process, which <strong>in</strong>volves<br />

meet<strong>in</strong>g privately with each party as part of the mediati<strong>on</strong> phase. The<br />

<str<strong>on</strong>g>Commissi<strong>on</strong></str<strong>on</strong>g> has c<strong>on</strong>cluded that whilst this form of med-arb has been used<br />

successfully by some arbitrators, it carries significant risks to the <strong>in</strong>tegrity of the<br />

arbitral process and hence to the enforceability of any arbitral award <strong>in</strong> the event<br />

that settlement is not achieved <strong>in</strong> the mediati<strong>on</strong> phase. In additi<strong>on</strong>, this form of<br />

med-arb may result <strong>in</strong> a mediati<strong>on</strong> phase which is less effective than would be the<br />

case if the mediati<strong>on</strong> were to be c<strong>on</strong>ducted by a third party mediator. Whilst<br />

currently the <str<strong>on</strong>g>Commissi<strong>on</strong></str<strong>on</strong>g> does not therefore specifically recommend a med-arb<br />

process, which <strong>in</strong>volves private meet<strong>in</strong>gs with the parties, it has c<strong>on</strong>sidered<br />

safeguards that can be used <strong>in</strong> order to m<strong>in</strong>imise the risks <strong>in</strong>volved with such an<br />

approach. These are set out at Appendix 2 entitled “Safeguards for arbitrators<br />

who use private meet<strong>in</strong>gs with each party as a means of facilitat<strong>in</strong>g settlement”.<br />

2. In this c<strong>on</strong>text, the <str<strong>on</strong>g>CEDR</str<strong>on</strong>g> <str<strong>on</strong>g>Commissi<strong>on</strong></str<strong>on</strong>g> recommends the follow<strong>in</strong>g:<br />

3. If it is proposed that an arbitrator should take <strong>on</strong> the role of mediator or c<strong>on</strong>ciliator and<br />

meet with the parties <strong>in</strong> private sessi<strong>on</strong> (sometimes referred to as a caucus sessi<strong>on</strong>)<br />

with a view to resum<strong>in</strong>g his or her functi<strong>on</strong> as arbitrator if the mediati<strong>on</strong> or c<strong>on</strong>ciliati<strong>on</strong><br />

does not result <strong>in</strong> a settlement of the dispute, the follow<strong>in</strong>g issues should be addressed.<br />

4. In c<strong>on</strong>duct<strong>in</strong>g the mediati<strong>on</strong>/c<strong>on</strong>ciliati<strong>on</strong>, the arbitrator is likely to behave <strong>in</strong> a way<br />

which is <strong>in</strong>c<strong>on</strong>sistent with the behaviour expected of an arbitrator <strong>in</strong> most <strong>in</strong>ternati<strong>on</strong>al<br />

arbitrati<strong>on</strong> proceed<strong>in</strong>gs. For example, the mediator/c<strong>on</strong>ciliator is likely to become<br />

privy to <strong>in</strong>formati<strong>on</strong> regard<strong>in</strong>g the motivati<strong>on</strong>s and <strong>in</strong>terests of the parties which would<br />

otherwise be privileged and/or c<strong>on</strong>fidential, and/or which might separately <strong>in</strong>fluence<br />

an arbitrator’s judgment <strong>in</strong> c<strong>on</strong>sider<strong>in</strong>g the terms of an award.<br />

5. If the parties have not c<strong>on</strong>sented to the mediator/c<strong>on</strong>ciliator resum<strong>in</strong>g as arbitrator,<br />

and have not waived any right to object aris<strong>in</strong>g out of his role as mediator/c<strong>on</strong>ciliator,<br />

the arbitrator and/or his award may therefore be subject to challenge. Even where<br />

such c<strong>on</strong>sent is given, it may be argued that the c<strong>on</strong>sent is not given <strong>on</strong> a fully <strong>in</strong>formed<br />

basis if the parties are not aware of all matters that have been discussed dur<strong>in</strong>g private<br />

sessi<strong>on</strong>s. (Whether or not the Parties’ c<strong>on</strong>sent is effective may vary also under different<br />

nati<strong>on</strong>al laws) Further, if parties are aware that if no settlement is achieved, the<br />

mediator may resume as arbitrator, they may be less <strong>in</strong>cl<strong>in</strong>ed to be open and frank <strong>in</strong><br />

their discussi<strong>on</strong>s with the mediator dur<strong>in</strong>g the private meet<strong>in</strong>gs, thereby reduc<strong>in</strong>g the<br />

value of such meet<strong>in</strong>gs and such a mediati<strong>on</strong> effort.<br />

6. If <strong>in</strong>terest based mediati<strong>on</strong> which <strong>in</strong>volves private meet<strong>in</strong>gs is likely to be helpful for<br />

the resoluti<strong>on</strong> of the dispute (as it often will be), it is recommended that the tribunal<br />

expla<strong>in</strong>s the risks identified at paragraphs [4 and 5] above, and discusses with the<br />

parties the alternative approach of appo<strong>in</strong>t<strong>in</strong>g an <strong>in</strong>dependent third party mediator.<br />

The tribunal can then discuss and agree with the parties how to build the mediati<strong>on</strong><br />

process <strong>in</strong>to the arbitral procedure.<br />

7. The <str<strong>on</strong>g>CEDR</str<strong>on</strong>g> <str<strong>on</strong>g>Commissi<strong>on</strong></str<strong>on</strong>g> recognises that parties will <strong>on</strong> occasi<strong>on</strong> be will<strong>in</strong>g to accept the<br />

risks identified at paragraphs [4 and 5] above and will want an arbitrator to engage <strong>in</strong><br />

<strong>in</strong>terest based mediati<strong>on</strong> us<strong>in</strong>g private meet<strong>in</strong>gs. In such circumstances, it is<br />

recommended that the follow<strong>in</strong>g steps be taken so as to m<strong>in</strong>imise the risks.<br />

7.1. The parties’ c<strong>on</strong>sent to the mediator/c<strong>on</strong>ciliator resum<strong>in</strong>g as arbitrator should<br />

<strong>in</strong>clude c<strong>on</strong>sent as to the way <strong>in</strong> which the arbitrator is to deal with <strong>in</strong>formati<strong>on</strong><br />

learned <strong>in</strong> c<strong>on</strong>fidence by the arbitrator dur<strong>in</strong>g the mediati<strong>on</strong>/c<strong>on</strong>ciliati<strong>on</strong>. This<br />

may require the arbitrator to disclose any such <strong>in</strong>formati<strong>on</strong> to all parties and<br />

provide them with an opportunity to comment <strong>on</strong> it. Alternatively, it may provide<br />

that the arbitrator should disregard any c<strong>on</strong>fidential <strong>in</strong>formati<strong>on</strong> that may have<br />

been disclosed dur<strong>in</strong>g private meet<strong>in</strong>gs, and that he or she should be under no duty<br />

to disclose it.<br />

7.2. Wherever the parties’ c<strong>on</strong>sent is required, that c<strong>on</strong>sent should be recorded <strong>in</strong><br />

writ<strong>in</strong>g.<br />

7.3. The parties should give their c<strong>on</strong>sent <strong>in</strong> writ<strong>in</strong>g before the mediati<strong>on</strong>/c<strong>on</strong>ciliati<strong>on</strong><br />

phase. Where parties wish to adopt a more robust protecti<strong>on</strong> aga<strong>in</strong>st the risks<br />

<strong>in</strong>herent <strong>in</strong> the arbitrator act<strong>in</strong>g as mediator, they should <strong>in</strong>sert a requirement<br />

that c<strong>on</strong>sent is also required after the mediati<strong>on</strong>/c<strong>on</strong>ciliati<strong>on</strong> has c<strong>on</strong>cluded and<br />

prior to the mediator/c<strong>on</strong>ciliator resum<strong>in</strong>g <strong>in</strong> the role of arbitrator. The c<strong>on</strong>sent<br />

given after the mediati<strong>on</strong>/c<strong>on</strong>ciliati<strong>on</strong> phase is particularly important because it is<br />

given <strong>in</strong> the knowledge of developments dur<strong>in</strong>g the mediati<strong>on</strong>. C<strong>on</strong>sent which is<br />

given at an earlier stage (for example <strong>in</strong> a dispute resoluti<strong>on</strong> clause, or by<br />

reference to the arbitral rules of an <strong>in</strong>stituti<strong>on</strong>) may be less effective. In additi<strong>on</strong>,<br />

know<strong>in</strong>g that it can withhold c<strong>on</strong>sent, may encourage a party to be more open<br />

dur<strong>in</strong>g the mediati<strong>on</strong>/c<strong>on</strong>ciliati<strong>on</strong> phase.<br />

7.4. The c<strong>on</strong>sent should <strong>in</strong>clude a statement that the parties agree to the arbitrator<br />

meet<strong>in</strong>g with each privately dur<strong>in</strong>g the mediati<strong>on</strong>/c<strong>on</strong>ciliati<strong>on</strong> phase and either<br />

that [the arbitrator is under no obligati<strong>on</strong> to disclose <strong>in</strong>formati<strong>on</strong> obta<strong>in</strong>ed <strong>in</strong><br />

c<strong>on</strong>fidence but should disregard it for the purposes of an arbitrati<strong>on</strong> award] or that<br />

[the arbitrator is under a duty to disclose any <strong>in</strong>formati<strong>on</strong> obta<strong>in</strong>ed relevant to a<br />

potential arbitrati<strong>on</strong> award so that the other party may comment].<br />

7.5. The c<strong>on</strong>sent should <strong>in</strong>clude a statement that the parties will not at any later time<br />

use the fact that the arbitrator has acted as a mediator/c<strong>on</strong>ciliator as a basis for<br />

challeng<strong>in</strong>g the arbitrator or any award which the arbitrator may make (either<br />

al<strong>on</strong>e or as part of a tribunal).<br />

7.6. If as a c<strong>on</strong>sequence of his or her <strong>in</strong>volvement <strong>in</strong> the mediati<strong>on</strong>/c<strong>on</strong>ciliati<strong>on</strong> phase,<br />

any arbitrator develops doubts as to his or her ability to rema<strong>in</strong> impartial or<br />

<strong>in</strong>dependent <strong>in</strong> the future course of the arbitrati<strong>on</strong> proceed<strong>in</strong>gs, that arbitrator<br />

should resign.<br />

8. As is noted <strong>in</strong> paragraph 2.4.3 of the <str<strong>on</strong>g>CEDR</str<strong>on</strong>g> <str<strong>on</strong>g>Commissi<strong>on</strong></str<strong>on</strong>g>’s Report, the risks which these<br />

The effect of Offers to Settle <strong>in</strong> Arbitrati<strong>on</strong><br />

Certa<strong>in</strong> comm<strong>on</strong> law jurisdicti<strong>on</strong>s use Offers to Settle as a means of encourag<strong>in</strong>g<br />

settlement. Offers to Settle encourage settlement because:<br />

(a) parties are encouraged to make reas<strong>on</strong>able offers to settle because they can thereby<br />

reduce their exposure to costs <strong>in</strong> the arbitrati<strong>on</strong>; and<br />

(b) a party receiv<strong>in</strong>g an offer is encouraged to c<strong>on</strong>sider the offer seriously, s<strong>in</strong>ce it would<br />

be at risk of pay<strong>in</strong>g more <strong>in</strong> costs at the end of the arbitrati<strong>on</strong> if the offer is rejected and<br />

the party does not achieve a better outcome <strong>in</strong> the award.<br />

Set out below is a procedure which can be <strong>in</strong>corporated <strong>in</strong>to the procedural rules <strong>in</strong> an<br />

arbitrati<strong>on</strong> <strong>in</strong> order to enable parties to make Offers to Settle which have these costs<br />

c<strong>on</strong>sequences. Alternatively, it can simply be agreed that an arbitral tribunal may take<br />

<strong>in</strong>to c<strong>on</strong>siderati<strong>on</strong> any offers to settle that have been made when c<strong>on</strong>sider<strong>in</strong>g the allocati<strong>on</strong><br />

of costs of the arbitrati<strong>on</strong> between the parties.<br />

1. At any time after an arbitrati<strong>on</strong> has been commenced, a party may make an offer to<br />

settle the dispute to the other party expressed to be (an “Offer to Settle”).<br />

2. In order to have the costs c<strong>on</strong>sequences which are described at paragraph [6] below, an<br />

Offer to Settle must <strong>in</strong>clude the follow<strong>in</strong>g:<br />

2.1. a descripti<strong>on</strong> of all of the terms of settlement which are proposed by the party<br />

mak<strong>in</strong>g the Offer to Settle to dispose of the claim and any counterclaim, <strong>in</strong>clud<strong>in</strong>g<br />

terms regard<strong>in</strong>g the payment of <strong>in</strong>terest;<br />

2.2. the date by which the Offer to Settle is to be accepted, which date should be at<br />

least 21 days from the date the offer is communicated;<br />

2.3. c<strong>on</strong>firmati<strong>on</strong> that the party mak<strong>in</strong>g the Offer to Settle will pay the reas<strong>on</strong>able<br />

legal costs of the other party or parties to whom the offer is made (<strong>in</strong>clud<strong>in</strong>g the<br />

fees and expenses of the arbitral tribunal and, if applicable, the arbitral<br />

<strong>in</strong>stituti<strong>on</strong>) up to the time of acceptance of the Offer to Settle.<br />

3. Neither the fact that an Offer to Settle has been made, or the terms of the Offer to<br />

Settle shall be communicated to the arbitral tribunal other than <strong>in</strong> the circumstances<br />

described <strong>in</strong> paragraph [5] below.<br />

4. If an Offer to Settle is accepted with<strong>in</strong> the time stipulated for acceptance, then the<br />

dispute shall be settled <strong>on</strong> the terms set out there<strong>in</strong>. The parties may choose to ask<br />

the arbitral tribunal to embody the terms of settlement <strong>in</strong> a c<strong>on</strong>sent award.<br />

5. If the Offer to Settle is not accepted with<strong>in</strong> the time stipulated for acceptance, and the<br />

arbitrati<strong>on</strong> proceeds to a f<strong>in</strong>al award, then if the party that made the Offer to Settle<br />

c<strong>on</strong>siders that the outcome <strong>in</strong> the f<strong>in</strong>al award is better for them than that offered by way of<br />

settlement <strong>in</strong> the Offer to Settle, it may choose to provide the arbitral tribunal with a<br />

copy of the Offer to Settle and ask that it be taken <strong>in</strong>to c<strong>on</strong>siderati<strong>on</strong> <strong>in</strong> the exercise of<br />

the tribunal’s discreti<strong>on</strong> regard<strong>in</strong>g the allocati<strong>on</strong> of the costs of the arbitrati<strong>on</strong>.<br />

6. Where a tribunal has been provided with an Offer to Settle <strong>in</strong> the circumstances<br />

described <strong>in</strong> paragraph [5], it shall decide whether or not the terms of its f<strong>in</strong>al award<br />

issue of costs). If the tribunal c<strong>on</strong>cludes that (1) the terms of the f<strong>in</strong>al award are more<br />

favourable, (2) that the offer was genu<strong>in</strong>e and (3) that the party mak<strong>in</strong>g the offer was<br />

able at the time it made the offer to fulfil the terms of the offer, then the tribunal<br />

shall exercise its discreti<strong>on</strong> <strong>in</strong> respect of allocati<strong>on</strong> of the costs of the arbitrati<strong>on</strong> so as<br />

to provide that all or part of the costs of the arbitrati<strong>on</strong> (<strong>in</strong>clud<strong>in</strong>g all of the reas<strong>on</strong>able<br />

legal costs of the parties and the fees and expenses of the tribunal and, where<br />

applicable, the arbitral <strong>in</strong>stituti<strong>on</strong>), shall be payable by the party that decl<strong>in</strong>ed the<br />

offer from the date that the offer expired <strong>on</strong>wards.<br />

7. A party may make more than <strong>on</strong>e Offer to Settle.<br />

Secti<strong>on</strong> 10:<br />

(1) Unless otherwise agreed <strong>in</strong> writ<strong>in</strong>g by<br />

the parties, it shall be an implied term of<br />

the written agreement to c<strong>on</strong>ciliate that<br />

the parties undertake not to rely <strong>on</strong> or<br />

<strong>in</strong>troduce as evidence <strong>in</strong> any arbitral or<br />

judicial proceed<strong>in</strong>gs <strong>in</strong> any jurisdicti<strong>on</strong>,<br />

whether or not such proceed<strong>in</strong>gs relate to<br />

the dispute that is the subject of the<br />

c<strong>on</strong>ciliati<strong>on</strong> proceed<strong>in</strong>gs –<br />

(a) views expressed or suggesti<strong>on</strong>s made by<br />

any party <strong>in</strong> respect of possible settlement<br />

of the dispute;<br />

(b) admissi<strong>on</strong>s made by any party <strong>in</strong> the<br />

course of the c<strong>on</strong>ciliati<strong>on</strong> proceed<strong>in</strong>gs;<br />

(c) proposals made by the c<strong>on</strong>ciliator;<br />

(d) the fact that the other party had<br />

<strong>in</strong>dicated will<strong>in</strong>gness to accept all, or part,<br />

of a proposal for settlement made by the<br />

other party, or by the c<strong>on</strong>ciliator.<br />

(2) Without limit<strong>in</strong>g the obligati<strong>on</strong>s created<br />

by subsecti<strong>on</strong> (1), evidence of anyth<strong>in</strong>g<br />

said or of any admissi<strong>on</strong> made <strong>in</strong> relati<strong>on</strong><br />

to any or all of the matters referred to <strong>in</strong><br />

subsecti<strong>on</strong> (1)(a) to (d) (<strong>in</strong>clusive) is not<br />

admissible <strong>in</strong> evidence <strong>in</strong> any arbitrati<strong>on</strong><br />

c<strong>on</strong>ducted pursuant to Part III or judicial<br />

proceed<strong>in</strong>g <strong>in</strong> Bermuda, and disclosure of<br />

any such evidence shall not be compelled<br />

<strong>in</strong> any civil acti<strong>on</strong> <strong>in</strong> Bermuda <strong>in</strong> which,<br />

pursuant to the law, testim<strong>on</strong>y may be<br />

compelled to be given.<br />

(3) Where evidence is offered <strong>in</strong><br />

c<strong>on</strong>traventi<strong>on</strong> of this secti<strong>on</strong>, the<br />

arbitrati<strong>on</strong> tribunal or the Court shall make<br />

any order which it c<strong>on</strong>siders to be<br />

appropriate to deal with the matter,<br />

<strong>in</strong>clud<strong>in</strong>g, without limitati<strong>on</strong>, orders<br />

restrict<strong>in</strong>g the <strong>in</strong>troducti<strong>on</strong> of evidence, or<br />

dismiss<strong>in</strong>g the case without prejudice.<br />

Record<strong>in</strong>g of the settlement agreement<br />

Secti<strong>on</strong> 20:<br />

If the parties to an arbitrati<strong>on</strong> agreement<br />

reach agreement by means of c<strong>on</strong>ciliati<strong>on</strong><br />

or otherwise <strong>in</strong> settlement of their dispute<br />

and enter <strong>in</strong>to an agreement <strong>in</strong> writ<strong>in</strong>g<br />

c<strong>on</strong>ta<strong>in</strong><strong>in</strong>g the terms of settlement (the<br />

“settlement agreement”) the settlement<br />

agreement shall, for the purposes of its<br />

enforcement <strong>in</strong> Bermuda, be treated as an<br />

award <strong>on</strong> an arbitrati<strong>on</strong> agreement and<br />

may, by leave of the Court, be enforced <strong>in</strong><br />

the same manner as a judgment or order to<br />

Article 16:<br />

Unless the parties reach an agreement to<br />

settlement negotiati<strong>on</strong>s<br />

Article 14:<br />

Preparatory activities, c<strong>on</strong>versati<strong>on</strong>s, and<br />

partial covenants to the c<strong>on</strong>ciliati<strong>on</strong><br />

settlement are strictly c<strong>on</strong>fidential. The<br />

mediator or c<strong>on</strong>ciliator shall not disclose<br />

the c<strong>on</strong>tent of discussi<strong>on</strong>s or partial<br />

settlements between the parties. This<br />

means that the mediator or c<strong>on</strong>ciliator has<br />

the right to professi<strong>on</strong>al secrets.<br />

The parties may not relieve the mediator<br />

or c<strong>on</strong>ciliator of such obligati<strong>on</strong>, and the<br />

testim<strong>on</strong>y or c<strong>on</strong>fessi<strong>on</strong> of the parties or<br />

mediators regard<strong>in</strong>g what occurred or was<br />

expressed <strong>in</strong> the mediati<strong>on</strong> or c<strong>on</strong>ciliati<strong>on</strong><br />

hear<strong>in</strong>g or hear<strong>in</strong>gs, shall not have value as<br />

evidence, except <strong>in</strong> the case of civil or<br />

crim<strong>in</strong>al procedures <strong>in</strong> which the possible<br />

liability of the mediator or arbitrator has<br />

been disputed, or when the purpose is to<br />

clarify or <strong>in</strong>terpret the scope of the<br />

c<strong>on</strong>ciliati<strong>on</strong> settlement that has been<br />

reached through such hear<strong>in</strong>gs.<br />

If a c<strong>on</strong>ciliati<strong>on</strong> settlement is reached and<br />

its effectiveness or validity is judicially<br />

disputed, the mediator or c<strong>on</strong>ciliator shall<br />

be c<strong>on</strong>sidered a witness privileged to the<br />

c<strong>on</strong>tent of the settlement and the process<br />

lead<strong>in</strong>g to such settlement.<br />

Record<strong>in</strong>g of the settlement agreement<br />

Article 12:<br />

<strong>Settlement</strong>s adopted through a judicial or<br />

extrajudicial mediati<strong>on</strong> or c<strong>on</strong>ciliati<strong>on</strong><br />

proceed<strong>in</strong>gs shall comply with the<br />

follow<strong>in</strong>g requirements:<br />

a) Names and pers<strong>on</strong>al <strong>in</strong>formati<strong>on</strong> of the<br />

parties.<br />

b) Clear statement of the object and scope<br />

of the dispute.<br />

c) Names of mediators, arbitrators and, if<br />

applicable, the <strong>in</strong>stituti<strong>on</strong> which employs<br />

them.<br />

d) Specific menti<strong>on</strong> of the agreements<br />

reached.<br />

e) In the event of judicial or adm<strong>in</strong>istrative<br />

proceed<strong>in</strong>gs that are <strong>in</strong> progress or<br />

pend<strong>in</strong>g, an express <strong>in</strong>dicati<strong>on</strong> of the<br />

<strong>in</strong>stituti<strong>on</strong> that is hear<strong>in</strong>g the case, file<br />

number, current status, and the will<strong>in</strong>gness<br />

of the parties to fully or partially c<strong>on</strong>clude<br />

such proceed<strong>in</strong>gs.<br />

f) The arbitrator or mediator shall record<br />

<strong>in</strong> the document that the parties have been<br />

<strong>in</strong>formed of the rights <strong>in</strong>volved and been<br />

advised that the settlement might not<br />

satisfy all their <strong>in</strong>terests. The document<br />

shall also establish that the parties have<br />

been advised as to their right to c<strong>on</strong>sult<br />

with an attorney <strong>on</strong> the c<strong>on</strong>tent of the<br />

settlement prior to sign<strong>in</strong>g.<br />

g) Signatures of all <strong>in</strong>terested parties, as<br />

well as of the mediator or c<strong>on</strong>ciliator.<br />

h) Exact address where the parties shall be<br />

notified.<br />

Article 63 (1):<br />

If, prior to announc<strong>in</strong>g the arbitral award,<br />

the parties decide to resort to mediati<strong>on</strong>,<br />

c<strong>on</strong>ciliati<strong>on</strong>, or any other process of<br />

dispute resoluti<strong>on</strong>, the tribunal shall issue<br />

an order to suspend the proceed<strong>in</strong>gs. If the<br />

mediati<strong>on</strong>, c<strong>on</strong>ciliati<strong>on</strong>, or other process of<br />

dispute resoluti<strong>on</strong> results <strong>in</strong> a total or<br />

partial settlement, the tribunal shall<br />

record it as an arbitral award <strong>in</strong> the terms<br />

agreed-up<strong>on</strong> by the parties. If this does not<br />

lead to a settlement, the parties will<br />

present the tribunal with evidence of<br />

hav<strong>in</strong>g made attempts to resolve the<br />

dispute through other means <strong>in</strong> order to<br />

issue an order to c<strong>on</strong>t<strong>in</strong>ue the proceed<strong>in</strong>gs.<br />

Article 16:<br />

1. Dur<strong>in</strong>g a court, adm<strong>in</strong>istrative or other<br />

proceed<strong>in</strong>gs a body c<strong>on</strong>duct<strong>in</strong>g these<br />

proceed<strong>in</strong>gs may, <strong>in</strong> the disputes fall<strong>in</strong>g<br />

under Article 1 of this Law, recommend the<br />

parties to <strong>in</strong>itiate c<strong>on</strong>ciliati<strong>on</strong> <strong>in</strong><br />

accordance with the provisi<strong>on</strong>s of this Law.<br />

2. If the parties agree <strong>on</strong> c<strong>on</strong>ciliati<strong>on</strong><br />

proceed<strong>in</strong>gs, the body c<strong>on</strong>duct<strong>in</strong>g the<br />

proceed<strong>in</strong>gs fall<strong>in</strong>g under paragraph 1 of<br />

this Article shall, after c<strong>on</strong>sultati<strong>on</strong>s with<br />

the parties, set a period of time <strong>in</strong> which<br />

the undertak<strong>in</strong>g of further acti<strong>on</strong>s <strong>in</strong> those<br />

proceed<strong>in</strong>gs shall be suspended, which<br />

time may not exceed 60 days. This period<br />

of time may be extended <strong>on</strong>ly up<strong>on</strong> a jo<strong>in</strong>t<br />

proposal of all parties to the dispute.<br />

3. If dur<strong>in</strong>g the period of time determ<strong>in</strong>ed<br />

<strong>in</strong> paragraph 2 of this Article a settlement<br />

is not reached, the body c<strong>on</strong>duct<strong>in</strong>g the<br />

proceed<strong>in</strong>gs shall c<strong>on</strong>t<strong>in</strong>ue the<br />

proceed<strong>in</strong>gs. The proceed<strong>in</strong>gs may be<br />

suspended aga<strong>in</strong> for an attempt to reach<br />

settlement <strong>on</strong>ly up<strong>on</strong> a jo<strong>in</strong>t proposal of all<br />

parties to the dispute.<br />

Article 13:<br />

1. The c<strong>on</strong>ciliator shall not act as an<br />

proceed<strong>in</strong>gs or <strong>in</strong> respect of another<br />

dispute that has arisen from the same legal<br />

relati<strong>on</strong>ship or any related legal<br />

shall not represent any of the parties <strong>in</strong><br />

disputes <strong>in</strong>dicated <strong>in</strong> paragraph 1 of this<br />

Record<strong>in</strong>g of the settlement agreement<br />

Article 12:<br />

1. Parties to c<strong>on</strong>ciliati<strong>on</strong> proceed<strong>in</strong>gs, the c<strong>on</strong>ciliator or any third pers<strong>on</strong> participat<strong>in</strong>g <strong>in</strong><br />

the proceed<strong>in</strong>gs, <strong>in</strong>clud<strong>in</strong>g the staff of the organizati<strong>on</strong> for c<strong>on</strong>ciliati<strong>on</strong>, shall not rely <strong>on</strong><br />

or <strong>in</strong>troduce as evidence <strong>in</strong> any legal proceed<strong>in</strong>gs, <strong>in</strong>clud<strong>in</strong>g judicial, arbitral or other<br />

proceed<strong>in</strong>gs, any of the follow<strong>in</strong>g:<br />

a) An <strong>in</strong>vitati<strong>on</strong> by a party to engage <strong>in</strong> c<strong>on</strong>ciliati<strong>on</strong> proceed<strong>in</strong>gs or the fact that a party<br />

was will<strong>in</strong>g to participate <strong>in</strong> c<strong>on</strong>ciliati<strong>on</strong> proceed<strong>in</strong>gs<br />

b) Views expressed or suggesti<strong>on</strong>s made by a party to the c<strong>on</strong>ciliati<strong>on</strong> <strong>in</strong> respect of a<br />

possible settlement of the dispute;<br />

c) Statements or admissi<strong>on</strong>s made by a party <strong>in</strong> the course of the c<strong>on</strong>ciliati<strong>on</strong><br />

proceed<strong>in</strong>gs, except if such statements and admissi<strong>on</strong>s are part of the settlement<br />

agreement which has been reached;<br />

d) Proposals made by the c<strong>on</strong>ciliator <strong>in</strong> the c<strong>on</strong>ciliati<strong>on</strong> proceed<strong>in</strong>gs;<br />

e) The fact that a party to the c<strong>on</strong>ciliati<strong>on</strong> had <strong>in</strong>dicated its will<strong>in</strong>gness to accept a<br />

proposal for settlement made by the c<strong>on</strong>ciliator;<br />

f) A document prepared solely for purposes of the c<strong>on</strong>ciliati<strong>on</strong> proceed<strong>in</strong>gs, or a<br />

document which the parties have agreed shall not to be used <strong>in</strong> any other proceed<strong>in</strong>gs.<br />

2. Paragraph 1 of this Article applies irrespective of the form of the <strong>in</strong>formati<strong>on</strong> or<br />

evidence referred to there<strong>in</strong>.<br />

3. The evidence referred to <strong>in</strong> paragraph 1 shall not be admissible and the circumstances<br />

referred to <strong>in</strong> paragraph 1 shall be disregarded <strong>in</strong> any court, arbitrati<strong>on</strong> or other<br />

proceed<strong>in</strong>gs deal<strong>in</strong>g with the same or a different dispute. If such <strong>in</strong>formati<strong>on</strong> is offered as<br />

evidence, the body c<strong>on</strong>duct<strong>in</strong>g the proceed<strong>in</strong>gs shall reject such proposal as <strong>in</strong>admissible.<br />

If a participant <strong>in</strong> such other proceed<strong>in</strong>gs submits a document or gives a statement <strong>in</strong><br />

c<strong>on</strong>traventi<strong>on</strong> of paragraph 1, the body c<strong>on</strong>duct<strong>in</strong>g those proceed<strong>in</strong>gs shall not use the<br />

c<strong>on</strong>tents of the <strong>in</strong>formati<strong>on</strong> thus disclosed <strong>in</strong> the deliberati<strong>on</strong> <strong>on</strong> the decisi<strong>on</strong>.<br />

4. In any case, a pers<strong>on</strong> act<strong>in</strong>g <strong>in</strong> c<strong>on</strong>traventi<strong>on</strong> of paragraph 1 of this Article shall be<br />

liable for the damages <strong>in</strong>curred, and may be punished for the abuse of procedural rights,<br />

if a body c<strong>on</strong>duct<strong>in</strong>g the proceed<strong>in</strong>gs has such authority.<br />

5. The provisi<strong>on</strong>s of paragraphs 1 to 4 of this Article do not relate to the evidence and<br />

<strong>in</strong>formati<strong>on</strong> necessary under the law to implement or enforce the settlement agreement<br />

which has been reached.<br />

6. Except for the situati<strong>on</strong>s listed <strong>in</strong> paragraph 1 of this Article, evidence and statements<br />

which would otherwise be admissible <strong>in</strong> some other proceed<strong>in</strong>gs shall not become<br />

<strong>in</strong>admissible as a c<strong>on</strong>sequence of hav<strong>in</strong>g been used <strong>in</strong> a c<strong>on</strong>ciliati<strong>on</strong>.<br />

7. If a party has relied <strong>in</strong> the c<strong>on</strong>ciliati<strong>on</strong> proceed<strong>in</strong>gs <strong>on</strong> a statement or evidence that<br />

might have been refused <strong>in</strong> the other proceed<strong>in</strong>gs, the fact that such a statement was<br />

given or evidence used for the purposes of c<strong>on</strong>ciliati<strong>on</strong> does not <strong>in</strong> itself <strong>in</strong>fer c<strong>on</strong>sent to<br />

the use of such statement or evidence <strong>in</strong> other proceed<strong>in</strong>gs.<br />

Secti<strong>on</strong> 2B (1):<br />

If all parties to a reference c<strong>on</strong>sent <strong>in</strong><br />

writ<strong>in</strong>g, and for so l<strong>on</strong>g as no party<br />

withdraws <strong>in</strong> writ<strong>in</strong>g his c<strong>on</strong>sent, an<br />

arbitrator or umpire may act as a<br />

c<strong>on</strong>ciliator.<br />

Secti<strong>on</strong> 30 (1):<br />

It is not <strong>in</strong>compatible with an arbitrati<strong>on</strong><br />

agreement for an arbitral tribunal to<br />

encourage settlement of the dispute and,<br />

with the agreement of the parties; the<br />

arbitral tribunal may use mediati<strong>on</strong>,<br />

c<strong>on</strong>ciliati<strong>on</strong> or other procedures at any<br />

time dur<strong>in</strong>g the arbitral proceed<strong>in</strong>gs to<br />

encourage settlement.<br />

<strong>Settlement</strong> facilitator's <strong>in</strong>volvement <strong>in</strong><br />

subsequent arbitrati<strong>on</strong> proceed<strong>in</strong>gs<br />

Secti<strong>on</strong> 2A (2):<br />

Where an arbitrati<strong>on</strong> agreement provides<br />

for the appo<strong>in</strong>tment of a c<strong>on</strong>ciliator and<br />

further provides that the pers<strong>on</strong> so<br />

appo<strong>in</strong>ted shall act as an arbitrator <strong>in</strong> the<br />

event of the c<strong>on</strong>ciliati<strong>on</strong> proceed<strong>in</strong>gs<br />

fail<strong>in</strong>g to produce a settlement acceptable<br />

to the parties –<br />

(a) no objecti<strong>on</strong> shall be taken to the<br />

appo<strong>in</strong>tment of such pers<strong>on</strong> as an<br />

arbitrator, or to his c<strong>on</strong>duct of the<br />

arbitrati<strong>on</strong> proceed<strong>in</strong>gs, solely <strong>on</strong> the<br />

ground that he had acted previously as a<br />

c<strong>on</strong>ciliator <strong>in</strong> c<strong>on</strong>necti<strong>on</strong> with some or all<br />

of the matters referred to arbitrati<strong>on</strong>;<br />

(b) if such pers<strong>on</strong> decl<strong>in</strong>es to act as an<br />

arbitrator any other pers<strong>on</strong> appo<strong>in</strong>ted as an<br />

arbitrator shall not be required first to act<br />

as a c<strong>on</strong>ciliator unless a c<strong>on</strong>trary <strong>in</strong>tenti<strong>on</strong><br />

appears <strong>in</strong> the arbitrati<strong>on</strong> agreement.<br />

Secti<strong>on</strong> 2B (4):<br />

No objecti<strong>on</strong> shall be taken to the c<strong>on</strong>duct<br />

of arbitrati<strong>on</strong> proceed<strong>in</strong>gs by an arbitrator<br />

or umpire solely <strong>on</strong> the ground that he had<br />

acted previously as a c<strong>on</strong>ciliator <strong>in</strong><br />

accordance with this secti<strong>on</strong>.<br />

Secti<strong>on</strong> 80:<br />

Unless otherwise agreed by the parties, –<br />

a) the c<strong>on</strong>ciliator shall not act as an<br />

arbitrator or as a representative or counsel<br />

of a party <strong>in</strong> any arbitral or judicial<br />

proceed<strong>in</strong>g <strong>in</strong> respect of a dispute that is<br />

the subject of the c<strong>on</strong>ciliati<strong>on</strong> proceed<strong>in</strong>gs;<br />

b) the c<strong>on</strong>ciliator shall not be presented by<br />

the parties as a witness <strong>in</strong> any arbitral or<br />

judicial proceed<strong>in</strong>gs.<br />

Disclosure of <strong>in</strong>formati<strong>on</strong> obta<strong>in</strong>ed <strong>in</strong><br />

settlement negotiati<strong>on</strong>s<br />

Secti<strong>on</strong> 2B (2):<br />

An arbitrator or umpire act<strong>in</strong>g as<br />

c<strong>on</strong>ciliator –<br />

(a) may communicate with the parties to<br />

the reference collectively or separately;<br />

(b) shall treat <strong>in</strong>formati<strong>on</strong> obta<strong>in</strong>ed by him<br />

from a party to the reference as<br />

c<strong>on</strong>fidential, unless that party otherwise<br />

agrees or unless subsecti<strong>on</strong> (3) applies.<br />

Secti<strong>on</strong> 2B (3):<br />

Where c<strong>on</strong>fidential <strong>in</strong>formati<strong>on</strong> is obta<strong>in</strong>ed<br />

by an arbitrator or umpire from a party to<br />

the reference dur<strong>in</strong>g c<strong>on</strong>ciliati<strong>on</strong><br />

proceed<strong>in</strong>gs and those proceed<strong>in</strong>gs<br />

term<strong>in</strong>ate without the parties reach<strong>in</strong>g<br />

agreement <strong>in</strong> settlement of their dispute,<br />

the arbitrator or umpire shall, before<br />

resum<strong>in</strong>g the arbitrati<strong>on</strong> proceed<strong>in</strong>gs,<br />

disclose to all other parties to the<br />

reference as much of that <strong>in</strong>formati<strong>on</strong> as<br />

he c<strong>on</strong>siders is material to the arbitrati<strong>on</strong><br />

proceed<strong>in</strong>gs.<br />

Secti<strong>on</strong> 81:<br />

The parties shall not rely <strong>on</strong> or <strong>in</strong>troduce<br />

as evidence <strong>in</strong> arbitral or judicial<br />

proceed<strong>in</strong>gs, whether or not such<br />

proceed<strong>in</strong>gs relate to the dispute that is<br />

the subject of the c<strong>on</strong>ciliati<strong>on</strong> proceed<strong>in</strong>gs,<br />

–<br />

a) views expressed or suggesti<strong>on</strong>s made by<br />

the other party <strong>in</strong> respect of a possible<br />

settlement of the dispute;<br />

(b) admissi<strong>on</strong>s made by the other party <strong>in</strong><br />

the course, of the c<strong>on</strong>ciliati<strong>on</strong> proceed<strong>in</strong>gs;<br />

(c) proposals made by the c<strong>on</strong>ciliator;<br />

(d) the fact that the other party had<br />

<strong>in</strong>dicated his will<strong>in</strong>gness to accept a<br />

proposal for settlement made by the<br />

c<strong>on</strong>ciliator.<br />

Record<strong>in</strong>g of the settlement agreement<br />

Secti<strong>on</strong> 2C:<br />

If the parties to an arbitrati<strong>on</strong> agreement<br />

reach agreement <strong>in</strong> settlement of their<br />

dispute and enter <strong>in</strong>to an agreement <strong>in</strong><br />

writ<strong>in</strong>g c<strong>on</strong>ta<strong>in</strong><strong>in</strong>g the terms of settlement<br />

(the “settlement agreement”) the<br />

settlement agreement shall, for the<br />

purposes of its enforcement, be treated as<br />

an award <strong>on</strong> an arbitrati<strong>on</strong> agreement and<br />

may, by leave of the Court or a judge<br />

thereof, be enforced <strong>in</strong> the same manner<br />

as a judgment or order to the same effect<br />

and, where leave is so given, judgment<br />

may be entered <strong>in</strong> terms of the agreement.<br />

Secti<strong>on</strong> 30 (2):<br />

If, dur<strong>in</strong>g arbitral proceed<strong>in</strong>gs, the parties<br />

settle the dispute, the arbitral tribunal<br />

shall term<strong>in</strong>ate the proceed<strong>in</strong>gs and, if<br />

requested by the parties and not objected<br />

to by the arbitral tribunal, record the<br />

Article 38 (4):<br />

separately; and<br />

(b) shall treat <strong>in</strong>formati<strong>on</strong> obta<strong>in</strong>ed by him<br />
