Continuing DisclosureUnder the provisions of SEC Rule 15c2-12 (the ―Rule‖), underwriters are required toobtain an agreement for ongoing disclosure in connection with the public offering ofsecurities in a principal amount in excess of $1,000,000. Unless the Issuer is exemptfrom compliance with the Rule as a result of certain permitted exemptions, theTranscript for each issue of Obligations will include an undertaking by the Issuer tocomply with the Rule.
