PharmaceuticalsHistoryOn October 1, 2001, <strong>DuPont</strong> Pharmaceuticals was sold to theBristol-Myers Squibb Company. <strong>DuPont</strong> retained its interest inCozaar ® (losartan potassium) and Hyzaar ® (losartan potassiumwith hydrochlorothiazide). These drugs were discoveredby <strong>DuPont</strong> and developed in collaboration with Merck andare used in the treatment of hypertension. The U.S. patentscovering the compounds, pharmaceutical formulation anduse for the treatment of hypertension, including approvalfor pediatric use, will expire in 2010. <strong>DuPont</strong> has exclusivelylicensed worldwide marketing and manufacturing rights forCozaar ® and Hyzaar ® to Merck. Pharmaceuticals receives netproceeds and royalties as outlined below. Merck is responsiblefor manufacturing, marketing and selling Cozaar ® and Hyzaar ® .OutlookPharmaceuticals’ Cozaar ® /Hyzaar ® income is the sum oftwo parts: income related to a share of the profits fromNorth American sales and certain markets in EMEA, androyalty income derived from worldwide contract net saleslinked to the exclusivity term in a particular country. Patentsand exclusivity have already started to expire and the U.S.exclusivity for Cozaar ® ends in April 2010. The worldwideagreement terminates when the following conditions aremet: (i) the Canadian exclusivity ends in 2013, and (ii) NorthAmerican sales fall below a certain level. Therefore, absentany major changes in the markets, the company expectsits income to take its first significant step-down in 2010,and from that year on, continue to decline each year tozero when the contract ends, which is expected to be after2013.
