It is proposed to enter into a Rate Contract with pharmaceutical firms which fulfill theeligibility criteria approved for supply of drugs/medicines items enumerated in the schedule annexed. Theeligibility criteria have been given in the term and conditions. Firms intending to participate in the ratecontract should first ensure that they fulfill all the eligibility criteria as prescribed under the terms andconditions, otherwise the tenders will be summarily rejected.II. The Rate Contract will be governed by the terms and conditions enclosed with this <strong>Tender</strong>enquiry and no modifications / alterations etc. are allowed in any case. If any modification / alteration isproposed or any other condition advanced by the tenderer, it shall be ignored and the tenderer will be boundby the terms of tender notwithstanding any modification / alteration etc. proposed by them.III. <strong>Tender</strong>er is therefore advised to tender rate quotations only if the terms and conditions asprescribed are acceptable to them in its entirety and they fulfill all the eligibility criteria.PRINCIPAL,S.N. The earnest money of Rs. 50,000/- in the form of Demand Draft/FDR should be enclosed with theOriginal Technical Bid documents.The rates shall not be mentioned in the technical bid, in the event contravention of the instruction, thequotation shall be cancelled.Both the copies of Technical Bid with papers etc. as described shall be placed in separate envelopesand properly sealed, it shall bear the tender number, date and name of the tendering firm, it should besigned with the name and seal of proprietor, member and / or authorise signatory resolved by Board ofDirectors of a Pvt. Ltd. orLimited company.The two properly sealed envelops clearly marked TECHNICAL BID ORIGINAL AND TECHNICALBID DUPLICATE and should be placed in one envelope, and shall be inscribed with "Quotation forNotice No. ............................ dated ......................... it shall bear name of tendering firm, date ofquotation, signed by person / authority described above.The Financial Bid ORIGINAL & DUPLICATE in two envelopes shall be made one like technical bid.After completion of all formalities the quotation shall be dropped in appropriate boxes place in theoffice of the Principal, marked as Technical Bids and Financial Bids on prescribed date and time.The Financial Bid of the tenders not successful in technical bid shall not be considered.2. In the event of quotations being submitted by a partnership firm, it must be signed separately by eachmember thereof. In the event of absence of any partner it must be signed on his behalf by a personholding power of attorney to do so, or in the case of a company the quotations should be executed asis laid down in the bylaws of company's article of Memorandum.3. The Principal/<strong>Tender</strong> Committee has full right to reject or cancel any or all tenders without assigningany reason thereof.4. All the columns of quotation form shall be duly & properly filled in. Articles and materials and theiritem no. quoted shall not vary from those given in tender specification, Quotations shall always begiven both in figures and words. The signatures on quotations shall be deemed to be authorisedsignatures. The words "NO QUOTAION' should be written across any or all the items in the schedulefor which a tenderer does not wish to tender.5. The tender should be filled in legibly, accurately and clearly (preferably typed) and should be signedby the tenderer and his office seal must be affixed on each page. Cutting if any should be duly attestedby the authorised signatory with his name and seal. Overwriting is not admissible. Each & every page/ paper of the tender documents should be serially numbered and duly signed by the tenderer inaccordance with the provisions contained hereinafter or before.6. 7. <strong>Tender</strong>s of dealers, stockiest shall not be considered.8. The copy of balance sheets, certified by CA showing Rs. 10 (Ten) crore in last 3 years for other stateand U.P state has to be submitted. Turnover should be in respect of firm submitting the tender. Groupturnover will not be considered for determining the eligibility & such tenderer will be rejectedsummarily.9. The certification, product wise from authorities in respect of DGQA/WHOGMP/GMP as per revisedschedule M of Drugs and Cosmetic rules should be valid at the time of making the tender.10. The firm should submit CA verified state Drug controller certified certificate of manufacturing andmarketing the quoted items for last three years except for new drugs.11.a Drugs supplied should not be older than one sixth (1/6) of the shelf life from the date of manufacturebut in special/emergent circumstances, this condition may be relaxed by the indenting officer.bThe stores offered should comply with the provisions of the drugs and cosmetics Act 1940 andrules made thereunder in 1945 as amended upto date and Drug (Price) Control order 1995 asamended till date.12. Rates must be quoted F.O.R. destination i.e. Central Medicine Stores, S.N. <strong>Medical</strong> <strong>College</strong> <strong>Hospital</strong>,<strong>Agra</strong> per unit as shown in the schedule annexed and should be exclusive of trade tax but inclusive ofall charges for packing and forwarding.13. Rates quoted must be in accordance with description of proforma enclosed and other provisions oflaw about it in operation.<strong>14</strong>. Trade Tax and Excise Duty, if any, must be shown separately, if it is directly leviable on the item inquotation. The excise duty charge on the raw materials direct or indirect shall not be payable. Thesupplying firm will be required to give a certificate to the effect that the amount claimed by them asExcise Duty has already been paid to the Government. When Trade Tax or Excise Duty is notleviable, it should also be clearly indicated with documents.15. The specific delivery period after receipt of order shall clearly be mentioned in the quotations. Thesupplies shall be required to be completed within 6 weeks from the date of order placed by theIndenting Officer. Early delivery shall be preferred.16. If a firm is the sole manufacturer of the products, it can be eligible provided it submits certificate tothis effect from the State Drug Controller/Licensing Authority.17. That only one product should be quoted against each item.18. Successful tenderer shall have to start making supplies within the stipulated time on receipt of theIndents. In case of failure of making supply within stipulated time, for no certain climatic reasons, thesecurity/earnest money deposited can be forfeited and the contract may be re-determined in favour ofthe next higher tenderer at the risk of the earlier successful tenderer. However, the Principal, If findssuitable and reasonable may make purchase directly from second or third shall be recovered frompending bills/security/earnest money of the defaulter tenderer and he can be debarred for makingsupply for any fixed time or forever, as deem fit.19. That if any tenderer is found to canvass support in any manner through any officer/member of thetender finalizing committee before finalisation of contract his tender will liable to be rejected.20. That special attention of the tenderers are invited about the receipt of the tenders duly completedalongwith all necessary papers in time at a place indicated by notice. All papers required fordetermination of eligibility of participation should be complete before the closing date of the tender,failing which the tender shall not be entertained.21. That the price of any item quoted should not exceed the ceiling price of the drug fixed underDrug (Price) Control Order. In case the price of any medicine is subsequ ently reduced by


Government of India after acceptance of the tender, the supplier shall have to reduce the priceproportionately thereof.22. That no tender which quotes rates of packing units different from the specially mentioned in thetender inquiry sheet shall be accepted.23. That successful tender shall have to deposit security money which shall be as per rule.24. That the tenderers are advised to send alongwith their quotation detailed description and specificationof the items offered and the catalogue or printed description and other literatures of the medicines andequipment at the first opportunity. Any failure to do so may result in award of the tender to some onemore specific.25. That tenderers offer shall remain open for acceptance for 90 days from the date of opening of thetender.26. The tenderers are required to submit tenders on the basis of their quota/license. No request forassistance for the procurement of the import license or raw material quota shall be entertained.Quotation should be given in respect of only those items for which drug license is valid, available andwhich product has been certified for DGQA/or WHOGMP/ or GMP as per revised schedule M ofdrugs and cosmetic rules at the time of submitting the tender. The difficulty in procurement of rawmaterials shall not absolve the tenderers from his obligation to honour the contract.27. Pharmacopoeal specifications IP/BP/USP etc. should be clearly mentioned against eachdrug/constituent of the drug quoted as per the provision of drugs & cosmetic acts. Items withoutreference will not be considered.28. That the ambiguous, incomplete or conditional offer shall not be considered.29. That the tenderer shall submit all papers attested under signatures of a Gazetted Officer, in case thelicense is under renewal then a validity certificate need be produced, from Drug Controller of theState. All the instructions on Formality Sheet of "Technical Bid" should be comply with as failure ofwhich shall make the tender liable for rejection, and for which the Principal shall take noresponsibility.30. The tenderers shall also submit affidavit that they are producing (manufacturing) the quoted drug itemcomposition for more than 3 years.31. Furnishing wrong informations or fake documents shall make the tenderer ineligible and liable to beblack listed or debarred from taking part in the future rate contract for a period of 2-3 years.32. In case of cartrelization by bidders with a view to hike of the prices, all bids will be rejected and allthe bidders will be blacklisted.33. If the tenderer is a sole manufacturer of any of the products quoted should submit a certificate of thedrug controller duly attested.34. All disputes shall be subject of <strong>Agra</strong> jurisdiction only.35. The successful tenderers shall have to execute an agreement with the Principal.36. The tenderer shall have to produce original documents as and when required by the principal.37. The tender shall have to submit a no dues certificate from I.T department of last 3 consicutive years.38. The tender shall have to submit agood quality/ analisis report of the liecens at the time of makingsupplies.39. If any store(s) against this rate contract are found to be not of standard quality or test analysis orinspected by the competent authority, the contrater will be liable to replace the entire quantity or makefull payment of entire consignment againsed the particular invoice irrespective of that part or whole


of the supply stores may have been consumed. If the product is found to be not of standard quality,the cost of consignment will be recovered from the supplier.40. If the supplier fails to the replace the batch declaried to be not of standard quality or fails to make thepayment in lieu of that, the supplier is liable to be debarred for 2 years in respect of the one or moreor all the items in the rate contract.Note :1. <strong>Tender</strong>s marked and sealed as "Technical Bid" and "Financial Bid" shall be put into different labeledBoxes kept for acceptance of Bids.2. The "Financial Bid" of only those tenderers who have qualified on the basis of successful "TechnicalBid" shall be considered.3. The tender box shall remain open at the earmarked site at Office of The Superintendent In Chief],S.N.<strong>Medical</strong> <strong>College</strong> & <strong>Hospital</strong> ,<strong>Agra</strong> between 10 a.m. to 1.00 p.m. on 20-09-13 and shall be openedon the same day at 2.00 p.m.4. No tender shall be entertained by hand delivery in the office, however the bulky tenders may behanded over to the officer nominated by the Principal on his behalf.5. The offer of purchase against successful tenders shall also stand cancelled and earnest/ security moneyshall be forfeited, if subsequently at any time during validity of the tender it is found that the tendererhas concealed information regarding any proposed criminal proceeding pending against him by anyState/Central Government department under the drugs & cosmetics act.6. List of medicines and chemicals are available at website www.snmcagra.in of S.N. <strong>Medical</strong> <strong>College</strong>,<strong>Agra</strong> or can be seen directly from office.7. Selected firm A/H tender process has to provide quality report of medicines by appropriate authorityalong with the medicine bill for payment otherwise payment of supplied medicines will be notpossible (in view of audit report departmental).


GENERAL TERMS AND CONDITIONS OF CONTRACT1. The agreement is to last till .......................................................... but in the event of any breach of theterms and conditions of this agreement at anytime on the part of the supplier, the Principal S.N.<strong>Medical</strong> <strong>College</strong> <strong>Hospital</strong>, <strong>Agra</strong> may cancel the contract without any compensation to the supplier.2. The supplier shall supply the good and materials described in column I of the schedule of Rates fromtime to time in such quantities as may be entered in the indents set at the rates set forth in columns 6of the schedule of Rates No. guarantee can be given as to the minimum quantity which shall be drawnagainst this contract but the contractor will supply quantity as may be ordered by the indenting officerduring the currency of this contract.3. The goods and material to be supplied under this agreement shall be of quality of sorts in everyrespect equal and answerable to the specification or patterns or samples sent with the quotations andapproved by the purchaser.4. <strong>Tender</strong>ing firms must quote for the packing specified against each item in the schedule annexed asany other packing may not be accepted. Where no packing is specified, tenderers may quote standardpack as contained in schedule P1 of drugs and cosmetics rules. Loose supplies damage packing/tempered or damage labeled supplied shall not be accepted under any circumstances. Rates should bequoted for Strip packing only except where mentioned. Liquid orals to be supplied only in glassbottles/plastic bottles conforming to IP/Drugs and Cosmetics Act. Large volume parenteral to besupplied only in plasting bottles/polypacks conforming to IP. It should be ensured that only first usepacking materials of uniform size including bottles and vials is used for making supplies.5. (a) The rates mentioned in schedules of Rates are based on delivery in SECURE PACKET.(b)The supplier shall bear all risks or loss, leakage or damage and shall deliver the goods in goodorder to the consignee in such quantities of number and within such time and in such manneras the Purchaser / Indenting officer shall direct. The packages shall be opened and checkedwithin 15 days of receipt of the goods in the presence of the representative of the supplier, ifso deputed by him, otherwise any shortage or any defect of quantity and in quality observedvisually shall be intimated to the supplier by the consignee within 30 days of the receipt of thegoods and such intimation without any test report shall be conclusive and binding on thesupplier. The supplier shall arrange to effect the replacement of any quantity which may bedeteriorated in potency strength etc. before the date of expiry mark on the label.6. Conditions as to time for performance whether laid down herein or in the indent is the essence of thecontract.7. The purchaser reserves the rights and can inspect the manufacturing, testing operations,process/control of quality of drugs to be supplied or has been supplied including the storage andtransit conditions of the supply as the same are specficially required for preservance of potency ofdrugs. The contractor should also give a guarantee as follows in case of biological and other productshaving a particular life period to provide a safeguard against losses on account of deterioration withintheir stated period of potency. The contractor hereby declare that the goods/stores/articles sold to thebuyer under this contract shall be of best quality and workmanship and shall be strictly in accordancewith the specifications and particular contained/mentioned in the description clauses hereof and thecontractor/seller hereby guarantees that the said goods/stores/articles would continue to conform totheir description and specification as stated in the contract and that notwithstanding the fact that thepurchaser may have inspected or approved the said goods/stores/articles. If the same be discoverednot to conform to the description and quality aforesaid or have deteriorated, the decision of thepurchaser in that behalf will be final and conclusive. The purchaser will be entitled to reject saidgoods/stores/articles or such portion thereof as may be discovered not to conform to the saiddescription and quality such rejection of the goods/articles/stores will be at the seller's risk and theprovisions herein contained relating to rejection of goods etc., or such portion thereof if it rejected bythe purchaser otherwise the contractor/seller shall pay to the purchaser such damage as may arise byreason of the breach of conditions herein contained nothing herein contained shall prejudice any otherright of the purchaser in that behalf under this contract or otherwise.8. That on being informed with report in writing that the goods are not acceptable, by the indentingofficer, the supplier shall have to take his goods back as early as possible, as the purchaser shall nomore be liable to keep with them the store of sub standard product. The cost of analysis in such anevent has also to be borne by the supplier. The supplier shall have to replace the full quantity of the


indent ordered drug quantity, with fresh standard quality drugs, even if some part of the drug fromreceived stock stand consumed.9. That if by any error of reasons a product purchased by indentor in declared SUB STANDARD afterthe payment of his bill, the remaining stocks of the said batch shall have to be replaced by the supplierwithin the time frame given in notice by the purchaser in full quantity by the goods of standard qualityeven though some of the quantity may have been consumed.10. That in any case of disagreement about the judgment of indentor in returning supplies, an appeal withreasons can be made to the Principal whose decision on the matter shall be final.11. The payment to the supplier for the goods supplied by him shall ordinarily be made within 4-6 weekstime in manner :(a) Bills in triplicate shall be sent by supplier to the consignee and on receipt of this, afterverification of quantity and condition of the received stock indentor shall release the paymentaccordingly.(b) It shall be the responsibility of the indenter that before making final payment, heshould deduct all / any amount that the supplier is liable to pay to the purchaser under this orany other agreement.(c) The price charged for the stores supplied under the agreement or the rate quoted byhim for supply of medicine whichever is lower, shall in no event exceed the lowest price atwhich the contractor sells the stores of indentical description to any other person (s) duringthe said period of agreement. If at any time during the said period, the contractor reduced thesales price of such stores or sells such stores to any other person at price lower than the pricechargeable under this agreement, he shall forthwith notify such reduction in sale price to thePrincipal and price payable under the agreement for the stores supplied after the date ofcoming into force will be reduce price. The approved price in rate contract shall standcorrespondingly reduced.12. That packing cases, containers, gunny package, shippers etc. supplied to the purchaser, shall be theproperty of the purchaser and no payment shall be made to the supplier for this.13. That the supplier is not allowed any authority or rights to sublet the contract in full or in part. Thetenderer shall file an affidavit that the rates quoted by them for each item is lowest and not higher thanwhole sale price and under drug price control order.<strong>14</strong>. That in the event of the supplier has not supplied the stock being in strict accordance with theconditions herein contained or not being made within the time allowed the purchaser may deduct orlevy on supplier as liquidated damages and not by way of penalty, the sum of one percent of the valueof the said item/material for each and every day of default upto 25 days during which thecorrected/standard articles contracted are not supplied and/or replaced. Further the purchaser may thencan also purchase the required articles or any other suitable substitute to run the hospital from openmarket at the risk and cost of the supplier in addition to the aforementioned liquid damages.15. The Principal, S.N. <strong>Medical</strong> <strong>College</strong> <strong>Hospital</strong>, <strong>Agra</strong>, alone shall be entitled to adjudicate upon thedamages or compensations due for delay etc. and also shall be only authority to advise any punitive orcorrective action that need to be taken in the matter either independently or in consultation withcommittee under him. The Principal can order grant of extra time for making supplies, and alsocondone the whole or part of liquidated damage under clause <strong>14</strong>. The Principals decision in anymatter shall be final, binding and conclusive and no appeal against such decisions shall lie beforeanyone.16. In case of non performance in any form or shape of any of the conditions of this contract, thePrincipal shall have power to annual, rescind or cancel this contract and upon his notifying in writingto the supplier that he has so done, this contract shall absolutely determine dead and thesecurity/earnest money deposited as security for the due performance of this contract may be forfeitedby him and upon his doing so the same shall become the property of the purchaser.17. That every dispute, difference or question which may arise between parties here to or any personclaiming under them, touching or arising out or in respect of this deed or the subject matter thereofshall be referred to the arbitration of the Principal or any person nominated by him in writing. It willbe no objection to any such appointment that the arbitrator so appointed is a Government Servant, thathe had to deal with the matters as to which the contract relates and that in the course of his duties asGovernment Servant he had expressed views on all or any of the matter in dispute or difference. In the


event of the arbitrator to whom the matter is originally referred being transferred or vacating his officeor unable to act for any reason the Principal, either upon the reference shall be entitled to proceed withreference from the stage it was left by his predecessor. It is also a term of this contract that no personother than a person appointed as aforesaid should act as arbitrator and if for any reason that is notpossible, the matter is not to be referred to arbitration at all, in all cases, where the amount of theclaim in dispute is Rs. 50,000/- (Fifty Thousand) and above the arbitrator shall given reason for theaward.It is a term of contract that the part invoking the arbitration shall specify the dispute or disputes to bereferred to the arbitration together with amount of amounts obtained in respect of each dispute.Subject as aforesaid to the provisions of the Arbitration Act 1996 or any statutory notification orreenactment thereof and the rules made thereunder and for the time being inforce shall apply to thearbitration proceedings.The arbitrator may from time to time with the consent of the parties enlarge the time for making andpublishing the award.18. That without prejudice to any other alternative remedy provided by law any amount due from thesupplier to the purchaser under this contract shall on the certificate of the Principal be final,conclusive and binding on the supplier and shall be recoverable from the supplier as arrears of landrevenues.19. If any drug of any firm has been rejected or found substandard in any state by the drug controller inchemical examination, firm is not authorized to take participation in tender process for that particulardrug.20. Firm should be very particular for time limit in which drug is to be supplied for CMS. Authorizedorder can be cancelled and second firm coming in firm tender award can be ordered the rejected order.21. 10% of total bill amount will be stopped and released after six month, if any thing does not comesagainst previous agreement.22. Expriy date of the supplied drug must be long i.e. must be 2 or 3 years otherwise drugs will bereturned back to the firm and all the expenses will be charged from the firm.
