TERMS & CONDITIONS FOR PARTICIPATION1. Definitions"GBC 2013", will be held in Shanghai World Expo Exhibition & Convention Center on October 09-11,2013.It is organized by VNU Exhibitions Asia."Exhibitor" shall mean any person, firm or organization allocated a space by the Organizers in theabove-said exhibition."Co-exhibitor" shall mean any person, firm or organization exhibiting their own products or services onthe stand space of an Exhibitor.2. Application for participation & acceptanceAll applications for participation shall be made on the prescribed form overleaf. The application shallbe submitted to the Organizer accompanied by the required deposit equivalent to 50% of the totalbooth rental charges as well as the fee for co-exhibitors. The submission of the application form shallbe deemed to be confirmation of participation and full acceptance of the ‘Terms & Conditions forParticipation’ as stated herein. The application shall become a valid contract upon the Organizeraccepting the application. The application and confirmation of its receipt do not constitute grounds forany claim to approval, or to any specific location or site of stand. In particular, the Organizer is entitledto implement reductions in the number of square meters applied for if the exhibition area available isoversubscribed.3. Rental of stand fitting, design and signsThe individual design of the stand, if in excess of the services indicated in the offer, is the concern ofeach individual Exhibitor who shall apply with the official contractor for furniture, fittings, fixtures andutilities. The nature of the design shall, however, be subjected to the construction regulationsapplicable to the event venue and to the construction guidelines set by the Organizer.4. Terms of paymenta) A non-refundable deposit of 50% of total stand rental as well as the co-exhibitors fee charges within1 week once the stand location is confirmed.b) The balance shall be paid within 3 months before the commencement of the exhibition.c) For other additional services, payments must be made in full, in advance, when placing orders forservices.d) Payment by the stipulated date is a prerequisite condition for the Exhibitor’s participation in theexhibition and use of the stand.In the event of default of payment by the stipulated date in (a), theExhibitor’s application shall be deemed to be cancelled and the 50% deposit forfeited; and (b), theOrganizer shall reserve the right to claim all payment due from the defaulting Exhibitor. The Exhibitorshall not be entitled to any form of compensation whatsoever, whether for loss of profits or otherwise.5. WithdrawalsThe Exhibitor will not be permitted to withdraw from, cancel, alter or reduce in any way their booking ofthe exhibition. However, the Organizer may consider special cases and in their sole discretion grantpartial refunds according to how many months/weeks prior to the start of the exhibition that theproposed withdrawal or charge is made known to the Organizer in writing.Months prior to start of exhibitioncancellation feea) More than 3 months 50%b) Within 3 months 100%11. Indemnity of the Organizer/ show managerUnder no circumstances shall the Organizer make good or accept any responsibility or liabilityhowever arising with respect to damage, theft or loss of any property, goods, articles or thingshowever placed, deposited, brought into or left upon the premise either by the Exhibitor for his use orpurpose or by any other person, and the Exhibitor must indemnify the Organizer, its employees,agents and offices in respect thereof.12. Compliance with lawsExhibitors shall comply with all the rules, regulations and laws imposed or laid down or prescribed inthe future by the government, public authorities and owners or managers of the exhibition venue for allpurposes concerned with the implementation of these regulations, of the regulations and stipulationslaid down or prescribed in the future by the Organizer by virtue thereof, and of all other contractsrelating to the exhibition the Exhibitor shall be deemed to be domiciled at the office of the Organizer inShanghai. Without prejudice to the powers of the parties to enter into a general or limited arbitrationagreement, all disputes arising from the Exhibitor’s participation, from the enforcement of theseregulations, or from any other contracts relating to the exhibition, including the ‘Terms & Conditions forParticipation’ stated herein, or by virtue of regulations or stipulations laid down or prescribed by theOrganizer, shall be governed and construed accordingly and the Exhibitor hereby submits to thenon-exclusive jurisdiction of the courts. Where disputes arise concerning interpretation, the Englishtext of these ‘Terms & Conditions for Participation’ shall be deemed to be final. Once the exhibitorsigns this contract is the expression pledged all his exhibits, wrappings, etc. has not encroached uponother intellectual property rights.13. Supplementary clausesWhenever necessary to ensure the smooth management of the exhibition, the Organizer shall havethe right to issue supplementary regulations and instructions in addition to those in the ‘Terms &Conditions for Participation’. All such additional written instructions form a part of the ‘Terms &Conditions for Participation’ and are binding on all Exhibitors.14. Infringement of ‘Terms & Conditions for Participation’The infringement of the above-mentioned ‘Terms & Conditions for Participation’, and any other futurerules and regulations determined by the Organizer, will result in the exclusion of the Exhibitor from theevent, and the Exhibitor shall have no right to claim compensation or demand refund on any paymentsalready processed, losses or expenses, nor shall the Exhibitor is released from their contractualobligation to pay.15. Management fee and overtime feeThe management of the expo-center charges a management fee for stand constructions with in theexpo-center. This management fee shall be paid by the contracted stand constructors. The basic dailyhour for exhibitors to use the leased area shall be from 9 am to 5 pm. In case exhibitors wish to usethe leased area beyond the specific time for use, exhibitors must inform the expo-center in advance.Overtime use expenses may be charged by the expo-center in accordance with the price list of thecenter.6. Movement of exhibitsa) The Exhibitor shall bear the responsibility and expenses for transport of exhibits to the exhibitionvenue.b) The Exhibitor shall make their own arrangements for the storage and warehousing of the exhibits,subject to the approval of the Organizer.c) The Exhibitor shall submit a list of exhibits to the Organizer at least ten days prior to the start of theexhibition.d) No exhibits or other goods will be permitted to be left at the exhibition venue after the end of GBC2013, i.e. October 11, 2013. The Exhibitor shall indemnify the Organizer against any losses ordamages due to delay of exhibits movement or damage to the exhibition venue.7. Security & insuranceThe Organizer, its directors, trustees, offices, employees, agents and representations, will not beresponsible for the safety of articles of any kind brought into the exhibition by the Exhibitor, theiremployees, agents or contractors, members of the public or any person whosoever. Exhibitors shallensure that they are fully covered by insurance and take out public liability and comprehensiveprotection. The period of insurance shall be from the time the Exhibitor first enters the exhibition halluntil all his exhibits have been properly removed to the satisfaction of the Organizer.8. Security & insuranceThe Exhibitor shall indemnify and hold the Organizer, its directors, trustees, officers, employees,agents and representatives, harmless with respect to all costs, claims, liabilities,losses, demands,proceedings and expenses to which the Organizer, its directors, trustees, officers, employees, agentsand representations may in any way be subjected (including but not limited to members of the public,the staff of the local authorities, or the Organizer of Exhibitor’s staff, agents or contractors) caused asa result of any act of omission of the Exhibitor, co-exhibitor, representatives, employees, agents,contractors or invitees. If the Organizer so demands, the Exhibitor shall provide proof to the Organizerthat the Exhibitor has adequate insurance coverage.The Organizer shall not in any event be held responsible for any loss or damages whatsoever(including loss of profits suffered by the exhibitor) as a result of any restrictions or conditions whichprevent construction, erection, completion, alteration or dismantling, or for the failure of any servicenormally provided at the listed exhibition ground, for the cancellation or part-time opening of theexhibition either as a whole or in part, or for amendments or alterations to all or any of the ‘Terms &Conditions for Participation’ caused by any circumstance not within their control.Exhibitors shall comply with all the rules and regulations imposed or laid down by the exhibition venuefor all purpose concerned with operation and usage. Exhibitors shall in deference to the inspection bythe staffs of the exhibition venue during the construction period. Exhibitors, their agents or contractorsshall comply with all the rules and regulations in terms of security and fire controlling of the exhibitionvenue. The exhibitors shall bear the responsibility and consequence resulted from his violation.9. Security ResponsibilityDuring all periods, security of exhibits, stands and furniture is wholly the responsibility of the Exhibitor,his agent or contractor and the Organizer, its directors, trustees, officers, employees, agents andrepresentatives shall not be responsible for any losses and damages to properties or injuries to personincurred.10. Damage to venueThe exhibitor shall take good care of and shall not cause any damage or permit or suffer any damageto be done to the exhibition venue or to any part or parts there of or to any fittings, equipment or otherproperty therein, and shall make good and pay for damages thereto (including accident damage anddamage by fire) caused by act or omission of himself, employees, co-exhibitors, agents, representatives,contractors or persons by reason of the use of the exhibition venue by the Exhibitor. If theOrganizer so demands, the Exhibitor shall insure the venue for any damage and send the insurancedocuments to the Organizer.16. Unforeseen OccurrencesIn the event of any occurrence not foreseen in these ‘Terms & Conditions for Participation’, thedecision of the Organizer shall be final.17. Intellectual Property Rights17.1 The Exhibitor is obliged to strictly observe the laws and regulations related to intellectual propertyrights .Exhibits that infringes the intellectual property rights of any third party, including but not limitedtotrademark rights, design patent rights, utility patents and/or patents are not permitted as exhibits.17.2 The Exhibitor is obliged to remove exhibits immediately from their stand, in the event suchexhibits violate Article 17.1.17.3 The Exhibitor is liable in the same manner as his own fault, as defined in Article 4, for intellectualproperty infringement by its co-Exhibitors’ exhibits.17.4 The Organizer reserve the explicit right to exclude the Exhibitor from the current and/or futureevent(s) without any compensation, without justification of a respective obligation, if infringement ofintellectual property rights and/or infringements against the obligations in terms of 18.1 and 18.2 canbe substantiated. The situation under Article 18.3 applies to this article accordingly.17.5 Exhibitors are solely responsible for safeguarding the intellectual property rights of their exhibitionarticles.17.6 If the Organizer exercise their exclusion right in terms of 18.4, based on a judicial decision or onsubstantiated evidence for the infringement of an industrial property right, the Exhibitor concerned isnot entitled to any compensation for damages from the Organizer if the intellectual property rightsinfringement is proved to be invalid at a later point in time (as the result of an appeal procedure orother legal procedures). This does not apply in cases where the Organizer have acted with willfulintent or gross negligence.17.7 The Exhibitor shall indemnify and hold the Organizer harmless with respect to all costs anddamages for any third party’s claim on intellectual property infringement caused by Exhibitor’s exhibits.18. Storage of DataThe Exhibitor agrees explicitly to the storage, processing and forwarding of person-related data by theOrganizer in accordance with data protection legislation, including the use of automatic dataprocessing, provided this is required solely for business purposes.19. Applicable Law, Place of Execution and Place of Jurisdiction19.1 All terms and conditions hereof shall be construed and governed by the laws of the People’sRepublic of China.19.2 The place of execution is Shanghai.19.3 In the event of any dispute, controversy or claim (collectively “dispute”) arising out of or relating tothese Terms & Conditions, or the breach, termination or invalidity of this these Terms & Conditions,then any party may bring an action at the court which has jurisdiction at the registered address of VNUExhibitions Asia.

参 展 条 款 及 条 件1. 大 会 讯 息本 届 展 会 的 主 题 是 GBC2013 绿 色 建 筑 与 节 能 展 览 会 , 将 于 2013 年 10 月 9 日至 11 日 在 上 海 世 博 展 览 馆 隆 重 举 行 。主 办 单 位 为 上 海 万 耀 企 龙 展 览 有 限 公 司 。本 届 展 会 的 参 展 商 可 以 是 个 人 、 公 司 或 有 关 组 织 。2. 参 展 申 请参 展 申 请 表 应 由 参 展 商 授 权 的 人 士 填 写 并 加 盖 参 展 商 公 章 , 并 附 上 参 展 商 的营 业 执 照 复 印 件 , 如 属 被 授 权 参 展 , 应 提 供 授 权 参 展 商 的 授 权 书 原 件 。 参 展 申 请截 止 日 期 为 2013 年 9 月 10 日 。参 展 商 只 允 许 展 出 与 该 展 览 主 题 有 关 的 展 品 。 如 在 展 台 中 有 违 以 上 条 款 , 主办 单 位 将 有 权 取 消 其 展 位 。主 办 单 位 保 留 为 展 览 的 总 体 利 益 考 虑 而 变 更 展 台 位 置 、 大 小 和 展 览 地 点 的 权利 。 如 有 变 更 , 主 办 单 位 会 以 确 认 函 的 形 式 通 知 展 商 。3. 展 台 搭 建自 行 设 计 、 搭 建 展 台 的 展 商 , 如 有 额 外 对 设 计 、 搭 建 展 台 的 服 务 需 求 , 可 与大 会 指 定 承 建 商 联 系 , 寻 求 帮 助 。 大 会 指 定 承 建 商 及 参 展 商 指 定 的 搭 建 商 按 规 定需 向 展 馆 支 付 现 场 搭 建 管 理 费 ( 详 情 请 参 阅 “ 参 展 手 册 ”); 如 参 展 商 超 时 使 用 租赁 场 地 , 需 向 主 办 单 位 支 付 超 时 使 用 展 馆 的 费 用 。自 行 搭 建 展 台 的 展 商 , 其 展 台 设 计 理 念 必 须 受 展 馆 结 构 之 限 制 , 在 得 到 主 办单 位 的 认 可 后 , 方 可 实 行 ; 展 台 搭 建 不 得 有 破 坏 展 馆 任 何 一 处 之 情 况 发 生 ; 如 有类 似 破 坏 , 由 展 商 负 责 赔 偿 。4. 付 款a) 随 交 回 参 展 申 请 表 并 与 主 办 单 位 正 式 签 定 合 同 后 7 日 内 支 付 50% 的 参 展 总费 用 。b) 余 款 务 必 在 2013 年 9 月 20 日 前 付 清 。c) 如 在 以 上 规 定 日 期 之 后 才 提 出 申 请 , 则 应 随 交 回 的 合 同 支 付 全 部 费 用 。无 视 付 款 规 定 日 期 , 随 交 回 合 同 拖 欠 定 金 款 项 的 展 商 (a), 主 办 单 位 有 权 对 其参 展 申 请 表 及 合 同 作 自 动 取 消 处 理 ; 主 办 单 位 有 权 在 规 定 日 期 之 前 提 醒 拖 欠 余 款的 展 商 (b), 此 类 展 商 不 得 以 任 何 理 由 拒 绝 付 款 ; 否 则 , 主 办 单 位 有 权 取 消 其 展 位 。5. 取 消 展 览 场 地在 临 近 展 会 之 际 , 参 展 商 不 允 许 任 意 取 消 、 选 择 或 减 少 已 定 展 位 。 但 参 展 商如 有 特 殊 情 况 , 主 办 单 位 可 根 据 不 同 情 况 予 以 不 同 程 度 的 处 理 , 参 展 商 需 负 担 :离 展 会 时 间撤 展 规 则a) 展 会 前 3 个 月 以 上 50% 的 参 展 总 费 用b) 展 会 前 3 个 月 及 以 内 100% 的 参 展 总 费 用这 一 收 费 标 准 将 从 主 办 单 位 收 到 参 展 商 的 信 函 或 传 真 的 书 面 通 知 之 日 起 计算 ; 除 此 以 外 , 参 展 商 还 将 负 担 主 办 单 位 为 其 所 花 的 任 何 具 体 费 用 。 这 些 条 款在 任 何 情 况 下 均 不 得 更 改 。6. 噪 音 控 制为 确 保 展 商 顺 利 参 展 , 主 办 单 位 有 权 因 新 情 况 产 生 而 制 订 的 辅 助 条 款 以 补充 “ 参 展 条 款 及 条 件 ”。 任 何 产 品 展 位 及 现 场 节 目 的 音 量 不 得 超 过 70 分 贝 , 音 响 设备 不 得 进 入 展 馆 。 我 们 强 烈 要 求 展 商 遵 守 上 述 规 定 以 确 保 展 览 会 在 专 业 、 不 受 干扰 的 气 氛 中 顺 利 进 行 , 主 办 单 位 将 保 留 采 取 相 应 措 施 的 权 利 。7. 展 品 运 输a) 参 展 商 应 对 其 展 品 至 展 馆 的 运 输 及 费 用 负 责 。b) 在 将 展 品 运 至 展 馆 前 , 参 展 商 需 自 行 安 排 展 品 的 储 藏 室 或 货 仓 , 并 得 到主 办 单 位 的 许 可 。c) 参 展 商 应 及 时 向 主 办 单 位 提 交 展 品 名 称 及 数 额 。d) 参 展 商 不 得 将 任 何 展 品 置 于 展 馆 外 。 因 展 品 耽 搁 或 损 坏 展 馆 任 何 部 分 ,参 展 商 应 负 责 及 赔 偿 。8. 安 全 与 保 险主 办 单 位 、 托 管 人 、 公 司 职 员 、 其 服 务 人 员 或 代 理 人 均 不 负 责 参 展 商 、 其服 务 人 员 、 代 理 人 、 订 约 人 或 被 邀 请 人 士 在 展 览 期 间 的 安 全 ; 对 参 展 商 、 其 服 务人 员 、 代 理 人 、 订 约 被 邀 请 人 士 以 外 公 众 带 入 展 览 会 的 任 何 展 品 、 物 品 或 其 他任 何 种 类 的 财 产 没 有 保 管 义 务 。参 展 商 及 其 搭 建 商 等 人 员 严 格 按 照 展 馆 关 于 展 厅 内 外 的 各 项 操 作 和 使 用 规定 作 业 , 自 觉 服 从 展 馆 有 关 工 作 人 员 对 装 修 过 程 的 检 查 和 监 督 。 施 工 期 间 严 格遵 守 展 馆 的 各 项 安 全 、 防 火 管 理 制 度 , 如 有 违 反 将 承 担 及 因 此 产 生 后 果 的 全 部责 任 。参 展 商 应 确 保 已 办 理 充 分 的 保 险 , 包 括 但 不 限 于 对 财 物 、 展 品 或 任 何 种 类物 品 投 保 综 合 险 ; 制 订 公 众 公 约 和 做 好 全 面 投 保 工 作 , 以 防 止 在 任 何 情 况 下 因火 灾 、 水 灾 、 偷 窃 、 意 外 事 故 或 任 何 其 他 原 因 造 成 的 任 何 损 失 和 破 坏 , 及 防 止参 展 商 、 其 服 务 人 员 、 代 理 人 或 订 约 人 或 被 邀 请 人 士 对 展 馆 任 何 部 分 造 成 的 损害 , 参 展 商 应 确 保 不 使 主 办 单 位 在 由 于 任 何 人 ( 包 括 公 共 成 员 或 主 办 单 位 的 工 作人 员 、 代 理 人 或 订 约 人 ) 的 任 何 损 失 或 伤 害 或 由 于 参 展 商 、 其 服 务 人 员 、 代 理 人或 订 约 人 或 被 邀 请 人 士 的 任 何 行 为 或 过 失 造 成 的 财 物 损 失 、 而 以 任 何 方 式 受 到所 有 的 费 用 、 索 赔 、 要 求 和 花 销 方 面 的 损 害 。 如 主 办 单 位 提 出 要 求 , 参 展 商 应向 主 办 单 位 提 参 展 商 已 进 行 充 分 投 保 的 证 明 。参 展 商 必 须 确 保 已 为 其 工 作 人 员 和 临 时 工 作 人 员 、 其 服 务 人 员 、 代 理 人 及订 约 人 办 理 第 三 者 保 险 。 保 险 期 应 从 参 展 商 或 期 任 何 服 务 人 员 、 代 理 人 及 订 约人 首 某 次 进 入 展 览 场 地 始 直 至 撤 离 展 览 场 地 并 且 将 其 所 有 展 品 和 财 物 全 部 撤 走为 止 。主 办 单 位 在 任 何 情 况 下 不 对 妨 碍 搭 建 、 安 装 、 完 成 、 改 动 或 拆 除 展 台 与 通道 、 摆 放 或 撤 除 展 品 的 任 何 限 制 或 条 件 负 有 责 任 , 亦 不 对 展 览 厅 业 主 或 其 他 第三 方 在 提 供 任 何 服 务 失 约 负 责 。9. 法 制 与 法 规参 展 商 必 须 无 条 件 服 从 现 有 法 规 、 条 例 及 规 章 制 度 , 或 当 地 政 府 、 公 众 权 威人 士 、 展 馆 负 责 人 根 据 新 情 况 将 要 制 订 的 规 章 制 度 。 如 参 展 商 有 任 何 违 背 , 将 被立 即 取 消 参 展 资 格 , 追 加 责 任 。参 展 商 一 经 签 定 本 合 同 即 表 示 承 诺 其 所 有 展 品 、 展 品 外 包 装 等 没 有 侵 犯 他 人知 识 产 权 。10. 违 反 “ 参 展 条 款 及 条 件 ”参 展 商 如 有 违 反 “ 参 展 条 款 及 条 件 ” 或 将 制 订 的 辅 助 条 款 中 的 任 何 内 容 , 视 情节 轻 重 , 主 办 单 位 将 给 予 取 消 展 位 、 适 度 罚 款 、 不 予 支 付 赔 偿 费 及 不 予 退 回 参 展费 等 措 施 。11. 不 可 抗 力主 办 单 位 如 果 在 其 无 法 控 制 的 任 何 情 况 下 全 部 或 部 分 未 履 行 本 合 同 所 规 定 的义 务 、 或 对 所 有 或 任 何 展 览 规 则 和 条 款 进 行 任 何 修 改 或 变 动 、 取 消 展 览 或 部 分 时间 开 放 , 则 主 办 单 位 将 不 须 对 参 展 商 负 上 任 何 责 任 。Contact us:VNU Exhibitions AsiaAddress: 2F, Business Mansion, Shanghai Exhibition CenterNo.1333 Nanjing Road (W), Shanghai 200040Project ManagementMr.Kenneth YuanTel: (+86 21) 6195 6088-680Fax: (+86 21) 6195 6099E-mail: kenneth.yuan@vnuexhibitions.com.cnProject CoordinationMs.Grace WuTel: (+86 21) 6195 6088-935,(+86 21) 6195 6035Fax: (+86 21) 6195 6099E-mail: grace.wu@vnuexhibitions.com.cn联 系 信 息 :VNU 亚 洲 展 览 集 团 - 上 海 万 耀 企 龙 展 览 有 限 公 司地 址 : 上 海 市 南 京 西 路 1333 号上 海 展 览 中 心 商 务 楼 2 楼 (200040)项 目 管 理袁 峰 先 生电 话 : (+86 21) 6195 6088-680传 真 : (+86 21) 6195 6099邮 箱 : kenneth.yuan@vnuexhibitions.com.cn韩 斐 女 士电 话 : (+86 21) 6195 6088-998传 真 : (+86 21) 6195 6099邮 箱 : dolly.han@vnuexhibitions.com.cnFAX TO/ 传 真 至 : +86 21 6195 6099
