Exhibit CConfidentiality <strong>Agreement</strong>THIS CONFIDENTIALITY AGREEMENT is entered into by and between<strong>VeriSign</strong>, Inc., a Delaware corporation, with a place of business located at 21345Ridgetop Circle, Dulles, Virginia 20166, and its wholly owned subsidiaries("VNDS"), and , a corporation having its principal place of businessin ("<strong>Registrar</strong>"), through their authorized representatives, and takes effecton the date executed by the final party (the "Effective Date").Under this Confidentiality <strong>Agreement</strong> ("Confidentiality <strong>Agreement</strong>"), the Partiesintend to disclose to one another information which they consider to be valuable,proprietary, and confidential.NOW, THEREFORE, the parties agree as follows:1. Confidential Information1.1. "Confidential Information", as used in this Confidentiality <strong>Agreement</strong>, shallmean all information and materials including, without limitation, computersoftware, data, information, databases, protocols, reference implementation anddocumentation, and functional and interface specifications, provided by thedisclosing party to the receiving party under this Confidentiality <strong>Agreement</strong> andmarked or otherwise identified as Confidential, provided that if a communicationis oral, the disclosing party will notify the receiving party in writing within 15 daysof the disclosure.2. Confidentiality Obligations2.1. In consideration of the disclosure of Confidential Information, the Partiesagree that:(a) The receiving party shall treat as strictly confidential, and use all reasonableefforts to preserve the secrecy and confidentiality of, all Confidential Informationreceived from the disclosing party, including implementing reasonable physicalsecurity measures and operating procedures.(b) The receiving party shall make no disclosures whatsoever of any ConfidentialInformation to others, provided however, that if the receiving party is acorporation, partnership, or similar entity, disclosure is permitted to the receivingparty's officers, employees, contractors and agents who have a demonstrableneed to know such Confidential Information, provided the receiving party shalladvise such personnel of the confidential nature of the Confidential Informationand of the procedures required to maintain the confidentiality thereof, and shallrequire them to acknowledge in writing that they have read, understand, andagree to be individually bound by the terms of this Confidentiality <strong>Agreement</strong>..com <strong>Registry</strong> <strong>Registrar</strong> <strong>Agreement</strong> 20070119 Page 17 of 25
