TERMS AND CONDITIONS FOR THE SUPPLY OF ITEMS AS PER THE SCHEDULESON RATE CONTRACT BASIS FOR A PERIOD OF TWO YEARS COMMENCINGFROM 1 ST AUGUST 2008.1. The Director, Tata Memorial Centre, Dr. Ernest Borges Marg, Parel, Mumbai 400012invites sealed tenders <strong>for</strong> <strong>the</strong> <strong>supply</strong> <strong>of</strong> <strong>items</strong> to Tata Memorial Hospital, & ACTRECat Kharghar.2. Tenders <strong>for</strong> <strong>the</strong> Schedule No. S – 2 to S – 18 <strong>items</strong> should be submitted in twoparts, in two sealed envelope duly su<strong>per</strong>-scribed <strong>as</strong>" Schedule No., due date <strong>and</strong>E.M.D. Receipt No., Part - I / Part - II. Part - I containing technical bids in completedetails, documents <strong>and</strong> photocopy <strong>of</strong> E.M.D Receipt etc. <strong>and</strong> Part - II containingprice bid. Both Part – I <strong>and</strong> Part – II tenders addressed to <strong>the</strong> Director, TataMemorial Centre, Dr. Earnest Borges Marg, Parel, Mumbai 400012 should reachPurch<strong>as</strong>e department by 4.00 p.m. on 9 th April, 2008. Part II <strong>of</strong> <strong>the</strong> tenders will beopened on a date to be intimated later, only if Part I <strong>of</strong> <strong>the</strong> bid is technically accepted.3. No tender will be accepted unless <strong>the</strong> full amount <strong>of</strong> <strong>the</strong> Earnest Money Deposit(E.M.D.) is paid. The E.M.D. must be paid in c<strong>as</strong>h or by Dem<strong>and</strong> Draft drawn infavour <strong>of</strong> Tata Memorial Hospital, payable at Mumbai to Accounts Department, TMH.A copy <strong>of</strong> receipt <strong>for</strong> <strong>the</strong> EMD must be enclosed along with <strong>the</strong> tender document.4. List <strong>of</strong> <strong>the</strong> br<strong>and</strong> technically short-listed will be intimated to <strong>the</strong> respective vendors.5. The successful tenderers will have to enter into a contract <strong>for</strong> <strong>supply</strong> <strong>of</strong> <strong>items</strong>.6. Vendors must fulfill <strong>the</strong> vendor capability pro<strong>for</strong>ma giving all <strong>the</strong> requisite details,submit all required documents mentioned <strong>and</strong> return back duly signed.7. If <strong>the</strong> tender is accepted but <strong>the</strong> contractor fails to execute <strong>the</strong> contract, <strong>the</strong>n <strong>the</strong>amount <strong>of</strong> <strong>the</strong> earnest money deposit will be <strong>for</strong>feited.8. The Director (TMC) reserves <strong>the</strong> right to reject any or all <strong>of</strong> <strong>the</strong> tenders without<strong>as</strong>signing any re<strong>as</strong>on.9. The Director, TMC also reserves <strong>the</strong> right to extend <strong>the</strong> validity <strong>of</strong> <strong>the</strong> Rate Contract<strong>for</strong> more than two years <strong>as</strong> mutually agreed upon.10. All vendors must disclose <strong>the</strong> names <strong>of</strong> <strong>the</strong>ir partners, if any. Firms with commonProprietor/Partner or connected with one ano<strong>the</strong>r ei<strong>the</strong>r financially or <strong>as</strong> principal <strong>and</strong>agent or <strong>as</strong> m<strong>as</strong>ter <strong>and</strong> servant or with proprietor/partners closely related to eacho<strong>the</strong>r such <strong>as</strong> husb<strong>and</strong>/wife, fa<strong>the</strong>r/mo<strong>the</strong>r, son/daughter <strong>and</strong> minor son/daughter<strong>and</strong> bro<strong>the</strong>r/sister <strong>and</strong> minor bro<strong>the</strong>r/sister, shall not tender separately under differentnames <strong>for</strong> <strong>the</strong> same contract. If so found, all such bid(s) shall st<strong>and</strong> rejected <strong>and</strong>tender deposit <strong>of</strong> each firm/establishment shall be <strong>for</strong>feited.11. Vendors shall quote firm <strong>of</strong>fers. Conditional <strong>of</strong>fers shall not be considered.12. The tenders must be valid <strong>for</strong> acceptance <strong>for</strong> a <strong>per</strong>iod <strong>of</strong> 6 months from <strong>the</strong> due date.13. 14. The vendor shall state <strong>the</strong> name <strong>and</strong> address <strong>of</strong> <strong>the</strong> authorized agents/stockiest/distributors through whom <strong>the</strong> product shall be made available.15. Vendors who are not <strong>the</strong> manufacturers must mention <strong>the</strong> name <strong>and</strong> address <strong>of</strong> <strong>the</strong>manufacturer <strong>of</strong> <strong>the</strong> products <strong>of</strong>fered by <strong>the</strong>m. An authority letter from <strong>the</strong>manufacturer authorizing <strong>the</strong>m to quote <strong>for</strong> <strong>the</strong>ir product is essential. The tendermust state <strong>the</strong> br<strong>and</strong> name, make etc. <strong>of</strong> <strong>the</strong> product <strong>of</strong>fered against every itemquoted if applicable. The product <strong>of</strong>fered should be <strong>of</strong> <strong>the</strong> same packing <strong>and</strong> strength<strong>as</strong> specified in <strong>the</strong> schedule.16. The quantity mentioned against each item are estimated biennial quantity & canvary. The item shall be procured whenever required during <strong>the</strong> contractual <strong>per</strong>iod inquantities required from time to time.Part I Technical Bid1) The vendors should submit three set <strong>of</strong> samples with a label specifying <strong>the</strong> ScheduleNo. Item Code, name <strong>of</strong> <strong>the</strong> article <strong>and</strong> <strong>the</strong> name <strong>of</strong> <strong>the</strong> vendor to <strong>the</strong> Office <strong>of</strong> <strong>the</strong>Stores Officer, B<strong>as</strong>ement (Main Building). Tenders without three sets <strong>of</strong> samplesmay not be considered.2) The quotation document is necessarily required to be accompanied by a quotation inExcel 2000 <strong>for</strong>mat in <strong>the</strong> CD provided. Vendor should bring <strong>for</strong>mat in ano<strong>the</strong>r CDinc<strong>as</strong>e <strong>the</strong> CD enclosed with <strong>the</strong> Tender does not open. The columns have been<strong>for</strong>matted specifically <strong>and</strong> should not be changed. In c<strong>as</strong>e <strong>the</strong>re is a differencebetween <strong>the</strong> s<strong>of</strong>t copy <strong>and</strong> <strong>the</strong> hard copy, <strong>the</strong> hard copy will be considered <strong>as</strong> <strong>the</strong><strong>of</strong>ficial bid. The hard copy should be signed on each page <strong>of</strong> <strong>the</strong> <strong>for</strong>m <strong>of</strong> <strong>the</strong> tender.3) There should not be any discrepancy <strong>the</strong> rate quoted in Floppy <strong>and</strong> hard copy. Inc<strong>as</strong>e <strong>of</strong> any difference <strong>the</strong> price quoted in hard copy will be considered.4) Vendors must fulfill <strong>the</strong> vendor capability pro<strong>for</strong>ma giving all <strong>the</strong> requisite details,submit all required documents mentioned <strong>and</strong> return back duly signed.5) For Printing <strong>items</strong>, Preference shall be given to vendors having printing press withinMumbai Limit.6) The Tenders must be accompanied by <strong>the</strong> following documents wherever necessary:a) Name <strong>and</strong> address <strong>of</strong> all Partners/ Director <strong>of</strong> <strong>the</strong> firmb) Complete Literature <strong>of</strong> <strong>the</strong> products <strong>of</strong>fered.c) Sales Tax Registration Certificated) Sales Tax Clearance Certificate <strong>for</strong> <strong>the</strong> year 2007-2008e) Copy <strong>of</strong> <strong>the</strong> Factories Act Registration or Shops <strong>and</strong> Establishments ActRegistration or small-scale Industries registration <strong>as</strong> applicable.f) Copy <strong>of</strong> <strong>the</strong> FDA License wherever applicable.g) Copy <strong>of</strong> GMP license under schedule M wherever applicableh) “No Conviction” certificate from FDA Mahar<strong>as</strong>htra where applicablei) Latest <strong>per</strong><strong>for</strong>mance certificate from FDA Mahar<strong>as</strong>htra or relevant state whereapplicable.j) Letter <strong>of</strong> authority from <strong>the</strong> Manufacturer is <strong>the</strong> supplier is dealer or agent <strong>of</strong> <strong>the</strong>firm.k) Balance Sheet <strong>and</strong> Pr<strong>of</strong>it & Loss Account <strong>of</strong> <strong>the</strong> firm <strong>for</strong> <strong>the</strong> l<strong>as</strong>t three years.Page 2 <strong>of</strong> 6

l) Vendor Capability Pro<strong>for</strong>ma duly filled & singed enclosed with <strong>the</strong>se tenderdocuments.m) ECS Pro<strong>for</strong>ma.Contract <strong>terms</strong>:1. In <strong>the</strong> event <strong>of</strong> <strong>the</strong> tender being accepted <strong>the</strong> contract must be signed byauthorized signatory <strong>of</strong> <strong>the</strong> firm. The authorized signatory will provide a suitableletter <strong>of</strong> authority from <strong>the</strong> firm authorizing him to enter into a contract on behalf<strong>of</strong> <strong>the</strong> firm.2. The contract entrusted to <strong>the</strong> successful vendors will be subject to "ForceMajeure" clause <strong>as</strong> <strong>per</strong> section 56 <strong>of</strong> <strong>the</strong> Indian Contract Act.3. It shall be incumbent on <strong>the</strong> successful vendor to pay stamp duty on <strong>the</strong> contract.4. The tenderer state only one name <strong>and</strong> address <strong>of</strong> <strong>the</strong> authorized agent/stockiest/distributor <strong>for</strong> a product through whom <strong>the</strong> products shall be need available.5. If <strong>the</strong> tender is accepted <strong>the</strong> vendors will have to deposit an amount equivalent to5% <strong>of</strong> <strong>the</strong> expected value <strong>of</strong> <strong>the</strong> quantity mentioned in <strong>the</strong> schedule <strong>as</strong> SecurityDeposit which will not bear any interest. The Security Deposit is to be paid inc<strong>as</strong>h or by a dem<strong>and</strong> draft or in <strong>the</strong> <strong>for</strong>m <strong>of</strong> bank guarantee from a bank situatedin Mumbai, within 15 days from <strong>the</strong> date <strong>of</strong> intimation <strong>of</strong> acceptance <strong>of</strong> <strong>the</strong>Tender.Supplies:1. Under <strong>the</strong> provisions <strong>of</strong> <strong>the</strong> Drug <strong>and</strong> Cosmetic Act 1940 <strong>and</strong> <strong>the</strong> rules made under<strong>the</strong> act, following should also be specified on <strong>the</strong> labels affixed to <strong>the</strong> <strong>items</strong>:a) Name <strong>and</strong> address <strong>of</strong> <strong>the</strong> manufacturer/Loan Licenses.b) Name <strong>and</strong> address <strong>of</strong> <strong>the</strong> repacker, if any.c) Net <strong>and</strong> gross contents.d) A distinctive batch number <strong>and</strong> date <strong>of</strong> manufacture, repacking <strong>and</strong> expiry, ifapplicable.2. Supplies must be made within 2 days <strong>of</strong> <strong>the</strong> date <strong>of</strong> delivery mentioned on <strong>the</strong>Purch<strong>as</strong>e Orders. In general <strong>the</strong> hospital will allow a time <strong>of</strong> at le<strong>as</strong>t 7 working daysto make <strong>the</strong> necessary supplies.3. The hospital does not accept part supplies or delayed supplies. In c<strong>as</strong>e <strong>of</strong> delays, <strong>the</strong>hospital shall impose liquidated damages to <strong>the</strong> extent <strong>of</strong> 0.5% <strong>of</strong> <strong>the</strong> order value <strong>per</strong>week or part <strong>the</strong>re<strong>of</strong> subject to a maximum <strong>of</strong> 10% <strong>of</strong> <strong>the</strong> value <strong>of</strong> <strong>the</strong> order. TheDirector <strong>of</strong> <strong>the</strong> Hospital may at her sole discretion waive <strong>the</strong> imposition <strong>of</strong> liquidateddamages.4. In c<strong>as</strong>e <strong>of</strong> failure <strong>of</strong> supplies within <strong>the</strong> stipulated time, <strong>the</strong> hospital at its solediscretion will purch<strong>as</strong>e <strong>the</strong> same from any o<strong>the</strong>r source. The additional amount paid<strong>for</strong> such purch<strong>as</strong>es along with additional 15% <strong>of</strong> <strong>the</strong> value <strong>of</strong> <strong>the</strong> order, towardsadministrative costs <strong>as</strong> Risk Purch<strong>as</strong>e cost shall be debited to <strong>the</strong> account <strong>of</strong> <strong>the</strong>vendor. The Director, TMC may at her sole discretion waive <strong>the</strong>se charges.Page 3 <strong>of</strong> 6

5. The amount(s) debited to <strong>the</strong> vendor's account shall be recovered from <strong>the</strong>EMD/Security Deposit/ pending bills/ future bills <strong>of</strong> <strong>the</strong> vendor. This is withoutprejudice to any o<strong>the</strong>r legal remedies that <strong>the</strong> hospital may resort to against <strong>the</strong>supplier.6. In c<strong>as</strong>e <strong>of</strong> failure to <strong>supply</strong> <strong>the</strong> goods within <strong>the</strong> stipulated delivery <strong>per</strong>iod <strong>the</strong> hospitalalso reserves <strong>the</strong> right to en<strong>for</strong>ce <strong>for</strong>feiture <strong>of</strong> <strong>the</strong> entire security deposit. This iswithout prejudice to any o<strong>the</strong>r legal remedies that <strong>the</strong> hospital may resort to against<strong>the</strong> supplier.7. Bills must be submitted directly to <strong>the</strong> Accounts department within 15 days <strong>of</strong> <strong>the</strong>date on which supplies are made to <strong>the</strong> hospital. Payment against <strong>the</strong> bills will bemade within 30 days if all <strong>the</strong> goods have been delivered in full quantity against <strong>the</strong>Purch<strong>as</strong>e Orders <strong>and</strong> <strong>the</strong> quality <strong>and</strong> quantity h<strong>as</strong> been found to be acceptable. Part II Financial Bid1. The details <strong>of</strong> <strong>the</strong> prices <strong>of</strong> <strong>the</strong> item should be quoted in sealed envelope in <strong>the</strong><strong>for</strong>mat provided <strong>as</strong> following:• Item Description• Unit <strong>of</strong> Me<strong>as</strong>urement• B<strong>as</strong>ic Price• VAT / ST• Octroi• Final Price• MRPHard copy <strong>and</strong> CD data should be identical, if in c<strong>as</strong>e <strong>of</strong> any difference or ambiguitytender, <strong>the</strong> hard copy will be considered.2. The vendor must in all c<strong>as</strong>es make <strong>the</strong> following unconditional declaration. The <strong>of</strong>fermade in this tender is not higher than that made to any o<strong>the</strong>r hospital working underany State / Central Government / Municipal Corporation or any o<strong>the</strong>r local bodies. Inc<strong>as</strong>e <strong>the</strong> goods are supplied at a lower rate, <strong>the</strong> lower rate shall apply withimmediate effect to <strong>the</strong> supplies made to Tata Memorial Hospital.3. Subject to requirements <strong>of</strong> <strong>the</strong> Bombay Sale Tax Act 1959 <strong>and</strong> <strong>the</strong> Central Sales TaxAct 1956, <strong>the</strong> rates <strong>of</strong> ST/CST, retail ST <strong>and</strong> CST etc. should be shown separately<strong>as</strong> ST --- Percent, CST -----Percent, Retail ST ------ Percent, CST ------Percent etc.Where no specific mention <strong>of</strong> <strong>the</strong> taxes chargeable is made by <strong>the</strong> tenders, it will beconstrued that <strong>the</strong>se taxes are ei<strong>the</strong>r not applicable or being already paid at <strong>the</strong>sources by <strong>the</strong> vendor or will be borne by <strong>the</strong>m. No subsequent claim from <strong>the</strong> rates<strong>of</strong> taxes chargeable <strong>and</strong> vaguely state “Taxes <strong>as</strong> applicable” or “STGT” extra will beleft out <strong>of</strong> consideration.4. The term “Free Supply’ implies providing <strong>the</strong> goods within <strong>the</strong> premises <strong>of</strong> TataMemorial Hospital <strong>and</strong> ACTREC at no extra cost.5. The vendor must clearly underst<strong>and</strong> that <strong>the</strong> rate contract with <strong>the</strong> vendor is liable tobe terminated in <strong>the</strong> following circumstances without giving any notice:a) Failure to <strong>supply</strong> <strong>the</strong> goods <strong>for</strong> more than one month after <strong>the</strong> due date <strong>of</strong> <strong>supply</strong>.b) Failure to abide by <strong>the</strong> rules, various <strong>terms</strong> <strong>of</strong> <strong>the</strong> rate contract.c) Termination <strong>of</strong> agency agreement between <strong>the</strong> vendor <strong>and</strong> his principals.d) In<strong>for</strong>mation obtained from o<strong>the</strong>r sources regarding prosecution under any <strong>of</strong> <strong>the</strong>tax laws or <strong>the</strong> FDA act.e) Supplies <strong>of</strong> goods to Tata Memorial Hospital at a price higher than that to anyo<strong>the</strong>r Central or State Government agency, Semi Government organizations,Local bodies etc.f) Revision <strong>of</strong> prices <strong>of</strong> <strong>the</strong> goods at any time during <strong>the</strong> currency <strong>of</strong> <strong>the</strong> ratecontract o<strong>the</strong>r than due to government levies.6. In c<strong>as</strong>e <strong>the</strong> supplies contain an element <strong>of</strong> <strong>for</strong>eign exchange, custom duty, exciseduty <strong>and</strong> o<strong>the</strong>r taxes <strong>the</strong> same should be mentioned clearly in <strong>the</strong> tender. Anychanges in statutory levies will be allowed <strong>as</strong> an incre<strong>as</strong>e/ decre<strong>as</strong>e in <strong>the</strong> pricesb<strong>as</strong>ed only on <strong>the</strong> <strong>for</strong>mula worked out at <strong>the</strong> time <strong>of</strong> tendering <strong>and</strong> in no c<strong>as</strong>e shallbe more than <strong>the</strong> impact <strong>of</strong> <strong>the</strong> change on <strong>the</strong> price <strong>of</strong> <strong>the</strong> item. details are not provided at <strong>the</strong> time <strong>of</strong> <strong>the</strong> tendering, Hospital shall not consider anychange in <strong>the</strong> price during <strong>the</strong> currency <strong>of</strong> <strong>the</strong> rate contract agreement. Items wherecustom duty h<strong>as</strong> to be paid in India must be indicated with current rate <strong>of</strong> duties.7. The <strong>items</strong> which are imported directly, <strong>the</strong> vendor must in<strong>for</strong>m <strong>the</strong> l<strong>and</strong>ed cost. Thevendors may be <strong>as</strong>ked to submit <strong>the</strong> relevant pa<strong>per</strong>s like Bill <strong>of</strong> Entry to substantiate<strong>the</strong> figure during financial negotiation.8.
