Companies inthis category receive a <strong>Membership</strong> Certificate, are listed by company name in the UIA <strong>Directory</strong>and can nominate 5 delegates as voting members.(Note: Sustaining members may designate additional individuals for voting rights at a 20% discountfrom the Individual Member dues. These additional memberships will be listed under the corporatename of the sponsoring company.)Corporate MemberA company, division or institution that uses ultrasonic equipment, does research, or provides services,in the field of ultrasonics to the ultrasonic field or which supplies equipment, materials or services,which are not of an ultrasonic nature, to ultrasonics manufacturers or users. Companies in this categoryare listed by company name in the UIA <strong>Directory</strong> and can nominate 3 delegates as voting members.Individual MemberA person with an interest in the field of ultrasonics. Individual members have the right to vote on matterspertaining to the association. They receive all member benefits. This type of membership is listed bypersonal name rather than by company in the UIA <strong>Directory</strong> or other publications of the <strong>Association</strong>.Honorary MemberAn individual, selected by and approved by the Board of Directors, who has made significantcontributions in the field of ultrasonics. ULTRASONIC INDUSTRY ASSOCIATIONPage 21BylawsARTICLE I <strong>Membership</strong>DEFINITIONS: A Sustaining Member shall be a companyor institution as defined hereunder in Sections 1 & 2. Adelegate, as used herein, shall be an officer, employee,or other person nominated by a Sustaining or CorporateMember. A voting member shall be a delegate or individualmember whose company or personal dues arenot over sixty (60) days in arrears.Sec. 1 SUSTAINING MEMBERManufacturer or purchaser of ultrasonic equipment andrelated items for sale or use. This is a sustainingmembership category. Companies in this category receivea <strong>Membership</strong> Certificate, are listed by companyname in the UIA <strong>Directory</strong>, and can nominate 5 delegatesas voting members.Sec 2. CORPORATE MEMBERA company, division, or institute that uses ultrasonicequipment, does research, or provides services, in thefield of ultrasonics to the ultrasonics field, or which suppliesequipment, materials, or services, which are notof an ultrasonics nature, to ultrasonics manufacturers orusers. Companies in this category are listed bycompany name in the UIA <strong>Directory</strong> and can nominate 3delegates as voting members.Sec. 3. INDIVIDUAL MEMBERA person with an interest in the field of ultrasonics. Individualmembers have the right to vote on matterspertaining to the <strong>Association</strong>. They receive all memberbenefits. This type of membership is listed by personalname rather than company in the UIA <strong>Directory</strong> or otherpublications of the <strong>Association</strong>.Sec. 4. HONORARY MEMBERAn individual, selected and approved by the Board ofDirectors, who has made significant contributions in thefield of ultrasonics. This type of membership receives allcommunications from the <strong>Association</strong> but does not havevoting rights.Sec. 5. AFFINITY MEMBERProfessional or trade organizations sharing commoninterests with the UIA and with whom reciprocal organizationalmembership arrangements have been established.This type of membership has no voting rights butdoes receive the quarterly newsletter and membershipdirectory of the <strong>Association</strong>.Sec. 6. STUDENT MEMBERStudents enrolled at an academic institution in a degreeprogram in science, engineering, or technology mayapply for this type of membership. They may formchapters of the <strong>Association</strong> and such chapters maynominate additional students for such membership. Thistype membership has no voting rights but does receivethe quarterly newsletter and directory of the association.Student membership shall terminate automaticallyupon graduation or withdrawal from said academic institution.Sec. 9. APPLICATIONExcept in the case of Honorary Members, applicationsfor membership in the <strong>Association</strong> shall be made inwriting, on such form as may be prescribed by theBoard of Directors; shall provide pertinent information,asrequired; and shall contain an acceptance of an agreementto abide by the BY-LAWS and such other rules andregulations of the <strong>Association</strong>, and shall be signed bythe applicant or person authorized by the company.Sec. 10. ELECTIONIf the application is approved by a majority vote of theBoard of Directors, the applicant shall thereuponbecome a member of the <strong>Association</strong>, under the termsand provisions of the By-Laws.Sec. 11. DUTIES OF MEMBERSIt shall be the duty of each member to observe andcomply with the By-Laws, rules and regulations of the<strong>Association</strong>; to observe all principles of ethics; and topromote the welfare of the <strong>Association</strong> and of the<strong>Industry</strong>.Sec. 12. RESIGNATIONSResignations of members shall be by Certified or Registeredmail addressed to the <strong>Association</strong> office.Resignations shall become effective at the end of thecurrent fiscal year, or if this period is less than ninety(90) days, then at the end of ninety (90) days followingits receipt by the <strong>Association</strong>, and then only providingthe financial obligations of the resigning member havebeen paid up to the effective date of resignation.Sec. 13. TERMINATION(a) The membership of a member may be terminatedfor sufficient cause by a majority vote of the Board,provided however, that such member be afforded aprior opportunity to be heard before the Board. Astatement of the charges, and notice of the time and


<strong>2006</strong> UIA DIRECTORYPage 22Bylawsplace of hearing shall be sent to such memberby Certified or Registered mail;(b) A member whose membership is terminated,either by resignation, or by action of theBoard of Directors, or otherwise, except thatsuch resignation or termination of membershipshall cease to have any interest in the propertyof or right to any of the benefits or privileges ofthe <strong>Association</strong>, except that such resignation ortermination of membership shall in no way relievesuch member of his outstanding obligations.Sec. 14. REINSTATEMENTNo membership shall be reinstated exceptupon written application as a new member. TheBoard of Directors shall have the power to imposeterms as it may deem proper as a conditionof reinstatement.Sec. 15. ASSIGNMENT OR TRANSFER OF MEMBER-SHIP<strong>Membership</strong> in the <strong>Association</strong> is granted only to thecorporate or individual member who applied to the<strong>Association</strong> for membership. The rights and privilegesof <strong>Association</strong> membership may not be transferredexcept by the majority vote of the Board ofDirectors of the <strong>Association</strong>.Sec. 16. VOTING(a) Each voting member shall have the right to voteon matters, which are presented to the membership.(b) The list of voting members shall be up-dated immediatelyprior to each Annual Meeting.ARTICLE II FinancialSec. 1. INITIATION FEEThe Board of Directors shall have the power to requirepayment of an initiation fee by new Members,and from time to time to determine the amountthereof; provided, however, that if a former memberapplies for reinstatement, the Board, in its discretion,may waive payment of the initiation fee in whole or inpart.Sec. 2. DUES OBLIGATIONAll members of record on the thirty-first (31st) day ofDecember each year shall be liable for dues for theensuing fiscal calendar year of the <strong>Association</strong>. TheTreasurer or his designee shall mail dues notices tomembers on or before the first (1st) day of December ineach year, and such dues shall be due and payablewithin thirty (30) days.Sec. 3. AMOUNT OF DUESMembers shall pay such annual dues as may be determinedfrom time to time by the Board of Directors.New Members shall pay dues calculated on a semiannualbasis for the remaining part of the calendar yearduring which elected to membership.Sec. 4. DELINQUENCY IN DUES PAYMENTS(a) If a member fails to pay the prescribed dues withinsixty (60) days after the same shall become dueand payable, such member shall, as a result of such failureand without further action in the premises,be suspended from all rights and privileges of membership,and such suspension shallcontinue until the payment in full of all arrears of themember so suspended, or until the terminationof the membership.(b) The membership of any member suspended asabove provided who fails to pay the prescribed dueswithin sixty (60) days after it’s suspension shall, as aresult of such failure and without further actionin the premises, terminate unless said period of sixty(60) days shall be extended by the Board ofDirectors, in which case, the membership shall, withoutfurther action in the premises, terminate atthe end of the extended period if such dues shall notthen have been paid.Sec. 6. AUDITThe accounts of the <strong>Association</strong> shall be reviewed annuallyby an outside firm of Certified Public Accountants.ARTICLE III <strong>Membership</strong> MeetingsSec. 1. ANNUAL MEETINGThe Annual Meeting of the <strong>Association</strong> shall be held atthe time of the annual symposium unless otherwisechanged by the Board of Directors, on such date, time,and place as may be determined by the President.Sec. 2. SPECIAL MEETINGSNotices of annual meetings of the <strong>Association</strong> shall becalled by the President, or may be called by theSecretary on the request in writing by a majority of themembers of the Board of Directors. The President orthe Secretary may fix the date, time, and place of specialmeetings.

NOTICE OF MEETINGSNotices of annual meetings of the <strong>Association</strong> shall bemailed to each member at least fifteen (15) days inadvance. Notice of special meetings of the <strong>Association</strong>shall be mailed to each member at least seven (7)days in advance, and shall state the subject or subjectsto be considered.Sec. 4. QUORUMA majority of the voting members shall constitute a quorumat any annual meeting of the <strong>Association</strong>.ARTICLE IV VotingSec. 1. Each voting member in good standing shallbe entitled to one (1) vote.Sec. 2. A voting member may provide a proxy forany meeting. Such proxy shall be in writing, addressedto the <strong>Association</strong>. The proxy may not beexercised, however, if the member granting theproxy is present at the meeting.Sec. 3. Subjects for action at any meeting shall bedetermined according to the vote the majority ofthose members present in person or by proxy,unless otherwise provided elsewhere in these By-Laws.Sec. 4. LETTER BALLOT(a) The President, in his/her discretion, may authorizeaction on any matter by a thirty (30) dayletter ballot, the thirty (30) days starting on thedate the ballot is mailed.(b) All letter ballots shall provide for recording theaffirmative or negative vote of the member, andthe matter subject to vote shall be determined accordingto the majority of the votes receivedwithin the thirty (30) day period. No member maychange his/her vote given in a letter ballotafter the expiration of the thirty (30) day period.Action taken in pursuance of a majority letterballot vote in each such case shall be bindingupon the <strong>Association</strong> in the same manner aswould be action taken at a duly called meeting.ARTICLE V GovernmentSec. 1. The government of the <strong>Association</strong> and the administrationof its business affairs shall be vested inthe Board of Directors, which shall have and exercise allthe powers and authorities by the Certificateof Incorporation and by the By-Laws expressly conferredupon it; and in addition thereto, may exerciseall such powers and do all such things as may lawfullybe exercised or done by the <strong>Association</strong>.ARTICLE VI Board of DirectorsSec. 1. ELIGIBILITYVoting members in good standing shall be eligible formembership on the Board of Directors.Members of the Board of Directors shall serve withoutcompensation.Sec. 2. NUMBERThe Board of Directors shall consist of not less thanseven (7) elected members, and of officers ofthe <strong>Association</strong> in those instances where such officersare not elected members of the Board. Suchofficers, serving ex-officio, shall be entitled to vote. NoSustaining or Corporate Member shall havemore than one voting member serving on the Board ofDirectors at the same time.Sec. 3. ELECTIONMembers of the Board of Directors shall be elected eitherat the Annual Meeting of the <strong>Association</strong> bya majority vote of those members present in person orby proxy, or by mail letter ballot.At the Annual Election held immediately following theinitial adoption of these By-Laws, at least four (4)members shall be elected for a two (2) year term, and atleast three (3) members shall be elected for a one (1)year term. At each Annual Election thereafter, a numberof members equal to whose terms have or are about toexpire, shall be elected for a two (2) year term.Sec. 4. CHAIRMAN(a) The Chairman of the Board of Directors shall beelected by the Board of Directors at the Annual BoardMeeting for a term of one (1) year. He/she shall alsoserve as President of the <strong>Association</strong>.(b) A Chairman who served for two (2) consecutiveterms shall not be eligible for reelection until at leastone (1) year has elapsed.

The offices of Secretary and Treasurer maybe held by the same person.Sec. 2. ELIGIBILITYAny voting member in good standing shall be eligibleto serve as an Officer of the <strong>Association</strong>.Sec. 3. ELECTION AND TERM OF OFFICEThe Officers of the <strong>Association</strong> shall be elected at theAnnual Meeting of the Board of Directors. Such Officers,serving without compensation, shall be elected for aterm of one (1) year, and shall hold office until the electionof their successors.Sec. 4. PRESIDENTThe President shall be the Chief Executive Officer of the<strong>Association</strong>, and as such, shall have general supervisionover its affairs, subject to the control of the Board of Directors.He/she shall execute all contracts and otherdocuments; shall preside at all meetings of the <strong>Association</strong>and the Board of Directors; shall be amember ex-officio with the right to vote on all <strong>Association</strong>committees; and shall perform such other duties asare necessarily incident to the Office of the Presidentand which may further the interests of the <strong>Association</strong>.Sec. 5. VICE PRESIDENTThe Vice Presidents shall perform such duties as maybe delegated to him/her by the Board of Directors, andin the event of resignation, death, or temporary incapacityof the President, the Board shall designate theduly elected Vice President to perform the duties of thePresident.Sec. 6. TREASURERThe Treasurer shall be the Chief Financial Officer of the<strong>Association</strong>, and as such, shall have general controlof the funds and assets of the <strong>Association</strong>, subject to thedirection of the Board of Directors. He/she shallreceive and disburse <strong>Association</strong> funds; keep books ofaccount and render reports in relation thereto at suchtimes as the President or Board of Directors may require.He/she perform such other duties as may beprescribed by the By-Laws or by the Board of Directors.Sec. 7. SECRETARYThe Secretary shall be the Chief Recording Officer ofthe <strong>Association</strong>, and as such, shall maintain all recordsof the <strong>Association</strong>. He or his designee shall give noticeof and attend all meetings of the Board of Directors andshall keep proper records of their proceedings; shallconduct all correspondence; and shall perform suchother duties as may be incident to the Office of Secretaryor as may be prescribed by the By-Laws or by theBoard of Directors.

DELEGATION OF FUNCTIONAt the discretion of the Board of Directors, the duties ofthe Secretary and Treasurer may be delegated in wholeor in part to a management organization or individualwho is not a member of, or an officer or employee of anymember of the <strong>Association</strong>. The selection, compensation,and term of office of such management organizationor individual shall be determined by the Board ofDirectors.Sec. 9. SURRENDER OF RECORDSOn ceasing to hold office, the Secretary and Treasureror such management organization or individualperforming the duties of Secretary and Treasurer, shallsurrender to his successor when qualified, or to suchother person as shall be designated by the Board of Directors,all monies, assets, books, papers, and otherproperty of the <strong>Association</strong> under his/her control.Sec. 10. VACANCIESVacancies in any elective office may be filled by theBoard of Directors at any meeting.ARTICLE VIII Nominating CommitteeSec. 1. The President shall appoint a Nominating Committeeto present nominations for the Annual Election ofmembers of the Board of Directors.Sec. 2. Upon acceptance by the Board of Directors ofthe slate presented by the Nominating Committee, thevoting members of the <strong>Association</strong> will be asked to approvethe proposed Officers and Directors.Sec. 3. Approval will be either at the Annual Meeting ofthe <strong>Association</strong> or by letter ballot.Sec. 4 The opportunity to submit additional nominationsshall be given to the <strong>Membership</strong>, at the Annual Meeting.Space shall be provided for write-in candidates onthe ballot form covering election of Directors and Officersif by mail vote.ARTICLE IX <strong>Association</strong> CommitteesSec. 1. Immediately following its election, or at suchother times as it may deem appropriate, the Board ofDirectors shall appoint such standing and special committeesof the <strong>Association</strong> as, in its opinion, are advisableor necessary to carry on the work of the <strong>Association</strong>,and shall define the scope and responsibility ofeach committee.Sec. 2. The members of all <strong>Association</strong> committees shallserve for one (1) year or until the appointment of theirsuccessors.Sec. 3. <strong>Association</strong> committees shall act under the directionof, and make periodic reports to the Board ofDirectors.ARTICLE X Fiscal YearSec. 1. The fiscal year of the <strong>Association</strong> shall begin onthe first (1st) day of January in each year and end on thethirtyfirst (31st) day of the following December.ARTICLE XIAssetsSec. 1. No member or officer shall have any individualright, title or interest in any particular funds, reserves,or other assets of the <strong>Association</strong>. In disbursing anyfunds of the <strong>Association</strong>, it shall be deemed that the earliestfunds collected are the earliest funds disbursed.Sec. 2. Any interest in the funds, reserves, and otherassets of the <strong>Association</strong> of each member whose membershipshall terminate for any reason except throughdissolution of the <strong>Association</strong>, shall immediately cease,and such member shall have no claim with respect tosuch interest against the other members.Sec. 3. No distribution of assets (other than upon dissolutionof the <strong>Association</strong>) shall be made to any members.Upon the dissolution of the <strong>Association</strong>, the fundsreserves, and other assets of the <strong>Association</strong> shall, afterpayment of all just debts and liabilities, be divided andrefunded, without interest, to the members of the <strong>Association</strong>on the date of dissolution, in proportion to theamount of dues and contributions paid by such membersduring the five (5) fiscal years immediately precedingthe fiscal year in which such dissolution takesplace; provided however that no member duringhis/her period of membership, and such excessamounts should be distributed to organizations selectedby the <strong>Association</strong> which are organized and operatedexclusively for charitable, scientific, literary, or educationalpurposes, no part of the net earnings of whichinsure to the benefit of any private shareholder or individual,and no substantial part of the activities of whichis carrying on propaganda or otherwise attempting toinfluence legislation.

The determination by the Board of Directors ofthe amount refunded to each member, as herein provided,shall be final.ARTICLE XII StandardsSec. 1. PURPOSEThe <strong>Ultrasonic</strong> <strong>Industry</strong> <strong>Association</strong> may adopt, at itsdiscretion, standards that are in the public interest andare designed to eliminate misunderstandings betweenthe manufacturer and the purchaser, and to assist thepurchaser in selecting and obtaining the proper productfor this particular need.Sec. 2. VOLUNTARY USEThe existence of the <strong>Association</strong> standards does not inany respect preclude any member from manufacturingor selling products not conforming to the standards.Sec. 3. DEFINITION OF STANDARDA standard of the <strong>Ultrasonic</strong> <strong>Industry</strong> <strong>Association</strong> definesa product, material, process, or procured withreference to one or more of the following: nomenclature,composition, construction, dimension, tolerance,safety, operating characteristic, performance, quality,rating, testing, and service for which designed.ARTICLE XIV ProcedureSec. 1. Except as otherwise provided by these By-Laws,Robert’s Rules of Order shall govern in any question ofparliamentary procedure.ARTICLE XV AmendmentsSec. 1. These By-Laws may be amended by the affirmativevote of a majority of the members of the <strong>Association</strong>voting in person or by proxy. Such vote may be taken atany regular or special meeting of the <strong>Association</strong>, or byletter ballot.Sec. 2. Notice of any amendment, or amendments, proposedfor action at any regular or special meeting of the<strong>Association</strong>, shall be given to all members thirty (30)days prior to such meeting.ARTICLE XVI DurationSec. 1. This <strong>Association</strong> shall continue until such time asit shall be dissolved by the members of the <strong>Association</strong>in good standing at any meeting of the members dulycalled for that special purpose at which a quorum is presentin person or by proxy, provided not less than twothirds(2/3) of the members vote in favor thereof.ARTICLE XIII Non-liabilitySec. 1. The <strong>Association</strong> shall hold harmless and defendat its own cost and expense, any and all claims, whichmay be made against its officers, directors, agents, andemployees.Sec. 2. The <strong>Association</strong>, its Board of Directors, officers,agents, and employees, shall not be liable to any of itsmembers for any statement, errors, or omissions in anyreports sent out by the <strong>Association</strong>, whether the sameshall be due to the negligence of the <strong>Association</strong>, itsBoard of Directors, officers, agents, employees, or otherwise;and each and every member or those that mayhereafter become members, shall be deemed to haveexpressly released the <strong>Association</strong>, its Board of Directors,officers, agents, and employees, form any and allliability for such statements, errors, and omissions, andfurther, from any and all liability to reason ofagreements, contracts, obligations, acts, steps, or plansentered into or undertaken by the <strong>Association</strong> onbehalf of its members.
