AUSTRIAN ARBITRATION ACT PRIOR TO 1 JULY 2006 (ENGLISH VERSION)AUSTRIAN ARBITRATION ACTPRIOR TO 1 JULY 2006(English Versi<strong>on</strong>) 1CODE OF CIVIL PROCEDURE, 4 th ChapterARBITRATION PROCEDURE – ARBITRATION AGREEMENTArticle 577(1) An agreement that a legal dispute shall be settled by <strong>on</strong>e or morearbitrators (an arbitrati<strong>on</strong> agreement) is valid ins<strong>of</strong>ar as <strong>the</strong> parties areentitled to c<strong>on</strong>clude a settlement c<strong>on</strong>cerning <strong>the</strong> subject matter <strong>of</strong> <strong>the</strong>dispute.(2) An arbitrati<strong>on</strong> agreement submitting future disputes arising from aspecified legal relati<strong>on</strong>ship to arbitrati<strong>on</strong> by <strong>on</strong>e or more arbitrators isalso valid.(3) The arbitrati<strong>on</strong> agreement must be in writing or be c<strong>on</strong>tained intelegrams, telexes or in electr<strong>on</strong>ic representati<strong>on</strong>s exchanged by <strong>the</strong>parties.Article 578Judicial <strong>of</strong>ficers may not accept appointment as arbitrators during <strong>the</strong>irtenure <strong>of</strong> judicial <strong>of</strong>fice.Article 579No <strong>on</strong>e is obliged to accept appointment as arbitrator. The demand may also be made if <strong>the</strong>arbitrator who has already been appointed pursuant to <strong>the</strong> arbitrati<strong>on</strong>agreement refuses to accept <strong>of</strong>fice as arbitrator or refuses to fulfil hisobligati<strong>on</strong>s or dies or is challenged successfully or ceases to act for anyo<strong>the</strong>r reas<strong>on</strong>.(2) If <strong>the</strong> party making <strong>the</strong> demand also has to appoint an arbitrator, <strong>the</strong>demand shall also give notice <strong>of</strong> <strong>the</strong> pers<strong>on</strong> appointed as arbitrator.(3) The exchange <strong>of</strong> demands and notices can be made by post or through apublic notary.(4) A pers<strong>on</strong> who is called <strong>on</strong> to appoint an arbitrator is bound by anappointment made by him as so<strong>on</strong> as <strong>the</strong> opposing party or <strong>on</strong>e <strong>of</strong> <strong>the</strong>parties has received notice <strong>of</strong> <strong>the</strong> appointment.Article 582(1) If an appointment is not made within <strong>the</strong> proper time or if <strong>the</strong>arbitrators cannot agree up<strong>on</strong> a chairman, <strong>the</strong> Court shall up<strong>on</strong>applicati<strong>on</strong> make <strong>the</strong> appointment. The applicati<strong>on</strong> should be broughtbefore <strong>the</strong> Court which would have been competent to hear <strong>the</strong> dispute infirst instance in <strong>the</strong> absence <strong>of</strong> an arbitrati<strong>on</strong> agreement; however, if aCourt has been indicated in <strong>the</strong> arbitrati<strong>on</strong> agreement as being competentfor this purpose and if it would be possible for that Court to be givencompetence by agreement <strong>of</strong> <strong>the</strong> parties (Art. 104(1) and (2) JudicatureAct), or if <strong>the</strong> arbitrati<strong>on</strong> agreement indicates <strong>the</strong> venue <strong>of</strong> <strong>the</strong> arbitralprocedure, <strong>the</strong>n that Court is competent, or in <strong>the</strong> absence <strong>of</strong> suchindicati<strong>on</strong>, <strong>the</strong> Court under whose jurisdicti<strong>on</strong> this venue comes. If <strong>the</strong>reis no Court with local jurisdicti<strong>on</strong>, or if such Court cannot be ascertained,<strong>the</strong> applicati<strong>on</strong> should be brought before <strong>the</strong> Court which has localjurisdicti<strong>on</strong> for <strong>the</strong> 1st municipal district <strong>of</strong> Vienna, ins<strong>of</strong>ar as <strong>the</strong>arbitrati<strong>on</strong> agreement requires <strong>the</strong> arbitral tribunal to meet within <strong>Austria</strong>.The applicati<strong>on</strong> may be made by <strong>the</strong> parties and under Article 580 byei<strong>the</strong>r <strong>of</strong> <strong>the</strong> arbitrators. The applicant does not need to be represented byan attorney, even before <strong>the</strong> Superior Court <strong>of</strong> First Instance.(2) The order <strong>on</strong> <strong>the</strong> applicati<strong>on</strong> is not subject to appeal.Article 583(1) If <strong>the</strong> parties cannot agree <strong>on</strong> <strong>the</strong> arbitrator to be appointed by <strong>the</strong>mjointly, <strong>the</strong> Court menti<strong>on</strong>ed in Article 582 shall pr<strong>on</strong>ounce <strong>the</strong>rescissi<strong>on</strong> <strong>of</strong> <strong>the</strong> arbitrati<strong>on</strong> agreement.(2) The same procedure shall be followed1. if named pers<strong>on</strong>s are appointed as arbitrators in <strong>the</strong> arbitrati<strong>on</strong>agreement and <strong>on</strong>e <strong>of</strong> <strong>the</strong>se arbitrators dies, ceases to actc<strong>on</strong>sequent up<strong>on</strong> a challenge or for any o<strong>the</strong>r reas<strong>on</strong>, refuses toaccept <strong>of</strong>fice as arbitrator or withdraws from <strong>the</strong> c<strong>on</strong>tractc<strong>on</strong>cluded with him because <strong>of</strong> his appointment; or


AUSTRIAN ARBITRATION ACT PRIOR TO 1 JULY 2006 (ENGLISH VERSION)2. if an arbitrator who is named in <strong>the</strong> arbitrati<strong>on</strong> agreement orappointed by a party pursuant to <strong>the</strong> arbitrati<strong>on</strong> agreement or by<strong>the</strong> Court pursuant to Article 582 refuses to fulfil <strong>the</strong> obligati<strong>on</strong>sassumed by his acceptance <strong>of</strong> <strong>of</strong>fice as arbitrator, or delaysunreas<strong>on</strong>ably in <strong>the</strong>ir fulfilment.(3) If <strong>the</strong> arbitrati<strong>on</strong> agreement is c<strong>on</strong>cluded with reference to all disputesarising out <strong>of</strong> a particular legal relati<strong>on</strong>ship and <strong>the</strong> circumstances inwhich <strong>the</strong> Court is to declare <strong>the</strong> arbitrati<strong>on</strong> agreement as rescinded aresuch that submissi<strong>on</strong> to arbitrati<strong>on</strong> <strong>of</strong> possible disputes arising in <strong>the</strong>future is not excluded, <strong>the</strong> Court shall <strong>on</strong>ly declare <strong>the</strong> arbitrati<strong>on</strong>agreement <strong>of</strong> no effect for <strong>the</strong> case in questi<strong>on</strong>.Article 584(1) The decisi<strong>on</strong> <strong>on</strong> an applicati<strong>on</strong> under Article 583 shall be made byorder after an oral hearing. This decisi<strong>on</strong> and <strong>the</strong> decisi<strong>on</strong> <strong>on</strong> anapplicati<strong>on</strong> under Article 582 may be made in <strong>the</strong> Superior Court <strong>of</strong>First Instance by <strong>the</strong> President <strong>of</strong> <strong>the</strong> Court or by a judge authorized byhim.(2) An arbitrator who does not fulfil in time or at all <strong>the</strong> obligati<strong>on</strong>sassumed by his acceptance <strong>of</strong> <strong>of</strong>fice is liable to <strong>the</strong> parties for all <strong>the</strong>loss caused by his wr<strong>on</strong>gful refusal or delay, without prejudice to <strong>the</strong>parties’ rights to claim rescissi<strong>on</strong> <strong>of</strong> <strong>the</strong> arbitrati<strong>on</strong> agreement.Article 585The provisi<strong>on</strong>s <strong>of</strong> Articles 582 and 583 are not applicable ins<strong>of</strong>ar as <strong>the</strong>parties have agreed o<strong>the</strong>rwise in <strong>the</strong> arbitrati<strong>on</strong> agreement or in a writtenagreement made after <strong>the</strong> c<strong>on</strong>clusi<strong>on</strong> <strong>of</strong> <strong>the</strong> arbitrati<strong>on</strong> agreement.Article 586(1) An arbitrator may be challenged for <strong>the</strong> same reas<strong>on</strong>s that a judge maybe challenged.(2) A party which appoints an arbitrator al<strong>on</strong>e or jointly with <strong>the</strong> opposingparty is entitled to challenge him <strong>on</strong>ly if <strong>the</strong> reas<strong>on</strong> for <strong>the</strong> challengearose or became known to <strong>the</strong> party after <strong>the</strong> appointment.PROCEDURE BEFORE THE ARBITRATORSArticle 587(1) The arbitrators shall hear <strong>the</strong> parties and investigate <strong>the</strong> facts <strong>of</strong> <strong>the</strong> casebefore making <strong>the</strong>ir award. The procedure shall be determined by <strong>the</strong>arbitrators in <strong>the</strong>ir discreti<strong>on</strong> unless <strong>the</strong> parties have agreed o<strong>the</strong>rwise in<strong>the</strong> arbitrati<strong>on</strong> agreement or in a subsequent written agreement.(2) If a party refuses to attend <strong>the</strong> hearing before <strong>the</strong> arbitrators, <strong>the</strong> hearingshall c<strong>on</strong>tinue in <strong>the</strong> presence <strong>of</strong> <strong>the</strong> o<strong>the</strong>r party.Article 588


AUSTRIAN ARBITRATION ACT PRIOR TO 1 JULY 2006 (ENGLISH VERSION)The arbitrators are not entitled to administer <strong>the</strong> oath to <strong>the</strong> parties,witnesses and experts, who appear voluntarily before <strong>the</strong>m. They may not applycoercive measures or award punishments against parties or o<strong>the</strong>r pers<strong>on</strong>s.Article 589(1) Those judicial acts c<strong>on</strong>sidered necessary by <strong>the</strong> arbitrators but which<strong>the</strong>y have no jurisdicti<strong>on</strong> to undertake will be carried out by <strong>the</strong> StateCourt which has jurisdicti<strong>on</strong> <strong>on</strong> <strong>the</strong> applicati<strong>on</strong> <strong>of</strong> <strong>the</strong> arbitrators. Incase <strong>of</strong> doubt <strong>the</strong> applicati<strong>on</strong> is to be made to <strong>the</strong> District Court inwhose district <strong>the</strong> act is to be carried out or <strong>the</strong> evidence to be taken.(2) The Court to which <strong>the</strong> applicati<strong>on</strong> is made shall accede to it ins<strong>of</strong>ar asit is not legally inadmissible. In particular <strong>the</strong> Court shall also takethose decisi<strong>on</strong>s regarding taking <strong>of</strong> evidence which are reserved by <strong>the</strong>present statute in <strong>the</strong> case <strong>of</strong> taking <strong>of</strong> evidence <strong>on</strong> commissi<strong>on</strong> to <strong>the</strong>Court hearing <strong>the</strong> case.Article 590If more than two arbitrators are to decide, <strong>the</strong> award shall be made by anabsolute majority unless <strong>the</strong> arbitrati<strong>on</strong> agreement c<strong>on</strong>tains anything to <strong>the</strong> c<strong>on</strong>trary.Article 591(1) If <strong>the</strong> necessary majority for taking a decisi<strong>on</strong>, or where <strong>the</strong>re are <strong>on</strong>lytwo arbitrators, unanimity cannot be reached <strong>the</strong> arbitrators mustinform <strong>the</strong> parties.(2) If no o<strong>the</strong>r provisi<strong>on</strong> for this case is c<strong>on</strong>tained in <strong>the</strong> arbitrati<strong>on</strong>agreement or in a subsequent written agreement <strong>of</strong> <strong>the</strong> parties, any partymay apply to <strong>the</strong> Court menti<strong>on</strong>ed in Article 582 for a declarati<strong>on</strong> that <strong>the</strong>arbitrati<strong>on</strong> agreement is rescinded or <strong>of</strong> no effect in <strong>the</strong> particular case.Article 592(1) Copies <strong>of</strong> <strong>the</strong> award shall be served <strong>on</strong> <strong>the</strong> parties ei<strong>the</strong>r in pers<strong>on</strong>before <strong>the</strong> arbitral tribunal or by post or by a public notary.(2) These copies and <strong>the</strong> original <strong>of</strong> <strong>the</strong> award shall menti<strong>on</strong> <strong>the</strong> date <strong>of</strong> <strong>the</strong>making <strong>of</strong> <strong>the</strong> award and shall be signed by <strong>the</strong> arbitrators. Thesignature <strong>of</strong> <strong>the</strong> majority <strong>of</strong> <strong>the</strong> arbitrators shall suffice if <strong>the</strong>re is astatement in <strong>the</strong> award that <strong>the</strong> minority refuses to sign or if signature<strong>of</strong> <strong>the</strong> minority cannot be obtained because <strong>of</strong> an obstacle which cannotbe overcome within a reas<strong>on</strong>able period <strong>of</strong> time.Article 593(1) The original award and documents recording <strong>the</strong> service <strong>of</strong> copies <strong>on</strong><strong>the</strong> parties shall be kept in safe custody by <strong>the</strong> pers<strong>on</strong> named in <strong>the</strong>arbitrati<strong>on</strong> agreement. If no such agreement has been made or <strong>the</strong>named custodian has died, <strong>the</strong> arbitrators shall determine <strong>the</strong> method <strong>of</strong>

In case <strong>of</strong> doubt <strong>the</strong>se documents shall be deposited with apublic notary <strong>of</strong> <strong>the</strong> district where <strong>the</strong> arbitral tribunal has its seat.(2) The original <strong>of</strong> <strong>the</strong> award and <strong>the</strong> documents recording service are to bedeemed documents comm<strong>on</strong> to <strong>the</strong> parties.Article 594(1) The arbitral award has <strong>the</strong> effect between <strong>the</strong> parties <strong>of</strong> a final andbinding Court judgment unless <strong>the</strong> parties have agreed in <strong>the</strong> arbitrati<strong>on</strong>agreement that <strong>the</strong>re shall be <strong>the</strong> possibility <strong>of</strong> an appeal against <strong>the</strong>award to a sec<strong>on</strong>d-tier arbitral body.(2) The chairman <strong>of</strong> <strong>the</strong> tribunal, or if he is unable to act, any o<strong>the</strong>r arbitrator,shall at <strong>the</strong> request <strong>of</strong> a party c<strong>on</strong>firm in writing <strong>on</strong> a copy <strong>of</strong> <strong>the</strong> award<strong>the</strong> final and binding nature and <strong>the</strong> enforceability <strong>of</strong> <strong>the</strong> award.CANCELLATION OF THE AWARDArticle 595(1) The award shall be set aside,1. if an arbitrati<strong>on</strong> agreement according to Article 577 does not exist,if <strong>the</strong> arbitrati<strong>on</strong> agreement has become invalid before <strong>the</strong> making<strong>of</strong> <strong>the</strong> award or ceased to have effect for <strong>the</strong> particular case or if aparty was unable to c<strong>on</strong>clude <strong>the</strong> arbitrati<strong>on</strong> agreement because <strong>of</strong>its status;2. if <strong>the</strong> party applying to have <strong>the</strong> award set aside was unable topresent its case in <strong>the</strong> proceedings before <strong>the</strong> arbitrators or ifrequired by statute to be represented by an agent or guardian wasnot so represented in those proceedings unless in <strong>the</strong> latter case <strong>the</strong>procedure has been subsequently properly ratified;3. if statutory or c<strong>on</strong>tractual provisi<strong>on</strong>s regarding <strong>the</strong> compositi<strong>on</strong> <strong>of</strong><strong>the</strong> arbitral tribunal or <strong>the</strong> method <strong>of</strong> reaching a decisi<strong>on</strong> have beeninfringed or if <strong>the</strong> original <strong>of</strong> <strong>the</strong> award has not been signed inaccordance with <strong>the</strong> provisi<strong>on</strong>s <strong>of</strong> Article 592 (2);4. if a challenge to an arbitrator has been rejected unjustifiably by <strong>the</strong>arbitral tribunal;5. if <strong>the</strong> arbitral tribunal dealt with matters bey<strong>on</strong>d those referred toit;6. if <strong>the</strong> award is incompatible with <strong>the</strong> basic principles <strong>of</strong> <strong>the</strong><strong>Austria</strong>n legal system or if it infringes mandatory provisi<strong>on</strong>s <strong>of</strong> <strong>the</strong>law, <strong>the</strong> applicati<strong>on</strong> <strong>of</strong> which cannot be set aside by a choice <strong>of</strong> law<strong>of</strong> <strong>the</strong> parties even in a case where a foreign c<strong>on</strong>tact according toArticle 35 <strong>of</strong> <strong>the</strong> Internati<strong>on</strong>al Private Law Act is involved;7. if <strong>the</strong> c<strong>on</strong>diti<strong>on</strong>s are present in which a request can be made underArticle 530 (1) figures 1 to 7 for a Court judgement to be set asideand <strong>the</strong> case re-opened.(2) In <strong>the</strong> cases set out in secti<strong>on</strong> (1) above, figures 2 to 7, <strong>the</strong> arbitrati<strong>on</strong>


AUSTRIAN ARBITRATION ACT PRIOR TO 1 JULY 2006 (ENGLISH VERSION)agreement will become invalid in respect <strong>of</strong> <strong>the</strong> subject matter <strong>of</strong> <strong>the</strong>arbitrati<strong>on</strong> procedure if an arbitral award <strong>the</strong>reup<strong>on</strong> has been set asidetwice by final and binding judgment.Article 596(1) If an applicant is made to set aside an award, <strong>the</strong> applicati<strong>on</strong> shall bemade to <strong>the</strong> Court specified in Article 582.(2) If <strong>the</strong> applicati<strong>on</strong> is based <strong>on</strong> <strong>on</strong>e <strong>of</strong> <strong>the</strong> grounds set out in Article 595(1) figures 1 to 6, it must be made within a time limit <strong>of</strong> three m<strong>on</strong>thsfailing which <strong>the</strong> applicati<strong>on</strong> will be time barred. The time limit beginsto run <strong>on</strong> <strong>the</strong> day <strong>of</strong> service <strong>of</strong> <strong>the</strong> award <strong>on</strong> <strong>the</strong> party c<strong>on</strong>cerned, or, if<strong>the</strong> ground for rescissi<strong>on</strong> <strong>on</strong>ly came to <strong>the</strong> party's notice later, from <strong>the</strong>day when <strong>the</strong> party became aware <strong>of</strong> <strong>the</strong> said ground.(3) The time limit for applicati<strong>on</strong>s under Article 595 (1) figure 7 isgoverned by <strong>the</strong> provisi<strong>on</strong>s c<strong>on</strong>cerning <strong>the</strong> applicati<strong>on</strong> to re-open <strong>the</strong>case.Article 597The procedure <strong>on</strong> an applicati<strong>on</strong> to set aside <strong>the</strong> award shall be inaccordance with <strong>the</strong> general provisi<strong>on</strong>s <strong>of</strong> <strong>the</strong> present statute.Article 598(1) A party cannot waive <strong>the</strong> applicati<strong>on</strong> <strong>of</strong> Articles 586, 592 and 595,ei<strong>the</strong>r in <strong>the</strong> arbitrati<strong>on</strong> agreement or any o<strong>the</strong>r agreement.(2) If both parties have c<strong>on</strong>cluded <strong>the</strong> arbitrati<strong>on</strong> agreement asbusinessmen (Article 1 (1) figure 1 <strong>of</strong> <strong>the</strong> C<strong>on</strong>sumer Protecti<strong>on</strong> Act),<strong>the</strong>y may waive <strong>the</strong> applicati<strong>on</strong> <strong>of</strong> Article 595 (1) figure 7.Article 599(1) The provisi<strong>on</strong>s <strong>of</strong> this chapter are applicable mutatis mutandis toarbitral tribunals c<strong>on</strong>stituted in ways permitted by statute whe<strong>the</strong>r bywill or o<strong>the</strong>r dispositi<strong>on</strong>s not being based <strong>on</strong> <strong>the</strong> agreement <strong>of</strong> <strong>the</strong>parties to <strong>the</strong> dispute or by articles <strong>of</strong> associati<strong>on</strong>. The provisi<strong>on</strong>s <strong>of</strong>Articles 586, 592 and 595 may not be waived by unilateral dispositi<strong>on</strong>sor provisi<strong>on</strong>s <strong>of</strong> articles <strong>of</strong> associati<strong>on</strong>.(2) Arbitral tribunals c<strong>on</strong>stituted in accordance with <strong>the</strong> Act for <strong>the</strong>Settlement <strong>of</strong> Differences in Associati<strong>on</strong>s 1951, Official Gazette No.233/1951 (Vereinsgesetz 1951, BGBl. Nr. 233/1951), are not subject to<strong>the</strong> provisi<strong>on</strong>s <strong>of</strong> this chapter.
