The holes in the profilesare made in such a way that they are as small as possible but as big as necessary to ensure high stability and sothat, for example, three brackets fit on top of each other, and a fourth bracket can be screwed in place verticallyto the other three. Aluminium has the great natural advantage that it doesnot rust and so can also be used in outdoor and wet areas (e. g. in nurseries, greenhouses, on ships, market stalls,cold storage rooms, garages, basements, etc.).In addition, aluminium perforated rails have the big advantage that they are much lighter than steel perforated rails.They are therefore ideal for shelving and organizing systems in delivery trucks and building site vehicles. Particularlyin view of saving fuel and increased safety due to shorter braking distances.Another major advantage compared to steel profiles is that aluminium perforated rails can be anodised, which givesthem a particularly nice and technical look. This makes them particularly suitable for use in furniture design (sideboards,desks, base frames for home entertainment appliances, shelving in modern living areas, etc.). In addition,aluminium profiles are particularly hygienic, antiseptic and easy to clean and can therefore be used perfectly inthe food sector. We also have a full family of profiles with logika ® . Not only a bracket with even and unevenbranches and a flat bar, but also a U-profile, a T-profile, and a rectangular tube. These additional 3 profile types(altogether 6 types) are very important depending on the design and offer considerable extra benefits.These 6 profile types come in 4 sizes (7.5; 15.5; 23.5; 35.5 mm), which can all be combined/assembled with oneanother due to the fact that the distances from centre hole to centre hole exactly fit on top of the two gap sizes25.0 mm and 12.5 mm (12.5 mm × 2 hole gaps comes to 25.0 mm).Naturally we produce all logika ® profilesfeature the combitech ®in the standard combitech ® sizes.drill alignment grooves.The aluminium perforated rails alsologika ®profile accessoriesThe range includes screws with which you can screw together different profiles. You need the shorter screws ofa size e. g. for bolting two brackets together. You need the medium screws of a size e. g. for bolting a bracket toa square tube and the longer screws for bolting two square tubes together.The range also includes two shelf feet made of plastic (PA) for 23.5 mm and 35.5 mm brackets with even branches.These protect the floor from the edges of the profiles.logika ® –can be combined with the entire combitech ® systemThe Alu-Magic polish and universal deburrer complete the accessories. However, you can also use all combitech ®standard accessories for your designs. alfer ®alfer ®Terms of Payment and DeliveryPreamble, ScopeAll our offers and all agreements closed with us –including those for future goods and services – aresubject to the terms and conditions set forth herein.The ordering party (hereinafter: “Customer”) acceptsthese terms and conditions for payment and deliveryupon placing an order and at the latest upon acceptanceof delivery. If the Customer has conflictingterms and conditions for purchase they shall bevalid only if expressly accepted by us in writing. Deviationsfrom these terms and conditions require writtenagreement. Counter-confirmations by Customerreferencing its standard terms and conditionsare hereby expressly excluded. Our terms and conditionsfor payment and delivery shall therefore governexclusively and without limitation, even if we areaware of Customer terms and conditions that conflictor deviate from the present terms and conditionsand we deliver to the Customer without expressreservation.Offers and Acceptance of OrdersAll offers are nonbinding. Models, pictures, drawings,dimensions, weights, colour shades etc. presentedin catalogues, prospectuses and otherprinted materials represent approximate values asgenerally applicable in the industry.Without exception, information concerning the execution,dimensions etc. of special, bespoke ordersrequire written confirmation.We are not liable for errors attributable to documentssupplied by the Customer. We reserve the right tomake design and model changes that appear necessarybased on our experience. Customer acquiresno rights in any tools for which it has reimbursed allor a portion of the cost; they remain our property.Any samples requested shall be delivered onlyagainst an invoice.Invoicing, PaymentOur invoices are payable within 10 days of deliverywith a 2 % discount for prompt payment or net within30 days or as provided by special written agreement.Payment default shall be governed as providedby law. Timeliness of Customer payment shall begoverned by the date the account designated forpayment is credited. For factoring purposes, we mayassign rights under our business relationship withthe Customer.The Customer shall bear the costs of paymentsmade by bill of exchange including, in particular, discountingand collection fees. No prompt paymentdiscount is granted in the case of payment by billof exchange. Invoiced bill of exchange costs arepayable immediately without discount. Bills of exchangeand checks shall not be deemed paymentuntil encashed.Customer shall have rights of set off only if the respectivecounterclaim has been determined with legalfinality, is undisputed or has been acknowledged.In addition, the exercise of a right to withhold performanceis permissible only if the counterclaim isbased on the same legal relationship.We have the right to apply Customer payments firstto any older Customer debt.If the due payment date is not observed, we may,subject to other claims, charge fees and late paymentinterest at a rate at least equal to the interestrates charged by banks for current loans. Failure tomeet the due payment date shall cause all claims,without regard to the maturity of any outstanding billsof exchange, to become immediately due andpayable. In addition, in such case we shall be entitledto demand advance payment for further deliveries,rescind the agreement and have any goodsdelivered subject to reservation of title returned tous at Customer’s expense. The same shall apply if,after closing the agreement, we learn of circumstancesthat diminish Customer’s credit worthiness.PricesOrders for which no fixed price has been expresslyagreed shall be invoiced at the price prevailing onthe delivery date. If there is a material change in certaincost factors including, in particular, labour, componentmaterials or freight, the agreed price may bereasonably adjusted commensurate with the influenceof the respective cost factors. Unless the orderconfirmation provides otherwise, prices are quotedex our plant or our representative’s logistics warehouse.Goods with a minimum order value from EUR500.00 (excl. VAT) are delivered free of charge withinGermany or to the German border for deliveryabroad. An initial order must be at least EUR150.00 (excl. VAT) and all further orders at least EUR25.00 (excl. VAT). Prices quoted in catalogues andprice lists (excl. VAT) are prices only for resellers.PackagingPackaging costs are invoiced according to industrypractice.Shipping, freight, and risk of lossDeliveries are from our plant or our representative’slogistics warehouse. If the goods are shipped or deliveredto Customer’s place of business at his demand,the risk of total loss or accidental diminutionin the value of the goods shall pass to the Customerupon delivery to the shipping agent (§ 447 GermanCivil Code – BGB) but no later than their departurefrom our plant or our representative’s logistics warehouse,regardless whether they are shipped from theplace of performance or who pays the shipping cost.If the goods are ready for shipment and the shipment,forwarding or acceptance is delayed, the riskof loss of the goods passes to the Customer whenthey are ready for delivery. This shall not apply if weare responsible for the delay. Invoicing shall be governedby the weights and numerical count establishedat the time of dispatch.Delivery TimesQuoted delivery periods are generally nonbinding.The delivery period begins with the day the orderconfirmation is sent, but not before all contract detailshave been finalised. It is deemed to have beenmet if the goods leave the plant or representative’slogistics warehouse on time or, in the event of impossibilityof shipment, the goods are reported readyto ship by the end of the period. The delivery periodshall be reasonably extended – including in thecase a default in delivery – if unforeseen hindrancesoccur, which we could not prevent despite our exerciseof reasonable care, regardless whether thesecircumstances occur at our place of business or thatof our supplier – e.g. business disruption, official intervention,labour unrest, delays in the delivery ofessential materials. The occurrence of such circumstancesshall be promptly communicated to theCustomer. If the agreement is subsequently modifiedin a manner that influences the delivery period,the period shall in the absence of a respectivecontract provision be reasonably extended to takeaccount of this modification. Default in delivery shallbe governed as provided by law subject to the following:The Customer may demand compensatory damagesfor non-performance under § 281, 323 BGB only tothe extent that third parties assert a damage claimagainst it. Compensation for lost profits is excluded.Compensatory damages shall not exceed the valueof the goods. We shall be responsible for delaysin the delivery of goods and services due to ordinarynegligence only if these are delays common tothis type of agreement. Should we be responsiblefor gross negligence, we will compensate the damagecaused by the delay. Compensatory damagesshall not exceed the value of the goods.Setting a due date for performance is ineffective ifthe delay in delivery is attributable to force majeureor circumstances for which we are not answerable.Force majeure shall apply if we are preventedfrom performing our responsibilities by unforeseen– in particular external – circumstances that we couldnot prevent in the given circumstances despite exerciseof reasonable care. Force majeure includesstrikes and lockouts. Customer shall be informed immediatelyof the occurrence of force majeure.Delivery VolumeAdherence to exact numerical count is not possiblefor customised bespoke products. Bespokeproducts include all goods that diverge from the descriptionin the respectively valid catalogue and/orprospectus. This applies in particular with regard tocolours.Defect Complaints, LiabilityAfter goods have arrived at their destination, Customershall promptly inspect them and meet its obligationsunder § 377 German Commercial Code(HGB). The duty of the Customer to inspect extendsto the entire delivery. Shipping documents may notbe signed (including subject to reservation) beforethe number of cartons delivered is compared withthe information on the shipping documents. Informationconcerning missing cartons or damagemust be noted accurately on the shipping documentsand confirmed by the driver’s clearly identifiable signature.Obvious defects shall be reported to us immediatelyafter receipt of the goods, i.e. on the delivery date.Defect complaints must be communicated in writingand include precise details of the alleged individualdefects. Non-obvious defects shall be reportedto us in writing promptly after their discovery but nolater than within five business days after goods delivery.Problems or defect complaints asserted laterdo not substantiate any entitlement to supplementaryperformance, rescission, price reduction,compensatory damages or reimbursement of futileexpenses.Goods that are subject to a complaint shall be properlystored and placed at our disposal. We shall begranted opportunity to inspect goods subject to acomplaint (duty to present for inspection).If a defect is substantiated, we may, at the Customer’soption, render subsequent performance bycuring the defect or promptly deliver defect-free replacementgoods in exchange for the goods that aresubject to the complaint. In the event of subsequentperformance or replacement delivery, we shall beobliged to bear all costs incurred by subsequent performance(in particular shipping, routing, labour andmaterial costs), to the extent that they are not increasedby delivery to a place other than the placeof performance. We shall determine the method ofshipment. If the attempted subsequent performancefails, the Customer shall be entitled to a price reductionor contract rescission. The statute of limitationsfor asserting defect claims is 12 months calculatedfrom the passage of risk of loss.If the Customer asserts compensatory damageclaims due to intentional or grossly negligent conduct,including intentional or grossly negligentconduct of our representatives or vicarious agents,we shall be liable as provided by law. To the extentwe are not charged with intentional breach of contract,our liability for compensatory damages is limitedto the typically foreseeable damage. Likewisewe are liable as provided by law to the extent wehave culpably breached a material contractualduty. In this case too, however, damage liability islimited to the typically foreseeable damage.Irrespective of the legal nature of any asserted claim,any further liability on our part to the Customer – beyondthe foregoing provisions – is precluded. Thisapplies in particular to compensatory damageclaims arising from faults during contract closing,from indirect and consequential damage and fromother breaches of duty or tort claims for propertydamage pursuant to § 823 BGB. The same shall alsoapply to the personal liability of our managers, employees,representatives and vicarious agents.Reservation of TitleUntil all payment claims under the business relationshipare fulfilled – including any refinancing orreverse bills of change – we reserve title to goodsdelivered by us, which Customer may only disposeof in the ordinary course of business (balance or currentaccount clause).Further processing of goods delivered by us doesnot entitle Customer to any proprietary interest in thefully or partly produced goods delivered. Such processinginures exclusively to our benefit at no costto us. However, should the reservation of title expiredue to any given circumstance, alfer ®and theCustomer hereby already agree that title to suchgoods shall pass to alfer ®after reprocessing.alfer ®accepts this transfer of title. Customer shallbe the uncompensated custodian of these reprocessedgoods (manufacturer and reprocessingclause).By reprocessing goods that are still the property ofthird parties we acquire co-ownership in the newgoods. Our co-ownership interest shall be proportionalto the ratio of the invoice value of the goodsdelivered by us to the invoice value of all other goods(reprocessing and co-mingling clause).Customer hereby assigns to us the claims accruingto it from the resale of goods subject to reservationof title, including goods which have been reprocessed.If the reprocessed product of our goodssubject to reservation of title contains items that eitherbelonged exclusively to us or were deliveredsubject to our reservation of title, Customer shall assignto us its entire purchase price claim. In othercases, i.e. in the event of simultaneous advance assignmentsto multiple suppliers, we shall be entitledto a fraction of the claim corresponding to the ratioof the invoice value of our goods subject to reservationof title to the invoice value of all other reprocesseditems (assignment in advance).We hereby undertake to release the collateral towhich we are entitled under the above provisions atthe request of Customer to the extent that the realizablevalue of the collateral exceeds the value ofour secured claims by more than 20% (releaseclause).Provided Customer fulfils its payment obligations tous, Customer shall be entitled to collect accountsreceivable for its own use until this entitlement is revoked.The right to resell or reprocess the goods andcollect accounts receivable shall lapse upon cessationof payments, application for insolvency proceedings,dishonour of a check or bill of exchange,or seizure. Assigned accounts receivable paidthereafter shall be credited immediately to a speciallydesignated account (direct debit authority).Any return of goods shall be accepted only for reasonsof safety; even where part payments were subsequentlyaccepted, this shall not constitute contractrescission. Rescission is not required to asserta reservation of title, unless the Customer is a consumer.Data Collection and StorageWe may collect, store, process, use and forward informationand data concerning the Customer to thirdparties for storage, processing and use – in particularfor the purposes of claim collection or outsourcedaccounts receivable management.Product LiabilityWe are liable as provided by German product liabilitylaw (Produkthaftungsgesetz).Place of Performance, Jurisdiction and VenueThe place of performance for delivery and paymentis our registered office (Wutöschingen).Our contractual relationship with the Customer shallbe governed by German law – under exclusion ofthe UN Sales Convention.
