Inter-Registrant Transfer AgreementThis BEI Resources Inter-Registrant Transfer Agreement (“BEI Resources IRTA”) is between the RECIPIENT and theAmerican Type Culture Collection (“ATCC®”), a not-for-profit organization having its offices at 10801 University Blvd.Manassas, Virginia 20110 which, in its capacity as contractor to the National Institute of Allergy and Infectious Disease(“NIAID”), an Institute of the National Institutes of Health (“NIH”), an agency of the U.S. Department of Health and HumanServices (“HHS”), is managing BEI Resources. As stated in theBEI Resources MTA between RECIPIENT and ATCC:1. HUMAN USE. RECIPIENT AGREES THAT MATERIAL AND MODIFICATIONS WILL NOT BE USED INHUMANS WITHOUT PRIOR WRITTEN PROOF PROVIDED TO ATCC OF REGULATORY APPROVAL FORSUCH USE.2. RECIPIENT ACKNOWLEDGES THAT MATERIALS DESIGNATED AS BIOSAFETY LEVEL 2, 3 or 4CONSTITUTE KNOWN PATHOGENS OR TOXINS AND THEREFORE REQUIRE APPROPRIATE FACILITIESFOR THEIR USE. RECIPIENT has verified that the material being received is consistent with their level of BEIResources Registration and for use in their facilities. RECIPIENT ALSO ACKNOWLEDGES THAT OTHERMATERIALS NOT SO DESIGNATED AND MODIFICATIONS THEREOF MAY BE PATHOGENIC UNDERCERTAIN CONDITIONS.3. SELECT AGENTS. To receive SELECT AGENTS, RECIPIENT must obtain necessary permits and written proofof approval from HHS or the U.S. Department of Agriculture (USDA) to possess SELECT AGENTS, copies ofwhich must be attached hereto before MATERIAL will be shipped. RECIPIENT acknowledges that failure tocomply with any laws, regulations or other requirements relating to SELECT AGENTS may result in civil and/orcriminal penalties. RECIPIENT agrees to notify ATCC regarding all modifications of SELECT AGENTS createdby RECIPIENT that retain or can attain viability or bioactivity and agrees, upon request from ATCC, to depositthose modifications with BEI Resources through ATCC for purposes of reference. If RECIPIENT will use MATERIAL for COMMERCIAL PURPOSES (as defined onpage 1 of the BEI Resources MTA), RECIPIENT may be required to obtain a license from CONTRIBUTOR.
