The Terrace CaféPerhaps the hottest meal ticketin town is the exclusive preserveof Ogier employees. Once in TheTerrace Café, the smell of the freshcoffee, the huge array of food onoffer and the amazing views overSt Helier will all combine to giveyou a great experience. This fifthfloor eatery is run by Darren Amyof Delish for the exclusive use ofOgier employees and does awaywith memories of works canteens forever. The Terrace Café is setting anew standard for in house catering.Ogier employees were activelyengaged in agreeing how The TerraceCafé should be run and in decidingwho would be the best company towork with. There was a task partymade up of eleven employees fromall areas of the business who weregiven the enviable task of pickingthe right caterer to work with. Havingheard pitches from four possiblesuppliers and eaten a selection ofthe foods that they were proposing, the team had to decide on just onesupplier. The clear winner was Delishbecause of the pride that they take inproviding homemade ingredients andthe personal service that they offer inmaking each and every sandwich infront of the customer, giving them theopportunity to decide exactly whatthey want. Delish also committed toprovide their food for at least 10%less than it would be available foron the high street. It was a winningcombination for Delish.Open for breakfast from 7.30amand then serving snacks and drinksthroughout the day as well as anincredible choice of sandwiches, salads and hot meals for lunch, TheTerrace Café is already establishedas a firm favourite with employeeswhether for an informal meeting or thechance to have lunch with a friend. The Delish team make everythingon site themselves from thehomemade soups to the fillings forthe sandwiches. It is clear from yourfirst visit that the team love what theyare doing and are happy to providetop quality fillings, fresh breadsand recommendations as to how tocombine them for tasty, innovativelunches. Owner of Delish andmanager of The Terrace Café, DarrenAmy said “We are able to offerOgier employees over 300 possiblesandwich combinations. With fivesorts of chicken, three types of tunafilling as well as other fillings we areable to offer customers a choice ofover twenty extra toppings so thatemployees could eat a differentsandwich every day of the year.”The tempting cakes and pastries onoffer at The Terrace Café are madeat Delish’s shop in Bath Street. The carrot cake and the chocolatebrownies have proved to be sucha great hit with staff that they arealready being asked for as wholecakes for birthdays. Darren said“We make our cakes every day sothat everything is really fresh.“We’ve been really pleased with theway that employees are using thecafé, from bacon sandwiches for thewhole team on a Friday morning toproviding sandwiches and salads forteam meetings, we have been verybusy and it’s great to be able to getto know our customers and reallyunderstand what they are looking for.”You could almost say that Ogieremployees are spoilt for choicein The Terrace Café. The café hasa couple of internet terminals sothat people can, for example, check their Facebook or LinkedInaccounts whilst they are in the café.Alternatively, they can play a gameon the Wii or catch up on the latestnews and sport on the TV screen. For some healthy competition withcolleagues the table football isproving something of a hit. Whetherit’s the IT team taking each other onor an inter-departmental challengethe competition is sure to beferocious. On sunny days the outside terraceis proving very popular from early inthe morning until the café closes atabout 4.30 pm. The view of St Helier isimpressive and the tables and chairs onthe terrace create an enviable locationfor an informal meeting with a colleague.4Darren said “Running The TerraceCafé is a great addition to our existingshop and we are really proud that wehave been invited into Ogier House.”

Great place to workAdding to the bottom line ofa business during a globalrecession has not been an easytask. However, this is exactlywhat has happened at Ogier asthey have embraced the “BestPlace to Work” survey. GroupChief Operating Officer, HelenBunbury, said “We first did the“Best Place to Work” surveywith all our staff in 2008. As youwould expect, the results showedmany areas being very good andsome areas needing a little moreattention. We really engagedwith our employees after the firstsurvey and each team put anaction plan in place to addressany issues that had been flaggedand to learn from best practicein other areas of the business. As a result last year we saw ourresults improve dramatically andwe are looking forward to doingthe survey again next year aswe have found that it really doesmake a difference: our staff aremore motivated, our employeeretention rate is above average, our recruitment costs are lessthan average and our financialperformance as a whole groupis improved. With benefits likethese, why wouldn’t we do it?”Ogier are certainly forwardthinking. Every member of staff isgiven a personal training plan anda generous budget is set asidefor each and every member ofstaff’s training and development. In order to provide clients withthe best possible service, Ogierensure that they recruit, train andretain staff of the highest calibre.Helen Bunbury said “We activelyencourage members of staffto obtain formal qualificationsand relevant professionalqualifications. In addition to this,Ogier fully complies with thelegal requirements for continuingprofessional development. Ifyou want to train and qualify asa Jersey or Guernsey lawyer, weoffer a bursary scheme open toresidents of both islands.”MyCareer@Ogier is an onlinebased system that allows everyemployee to research coursesthat are available to them, findout about course objectives andcontent and then request a place. While a framework for all rolesand areas across the business, the initiative was shortlisted inThe Lawyer HR awards soonafter it was launched last year.“This was a real achievement forus,” said Helen, “We were therewith the magic circle law firmsand it recognises the amountof time and effort that we investin our people. We are able tooffer employees a career pathwith interesting opportunities forthem to expand their skills andknowledge regardless of whetherthey are in Legal, Ogier FiduciaryService or one of the GroupServices functions.”As the trust and companyadministration side of Ogier’sbusiness continues to grow, thereare always excellent opportunitiesand there is an extensive trainingprogramme to make sure thatemployees are well equipped totake their next step up the ladderwith Ogier.Ogier is on a growth path. Thereis an essence about Ogier thatdefines the business and makesit different from other firms: this iswhat draws clients to seek Ogierout instead of competitors andmakes them a great company towork with.Helen Bunbury said “This specialformula is a powerful aspectthat fuels our success and is animportant part of our strategy. As we grow and become moresophisticated, more diverse, moresuccessful and have many morepeople, we need to harness andnurture these unique values toenable our growth. Our valuesare teamwork, respect, quality, commitment and integrity. Theygive everybody across the wholeorganisation a framework to useto inform the actions that theytake, the behaviours that theyshow and the way in which we allchoose to operate. This in turnwill continue to drive our successand future growth.”“Ogier provides a fantasticplatform on which I candevelop my skills and Iam privileged to workalongside a number oflike-minded individuals, each a professional in hisor her own field. The regular training Ireceive, both internallyand externally, is key inmy progression and hasgreatly complimentedthe knowledge I attainedwhilst at University andduring my placement year.Despite the varied natureof our business, efficientinternal communicationand an enthusiastic socialcommittee ensure we feeland work as one firm- complimented by therecent development of ournew office.I feel Ogier does anexcellent job of settingout the stages ofadvancement within thefirm’s structure. I havehuge career aspirationsand Ogier nurtures thisprogression, offeringencouragement andrecognition along the way.”Ryan MendezTrainee Administrator,Ogier Fiduciary Services7

Putting people firstAs far as outside observers areconcerned, Ogier’s striking newbuilding on the Esplanade is likely tobe the principal reason why the groupis currently in the news. However, although the building, with its sound green credentials, itswelcoming open plan spaces, itsfine pictures and sculptures and itscomfortable working environment, says a great deal about the essentialnature of Ogier as an organisation, it isonly part of a far bigger story.During a recent round-table discussionabout the group, three of its keyexecutives, Helen Bunbury, MatthewThompson and Simon Willing, providedinsiders’ perspectives not only onOgier’s recent achievements andimpressive track record, but also on thephilosophies which underlie everythingfrom staff recruitment and training toclient care and future growth.Mr Willing, who is the Chief OperatingOfficer of Ogier Fiduciary Services, began by stressing that the group hasmoved a long way since its origins as alaw firm.Simon Willing“At least 50 per cent of our staff arenow involved in non-legal services,” hesaid, stressing that there is an ideal fitbetween the legal expertise availablein the group’s offices and the range ofother services that are offered.“Both elements are strong,” he said,“But together they are stronger.”Even a cursory glance at the range ofservices offered by Ogier – which hasoffices in Bahrain, Guernsey, Dublin,London, Cayman, the British VirginIslands, Hong Kong and Tokyo as wellas in Jersey – confirms that there is,indeed, great strength in depth. The group handles many varieties offunds work, including hedge funds, real estate funds, private equity funds, mezzanine funds, as well as trusts, foundations, family office business, property, corporate finance, listingservices, mergers, acquisitions, corporate restructuring, banking, derivatives, structured finance, plusasset tracing, commercial disputesand employment law. That is a long list, but it is by nomeans exhaustive. Thus, although Ogier might still belabelled ‘law firm’ from time to time, this has become a limited description. The group can more realistically andaccurately be called a ‘provider ofintegrated legal and fiduciary services’.But there are other features of thewhole operation which help to put it inits full context. For example, it is one of Jersey’s topfive private sector employers and ithas an international blue chip clientbase, acting for three quarters of theworld’s top 25 banks, all of the top 25global law firms and 40 out of the top100 hedge funds. With justification, the ManagingPartner of the group’s Jersey legalpractice, Matthew Thompson, describes the organisation as ‘multifaceted’,as well as pointing out thatit now operates highly effectively inmultiple jurisdictions from severalstrategically placed offices. The group has also achieved verysignificant levels of growth, even in thepresent difficult economic climate. It saw growth of over ten per cent in2009 and is on track for similar resultsthis year.As you might imagine, in spite ofthese results, no one is talking aboutstanding still or resting on well-earnedlaurels.Helen Bunbury, the Group ChiefOperating Officer, said that thenew Jersey building currentlyaccommodates almost 500 staffbut there is ample room for 700.Helen BunburyGiven that over the past five years thenumber of staff employed in Jerseyhas increased from 325 to 500, theroom for further expansion is likely tobe needed. However, Ms Bunbury spoke of‘confidence’ in growth rather than‘optimism’, explaining that seniormanagers are always careful to takeat least a five- to ten-year view of howbusiness is likely to develop.Mr Willing emphasised that this wasone of the group’s strengths andexplained that taking the long viewmeant that there was never anyquestion of halting plans for the moveto the new building in the light of theeconomic downturn. The strategic decision to build wastaken back in 2005 and commitmentto the move was made in 2006.He described the new headquartersas the ‘mothership’, saying that Jerseyremains the focal point of the group, and Ms Bunbury said that it wasvery much the ‘core and the base’,although other locations, includingHong Kong, Cayman and London, have also recently benefited frominvestment in new premises. It can also be said that the JerseyHQ represents a substantial vote ofconfidence in the Island’s future as apivotal financial centre as well as in thepotential for Ogier’s future expansion. There is, however, more to the edificeon the Esplanade than evidenceof confidence, substantial groupresources and group pride. The building is primarily about people– those who work there and thosewho are clients. In common with other businesses,Ogier must always keep a vigilanteye on the bottom line, but it hasadditional goals that complement andsometimes override business successand profit margins. The group aspires to offer its staffnothing less than the best possibleenvironment in which to work. This, said Matthew Thompson, is adeclared element of group strategy.Materially, this means appealing workspaces, open plan offices whereeveryone feels involved and facilitiessuch as a terrace café with top-classcatering, but it also means ensuringthat people are happy in their jobs andhave ample opportunity to advance totheir full potential. You might say that in the Ogier groupthere are plenty of glass partitions, butthere are no glass ceilings.A rigorous commitment to training –and hence career development – istherefore essential.Mr Willing summed up the corporateattitude, saying: ‘We offer careers, notjobs,’ adding that a key principle is to‘motivate and retain’.But the nuts and bolts of theinfrastructure that do so much tomake work a pleasure rather than anirksome duty are also important. For this reason – as well as in theinterests of maximum efficiency andthe highest standards of servicewhich always put the client first –much attention has been focused onthe group’s information technology, including a state-of-the-art electronicfiling system that has allowed theoffice to dispose of space-hungrypaper – not to mention a great deal ofunwanted clutter.Helen Bunbury said of the technology:“It has always been good, but it’s nowleading edge.”Apparently, the Group IT Director saysthat the group’s systems are “MartiniIT – any place, any time, anywhere.”But, even if, as Ms Bunbury says,“The building is a manifestation ofwhat we are”, lots of glass, technologywhich behaves itself perfectly andeye-catching art, these will never beenough on their own to build teamspirit.8

The Ogier team is, with good reason, intensely proud of its new building, designed to be the best possibleworking environment throughattention to the finest detail. Bricksand mortar will not, however, bepermitted to obscure the group’score focus – serving the client.Matthew ThompsonThe material environment is important, but the human dimension ofemployment practice is always going tobe paramount.Mr Thompson said: “The building helps– open plan areas, glass walls for officesand places for informal meetings – butour professional but informal style is thereal thing.”The terrace café is seen to be the placefor informal bonding among staff at alllevels of seniority.Pains were also taken throughconsultation to ensure that the café wouldoffer the sort of food and facilities thatstaff wanted and extraordinary painswere taken to ensure that the workingenvironment is comfortable. No fewer than 20 sorts of chair weretested by staff to ensure that thosethat were finally provided met the mostexacting of standards.A green committee also played its part inplanning the new building, and its focuson how offices are occupied as wellas how they were to be built helped toproduce what is quite probably Jersey’sgreenest man-made place of work. Each of these initiatives will no doubtpay future dividends, but Ogier canalready claim very high levels of staffretention in addition to extraordinarylevels of organisational growth. This is true across the board, but it issignificant that the fiduciary division -which in 1998 had only 15 employeesbut now has 220 in the Jersey officealone - is still loyally served by many ofthe original 15.Change, it seems, has marched hand-inhandwith old values and loyalty.Employee surveys have encouragedstaff to come up with ideas forinnovation but a great many responseshave expressed a powerful preferencefor many established structures andpractices to remain unchanged.Tellingly, one member of staff said to MrThompson that “being in the new buildingis like being back in Pirouet House” – theoffices where, back in the 1980s, Ogierwas under one roof, before expansionmeant that additional premises had to beacquired.Client demand, at home andinternationally, is a significant driverof growth, although the innovativeapproach of the group’s many expertsclearly plays a role in maintaining Ogier’sstanding as a key international player. The group’s reputation as a major globalplayer is second to none, yet that doesnot prevent it from playing a leading partin transactions of great importance closerto home, reinforcing its commitment tothe community where it began its driveinto international commerce. For example, Ogier’s legal andcorporate services were instrumentalin paving the way for Waitrose, thesupermarket giant, to open its newoutlets in Jersey and Guernsey.9

The Esplanade in the 1880s. Ogier House stands on the site ofNumbers 43 and 44. Number 44 is the two storey house, withthree dormer windows showing, in the centre of the photograph.Number 43 is the three storey warehouse to the right.History of OgierIt is no surprise that Ogier has wona plethora of industry awards. In justa few short years it has transformedfrom a small but successful offshorelaw firm into a major global providerof integrated legal and fiduciaryservices. It is particularly pleasingfor the financial community of Jerseythat the firm’s origins are deeplyrooted in the history of the island. The Ogier that we see today beganas the result of a merger in 1995 oftwo well respected island law firmswhen Ogier & Le Cornu merged withLe Masurier, Giffard & Poch. The fifteen years since the mergerhave seen dramatic growth in thebusiness and a significant numberof firsts. The growth of the Fiduciarybusiness has been exceptional, from 15 employees in 1998 to 220in Jersey and a further 130 Fiduciaryemployees in other jurisdictionsin 2010. The growth in Jersey hasbeen entirely organic and client led, with Ogier bringing new businessto Jersey through working with thelegal team and stimulating demandfor a broader range of services withexisting clients. The “firsts” began in 1998 whenOgier were the first Jersey firm toopen an office in Guernsey andbecome a Channel Island business.2003 saw the opening of the Londonoffice, another first for a ChannelIsland firm and in 2004 Ogiermerged with Boxalls in Cayman tocreate an offshore giant and thefirst transatlantic firm. The “firsts”continued as Ogier were also thefirst to merge with a BVI firm whenin 2007 the merger with WSmithextended the firm’s global reach notonly to BVI but also to Hong Kong. The growth of the firm continues withnine jurisdictions where Ogier has asubstantive presence making it oneof the world’s leading offshore legaland fiduciary services providers.Jersey has remained at the forefrontof offshore finance for almost halfa century and, together with manyothers, the Partners of Ogier haveplayed important roles in contributingto the success of the finance industry.Ogier is now a top five private sectoremployer, headquartered in Jerseyand proud to call Jersey home.Le Masurier, Giffard & PochThe two firms that merged to createthe Ogier Group, Le Masurier, Giffard& Poch and Ogier & Le Cornu, beganlife in 1867 and 1922. Le Masurier,Giffard & Poch began in 1867when John Francis Giffard beganpracticing law in offices at 22 HillStreet, St Helier. He was succeededby his son Harold Giffard in 1901.A few years later, one of the mosthighly regarded leading commerciallawyers of the day, William Smyth LeMasurier joined the practice. Thenin 1909, Philip Antonio Poch, thenaged 13, began work for Le Masurier& Giffard and continued with thefirm, being made a partner in 1932when the name was changed to LeMasurier, Giffard & Poch. One of the most distinguishedpartners in the firm was Robert(Bob) Le Masurier, William’s son.He became a Partner in the late1930s and after serving as a navalcommander in active service in theNorth Atlantic he was awarded theDistinguished Service Cross. Onreturning to the island he resumedhis legal career and in 1956 wasmade Solicitor General. He then roseto become the Bailiff in 1962 at theage of 48 and was subsequentlyknighted. He served as the Bailiff for12 years until his retirement at theage of 60.Peter Hawksford Giffard beganstudying law at Oxford during the war.His studies were interrupted when hejoined the army and took part in theBurma campaign. He returned to gainhis degree and be called to the EnglishBar. He qualified as a Jersey Advocatein 1947 and was subsequently madea Partner. He retired in 1975 butremained as an active consultant foranother ten years. At the time of the merger thePartners of Le Masurier, Giffard& Poch were Michael Clapham,Christopher Renouf and PeterBertram. Michael Clapham retiredfrom the Partnership in 2001 butcontinues to work as a consultantwhilst Christopher Renouf and PeterBertram remain at Ogier today.Ogier & Le CornuAdvocateLéonceL’Hermite OgierOgier & Le Cornu came into being in1922 as a loose partnership betweenAdvocate Leonce L’Hermite Ogierand John Fleury Le Cornu. Thepartnership was based at Number 10Hill Street (Royal Court Chambers)for many years.Léonce was one of a large familyof four brothers and seven sisters.Their father, William John Ogier, wasthe son of Abraham Ogier, a MasterMariner originally from St Peter Port,Guernsey. Abraham sent his sonWilliam to the newly founded VictoriaCollege in 1855, where he mixedwith the sons of the most influentialfamilies in the island. This nodoubt helped William in his chosenprofession of the Law. Of his sons, only Léonce, born in 1881, followedhim into this profession in 1904 whenhe was called to the Jersey Bar.1010 Hill Street, home to Ogier& Le Cornu for many years

John de la PerrelleAll four sons, attended VictoriaCollege, as did Léonce’s sons andthree served in the Royal JerseyMilitia before serving in the GreatWar. Cyril Ogier, the youngestbrother, was awarded the MilitaryCross. The photograph of EmileOgier in the Number One Dressuniform of the Town Battalion of theRoyal Jersey Light Infantry is a fineexample of its type. Léonce himselfwas a captain in the Militia. He tookhis law degree at Jesus College,Oxford, where his son Kenneth alsostudied. Léonce Ogier died in theNazi concentration camp of Biberachin 1943 after being accused by theGestapo of harbouring a British spy.Advocate Le Cornu was born in1892 and called to the Jersey Bar in1922. Like his partner, he showedgreat courage during the GermanOccupation of the Channel Islandsby standing by his principles toact for, protect and safeguard theproperty of his Jewish clients in theIsland. He survived the war andcontinued to influence Jersey lifeuntil his death in 1952.At the time of the merger, thePartners in Ogier & Le Cornu wereMalcolm Sinel, Julian Clyde-Smith,Michael Birt, Jonathan White, StevenMeiklejohn and Richard Thomas.Malcolm Sinel became chairman ofOgier & Le Masurier and retired fromthe Partnership in 1999. JonathanWhite succeeded as Chairman whilstMichael Birt went on to becomeAttorney General, Deputy Bailiff andis now currently The Bailiff of Jersey.Julian Clyde-Smith retired from thePartnership in January 2007.History of The EsplanadeThe Esplanade was built between1829 and 1835. It reached initiallyonly as far as Patriotic Street, but was widened and lengthenedbetween 1858 and 1873.The land between the Esplanadeand Seaton Place was gradually builtupon during the middle years of thecentury, having been divided up intoconsecutively numbered plots. OgierHouse stands on the site of numbers43 and 44. Both can be seen in theaccompanying photograph, whichdates from the 1880s. Number 44is the two storey house, with threedormer windows showing, in thecentre of the photograph.Number 43 is the three storeywarehouse to the right. To the leftis another three storey building, number 45. The house, number 44,was purchased in 1875 by WilliamHuelin from Nicholas Gallichan and itbecame his family home. Williamwas a timber merchant, born inSt Peter in 1830. He had purchasednumber 43 in 1856, from PhilippeArthur and he probably built thewarehouse shown in the photographin about 1870, replacing sheds andstorage yards.William was a prosperous merchantwith four sons and two daughters.By 1900, his second son, John, had taken over the business andsoon after formed it into a limitedliability company under the nameof J.W. Huelin Ltd. By 1910 thebusiness had been expanded as theattached advertisement shows. Hesoon expanded further into buildingconstruction.During the Occupation, Huelin’slorries were used for the distributionof Red Cross parcels. By the 1970sthe business had moved to otherpremises, and its activities continueto this day.On the 9th July 1913 the houseat number 44 was the scene of atragedy when one of Mr Huelin’semployees, John de la Perrelle, fellfrom a ladder and was killed. It was adamp morning and Mr Huelin, lookingfor indoor work for his employees, instructed Mr de la Perrelle andanother man to take down the shuttersfrom the front of his house, number 44,and re-varnish them. Whilst the otherman was indoors, looking for a coat,Mr de la Perrelle went up a ladderand attempted to remove the firstshutter. He lost his balance and theladder slipped sideways. He fell ontothe pavement below and smashed hisskull on a kerbstone. He was carriedinto Mr Huelin’s office but was deadwithin minutes. It is interesting to note that theaccident occurred at 8:30am andthat by 5:00pm on the same day theinquest was taking place. This hadnecessitated the attendance of theViscount, Solicitor General and theconvening of a Jury, a visit to theGeneral Hospital to view the body anda site visit to number 44.
