APPENDIXGENERAL INFORMATION1. RESPONSIBILITY STATEMENTThis circular, for which the Directors collectively and individually accept full responsibility, includesparticulars given in compliance with the GEM Listing Rules for the purpose of giving information withregard to TOM. The Directors, having made all reasonable enquiries, confirm that, to the best of theirknowledge and belief:(a)the information contained in this circular is accurate and complete in all material respectsand not misleading;(b)there are no other matters the omission of which would make any statement in this circularmisleading; and(c)all opinions expressed in this circular have been arrived at after due and careful considerationand are founded on bases and assumptions that are fair and reasonable.2.
