any series (including the Notes) (or in all respects except for the first payment of interest on them)and so that such further notes, bonds, debentures or other securities shall be consolidated andform a single series with the outstanding notes, bonds, debentures or other securities of any series(including the Notes) or upon such terms as to interest, subordination (if any), premium,redemption and otherwise as the Issuer may determine at the time of their issue. Any furthernotes, bonds, debentures or other securities forming a single series with the outstanding notes,bonds, debentures or other securities of any series (including the Notes) constituted by the TrustDeed or any deed supplemental to it shall, and any other notes, bonds, debentures or othersecurities may, with the consent of the Trustee, be constituted by a deed supplemental to theTrust Deed. The Trust Deed contains provision for convening a single meeting of the Noteholdersand the holders of notes, bonds, debentures or other securities of other series in certaincircumstances where the Trustee so decides.16. AgentsThe names of the initial Paying Agents and their specified offices are set out at the end of theseConditions. The Issuer reserves the right, subject to the prior written approval of the Trustee, atany time to vary or terminate the appointment of any Paying Agent and to appoint additional orother Paying Agents, provided that the Issuer will at all times maintain (i) a Paying Agent having itsspecified office, so long as the Notes are listed on the London Stock Exchange plc and the rules ofthat Exchange so require, in London, (ii) a Principal Paying Agent and (iii) a Paying Agent in aMember State of the European Union that is not obliged to withhold or deduct tax pursuant toEuropean Council Directive 2003/48/EC or any law implementing or complying with, or introducedin order to conform to, such Directive. Notice of any such termination or appointment and of anychanges in the specified offices of the Paying Agents will be given promptly by the Issuer to theNoteholders in accordance with Condition 14.17. IndemnificationThe Trust Deed contains provisions for the indemnification of the Trustee and for its relief fromresponsibility, including provisions relieving it from taking proceedings to enforce repaymentunless indemnified and/or secured to its satisfaction. The Trustee is entitled to enter into businesstransactions with the Issuer, the Guarantor and any entity related to either of them withoutaccounting for any profit.18. Contracts (Rights of Third Parties) Act 1999No rights are conferred on any person under the Contracts (Rights of Third Parties) Act 1999 toenforce any term of this Note, but this does not affect any right or remedy of any person whichexists or is available apart from that Act.19. Governing Law and JurisdictionThe Notes, the Coupons, the Trust Deed and the Agency Agreement are governed by, and shallbe construed in accordance with, the laws of England. In relation to any legal action orproceedings arising out of or in connection with the Trust Deed, the Notes and the Coupons, eachof the Issuer and the Guarantor has in the Trust Deed irrevocably submitted to the jurisdiction ofthe courts of England and in relation thereto has appointed Adecco UK Ltd. at its registered officefor the time being, currently at Adecco House, Elstree Way, Borehamwood, Hertfordshire WD61HY, as its agent for service of process in England.40
