PURCHASE ORDER TERMS & CONDITIONS – SUPPLY OF GOODSAND/OR SERVICES(d)general third party insurance with a combined bodilyinjury <strong>and</strong> property damage limit <strong>of</strong> not less than theamount stated in the PO <strong>or</strong> equivalent peroccurrence <strong>or</strong> series <strong>of</strong> occurrences arising from theone event. Such insurance shall contain anindemnity to principals clause.13 CANCELLATION & TERMINATION13.1 Company may cancel all <strong>or</strong> part <strong>of</strong> the Contract f<strong>or</strong> itsconvenience by written notice. If Company cancels f<strong>or</strong> itsconvenience, Contract<strong>or</strong> will be entitled to payment pro-rataf<strong>or</strong> satisfact<strong>or</strong>y perf<strong>or</strong>mance pri<strong>or</strong> to cancellation plus anyreasonable <strong>and</strong> documented expenses directly incurred byContract<strong>or</strong> in cancelling <strong><strong>or</strong>der</strong>s <strong>and</strong> w<strong>or</strong>k in progress.13.2 Company may, in addition to its other rights <strong>or</strong> remedies,terminate all <strong>or</strong> part <strong>of</strong> the Contract by immediate writtennotice f<strong>or</strong>:(a) Contract<strong>or</strong>’s actual <strong>or</strong> anticipated breach <strong>of</strong> anyContract provision <strong>and</strong> failure to c<strong>or</strong>rect such actual<strong>or</strong> anticipated breach within a time period stipulatedby Company; <strong>or</strong>(b) any act related to bankruptcy, re<strong>or</strong>ganisation,receivership <strong>or</strong> insolvency. Upon termination,Company may immediately take possession <strong>of</strong> any<strong>of</strong> the Goods to be provided under the Contract; <strong>or</strong>(c) any breach <strong>of</strong> Clause 19 <strong>and</strong>/<strong>or</strong> Clause 20.13.3 If Company terminates f<strong>or</strong> Contract<strong>or</strong>’s default, Contract<strong>or</strong>indemnifies, defends <strong>and</strong> holds harmless Company against allcosts (including legal costs) <strong>or</strong> expenses incurred by Companyin obtaining the Goods/Services elsewhere <strong>and</strong>/<strong>or</strong> arrangingf<strong>or</strong> a third party to <strong>supply</strong> <strong>or</strong> complete the Goods/Services.13.4 The following Clauses survive the cancellation <strong>or</strong> termination<strong>of</strong> the Contract: 3, 5, 7, 9, 10, 11, 12, 13, 17 <strong>and</strong> 20.14 ASSIGNMENT14.1 Contract<strong>or</strong> must not assign, transfer <strong>or</strong> sub-contract theContract in whole <strong>or</strong> in part <strong>or</strong> any legal <strong>or</strong> equitable interestwithout the pri<strong>or</strong> written consent <strong>of</strong> Company.14.2 Company is entitled to freely assign <strong>or</strong> transfer the Contract inwhole <strong>or</strong> in part <strong>or</strong> any legal <strong>or</strong> equitable interest to any thirdparty by giving written pri<strong>or</strong> notice to Contract<strong>or</strong>.15 FORCE MAJEURE15.1 Neither Party is responsible f<strong>or</strong> any failure to fulfil any term <strong>or</strong>condition <strong>of</strong> the Contract if <strong>and</strong> to the extent that fulfilment hasbeen delayed <strong>or</strong> temp<strong>or</strong>arily prevented by a F<strong>or</strong>ce Majeureoccurrence which has been notified in acc<strong>or</strong>dance with Clause15.2 which is beyond the control <strong>and</strong> without the fault <strong>or</strong>negligence <strong>of</strong> the Party affected <strong>and</strong> which, by the exercise <strong>of</strong>reasonable diligence, it is unable to provide against. EachParty is to use its best endeavours to avoid, circumvent <strong>or</strong>overcome the circumstances <strong>of</strong> F<strong>or</strong>ce Majeure.15.2 If an event <strong>of</strong> F<strong>or</strong>ce Majeure occurs, the Party that is <strong>or</strong> maybe delayed in perf<strong>or</strong>ming under the Contract shall notify theother Party in writing without delay giving the full particularsthere<strong>of</strong> <strong>and</strong> shall immediately <strong>and</strong> continuously use allreasonable endeavours to remedy the situation without delay.15.3 Neither Party shall be liable to the other Party f<strong>or</strong> costsincurred by the other as a result <strong>of</strong> any delay <strong>or</strong> failure toperf<strong>or</strong>m arising from an event <strong>of</strong> F<strong>or</strong>ce Majeure notified inacc<strong>or</strong>dance with Clause 15.2.15.4 If an event <strong>of</strong> F<strong>or</strong>ce Majeure prevails f<strong>or</strong> a period <strong>of</strong> sixty (60)days then Company may terminate the Contract f<strong>or</strong>thwith bygiving notice.16 HEALTH, SAFETY, SECURITY & THEENVIRONMENT16.1 Contract<strong>or</strong> must comply with <strong>and</strong> ensure all Contract<strong>or</strong>Personnel comply with:(a) all Legislation affecting health, safety, security <strong>and</strong>the environment (“HSSE”) in respect <strong>of</strong> the provision<strong>of</strong> the Goods <strong>or</strong> the perf<strong>or</strong>mance <strong>of</strong> the Services;<strong>and</strong>(b) Company’s HSSE policies; Contract<strong>or</strong> to request acopy <strong>of</strong> the policy if it is not provided with theContract.16.2 Company may on notice to Contract<strong>or</strong> <strong>and</strong> without any furtherconsent <strong>of</strong> Contract<strong>or</strong> undertake, at any time, an HSSE risk<strong>and</strong> impact assessment <strong>of</strong> the Contract<strong>or</strong>’s (<strong>and</strong> Contract<strong>or</strong>Personnel) w<strong>or</strong>k policies <strong>and</strong> procedures in relation to theprovision <strong>of</strong> the Goods <strong>or</strong> the perf<strong>or</strong>mance <strong>of</strong> the Services. F<strong>or</strong>the avoidance <strong>of</strong> doubt, the Contract<strong>or</strong> irrevocably consents toan HSSE risk <strong>and</strong> impact assessment being undertaken by <strong>or</strong>on behalf <strong>of</strong> the Company in acc<strong>or</strong>dance with this Clause 16.2<strong>and</strong> to provide unfettered access to relevant w<strong>or</strong>k sites,personnel <strong>and</strong> equipment.16.3 Should Company determine, at its sole discretion that theresults <strong>of</strong> the risk <strong>and</strong> impact assessment under this Clause 16indicate sufficient HSSE exposure in relation to the provision<strong>of</strong> the Goods <strong>or</strong> the perf<strong>or</strong>mance <strong>of</strong> the Services, Company isentitled to direct Contract<strong>or</strong> (<strong>and</strong> Contract<strong>or</strong> Personnel) toundertake at Contract<strong>or</strong>’s cost <strong>and</strong> within an agreed timescale,remedial actions which Company considers necessary t<strong>or</strong>educe <strong>or</strong> eliminate the HSSE risk(s), impact <strong>or</strong> noncompliance.17 AUDIT17.1 Contract<strong>or</strong> represents <strong>and</strong> covenants that it maintainsaccurate <strong>and</strong> complete books <strong>and</strong> rec<strong>or</strong>ds <strong>and</strong> internalcontrols, consistent with accounting principles, practicescontained in International Financial Rep<strong>or</strong>ting St<strong>and</strong>ards <strong>and</strong>all applicable laws.17.2 Company has the right to audit all Contract<strong>or</strong>’s rec<strong>or</strong>ds relatingto the provision <strong>of</strong> Goods/Services. Contract<strong>or</strong> will keep <strong>and</strong>make all rec<strong>or</strong>ds available f<strong>or</strong> twenty four (24) months afterdelivery <strong>of</strong> the Goods <strong>and</strong>/<strong>or</strong> completion <strong>of</strong> the Services. Ifany audit detects over charging to Company in excess <strong>of</strong> twopercent (2%) <strong>of</strong> the Price, Company may invoice Contract<strong>or</strong>f<strong>or</strong> all audit costs.18 GENERAL18.1 Company’s right to require strict perf<strong>or</strong>mance <strong>of</strong> the <strong>terms</strong> <strong>of</strong>the Contract are not affected <strong>or</strong> waived by any failure toenf<strong>or</strong>ce any <strong>of</strong> the <strong>terms</strong> <strong>or</strong> by Company’s acceptance <strong>of</strong>perf<strong>or</strong>mance under the Contract.18.2 The Contract does not create any partnership betweenCompany <strong>and</strong> Contract<strong>or</strong>.18.3 The contents page <strong>and</strong> headings in the Contract are f<strong>or</strong>convenience only <strong>and</strong> do not affect the interpretation <strong>or</strong>construction <strong>of</strong> the Contract.18.4 No representation <strong>or</strong> warranty, express <strong>or</strong> implied, is <strong>or</strong> will bemade <strong>and</strong> no responsibility <strong>or</strong> liability is <strong>or</strong> will be accepted byCompany <strong>or</strong> by any member <strong>of</strong> Company Group as to, <strong>or</strong> inrelation to, the accuracy <strong>or</strong> completeness <strong>of</strong> any inf<strong>or</strong>mationmade available to Contract<strong>or</strong> Group.18.5 A person <strong>or</strong> company who is not a Party has no right underany legislation to enf<strong>or</strong>ce any term <strong>of</strong> the Contractnotwithst<strong>and</strong>ing that any term may be construed as conferringa benefit on such person <strong>or</strong> company.18.6 Any notice under the Contract is to be delivered in writing inthe English language personally, by courier, by rec<strong>or</strong>deddelivery <strong>or</strong> sent by facsimile (with confirmation) to the otherParty at the registered address <strong>or</strong> an address specified in theContract <strong>and</strong> f<strong>or</strong> the attention <strong>of</strong> any individual specified in theVersion 1.1 Page 6 <strong>of</strong> 7

If no individual is specified f<strong>or</strong> Company, then it is tobe marked f<strong>or</strong> the attention <strong>of</strong> the C&P Manager.18.7 The Contract may be executed in any number <strong>of</strong> counterparts,all <strong>of</strong> which, taken together, shall constitute one <strong>and</strong> the sameagreement, <strong>and</strong> any Party (including any duly auth<strong>or</strong>isedrepresentative <strong>of</strong> a Party) may enter into the Contract byexecuting a counterpart.18.8 If any part <strong>of</strong> the Contract is held by a court <strong>of</strong> competentjurisdiction to be invalid, illegal <strong>or</strong> unenf<strong>or</strong>ceable, theremainder <strong>of</strong> the Contract shall not be affected <strong>and</strong> every part<strong>of</strong> the Contract shall be severable <strong>and</strong> separately valid <strong>and</strong>enf<strong>or</strong>ceable.19 AGENTS AND INTERMEDIARIES19.1 Contract<strong>or</strong> represents, warrants <strong>and</strong> undertakes to Companythat it has not <strong>and</strong> that each other member <strong>of</strong> Contract<strong>or</strong>Group <strong>and</strong> other Representatives have not:(a) used <strong>and</strong> will not use, the services <strong>of</strong> an agent <strong>or</strong>intermediary; <strong>or</strong>(b) made <strong>or</strong> <strong>of</strong>fered to make, <strong>and</strong> will not make anypayment <strong>or</strong> transfer <strong>of</strong> anything <strong>of</strong> value directly <strong>or</strong>indirectly to any agent <strong>or</strong> intermediary <strong>or</strong> to anyCompany representative, in connection withContract<strong>or</strong>’s prequalification/sh<strong>or</strong>t listing f<strong>or</strong>, <strong>or</strong> theaward <strong>of</strong>, the Contract <strong>or</strong> in connection with anyvariation under, <strong>or</strong> amendment to, the Contract.19.2 Any breach <strong>of</strong> this provision is a material breach <strong>of</strong> theContract entitling the Company to terminate the Contract inacc<strong>or</strong>dance with Clause 13.2.20 ANTI-CORRUPTION OBLIGATIONS20.1 Contract<strong>or</strong> undertakes that in relation to the Contract:(a) it <strong>and</strong> its Representatives comply with all relevantlaws in relation to c<strong>or</strong>ruption, fraud <strong>and</strong> bribery <strong>and</strong>specifically United Kingdom Bribery Act 2010 (UKBA2010);(b) it <strong>and</strong> its Affiliates have adequate policies <strong>and</strong>procedures in relation to business ethics <strong>and</strong>conduct which are compliant with UKBA 2010 <strong>and</strong>relevant guidance;(c) neither it n<strong>or</strong> any <strong>of</strong> its Representatives has at anytime been investigated <strong>or</strong> is being investigated <strong>or</strong>been suspected in any jurisdiction <strong>of</strong> conduct whichconstitutes c<strong>or</strong>ruption, fraud <strong>or</strong> bribery; <strong>and</strong>(d) there is no relationship between(i) Contract<strong>or</strong>’s Representatives <strong>or</strong> anymember <strong>of</strong> the Contract<strong>or</strong>’s <strong>or</strong> anyRepresentatives’ immediate families, <strong>and</strong>(ii) any f<strong>or</strong>eign public <strong>of</strong>ficial (as defined in theUKBA 2010) which may be <strong>or</strong> mayreasonably be considered to be influencingmatters connected with the Contract,save as has been notified to Company in writing.20.2 Contract<strong>or</strong> will notify Company immediately in writing if at anytime it becomes aware that any <strong>of</strong> the circumstances set out inClauses 20.1(c) <strong>and</strong> 20.1(d) above are not as represented <strong>and</strong>will promptly take all such steps as may be necessary <strong>and</strong>/<strong>or</strong>requested by Company which are designed to ensureminimum adverse effect on Company’s reputation <strong>and</strong> theContract.20.3 Contract<strong>or</strong> indemnifies <strong>and</strong> holds Company <strong>and</strong> its Affiliatesharmless from <strong>and</strong> against any <strong>and</strong> all claims, damages,liabilities, losses, penalties, fees, costs <strong>and</strong> expenses arisingfrom <strong>or</strong> related to, any breach <strong>of</strong> this Clause.21 BUSINESS PRINCIPLES21.1 Contract<strong>or</strong> shall, <strong>and</strong> shall ensure its Representatives, act in amanner consistent with BG Group Business Principles belowso as to enable Company to operate in acc<strong>or</strong>dance with thoseprinciples in relation to this Contract. Contract<strong>or</strong> confirms thatit will provide the Goods/Services in all respects in acc<strong>or</strong>dancewith these Business Principles, <strong>and</strong> other Company businessprinciples, policies <strong>and</strong> procedures which may becomeapplicable as notified in writing by Company to Contract<strong>or</strong> fromtime to time.BG GROUP BUSINESS PRINCIPLESConduct• We act with integrity, fairness <strong>and</strong> transparency.• We comply with legal, regulat<strong>or</strong>y <strong>and</strong> licencerequirements.• We do not tolerate c<strong>or</strong>ruption in any f<strong>or</strong>m, whether direct<strong>or</strong> indirect.• Our investment criteria take account <strong>of</strong> economic returns,environmental impacts, social consequences <strong>and</strong> humanrights.• High st<strong>and</strong>ards <strong>of</strong> c<strong>or</strong>p<strong>or</strong>ate governance are integral tothe way we manage our business.People• We treat people with fairness, respect <strong>and</strong> decency.• We help employees to develop their potential.• We believe that all injuries are preventable.• We provide healthy, safe <strong>and</strong> secure w<strong>or</strong>k environments.Society• We w<strong>or</strong>k to ensure that neighbouring communitiesbenefit from our presence on an enduring basis.• We listen to neighbouring communities <strong>and</strong> take account<strong>of</strong> their interests.• We supp<strong>or</strong>t human rights within our areas <strong>of</strong> influence.Environment• We make a positive contribution to the protection <strong>of</strong> theenvironment.• We go beyond compliance with local environmentalregulation to meet internationally accepted best practice.• We reduce to the minimum practicable any adverseeffects <strong>of</strong> our operations on the environment.22 GOVERNING LAW & DISPUTE SETTLEMENT22.1 This Contract <strong>and</strong> any non-contractual obligations arising out<strong>of</strong> <strong>or</strong> in connection with it shall be governed by the law <strong>of</strong>Queensl<strong>and</strong>.22.2 The Queensl<strong>and</strong> courts shall have exclusive jurisdiction tosettle any dispute arising out <strong>of</strong> <strong>or</strong> in connection with thisContract including a dispute relating to any non-contractualobligations arising out <strong>of</strong> <strong>or</strong> in connection with this Contract<strong>and</strong> the parties submit to the exclusive jurisdiction <strong>of</strong> theQueensl<strong>and</strong> courts.22.3 This Contract is not governed by the United NationsConvention on Contracts f<strong>or</strong> the International Sale <strong>of</strong> Goods(1980) <strong>or</strong> any other international conventions relating to thesale <strong>of</strong> <strong>goods</strong>.Version 1.1 Page 7 <strong>of</strong> 7
