Jones called the <strong>Hospital</strong> <strong>Board</strong> <strong>of</strong> <strong>Trustee</strong> <strong>Meeting</strong> to order at 6:10 p.m. He noted there were<br />
two groups invited to present. The first group will speak about Vision <strong>Brookings</strong> and the Chair<br />
<strong>of</strong> the BHS Foundation will be arriving around 8:00 p.m.<br />
Invited Guest<br />
Al Kurtenbach, spokesperson for Vision <strong>Brookings</strong>, made a request to the <strong>Board</strong> to consider a<br />
six-year pledge <strong>of</strong> $150,000 paid in two segments. The initial commitment <strong>of</strong> $25,000 per year<br />
for three years to help fund an active workforce development effort designed to attract medical<br />
pr<strong>of</strong>essionals such as physicians, therapists and other needed medical specialists. The option to<br />
renew for an additional three years based on achievement <strong>of</strong> metrics and benchmarks established<br />
jointly by the health system and the <strong>Brookings</strong> Vision <strong>Board</strong> <strong>of</strong> Advisors. The goal <strong>of</strong> this<br />
program will be to supplement attraction efforts <strong>of</strong> local healthcare providers as they actively<br />
seek and retain medical pr<strong>of</strong>essionals to live and maintain a practice in <strong>Brookings</strong> County.<br />
Expenditures for this activity will be based on guidelines established by the Vision <strong>Brookings</strong><br />
<strong>Board</strong> <strong>of</strong> Advisors who may provide matching funds to be determined by the amount <strong>of</strong> money<br />
available. Kurtenbach, Bender and Nelson were excused at 6:58 p.m. Booher made a motion to<br />
continue to fund $25,000 for the next three years to Vision <strong>Brookings</strong>. Whaley seconded the<br />
motion to move it to discussion. Timpe reminded the <strong>Board</strong> that the entire commitment<br />
($75,000) would be recorded as an expense in the fiscal year the commitment is made. The<br />
motion was approved unanimously with one abstention by McKnight. Motion carried.<br />
Second invited guest was Roberta Olson, Chair <strong>of</strong> the BHS Foundation. The Foundation’s<br />
Executive <strong>Board</strong> met with committee chairs and developed a major gifts prospect list. Olson<br />
asked each <strong>of</strong> the <strong>Hospital</strong> <strong>Board</strong> <strong>of</strong> <strong>Trustee</strong>s to assist the Foundation with making the initial<br />
contact with the prospect name. She asked that the <strong>Board</strong> members communicate to Davis by<br />
September 26 th . Olson was excused at 8:27 p.m.<br />

Informational Items<br />
Brown and Wicks were not present at the <strong>Board</strong> meeting as they were attending the SDAHO<br />
Conference in Rapid <strong>City</strong>. The <strong>Brookings</strong> Health System’s Auxiliary and Nursing Homes<br />
President, Hazel Hauff submitted an annual report for viewing.<br />

CEO Report<br />
C<strong>of</strong>fey noted the first review <strong>of</strong> the capital budget came in at $5.4 million. He is meeting with<br />
department managers to reduce the total amount by half. C<strong>of</strong>fey also noted the web site is in the process<br />
<strong>of</strong> being overhauled. Marketing <strong>of</strong> BHS to the community has also increased. The paperwork on the<br />
recent land purchase located on the corner <strong>of</strong> Yorkshire Drive and Sunrise Ridge Road on the north side<br />
<strong>of</strong> the road has been finalized.<br />
CFO Report<br />
Timpe presented the financial summary for August 2011. For August the corporation made a pr<strong>of</strong>it <strong>of</strong><br />
$153,159, beating the budget by $13,568. Year-to-date figures show the organizational pr<strong>of</strong>it is over<br />
budget by $358,423. Charity write-<strong>of</strong>f for August was $35,458 with year-to-date deduction <strong>of</strong> $163,431.<br />

CNO Report<br />
Hillestad noted Home Health/Hospice has relocated to the recently purchased building located at 22 nd<br />
Avenue and Yorkshire Drive. The inpatient areas have launched a program titled SHHH, Silent <strong>Hospital</strong>s<br />
Help Healing. A quiet hour has been established to allow patients to rest with minimal interruptions by<br />
staff. A video is being created for patients and family <strong>of</strong> pediatric patients undergoing surgery, with the<br />
intent <strong>of</strong> reducing fear and anxiety. This video will be available on the BHS website and through the<br />
physician clinic. Implementation <strong>of</strong> the volunteer Doula program is underway to support laboring<br />
patients. Education has been provided and a coordinator has been designated.<br />
<strong>Board</strong><br />
Executive Committee:<br />
The Executive Committee did not meet in September.<br />
QI/Personnel Committee:<br />
The QI/Personnel Committee met on September 8, 2011. Second quarter 2011 reports in the following<br />
areas were reviewed in detail by the committee: Infection Control, Nursing Home Infections, Falls,<br />
Medication Errors and Customer Service. The Flu Campaign for staff is underway.<br />
Strategic Planning Committee:<br />
The Strategic Planning Committee met on September 20, 2011. An invited guest spoke to the committee<br />
regarding the closed-unit dialysis and a patient being unable to choose a provider. The committee talked<br />
about the Chiller Farm and what the options were that HGA recommended. C<strong>of</strong>fey noted the current<br />
chiller farm still needs two 200-ton chillers to serve the cooling needs. The remodeling is finishing up at<br />
the recently purchased building located at 22 nd Avenue and Yorkshire Drive. Final paperwork to establish<br />
the Home Medical Equipment business is completed. C<strong>of</strong>fey noted a <strong>Board</strong> consisting <strong>of</strong> three staff from<br />

BHS and three staff from Avera needs to be created. The <strong>Board</strong> Retreat will be put on hold until the<br />
decision is made on the CEO Search. There were no action items from the committee.<br />
Finance Committee:<br />
The Finance Committee met September 19, 2011. Booher noted Phil Wagner updated the committee on<br />
the estimated costs <strong>of</strong> the skilled nursing facility. Horty-Elving was provided a budget figure <strong>of</strong> $10<br />
million utilizing 60,000 square feet. Presently what is programmed is at 72,000 square feet at a cost per<br />
square foot <strong>of</strong> $153.85. Adding a 5% contingency and FFE the estimated costs are at $12,796,000. The<br />
<strong>Board</strong> requested that Horty-Elving come to the <strong>Board</strong> meeting in October to provide an update on the<br />
programming phase <strong>of</strong> the project. Booher brought forth one action item from the Finance Committee<br />
regarding designated funds. Timpe has been working on a proposal as a result <strong>of</strong> the auditors’ suggestion<br />
to have designated funds. The proposed plan could also save money when completing the Medicare Cost<br />
Report. The designated funds would show up under the noncurrent cash and reserves in the Balance<br />
Sheet. The motion came from Wicks with second by Brown. The motion reads as follows: The <strong>Board</strong><br />
hereby directs administration to create a <strong>Board</strong> designated (depreciation fund) account on the books in the<br />
amount <strong>of</strong> $9,000,000.00 (nine million dollars). The monthly earnings from these investments should be<br />
added to the <strong>Board</strong> designated (depreciation fund). Withdrawals can be made, with Finance Committee<br />
approval, for property, plant or equipment acquisitions or principal payments on debt. Unanimous<br />
approval <strong>of</strong> the motion. Motion carried.<br />
New Business<br />
Veterans Administration Request for Proposal<br />
C<strong>of</strong>fey received an updated request for proposal for a new Eastern Veterans Home from the Department<br />
<strong>of</strong> Military & Veterans Affairs Office. The deadline for submission <strong>of</strong> a proposal is December 15, 2011.<br />
C<strong>of</strong>fey asked the <strong>Board</strong> whether they were still interested in submitting a proposal to the VA from the<br />
hospital. He noted the original projections that were done at the beginning <strong>of</strong> 2011 showed a construction<br />
cost <strong>of</strong> $5 million dollars and an annual operating loss <strong>of</strong> $300,000/year. He reminded the members that<br />
the numbers originally submitted assumed a cost, for replacing the nursing home <strong>of</strong> $9 million. Since that<br />
time, the cost <strong>of</strong> the nursing home has increased substantially, which now puts into question whether the<br />
hospital can still allocate the funds needed to pay for the cost <strong>of</strong> constructing the VA building as<br />
originally planned. Baker asked the question does the community want a VA nursing home. Johnston<br />
indicated from a physician perspective the needs <strong>of</strong> a VA patient (documentation) can be challenging.<br />
McKnight made a motion that BHS is not interested in submitting a Request for Proposal for<br />
consideration <strong>of</strong> the Eastern Veterans Home. Johnston seconded the motion. Vote: Jones, no, Baker,<br />
no, Booher, yes, Faltemier, yes, Johnston, yes, McKnight, yes, Whaley, yes. Motion approved.<br />
Jones noted the Mayor would like to attend the October <strong>Board</strong> <strong>Meeting</strong> to talk about the proposal, but he<br />
suggested that a small group meet prior to the full <strong>Board</strong> <strong>Meeting</strong>. A motion by McKnight that the Mayor<br />
meets with the entire <strong>Board</strong> and not a sub-committee. Johnston seconded the motion. The main<br />
discussion regarding this motion centered around the lack <strong>of</strong> available hospital funds to construct the VA<br />
building, and that there were many other projects that would take priority over the VA nursing home.<br />
Vote: Jones, no, Baker, no, Booher, no, Faltemier, yes, Johnston, no, McKnight, yes, Whaley,<br />
yes. Motion failed. Jones and Baker will meet with Mayor Reed to communicate the <strong>Board</strong>’s<br />
decision to not pursue the request for proposal on the VA nursing home.<br />
Renal Dialysis<br />
The Strategic Planning Committee met with John Mathison from Avera. Dr. Mathison is the Assistant<br />
VP <strong>of</strong> Medical Specialty Clinics. In light <strong>of</strong> Prairie Lakes Healthcare System (PLHS) changing all <strong>of</strong><br />
their dialysis locations to closed units, Mathison brought his concerns to the SP committee. C<strong>of</strong>fey noted<br />
the current contract with PLHS is written with a 60-day out. McKnight asked where the division line<br />

etween the board reviewing contracts and the CEO’s role in contract review. C<strong>of</strong>fey responded that<br />
management was responsible for negotiating contracts but would seek assistance from the board members<br />
as needed. C<strong>of</strong>fey noted he will schedule a meeting with the CEO <strong>of</strong> PLHS to meet with the Strategic<br />
Planning Committee in October.<br />
Unfinished Business<br />
CEO Search<br />
Baker noted all the interviews have taken place. The Search Committee will meet on September<br />
30 th to bring forth a recommendation to the <strong>Board</strong> <strong>of</strong> <strong>Trustee</strong>s. The following week a special<br />
<strong>Board</strong> meeting will be called to review the recommendation made from the Search Committee.<br />
Bylaws<br />
A draft <strong>of</strong> the revised Bylaws was presented for review. McKnight asked the members to review<br />
the changes during the next month and email her with any concerns/questions. A couple <strong>of</strong><br />
points for discussion are <strong>Board</strong> compensation and city and county vacancies. Discussion <strong>of</strong> the<br />
proposed Bylaws will take place at the regular October <strong>Board</strong> meeting.<br />
HIT Grant Update<br />
C<strong>of</strong>fey updated the <strong>Board</strong> on the health information technology grant. At the June 9 th <strong>Board</strong><br />
<strong>Meeting</strong>, Sterud presented information on the technology grant that was submitted for funding<br />
between <strong>Brookings</strong> Health System, Avera and United Retirement Center/Avera. BHS received<br />
word the grant was approved and the award is $900,000 over a three year period. Conditions <strong>of</strong><br />
the grant are not as stringent as originally thought and C<strong>of</strong>fey recommended to the <strong>Board</strong> that<br />
they accept the award. A motion by Johnston to accept the $900,000 Health Information<br />
Technology Grant along with the terms and conditions set forth in the grant. Faltemier seconded<br />
the motion. Unanimous approval <strong>of</strong> the motion. C<strong>of</strong>fey noted there would be a full time Project<br />
Director that will be hired to oversee the grant. The new position will be for the duration <strong>of</strong> the grant and<br />
will be paid from the grant dollars.<br />
