Casual <strong>Leasing</strong> – Terms & ConditionsLicence• The Licensor grants to <strong>the</strong> licensee and <strong>the</strong> Licensee accepts a non-exclusive licence to use <strong>the</strong> Licensed Area for <strong>the</strong> Permitted Use during <strong>the</strong>Licence Period in consideration of <strong>the</strong> Licensee paying <strong>the</strong> Licensor <strong>the</strong> Licence fee and subject to <strong>the</strong> terms and conditions of this licence.• The Licensor and Licensee agree that this licence is personal and any rights rest in contract only and do not create a tenancy or leasehold interest in<strong>the</strong> Licensed Area or confer any rights under any tenancy legislation.Payment of Licence Fee• The Licensor will issue invoices to <strong>the</strong> Licensee for <strong>the</strong> payment of <strong>the</strong> Licence Fee at various times before and during <strong>the</strong> Licence Period (dependingon <strong>the</strong> length of <strong>the</strong> Licence Period).• If <strong>the</strong> Licence Period is less than one month, <strong>the</strong>n <strong>the</strong> Licensee must pay <strong>the</strong> Licensor <strong>the</strong> Licence Fee in full at least one week before <strong>the</strong> Start Dateunless payment is made by way of a personal cheque, in which case payment will be required at least two weeks before <strong>the</strong> Start Date.• If <strong>the</strong> Licence Period is longer than one month, <strong>the</strong>n <strong>the</strong> Licensee must pay <strong>the</strong> Licensor an amount equal to <strong>the</strong> Licence Fee payable for one monthat least one week before <strong>the</strong> Start Date unless payment is made by way of a personal cheque, in which case payment will be required at least twoweeks before <strong>the</strong> Start Date. Thereafter, <strong>the</strong> Licensee must pay <strong>the</strong> Licensor to <strong>the</strong> License in <strong>the</strong> manner and at <strong>the</strong> times prescribed in <strong>the</strong> invoicesissued by <strong>the</strong> Licensor to <strong>the</strong> Licensee.• If <strong>the</strong> Licensee does not pay <strong>the</strong> Licence Fee (or any part <strong>the</strong>reof) on time, <strong>the</strong>n <strong>the</strong> Licensor may charge <strong>the</strong> Licensee interest at a rate equal to 15%per annum until <strong>the</strong> payment is made.• If <strong>the</strong> Licensee cancels <strong>the</strong> Licensee’s booking 30 days (or less) prior to commencement of <strong>the</strong> Licence Period <strong>the</strong> Licensor is entitled to charge acancellation fee of 50% of <strong>the</strong> total booking fee.Licensee’ ObligationsThe Licensee must:• At all times, be solely responsible for, and insure, its own displays, property, equipment, merchandise and employees;• Take out public liability insurance in <strong>the</strong> amount of $20 million during <strong>the</strong> Licence Period with Fitch Retail trading as <strong>Golden</strong> <strong>Grove</strong> <strong>Village</strong> <strong>Shopping</strong><strong>Centre</strong> (ABN: 53 819 946 949) and <strong>the</strong> Owner of <strong>the</strong> <strong>Centre</strong> noted as interested parties. The Licensee must provide <strong>the</strong> Licensor with a certificate ofcurrency in relation to <strong>the</strong> public liability insurance prior to commencement of trade date for <strong>the</strong> Casual <strong>Leasing</strong> Booking;• At all times comply with all laws, statutes, ordinances, regulations orders, local laws and by-laws of any Government or statutory authority regarding <strong>the</strong>conduct of <strong>the</strong> Licensee’s business and <strong>the</strong> use or occupation by <strong>the</strong> Licensee of <strong>the</strong> Licensed Area;• Comply with <strong>the</strong> <strong>Centre</strong> Rules;• Maintain <strong>the</strong> physical appearance of any display and <strong>the</strong> Licensed Area at all times in a clean and professional manner and portray a quality image so asto enhance <strong>the</strong> Licensee’s merchandise and <strong>the</strong> <strong>Centre</strong> generally;• Present all signage in a professionally printed manner;• Where applicable, trestle tables are to be covered with centre standard tablecloths and white boxed tables to have professional signage affixed to <strong>the</strong>front panel;• Ensure that all displays and <strong>the</strong> Licensee’s property and merchandise remain within <strong>the</strong> Licensed Area;• No cardboard boxes or general rubbish to be visible;• Erect all displays prior to 9.00am on each trading day during <strong>the</strong> Licence Period;• Staff <strong>the</strong> Licensed Area at all times during <strong>the</strong> <strong>Centre</strong>’s trading hours, (except if this licence relates to a self-service vending machine in which case nostaff are required) ensuring that staff remain within <strong>the</strong> site boundaries predetermined by <strong>the</strong> Licensor;• Accede to any request, comply with any instruction or directive and adhere to any rule of <strong>the</strong> <strong>Centre</strong> made or issued through <strong>the</strong> Licensor’s <strong>Centre</strong>Manager, Marketing Manager or Casual <strong>Leasing</strong> Manager;• Ensure that all motor vehicles have a drip tray placed below <strong>the</strong> engine and plain coloured matching carpet squares under each wheel;The Licensee must not:• Obstruct <strong>the</strong> clear view of <strong>the</strong> shopfront of any o<strong>the</strong>r tenant of <strong>the</strong> <strong>Centre</strong> and it must conduct and use <strong>the</strong> Licensed Area in a manner which will notprevent, unduly interfere with or adversely affect <strong>the</strong> use and enjoyment of <strong>the</strong> <strong>Centre</strong> by <strong>the</strong> Licensor or any o<strong>the</strong>r occupants of <strong>the</strong> <strong>Centre</strong>;• Cause or allow any obstruction of any kind to <strong>the</strong> use by <strong>the</strong> Licensor or any o<strong>the</strong>r person of <strong>the</strong> common areas in or about <strong>the</strong> <strong>Centre</strong>;• Allow its displays to exceed 1.8 metres in height;• Use hand written signs;<strong>Shopping</strong>... just <strong>the</strong> way you like it!Cnr The www.goldengroveshopping.com.au<strong>Golden</strong> & The <strong>Grove</strong> Ways, <strong>Golden</strong> <strong>Grove</strong>


Casual <strong>Leasing</strong> – Terms & Conditions• Use deck chairs or “A” Frame stands in <strong>the</strong> Licensed Area;• Dismantle or remove any display before <strong>the</strong> end of any trading day during <strong>the</strong> Licence Period without <strong>the</strong> Licensor’s prior consent;• Permit more than two (2) persons to occupy <strong>the</strong> Licensed Area to staff <strong>the</strong> display at any one point in time;• Distribute any pamphlets, brochures, leaflets, helium balloons, stickers or any o<strong>the</strong>r advertising material within <strong>the</strong> <strong>Centre</strong> without <strong>the</strong> Licensor’s priorconsent;• Use any voice amplification devices, flashing lights, music or o<strong>the</strong>r selling aids which, in <strong>the</strong> opinion of <strong>the</strong> Licensor are likely to disrupt o<strong>the</strong>r occupantsof <strong>the</strong> <strong>Centre</strong>;• Use <strong>the</strong> <strong>Centre</strong> planter boxes or poles or any o<strong>the</strong>r equipment owned or controlled by <strong>the</strong> Licensor;• Do anything, including installing or using any fixtures, fittings, tools or equipment which will or may damage or disfigure <strong>the</strong> <strong>Centre</strong> in anyway;• Not assign this licence, grant a sub licence or cease to conduct <strong>the</strong> business personally from <strong>the</strong> Licensed Area at any time;• Directly conflict with an internal retailer’s core business;• Smoke, eat or drink within <strong>the</strong> licensed area; and• Spruik, solicit or harass customers or staff of <strong>the</strong> shopping centre.• At <strong>the</strong> expiration of <strong>the</strong> Licence Period, <strong>the</strong> Licensee must remove all displays, property, equipment and merchandise it brought onto <strong>the</strong> LicensedArea immediately and make good any damage caused to <strong>the</strong> Licensed Area or <strong>the</strong> <strong>Centre</strong> as a result. The Licensee must leave <strong>the</strong> Licensed Area in aclean condition. If <strong>the</strong> Licensee does not do so, <strong>the</strong>n <strong>the</strong> Licensor may remove and dispose of those items in its absolute discretion and <strong>the</strong> Licensorwill not be responsible for any loss or damage occasioned <strong>the</strong>reby.Licensor’s Rights• The Licensor may, within its absolute discretion and at any time before <strong>the</strong> Start Date or during <strong>the</strong> Licence Period, relocate <strong>the</strong> Licensee to ano<strong>the</strong>r sitewithin <strong>the</strong> <strong>Centre</strong> if it considers it necessary. The Licensee must immediately comply with <strong>the</strong> Licensor’s directions in this regard.The Licensor may terminate this licence at any time by giving notice to <strong>the</strong> licensee in <strong>the</strong> event of:• The Licensee failing to pay <strong>the</strong> Licence Fee on any due date;• The Licensee breaching any term or condition of this licence;• The Licensor requiring <strong>the</strong> Licensed Area for any development or <strong>Centre</strong> refurbishment works within its absolute discretion;• If <strong>the</strong> Licensee is a individual, <strong>the</strong> death, bankruptcy, mental or physical incapacity of <strong>the</strong> Licensee; or• If <strong>the</strong> Licensee is a company, <strong>the</strong> appointment of a receiver, controller, administrator or a liquidator to <strong>the</strong> Licensee or to any assets of <strong>the</strong> Licensee, or<strong>the</strong> Licensee enters into any arrangements with its creditors.• In addition to any o<strong>the</strong>r rights <strong>the</strong> Licensor has under this licence, <strong>the</strong> Licensor may at any time for its sole convenience terminate this licence bywritten notice to <strong>the</strong> Licensee. If <strong>the</strong> Licensor terminates this licence under this clause 4.3 <strong>the</strong> licensee:• Must vacate <strong>the</strong> Licensed Area in accordance with this licence on <strong>the</strong> date specified in <strong>the</strong> Licensor’s notice;• Will be entitled to a refund of <strong>the</strong> Licence Fee relating to <strong>the</strong> unexpired portion of <strong>the</strong> Licence Period in full compensation for <strong>the</strong> termination; and• Will not entitled to may any claim against <strong>the</strong> Licensor for any loss, damage, cost or expense that <strong>the</strong> Licensee suffers in relation to <strong>the</strong> termination.Indemnity and Release• The Licensee indemnifies <strong>the</strong> Licensor from and against all claims, demands, losses, damages, costs and expenses for which <strong>the</strong> Licensor is or maybecome liable in respect of or arising from any injury to person or property caused or contributed to by an act or omission of <strong>the</strong> Licensee, <strong>the</strong>Licensee’s use or occupation of <strong>the</strong> Licensed Area or <strong>the</strong> Licensee’s negligence or breach of this agreement.• The Licensee releases <strong>the</strong> Licensor from all claims or actions it has or may have against <strong>the</strong> Licensor as a result to any damage to <strong>the</strong> Licensee’sdisplays, property, equipment or merchandise.Goods and Services Tax• 6.1 Despite any o<strong>the</strong>r provision of this licence, if any supply under this licence is a taxable supply for <strong>the</strong> purpose of A New Tax System (Goods andServices Tax) Act 1999 (Cth) (“GST Legislation”), <strong>the</strong> amounts expressed as payable by <strong>the</strong> Licensee under this licence (“Contract Amount”) willbe <strong>the</strong> value of that supply as defined in <strong>the</strong> GST Legislation, and <strong>the</strong> Licensee must also pay to <strong>the</strong> Licensor <strong>the</strong> GST Payable on that supply (“GSTAmount”).
