Casual Leasing – Terms & ConditionsLicence• The Licensor grants to the licensee and the Licensee accepts a non-exclusive licence to use the Licensed Area for the Permitted Use during theLicence Period in consideration of the Licensee paying the Licensor the Licence fee and subject to the terms and conditions of this licence.• The Licensor and Licensee agree that this licence is personal and any rights rest in contract only and do not create a tenancy or leasehold interest inthe Licensed Area or confer any rights under any tenancy legislation.Payment of Licence Fee• The Licensor will issue invoices to the Licensee for the payment of the Licence Fee at various times before and during the Licence Period (dependingon the length of the Licence Period).• If the Licence Period is less than one month, then the Licensee must pay the Licensor the Licence Fee in full at least one week before the Start Dateunless payment is made by way of a personal cheque, in which case payment will be required at least two weeks before the Start Date.• If the Licence Period is longer than one month, then the Licensee must pay the Licensor an amount equal to the Licence Fee payable for one monthat least one week before the Start Date unless payment is made by way of a personal cheque, in which case payment will be required at least twoweeks before the Start Date. Thereafter, the Licensee must pay the Licensor to the License in the manner and at the times prescribed in the invoicesissued by the Licensor to the Licensee.• If the Licensee does not pay the Licence Fee (or any part thereof) on time, then the Licensor may charge the Licensee interest at a rate equal to 15%per annum until the payment is made.• If the Licensee cancels the Licensee’s booking 30 days (or less) prior to commencement of the Licence Period the Licensor is entitled to charge acancellation fee of 50% of the total booking fee.Licensee’ ObligationsThe Licensee must:• At all times, be solely responsible for, and insure, its own displays, property, equipment, merchandise and employees;• Take out public liability insurance in the amount of $20 million during the Licence Period with Fitch Retail trading as Golden Grove Village ShoppingCentre (ABN: 53 819 946 949) and the Owner of the Centre noted as interested parties. The Licensee must provide the Licensor with a certificate ofcurrency in relation to the public liability insurance prior to commencement of trade date for the Casual Leasing Booking;• At all times comply with all laws, statutes, ordinances, regulations orders, local laws and by-laws of any Government or statutory authority regarding theconduct of the Licensee’s business and the use or occupation by the Licensee of the Licensed Area;• Comply with the Centre Rules;• Maintain the physical appearance of any display and the Licensed Area at all times in a clean and professional manner and portray a quality image so asto enhance the Licensee’s merchandise and the Centre generally;• Present all signage in a professionally printed manner;• Where applicable, trestle tables are to be covered with centre standard tablecloths and white boxed tables to have professional signage affixed to thefront panel;• Ensure that all displays and the Licensee’s property and merchandise remain within the Licensed Area;• No cardboard boxes or general rubbish to be visible;• Erect all displays prior to 9.00am on each trading day during the Licence Period;• Staff the Licensed Area at all times during the Centre’s trading hours, (except if this licence relates to a self-service vending machine in which case nostaff are required) ensuring that staff remain within the site boundaries predetermined by the Licensor;• Accede to any request, comply with any instruction or directive and adhere to any rule of the Centre made or issued through the Licensor’s CentreManager, Marketing Manager or Casual Leasing Manager;• Ensure that all motor vehicles have a drip tray placed below the engine and plain coloured matching carpet squares under each wheel;The Licensee must not:• Obstruct the clear view of the shopfront of any other tenant of the Centre and it must conduct and use the Licensed Area in a manner which will notprevent, unduly interfere with or adversely affect the use and enjoyment of the Centre by the Licensor or any other occupants of the Centre;• Cause or allow any obstruction of any kind to the use by the Licensor or any other person of the common areas in or about the Centre;• Allow its displays to exceed 1.8 metres in height;• Use hand written signs;Shopping... just the way you like it!Cnr The www.goldengroveshopping.com.auGolden & The Grove Ways, Golden Grove

Casual Leasing – Terms & Conditions• Use deck chairs or “A” Frame stands in the Licensed Area;• Dismantle or remove any display before the end of any trading day during the Licence Period without the Licensor’s prior consent;• Permit more than two (2) persons to occupy the Licensed Area to staff the display at any one point in time;• Distribute any pamphlets, brochures, leaflets, helium balloons, stickers or any other advertising material within the Centre without the Licensor’s priorconsent;• Use any voice amplification devices, flashing lights, music or other selling aids which, in the opinion of the Licensor are likely to disrupt other occupantsof the Centre;• Use the Centre planter boxes or poles or any other equipment owned or controlled by the Licensor;• Do anything, including installing or using any fixtures, fittings, tools or equipment which will or may damage or disfigure the Centre in anyway;• Not assign this licence, grant a sub licence or cease to conduct the business personally from the Licensed Area at any time;• Directly conflict with an internal retailer’s core business;• Smoke, eat or drink within the licensed area; and• Spruik, solicit or harass customers or staff of the shopping centre.• At the expiration of the Licence Period, the Licensee must remove all displays, property, equipment and merchandise it brought onto the LicensedArea immediately and make good any damage caused to the Licensed Area or the Centre as a result. The Licensee must leave the Licensed Area in aclean condition. If the Licensee does not do so, then the Licensor may remove and dispose of those items in its absolute discretion and the Licensorwill not be responsible for any loss or damage occasioned thereby.Licensor’s Rights• The Licensor may, within its absolute discretion and at any time before the Start Date or during the Licence Period, relocate the Licensee to another sitewithin the Centre if it considers it necessary. The Licensee must immediately comply with the Licensor’s directions in this regard.The Licensor may terminate this licence at any time by giving notice to the licensee in the event of:• The Licensee failing to pay the Licence Fee on any due date;• The Licensee breaching any term or condition of this licence;• The Licensor requiring the Licensed Area for any development or Centre refurbishment works within its absolute discretion;• If the Licensee is a individual, the death, bankruptcy, mental or physical incapacity of the Licensee; or• If the Licensee is a company, the appointment of a receiver, controller, administrator or a liquidator to the Licensee or to any assets of the Licensee, orthe Licensee enters into any arrangements with its creditors.• In addition to any other rights the Licensor has under this licence, the Licensor may at any time for its sole convenience terminate this licence bywritten notice to the Licensee. If the Licensor terminates this licence under this clause 4.3 the licensee:• Must vacate the Licensed Area in accordance with this licence on the date specified in the Licensor’s notice;• Will be entitled to a refund of the Licence Fee relating to the unexpired portion of the Licence Period in full compensation for the termination; and• Will not entitled to may any claim against the Licensor for any loss, damage, cost or expense that the Licensee suffers in relation to the termination.Indemnity and Release• The Licensee indemnifies the Licensor from and against all claims, demands, losses, damages, costs and expenses for which the Licensor is or maybecome liable in respect of or arising from any injury to person or property caused or contributed to by an act or omission of the Licensee, theLicensee’s use or occupation of the Licensed Area or the Licensee’s negligence or breach of this agreement.• The Licensee releases the Licensor from all claims or actions it has or may have against the Licensor as a result to any damage to the Licensee’sdisplays, property, equipment or merchandise.Goods and Services Tax• 6.1 Despite any other provision of this licence, if any supply under this licence is a taxable supply for the purpose of A New Tax System (Goods andServices Tax) Act 1999 (Cth) (“GST Legislation”), the amounts expressed as payable by the Licensee under this licence (“Contract Amount”) willbe the value of that supply as defined in the GST Legislation, and the Licensee must also pay to the Licensor the GST Payable on that supply (“GSTAmount”).
