28(32) Restrictions on Doing Business:The Corporation is not a party to or bound by any agreementwhich would restrict or limit its right to carryon anybusiness or activity or to solicit business from any person orin any geographical area or otherwise to conduct the Businessas the Corporation may determine. The Corporation is notsubject to any legislation or any jUdgment, order orrequirement of any court or governmental authority which isnot of general application to persons carrying on a businesssimilar to the Business. To the best of the knowledge of theVendor and the Shareholder, there are no facts orcircumstances which could materially adversely affect theability of the Corporation to continue to operate the Businessas presently conducted following the completion of thetransactions contemplated by this Agreement.(33) Guarantees, warranties and Discounts:Except as described in Schedule "P"attached hereto:(a) the Corporation is not a party to or bound by anyagreement of guarantee, indemnification, assumption orendorsement or any other like commitment of theobligations, liabilities (contingent or otherwise) orindebtedness of any person;(b)(c)(d)the Corporation has not given any guarantee or warrantyin respect of any of the products sold or the servicesprovided by it, except warranties made in the ordinarycourse of the Business and in the form of theCorporation's standard written warranty, a copy of whichhas been provided to the Purchaser, and except forwarranties implied by law;during each of the three fiscal years of the Corporationended immediately preceding the date hereof, no claimshave been made against the Corporation for breach ofwarranty or contract requirement or negligence or for aprice adjustment or other concession in respect of anydefect in or failure to perform or deliver any products,services or work which had, in any such year, anaggregate cost exceeding $-;there are no repair contracts or maintenance obligationsof the Corporation in favour of the customers or users ofproducts of the Business, except obligations incurred inthe ordinary course of the Business and in accordancewith the Corporation's standard terms, a copy of whichhas been provided to the Purchaser;
