Support for Entrepreneurial and Managerial Development <strong>of</strong> SMEs through <strong>Incubators</strong>SCHEME FORSUPPORT FOR ENTREPRENEURIAL ANDMANAGERIAL DEVELOPMENT OF SMEs THROUGH INCUBATORSBACKGROUNDWorld over, Micro and Small Enterprises (MSEs) are recognized as an important constituent<strong>of</strong> <strong>the</strong> national economies, contribut<strong>in</strong>g significantly to employment expansion and povertyalleviation. Recogniz<strong>in</strong>g <strong>the</strong> importance <strong>of</strong> micro and small enterprises, which constitutean important segment <strong>of</strong> Indian economy <strong>in</strong> terms <strong>of</strong> <strong>the</strong>ir contribution to country’s <strong>in</strong>dustrialproduction, exports, employment and creation <strong>of</strong> entrepreneurial base, <strong>the</strong> Central andstate Governments have been implement<strong>in</strong>g several schemes and programmes forpromotion and development <strong>of</strong> <strong>the</strong>se enterprises. Among <strong>the</strong> six basic pr<strong>in</strong>ciples <strong>of</strong><strong>gov</strong>ernance underly<strong>in</strong>g <strong>the</strong> National Common M<strong>in</strong>imum Programme (NCMP) <strong>of</strong> <strong>the</strong>Government, “susta<strong>in</strong>ed economic growth <strong>in</strong> a manner that generates employment” has apride place. The NCMP also describes <strong>the</strong> MSEs as “<strong>the</strong> most employment-<strong>in</strong>tensivesegment”.F<strong>in</strong>ance M<strong>in</strong>ister’s Budget speech <strong>of</strong> 2005-06 specially mentions: “Worldwide, it ismanufactur<strong>in</strong>g that has driven growth. In order to revive <strong>the</strong> manufactur<strong>in</strong>g sector, particularlysmall and medium enterprises and to enable <strong>the</strong>m to adjust to <strong>the</strong> competitive pressure causedby liberalization and moderation <strong>of</strong> tariff rates, new scheme is proposed to be launched thatwill help <strong>the</strong>m streng<strong>the</strong>n <strong>the</strong>ir operations and sharpen <strong>the</strong>ir competitiveness. The design <strong>of</strong> <strong>the</strong>scheme will be worked out by <strong>the</strong> National Manufactur<strong>in</strong>g Competitiveness Council (NMCC)<strong>in</strong> consultation with <strong>the</strong> <strong>in</strong>dustry.” The F<strong>in</strong>ance M<strong>in</strong>ister’s speech <strong>of</strong>2006-07 states “NMCC along with relevant stakeholders like <strong>the</strong> M<strong>in</strong>istry <strong>of</strong> MSME hasconceptualized and f<strong>in</strong>alized <strong>the</strong> components <strong>of</strong> <strong>the</strong> programme <strong>in</strong>corporat<strong>in</strong>g suitable <strong>in</strong>putsfrom <strong>the</strong> stakeholders”.This component-scheme <strong>of</strong> <strong>the</strong> NMCP envisages selection <strong>of</strong> a large number <strong>of</strong> academicand tra<strong>in</strong><strong>in</strong>g <strong>in</strong>stitutes and provision <strong>of</strong> f<strong>in</strong>ancial support to set up at least 100 bus<strong>in</strong>ess<strong>in</strong>cubators to host about 1,000 micro and small enterprises.2.0 OBJECTIVE2.1 The ma<strong>in</strong> objective <strong>of</strong> <strong>the</strong> scheme is to promote emerg<strong>in</strong>g technological and knowledgebased<strong>in</strong>novative ventures that seek <strong>the</strong> nurtur<strong>in</strong>g <strong>of</strong> ideas from pr<strong>of</strong>essionals beyond <strong>the</strong>traditional activities <strong>of</strong> Micro, Small & Medium Enterprises (MSMEs). Such entrepreneurialideas have to be fostered and developed <strong>in</strong> a supportive environment before <strong>the</strong>y becomeattractive for venture capital. Hence <strong>the</strong> need arises for <strong>in</strong>cubation centres: to promote andsupport untapped creativity <strong>of</strong> <strong>in</strong>dividual <strong>in</strong>novators and to assist <strong>the</strong>m to become technologybased entrepreneurs. It also seeks to promote network<strong>in</strong>g and forg<strong>in</strong>g <strong>of</strong> l<strong>in</strong>kages with o<strong>the</strong>r7


National Manufactur<strong>in</strong>g Competitiveness Programmeconstituents <strong>of</strong> <strong>the</strong> <strong>in</strong>novation cha<strong>in</strong> for commercialization <strong>of</strong> <strong>the</strong>ir developments. This <strong>in</strong>itiativeis now be<strong>in</strong>g taken up by <strong>the</strong> M<strong>in</strong>istry <strong>of</strong> MSME – <strong>the</strong> nodal M<strong>in</strong>istry for <strong>the</strong> development <strong>of</strong>entrepreneurship and creation <strong>of</strong> self-employment and more employment avenues.2.2 Under this scheme, 100 “Bus<strong>in</strong>ess <strong>Incubators</strong>” (BIs) are to be set up under Technology(Host) Institutions over <strong>the</strong> next 4 years [@ say 25 per year] and each BI is expected tohelp <strong>the</strong> <strong>in</strong>cubation <strong>of</strong> about 10 new ideas or units. For this service, which <strong>in</strong>cludes <strong>the</strong>provision <strong>of</strong> laboratory/workshop facilities and o<strong>the</strong>r assistance/guidance to young<strong>in</strong>novators, each BI will be given between Rs.4 lakh and Rs. 8 lakh per idea/unit nurturedby <strong>the</strong>m, limited to a total <strong>of</strong> Rs. 62.5 lakh for <strong>the</strong> ten units. In addition, each BI or eachHost Institution may get:Items@ per BI(a) Upgradation <strong>of</strong> <strong>in</strong>frastructure Rs. 2.50 lakh(b) Orientation/Tra<strong>in</strong><strong>in</strong>g Rs. 1.28 lakh(c) Adm<strong>in</strong>istrative Expenses Rs. 0.22 lakhThus <strong>the</strong> total assistance per BI -Rs. 66.50 lakhs3.0 IMPLEMENTING AGENCIES3.1 The <strong>in</strong>cubational support will be provided by Host Institutions, like:(i)(ii)(iii)(iv)(v)Indian Institutes <strong>of</strong> Technology (IITs)National Institutes <strong>of</strong> Technology ( NITs)Eng<strong>in</strong>eer<strong>in</strong>g CollegesTechnology Development Centres, Tool Rooms, etcO<strong>the</strong>r recognised R&D&/or Technical Institutes/Centres, Development Institutes <strong>of</strong> DIP&P<strong>in</strong> <strong>the</strong> field <strong>of</strong> Paper, Rubber, Mach<strong>in</strong>e Tools, etc.3.2 The geographical areas, <strong>the</strong> discipl<strong>in</strong>es and <strong>the</strong> <strong>in</strong>frastructure-providers listed above will bereviewed midway dur<strong>in</strong>g <strong>the</strong> implementation, for any corrective action needed to make <strong>the</strong>scheme more effective with better outcome.4.0 TARGETSIt has been proposed that <strong>in</strong> each Bus<strong>in</strong>ess Incubator, efforts will be made to reach <strong>the</strong> ratio<strong>of</strong> 4:1 between <strong>the</strong> <strong>in</strong>cubated micro and small enterprises, respectively i.e. efforts will bemade to <strong>in</strong>cubate 8 micro enterprises and 2 small enterprises <strong>in</strong> each BI on an average <strong>in</strong> anideal situation. However, flexibility on this count would be permissible. There will also beflexibility <strong>in</strong> hav<strong>in</strong>g more than one BI <strong>in</strong> <strong>the</strong> same host Institution, and where required, <strong>the</strong>remay be less than 10 or more than 10 enterprises hosted <strong>in</strong> each BI.8

EXPECTATIONSThe term ‘<strong>in</strong>novation’ covers a very wide doma<strong>in</strong> and <strong>in</strong> so far as micro and small enterprisesare concerned, it could signify any activity and new/<strong>in</strong>genious procedure or product that islikely to be <strong>of</strong> use to society (or to specific segments <strong>the</strong>re<strong>of</strong>) and <strong>the</strong>refore marketable <strong>in</strong> <strong>the</strong>long run. The purpose <strong>of</strong> <strong>the</strong> small dose <strong>of</strong> assistance proposed under <strong>the</strong> present scheme isto support students/ex-students <strong>of</strong> science and technology and entrepreneurs try out <strong>the</strong>ir<strong>in</strong>novative ideas (processes and products) at <strong>the</strong> laboratory or workshop stage and beyond (to<strong>the</strong> extent possible) – to carry forward <strong>the</strong> idea from its mere conception to ‘know-how ‘ and<strong>the</strong>n to ‘do how’ stage. Even Special Purpose Mach<strong>in</strong>e (SPM) would clarify as ‘<strong>in</strong>novations’under this low cost scheme as long as <strong>the</strong>y lead to better, more competitive and economicaloperations and are marketable by <strong>the</strong> small and medium enterprises that are to be formed by<strong>the</strong> successful <strong>in</strong>novators. In <strong>the</strong> case <strong>of</strong> many Host Institutions, where o<strong>the</strong>r similar programmesfor enrich<strong>in</strong>g and <strong>in</strong>cubat<strong>in</strong>g <strong>in</strong>novations are already on, this MSME assistance could bedovetailed with<strong>in</strong> <strong>the</strong>m, by way <strong>of</strong> an additional encouragement/sustenance, without lead<strong>in</strong>gto duplications or unnecessary double benefits. It would be left to each Host Institution or its BIto benchmark <strong>the</strong> expectations from its students and entrepreneurs (and <strong>the</strong>ir ideas) at <strong>the</strong>level that is considered appropriate and to provide <strong>the</strong> level <strong>of</strong> assistance that is actuallyrequired to operationalize ideas. It is needless to mention that <strong>the</strong> level <strong>of</strong> success that each BIor Host Institution achieves through this scheme would enhance its own reputation and viceversa <strong>in</strong> case <strong>of</strong> repeated failures.As expla<strong>in</strong>ed, this scheme is designed for susta<strong>in</strong><strong>in</strong>g, at some basic or <strong>in</strong>troductory level, <strong>the</strong><strong>in</strong>cubation <strong>of</strong> ideas that would have o<strong>the</strong>rwise been lost for want <strong>of</strong> support. The expectationsare that a sizeable percentage <strong>of</strong> <strong>the</strong> grantees/<strong>in</strong>cubatees would be graduat<strong>in</strong>g to higherlevels <strong>of</strong> operation, that would <strong>the</strong>n require o<strong>the</strong>r levels <strong>of</strong> support under o<strong>the</strong>r schemes/organisations and from Venture Capital or Angel Fund<strong>in</strong>g. Some <strong>in</strong>dicative areas <strong>of</strong> operationhave been mentioned at Annexure-I.6. FINANCIAL ASSISTANCE6.1 As stated, 100 Bus<strong>in</strong>ess <strong>Incubators</strong> are to be set up to <strong>in</strong>cubate about 1,000 ideas, many <strong>of</strong>which are likely to lead to <strong>the</strong> sett<strong>in</strong>g up <strong>of</strong> Small and Micro Enterprises at a cost <strong>of</strong>Rs. 62.50 crore <strong>in</strong> four years time period. F<strong>in</strong>ancial target <strong>in</strong> terms <strong>of</strong> expenditure has alsobeen <strong>in</strong>dicated to match <strong>the</strong> physical target. Ano<strong>the</strong>r Rs. 4 crore are earmarked for m<strong>in</strong>orcomponents and <strong>the</strong> total cost <strong>of</strong> <strong>the</strong> project is to be Rs. 66.5 crore. BIs will ma<strong>in</strong>ta<strong>in</strong> separateaccounts <strong>of</strong> <strong>the</strong> funds received and expenditure <strong>in</strong>curred on various activities. An auditedStatement <strong>of</strong> Accounts or <strong>the</strong> statement certified by <strong>the</strong> Chief F<strong>in</strong>ancial Officer <strong>of</strong> <strong>the</strong> HostInstitution will also be obta<strong>in</strong>ed.9

An illustrative list <strong>of</strong> support<strong>in</strong>g activities and <strong>the</strong> likelyassistance for an <strong>in</strong>cubatee is at Annexure-II.7.0 PARTICIPATION IN A PUBLIC PRIVATE PARTNERSHIP MODE (PPP MODE)To ensure <strong>the</strong> participation <strong>of</strong> <strong>the</strong> entrepreneurs <strong>in</strong> a PPP mode, it has been proposedthat 15% and 25%, as <strong>the</strong> case may be, <strong>of</strong> <strong>the</strong> cost <strong>of</strong> <strong>in</strong>tervention, will be borne byMicro and Small Enterprises respectively, wherever applicable. The proposal is <strong>in</strong> <strong>the</strong>form <strong>of</strong> po<strong>in</strong>ted <strong>in</strong>terventions to demonstrate <strong>the</strong> efficiency <strong>of</strong> superior technologies/procedures that are more conducive to <strong>the</strong> fast-chang<strong>in</strong>g environment <strong>in</strong> <strong>in</strong>dustrialcompetitiveness. In o<strong>the</strong>r words, o<strong>the</strong>r <strong>in</strong>novative options are be<strong>in</strong>g considered, withconsiderable degrees <strong>of</strong> private participation, <strong>in</strong> order to implement <strong>the</strong> schemes thatare proposed under <strong>the</strong> PPP mode. The traditional <strong>gov</strong>ernment-driven, <strong>gov</strong>ernmentmanaged,subsidy-oriented activities have to give way to user-driven and user-managedoptions – based on <strong>the</strong>ir felt needs and faced challenges <strong>of</strong> stakeholders.The <strong>in</strong>novative options ensur<strong>in</strong>g that private participation <strong>in</strong> <strong>the</strong> programme is on aproportionate basis and Govt. contribution <strong>of</strong> 75% to 85% towards <strong>the</strong> project cost will beutilized for technology fee, common facilities and hir<strong>in</strong>g/lease <strong>of</strong> mach<strong>in</strong>ery, etc. The <strong>in</strong>cubateewill deposit his/her share to <strong>the</strong> host <strong>in</strong>stitute after complet<strong>in</strong>g <strong>the</strong> formalities <strong>of</strong> TripartiteAgreement, to be signed between <strong>the</strong> Government, <strong>the</strong> Host Institute (operationaliz<strong>in</strong>g <strong>the</strong><strong>in</strong>cubator) and <strong>the</strong> aspir<strong>in</strong>g <strong>in</strong>cubatee, clearly lay<strong>in</strong>g down <strong>the</strong> obligations from and expectations<strong>of</strong> each <strong>of</strong> <strong>the</strong> three signatories (Annexure-III). The approach has been framed <strong>in</strong> such amanner that <strong>the</strong> stakeholders/Micro and Small Enterprises are <strong>in</strong> a position to carry on <strong>the</strong>seactivities after <strong>the</strong> <strong>in</strong>cubation period is phased out.10

Representatives from DIPP9.3 The request for proposals from <strong>the</strong> Institutes/Implement<strong>in</strong>g agencies (as per format at Annexure-IV) will be <strong>in</strong>vited by <strong>the</strong> Selection Committee through advertisements <strong>in</strong> Newspapers andwebsites, Letters to Implement<strong>in</strong>g agencies, etc., to select <strong>the</strong> host <strong>in</strong>stitutes for sett<strong>in</strong>g up <strong>of</strong>BIs.9.4 The Selection Committee will be entitled to constitute sub-committees for specific productgroups to vet <strong>the</strong> feasibility <strong>of</strong> ideas and pro<strong>of</strong> <strong>of</strong> concepts, option <strong>of</strong> <strong>the</strong> entrepreneur for host<strong>in</strong>stitute, access to workshop & laboratory, etc., and to lay down <strong>the</strong> procedure to release <strong>the</strong>fund directly to <strong>the</strong> host <strong>in</strong>stitutions as also to formalize <strong>the</strong> tripartite agreements to this effect.A sub-committee headed by Industrial Adviser <strong>of</strong> Development Commissioner (MSME) (i/c <strong>of</strong><strong>the</strong> specific product group promotion) shall comprise <strong>of</strong> :1. Director <strong>of</strong> Apex Scientific/Industrial Research Institute <strong>in</strong> respective field or hisrepresentative.2. The SCHEME envisagesforg<strong>in</strong>g l<strong>in</strong>kages <strong>of</strong> <strong>in</strong>novators and entrepreneurs with important constituents <strong>of</strong> <strong>the</strong> <strong>in</strong>novationcha<strong>in</strong>, viz., research/academic <strong>in</strong>stitutes and bus<strong>in</strong>ess <strong>in</strong>cubators, so as to leverage <strong>the</strong> availableknow-how, expertise, facilities and <strong>in</strong>frastructure <strong>in</strong> such <strong>in</strong>stitutions to help <strong>the</strong> entrepreneurialventures to succeed.1.2 It has been agreed by <strong>the</strong> Government to support ————-——————————————————— (Name <strong>of</strong> <strong>the</strong> BUSINESS INCUBATOR) located at —————————————————————and hosted by <strong>the</strong> ————————————————————————————————————————————————————————-————————————— (name <strong>of</strong> <strong>the</strong> HOST INSTITUTE) based on a request made by <strong>the</strong>BUSINESS INCUBATOR/HOST INSTITUTE and after obta<strong>in</strong><strong>in</strong>g necessary approvals.15


National Manufactur<strong>in</strong>g Competitiveness Programme2.0 RESPONSIBILITIES OF THE HOST INSTITUTE2.1 The HOST INSTITUTE shall undertake to create (if not already created) an entity for undertak<strong>in</strong>gbus<strong>in</strong>ess <strong>in</strong>cubation and entrepreneurship development activities and execut<strong>in</strong>g obligationsunder <strong>the</strong> proposed SCHEME. This entity is referred henceforth as <strong>the</strong> BUSINESS INCUBATOR.2.2 The activities <strong>of</strong> <strong>the</strong> BUSINESS INCUBATOR shall <strong>in</strong>clude:2.2.1 Nucleation <strong>of</strong> new bus<strong>in</strong>ess ideas by creat<strong>in</strong>g <strong>the</strong> environment and opportunities forknow-how providers, entrepreneurs and f<strong>in</strong>anciers to meet each o<strong>the</strong>r and form bus<strong>in</strong>essteams;2.2.2 Nurtur<strong>in</strong>g bus<strong>in</strong>esses <strong>in</strong> <strong>the</strong>ir start-up phase by creat<strong>in</strong>g and runn<strong>in</strong>g an efficient bus<strong>in</strong>ess<strong>in</strong>cubator <strong>of</strong>fer<strong>in</strong>g not only space but also access to technology support, bus<strong>in</strong>essmentor<strong>in</strong>g, networks, scientific and <strong>in</strong>formation resources, and a generally conduciveand supportive environment; and2.2.3 Promot<strong>in</strong>g and runn<strong>in</strong>g an active program for identification, creation, acceleration andtranslation (<strong>in</strong>to practice) <strong>of</strong> bus<strong>in</strong>ess ideas suitable for new venture creation.2.3 The HOST INSTITUTE shall provide ready-to-use, dedicated space for hous<strong>in</strong>g and operation<strong>of</strong> <strong>the</strong> BUSINESS INCUBATOR.2.4 The HOST INSTITUTE shall be responsible for provid<strong>in</strong>g access to basic <strong>in</strong>frastructural facilities,<strong>of</strong>fice facilities and laboratory/ facilities for <strong>the</strong> BUSINESS INCUBATOR.2.5 The HOST INSTITUTE shall be responsible for arrang<strong>in</strong>g <strong>the</strong> resources for <strong>the</strong> day-to-dayoperation <strong>of</strong> <strong>the</strong> BUSINESS INCUBATOR.2.6 The operation <strong>of</strong> <strong>the</strong> BUSINESS INCUBATOR shall be <strong>gov</strong>erned by <strong>the</strong> Manag<strong>in</strong>g Committeewhich will be constituted with <strong>the</strong> approval <strong>of</strong> <strong>the</strong> Board <strong>of</strong> Governors (BOG) <strong>of</strong> <strong>the</strong> HostInstitutions and comprise <strong>of</strong> at least <strong>the</strong> follow<strong>in</strong>g:2.6.1 Executive Head <strong>of</strong> <strong>the</strong> BUSINESS INCUBATOR (Ex-<strong>of</strong>ficio Chairperson).2.6.2 One representative <strong>of</strong> <strong>the</strong> Government <strong>of</strong> India’s promoter agency, <strong>in</strong> present caserepresentative <strong>of</strong> Office <strong>of</strong> <strong>the</strong> DC (MSME), New Delhi (Member).2.6.3 One representative <strong>of</strong> <strong>the</strong> <strong>in</strong>dustry/<strong>in</strong>dustry association (Member).2.6.4 One representative <strong>of</strong> <strong>the</strong> f<strong>in</strong>ancial <strong>in</strong>stitutions (Member).2.6.5 One representative from <strong>the</strong> academic community <strong>of</strong> <strong>the</strong> HOST INSTITUTION (Member).2.6.6 One R&D expert (Member).2.6.7 BUSINESS INCUBATOR Manager (Member-Secretary).16


Support for Entrepreneurial and Managerial Development <strong>of</strong> SMEs through <strong>Incubators</strong>2.7 The Manag<strong>in</strong>g Committee shall be responsible for <strong>the</strong> overall monitor<strong>in</strong>g and evaluation<strong>of</strong> <strong>the</strong> BUSINESS INCUBATOR on a periodic basis (preferably six–monthly). The reports <strong>of</strong><strong>the</strong> periodic review shall be made available to all <strong>the</strong> promoters <strong>of</strong> <strong>the</strong> BUSINESSINCUBATOR.2.8 The BUSINESS INCUBATOR shall be run by dedicated staff and shall also utilize <strong>the</strong> services<strong>of</strong> faculty/staff <strong>of</strong> <strong>the</strong> HOST INSTITUTE or experts from outside.3.0 IMPLEMENTATION OF THE SCHEME AND FINANCIAL ARRANGEMENTS3.1 The Manag<strong>in</strong>g Committee shall be responsible for publiciz<strong>in</strong>g <strong>the</strong> SCHEME and seek<strong>in</strong>gproposals under <strong>the</strong> scheme <strong>in</strong> <strong>the</strong> approved format (APPENDIX-I).3.2 The Manag<strong>in</strong>g Committee or sub-committee <strong>the</strong>re<strong>of</strong> shall vet <strong>the</strong> feasibility <strong>of</strong> <strong>the</strong> proposalsreceived and recommend proposals to <strong>the</strong> Government for support under <strong>the</strong> SCHEME through<strong>the</strong> BUSINESS INCUBATOR.3.3 The Manag<strong>in</strong>g Committee shall ensure that <strong>the</strong> selection <strong>of</strong> entrepreneurs/<strong>in</strong>cubatees isfair and <strong>the</strong> disbursement/utilization <strong>of</strong> <strong>the</strong> fund is done with fairness to <strong>the</strong> entrepreneur/<strong>in</strong>cubatee.3.4 The Manag<strong>in</strong>g Committee shall ensure that <strong>the</strong> fund requested for one idea <strong>in</strong> <strong>the</strong> proposaldoes not exceed Rs. 8 lakh. The Government shall provide Rs. 62.5 lakh ( @ Rs. 6.25 lakh peridea) to <strong>the</strong> HOST INSTITUTION/BUSINESS INCUBATOR towards support<strong>in</strong>g ten entrepreneur/<strong>in</strong>cubatees for costs relat<strong>in</strong>g to technology fee, guidance fee for mentors/ handhold<strong>in</strong>g persons,hir<strong>in</strong>g or leas<strong>in</strong>g cost <strong>of</strong> mach<strong>in</strong>ery/equipment/<strong>in</strong>struments or related services, <strong>of</strong>fice facilities(like telephone, fax, computers etc), <strong>in</strong>frastructural facilities (accommodation charges, utilities),etc. In addition, each HOST INSTITUTION/ BUSINESS INCUBATOR shall receive Rs. 37,800per idea towards upgradation <strong>of</strong> its <strong>in</strong>frastructure and orientation/tra<strong>in</strong><strong>in</strong>g.3.5 Under <strong>the</strong> SCHEME, <strong>the</strong> entrepreneur/<strong>in</strong>cubatee is expected to contribute a m<strong>in</strong>imum <strong>of</strong> 15%(for micro enterprises) or 25% (for small enterprises) <strong>of</strong> <strong>the</strong> total project cost. The Manag<strong>in</strong>gCommittee shall ensure that this requirement is met by <strong>the</strong> entrepreneur/ <strong>in</strong>cubatee.3.6 On receipt <strong>of</strong> recommended proposals from <strong>the</strong> Manag<strong>in</strong>g Committee <strong>of</strong> <strong>the</strong> BUSINESSINCUBATOR, <strong>the</strong> Government shall (after due process and approvals) <strong>in</strong>itially release30% <strong>of</strong> <strong>the</strong> approved disbursal amount with <strong>the</strong> balance be<strong>in</strong>g released <strong>in</strong> one or more<strong>in</strong>stallments once <strong>the</strong> HOST INSTITUTION/BUSINESS INCUBATOR has utilized <strong>the</strong> earlieramount and submitted <strong>the</strong> utilization certificate duly certified by <strong>the</strong> authorized signatory.3.7 The HOST INSTITUTION/BUSINESS INCUBATOR shall ma<strong>in</strong>ta<strong>in</strong> separate accounts <strong>of</strong> <strong>the</strong>funds received and expenditure <strong>in</strong>curred on various activities. Fur<strong>the</strong>r, <strong>the</strong> BI would submitAnnual Accounts, Audited expenditure Statement and Utilization Certificate to <strong>the</strong>Government.17


National Manufactur<strong>in</strong>g Competitiveness Programme4.0 GENERAL4.1 The HOST INSTITUTION/BUSINESS INCUBATORS shall submit <strong>the</strong> agreement made by<strong>the</strong>m and with INCUBATEE to <strong>the</strong> Government before release <strong>of</strong> funds to <strong>the</strong> HI/BI forutilization by <strong>the</strong> <strong>in</strong>cubatee. This agreement will be as per format <strong>in</strong> APPENDIX-II.4.2 The assets created through <strong>the</strong> scheme shall not be transferred/disposed <strong>of</strong>f without priorpermission <strong>of</strong> <strong>the</strong> Office <strong>of</strong> <strong>the</strong> Government.4.3 In <strong>the</strong> event it is found that <strong>the</strong> HI/BI has not utilized amount <strong>of</strong> grant, or any part <strong>of</strong> it, for<strong>the</strong> purpose agreed to <strong>in</strong> clause (2) <strong>of</strong> this agreement or has subsequently disposed <strong>of</strong>fany <strong>of</strong> <strong>the</strong> assets acquired out <strong>of</strong> <strong>the</strong> grant without prior permission <strong>of</strong> <strong>the</strong> Government,<strong>the</strong> Government without prejudice to any o<strong>the</strong>r right, shall be entitled to term<strong>in</strong>ate thisagreement.5.0 DISPUTE RESOLUTION5.1 Any disputes shall be settled amicably between parties through <strong>the</strong> <strong>in</strong>tervention andassistance <strong>of</strong> <strong>the</strong> Executive Head <strong>of</strong> <strong>the</strong> BUSINESS INCUBATOR. If <strong>the</strong> dispute is not resolved,<strong>the</strong>n <strong>the</strong> matter may be escalated to <strong>the</strong> attention <strong>of</strong> <strong>the</strong> Executive Head <strong>of</strong> <strong>the</strong> HostInstitute. If <strong>the</strong> dispute is still not resolved <strong>the</strong>n <strong>the</strong> matter be referred to <strong>the</strong> AdditionalSecretary & Development Commissioner (MSME) whose decision shall be f<strong>in</strong>al and b<strong>in</strong>d<strong>in</strong>gon all parties.5.2 Any disputes, which can not be settled amicably between <strong>the</strong> parties shall be referred forarbitration <strong>in</strong> accordance with <strong>the</strong> provision <strong>of</strong> Arbitration and Conciliation Act, 1996 toan arbitrator nom<strong>in</strong>ated by <strong>the</strong> Secretary, Department <strong>of</strong> Legal Affairs, M/o Law & Justice,Government <strong>of</strong> India. Provision <strong>of</strong> <strong>the</strong> Arbitration and Conciliation Act, 1996, as amendedfrom time to time, shall be applicable. Support for Entrepreneurial and Managerial Development <strong>of</strong> SMEs through <strong>Incubators</strong>Appendix-IIAgreement between Host Institution/Bus<strong>in</strong>ess Incubator and IncubateeUnder scheme for “Support for Entrepreneurial and Management Development <strong>of</strong> SMEs through <strong>Incubators</strong>”This agreement is made on this ———— day <strong>of</strong> —————-(Month) 20—-BETWEEN————————————————————————————————————(here<strong>in</strong>afterreferred to as Host Institution/BUSINESS INCUBATOR, <strong>the</strong> expression which unless repugnant tocontext shall be deemed to <strong>in</strong>clude its successors, adm<strong>in</strong>isters and executors) <strong>of</strong> <strong>the</strong> first part.AND—————————————————————————————————————————(here<strong>in</strong>after referred to as INCUBATEE, <strong>the</strong> expression which unless repugnant to context shall bedeemed to <strong>in</strong>clude its successors, adm<strong>in</strong>isters and executors) <strong>of</strong> <strong>the</strong> second part.1.0 PREAMBLEWHEREAS, <strong>the</strong> HOST INSTITUTION/BUSINESS INCUBATOR has been <strong>in</strong>corporated fornucleat<strong>in</strong>g and promot<strong>in</strong>g bus<strong>in</strong>ess enterprises for <strong>the</strong> benefit <strong>of</strong> <strong>the</strong> society and has beenentrusted <strong>the</strong> task <strong>of</strong> runn<strong>in</strong>g various programs and <strong>the</strong> management <strong>of</strong> various support<strong>in</strong>gfacilities/resources for <strong>the</strong> benefit <strong>of</strong> entrepreneurs/entrepreneurial ventures by <strong>the</strong> ———-———————————————————————————(here<strong>in</strong>after referred to as HOSTINSTITUTION)WHEREAS, <strong>the</strong> BUSINESS INCUBATOR has been approved by <strong>the</strong> Government for participationand fund<strong>in</strong>g support under <strong>the</strong> scheme for provid<strong>in</strong>g support for Entrepreneurial andManagement Development <strong>of</strong> SMEs through <strong>Incubators</strong> (here<strong>in</strong>after referred to as <strong>the</strong> SCHEME)WHEREAS, <strong>the</strong> INCUBATEE has applied for support for bus<strong>in</strong>ess advancement and itscommercialization (here<strong>in</strong>after referred to as <strong>the</strong> PROJECT) from <strong>the</strong> BUSINESS INCUBATORunder <strong>the</strong> SCHEME,WHEREAS <strong>the</strong> BUSINESS INCUBATOR has reviewed <strong>the</strong> PROJECT proposal through itsManag<strong>in</strong>g Committee and approved <strong>the</strong> PROJECT for <strong>in</strong>cubation under <strong>the</strong> SCHEME on suchterms and conditions mentioned here<strong>in</strong>afterIt is now agreed by and between <strong>the</strong> parties as follows:2.0 RESPONSIBILITIES OF THE BUSINESS INCUBATOR2.1 The BUSINESS INCUBATOR shall extend support to <strong>the</strong> INCUBATEE for <strong>the</strong> execution<strong>of</strong> <strong>the</strong> PROJECT to <strong>the</strong> extent agreed <strong>in</strong> <strong>the</strong> f<strong>in</strong>al PROJECT budget and f<strong>in</strong>anc<strong>in</strong>g sheet (Appendix-I to this agreement) approved by <strong>the</strong> Manag<strong>in</strong>g Committee.2.2 The support extended to <strong>the</strong> INCUBATEE could <strong>in</strong>clude support towards one or more <strong>of</strong> <strong>the</strong>follow<strong>in</strong>g - <strong>the</strong> technology fee, guidance fee for mentors/handhold<strong>in</strong>g persons (for technology,<strong>in</strong>tellectual property plann<strong>in</strong>g and bus<strong>in</strong>ess plann<strong>in</strong>g), hir<strong>in</strong>g or leas<strong>in</strong>g cost <strong>of</strong> mach<strong>in</strong>ery/equipment/<strong>in</strong>struments or related services, <strong>of</strong>fice facilities (like telephone, fax, computers etc),23


National Manufactur<strong>in</strong>g Competitiveness Programme<strong>in</strong>frastructural facilities (accommodation charges, utilities, etc) and o<strong>the</strong>r project costs depend<strong>in</strong>gupon <strong>the</strong> needs <strong>of</strong> <strong>the</strong> INCUBATEE and those approved by <strong>the</strong> Manag<strong>in</strong>g Committee.3.0 RESPONSIBILITIES OF THE INCUBATEE3.1 The INCUBATEE shall ma<strong>in</strong>ta<strong>in</strong> documented evidence (<strong>in</strong>voices and receipts) <strong>of</strong> all costs<strong>in</strong>curred <strong>in</strong> runn<strong>in</strong>g <strong>the</strong> PROJECT and submit to <strong>the</strong> BUSINESS INCUBATOR on a timelybasis.3.2 The INCUBATEE shall contribute a m<strong>in</strong>imum <strong>of</strong> 15% (for micro enterprises) or 25% (for smallenterprises) <strong>of</strong> <strong>the</strong> total project cost. In <strong>the</strong> event <strong>of</strong> failure <strong>of</strong> <strong>the</strong> INCUBATEE meet<strong>in</strong>g thisrequirement, <strong>the</strong> BUSINESS INCUBATOR shall be free to withdraw its support.4.0 GENERAL4.1 Both parties can term<strong>in</strong>ate this agreement at any po<strong>in</strong>t by giv<strong>in</strong>g one month advanced notice<strong>of</strong> <strong>the</strong>ir term<strong>in</strong>ation to <strong>the</strong> o<strong>the</strong>r party after a period <strong>of</strong> 365 days from <strong>the</strong> date <strong>of</strong> this agreement.4.2 Term<strong>in</strong>ation <strong>of</strong> this agreement subject to settlement <strong>of</strong> claims aga<strong>in</strong>st each o<strong>the</strong>r will mean thatboth parties will be absolved <strong>of</strong> <strong>the</strong>ir responsibilities from <strong>the</strong> date <strong>of</strong> term<strong>in</strong>ation.4.3 The parties shall endeavor to resolve any dispute relat<strong>in</strong>g to <strong>the</strong> rights, duties, terms andconditions conta<strong>in</strong>ed <strong>in</strong> this agreement by mutual negotiations <strong>in</strong> good faith. However if <strong>the</strong>dispute rema<strong>in</strong>s unresolved, <strong>the</strong> arbitration <strong>of</strong> such disputes would be handled by <strong>the</strong> Manag<strong>in</strong>gCommittee. The verdict <strong>of</strong> <strong>the</strong> Committee would be f<strong>in</strong>al and b<strong>in</strong>d<strong>in</strong>g.4.4 Nei<strong>the</strong>r party shall be held responsible for non-fulfillment <strong>of</strong> <strong>the</strong>ir respective obligations underthis agreement due to <strong>the</strong> exigency <strong>of</strong> one or more <strong>of</strong> <strong>the</strong> force majeure events such as but notlimited to acts <strong>of</strong> god, war, flood, earthquakes, strike, lockouts, epidemics, riots, civil commotion,etc., provided on <strong>the</strong> occurrence and cessation <strong>of</strong> any such events, <strong>the</strong> party affected <strong>the</strong>rebyshall give a notice <strong>in</strong> writ<strong>in</strong>g to <strong>the</strong> o<strong>the</strong>r party with<strong>in</strong> one month <strong>of</strong> such occurrence or cessation.If <strong>the</strong> force majeure conditions cont<strong>in</strong>ue beyond six months, <strong>the</strong> parties shall <strong>the</strong>n mutuallydecide about <strong>the</strong> future course <strong>of</strong> action.In witness <strong>the</strong>re<strong>of</strong> <strong>the</strong> parties have caused <strong>the</strong>ir authorized representatives to sign this agreement on<strong>the</strong> date mentioned here<strong>in</strong>above.Signed on this ________________ day <strong>of</strong> ________________ (Month) 20_______.For & on behalf <strong>of</strong> <strong>the</strong> HostInstitution/BUSINESS INCUBATORName:Designation:Postal Address:For & on behalf <strong>of</strong> <strong>the</strong> INCUBATEEName:Designation:Postal Address:Phone number:Email address:Phone number:Email address:24
