CONDITIONS OF SALE1. Every Sale and these Conditions ofSale shall be governed by in accordancewith English Law and shall be subject tothe jurisdiction of English Courts. SOFAAconditions of business also apply, a copyof which is on display in the saleroomand on request.2. Kendal Auction Rooms act as Agentsonly in respect of goods delivered for thepurpose of sale and herein shall beknown as the ‘<strong>Auctioneers</strong>’. Personsinstructing Kendal Auction Rooms to sellgoods are herein known as ‘Vendors’.Persons who have acquired lots offeredfor sale by the <strong>Auctioneers</strong> are hereinknown as ‘Purchasers’.3. All persons attending a Sale under theconduct of the <strong>Auctioneers</strong> – whether attheir Sale Rooms or elsewhere – shall bedeemed to be on the land and premisesat their own risk and shall have no claimagainst the <strong>Auctioneers</strong> or principals inrespect of the cancellation/postponementof a Sale or any loss, accident or injury,howsoever occasioned, save in so far asthe same is proven to be caused by thedirect negligence of an employee(s) ofKendal Auction Rooms.4. The <strong>Auctioneers</strong> make everyreasonable effort to ensure the accuracyof advertisements, <strong>catalogue</strong> descriptionsand other publicity, but except wherespecifically instructed so to certify by aVendor, declare that all statements, oralor in writing, are those of opinion only,made without responsibility and shall notgive rise to any action in law fordamages, compensation or recision of asale by a Purchaser, against any Vendor,the <strong>Auctioneers</strong> or their employees.5. Many lots are of an age or nature,which preclude their being in pristinecondition. Some <strong>catalogue</strong> descriptionsmay take reference to damage and/orrestoration; however, omission of such areference does not imply a lot is freefrom defects nor does any reference to aparticular defect imply the absence ofothers.6. Purchasers should therefore satisfythemselves by physical inspection of lots,before bidding, as to the origin,authenticity, quality, age, weight, sizeand general description – as lots are soldin their actual state with faults,imperfections or errors of description.7. Electrical/mechanical goods are soldon the strict understanding that thoseitems originally intended to be operatedby mains electricity are untested, withoutwarranties or any guarantee as to theserviceability or working order. Thesemay not comply with the currentStatutory Requirements and as such areoffered for sale solely for displaypurposes or historical interest.THESE ARE NOT SUITABLE FORCONNECTION TO THE MAINSELECTRICITY SUPPLY. The <strong>Auctioneers</strong>cannot accept responsibility for any actby a Buyer in contravention of thiscondition.8. Persons handling lots do so at theirown risk and shall make good all loss ordamage howsoever sustained; suchestimate of cost to be assessed by the<strong>Auctioneers</strong> whose decision shall be final.9. In making a bid, Purchasersacknowledge their attention has beendrawn to these Conditions of Sale andthat they are satisfied as to thedescription on the invitation of bids.10. Lots are sold subject to anyannouncement, declaration, andalteration of description or other matters,made by the <strong>Auctioneers</strong> prior to theinvitation of bids.11. At the fall of the hammer, thehighest bidder, acceptable to the<strong>Auctioneers</strong>, shall be the Purchaser andthe <strong>Auctioneers</strong>, whose decision shall beabsolute and final, shall settle anydispute.12. The <strong>Auctioneers</strong> may divide,combine, add to or withdraw lots andmake any <strong>catalogue</strong> alterations withoutnotice or reason; they shall regulate theadvance of bidding, accept or reject anybid (at their absolute discretion andwithout justification) and bid on behalf ofthe Vendor, where there is a reserveprice or at their authorised discretion.13. The Purchaser shall give his full name(and permanent place of abode) orappropriate bidding number, and uponfailure to do so, the <strong>Auctioneers</strong> mayoffer the lots again, at their solediscretion.14. As Agents only, the <strong>Auctioneers</strong> shallnot be responsible for default on the partof the Vendor or Purchasers. Anyresultant deficiency, together withinterest, costs and expenses, shall bemade good by the defaulter, recoverableas and for liquidated damages. Thiscondition is, however, without prejudiceto the right of the <strong>Auctioneers</strong>, inappropriate circumstances, to enforce theSale Contract if they think fit.15. The Contract of Sale is made with the<strong>Auctioneers</strong>, as Agents for the Vendorsand payment shall only be made tothem. Notwithstanding the foregoing, the<strong>Auctioneers</strong> shall retain a lien on all


goods, which shall not pass to thePurchaser until full payment has beenreceived.16. At the fall of the hammer, all lotsshall be and remain in every respect atthe absolute risk of the Purchaser,including those of fire, burglary, etc., anddamage occasioned to lots by theremoval of other goods.17. Prospective Purchasers are request toRegister at the office upon arrival orbefore the commencement of the sale.18. TERMS: Purchasers unknown to the<strong>Auctioneers</strong> must make priorarrangements to pay by cheque. Mostmajor debit cards and credit cards areusually accepted, charges may apply.19. No lots shall be removed from thepremises until payment has beenreceived in full.20. Purchasers shall pay for and makearrangements to remove lots at theirown risk and expense within a timeagreed with the <strong>Auctioneers</strong> prior to thesale; after such time a daily charge of £1per lot to cover storage and, whereapplicable, interest on outstandingaccounts will be levied at 3% aboveBarclays Bank plc Minimum LendingRate. Such additional charges beingsubject to the foregoing conditionsregulating payment and no lots shall bereleased to a Purchaser until any excesscharges have been paid. In any event,the <strong>Auctioneers</strong> reserve the right to reselluncollected lots by auction or privatetreaty or alternatively, warehouse goodsat a Purchaser’s expense. In all cases,the <strong>Auctioneers</strong> may act without noticeand any incidental expenses incurred willbecome a liability to the defaulter.21. Notwithstanding any other terms inthese Conditions of Sale, if within sevendays of the Sale, a Purchaser givesnotice in writing to the <strong>Auctioneers</strong>, thatin his/her opinion a particular lot (thisshall not apply to books or similar printedmatter) is a deliberate forgery, asdefined below and within fourteen daysafter such written notice, returns the lotto the <strong>Auctioneers</strong> in the same conditionas it was at the time of the Sale – any byproducing evidence, the burden of proofto be upon the Purchaser – satisfies the<strong>Auctioneers</strong> that the lot is a deliberateforgery, then the <strong>Auctioneers</strong> areauthorised to and will rescind thetransaction and refund the purchaseprice received by them. This benefit isnot assignable. In the context of thisguarantee, a ‘deliberate forgery’ means alot made with an intention to deceive,when considered in the light of the<strong>catalogue</strong> entry and at the date of theSale had a value substantially less than itwould have had, had it been inaccordance with the description.However, there will be no right where thedescription in the <strong>catalogue</strong> at the timeof Sale was in accordance with the thengeneral opinion. The <strong>Auctioneers</strong> reservethe right in forming their opinion toconsult and rely upon any expert orauthority considered by them to bereliable.22. The <strong>Auctioneers</strong> are prepared toaccept commission bids on behalf ofintending Purchasers, unable to attend atthe time of the Sale, providing requestsare made in writing and up to one hourbefore the commencement of a Sale andgiven to the Auctioneer or the AuctionRooms’ Manager. Bids will be executedas cheaply as possible having regard forany reserves (if any) and competingbids. This service is undertaken free ofcharge but without responsibility. The<strong>Auctioneers</strong> cannot be held responsiblefor, nor are they connected with,commission bids given to Auction RoomPorters or any other member of<strong>Auctioneers</strong> staff. On the occasion thattwo equal commission bids are receivedthe first one received shall take priority.Telephone bids can also be executed buta request must be put in writing to theauctioneer and may be subject to aminimum opening bid.23. A Buyers Premium of 15% Inclusiveof VAT is payable on purchases pleaserefer to specific sale advert or <strong>catalogue</strong>for details.Further notes to buyers1. Introduction. The following informativenotes are intended to assist Buyers, particularlythose inexperienced or new to our salerooms.All sales are conducted on our printedConditions of Sale which are readily availablefor inspection and normally accompany<strong>catalogue</strong>s. Our staff will be happy to help youif there is anything you do not fully understand.2. Agency. As auctioneers we usuallycontract as agents for the seller whose identity,for reasons of confidentiality, is not normallydisclosed. Accordingly if you buy your primarycontract is with the seller.3. Estimates. Estimates are designed to helpbuyers gauge what sort of sum might beinvolved for the purchase of a particular lot.The lower estimate may represent the reserveprice and certainly will not be below it.


Estimates do not include the Buyer’s Premiumor VAT (where chargeable). Estimates areprepared some time before the sale and maybe altered by announcement before the sale.They are in no sense definitive.4. Buyer's Premium. The Conditions ofSale oblige buyers to pay a buyer's premium at- 15% on the hammer price of each lotpurchased. In addition, VAT is included in thispremium (see below).5. VAT. (*) indicates that VAT is payable bythe purchaser at the standard rate (presently17.5%) on the hammer price as well as beingan element in the buyer's premium. Thisimposition of VAT is likely to be because theseller is registered for VAT within the EuropeanUnion and is not operating the Dealers MarginScheme or because VAT is due at 17.5% onimportation into the UK. The double symbol(**) indicates that the lot has been importedfrom outside the European Union and thepresent position is that these lots are liable to areduced rate of VAT (5%) on the gross lot price(i.e. both the hammer price and the buyer'spremium). Lots which appear without either ofthe above symbols indicate that no VAT ispayable on the hammer price. This is becausesuch lots are sold using the <strong>Auctioneers</strong>'Margin Scheme and it should be noted that theVAT included within the Premium is notrecoverable as input tax.6. We are, primarily, agents for the seller. Weare dependent on information provided by theseller and whilst we may inspect lots and actreasonably in taking a general view about themwe are normally unable to carry out a detailedor any examination of lots in order to ascertaintheir condition in the way in which it would bewise for a buyer to do. Intending buyers haveample opportunity for inspection of goods and,therefore, accept responsibility for inspectingand investigating lots in which they may beinterested. Please note carefully the exclusionof liability for the condition of lots contained inthe Conditions of Sale. Neither the seller norwe, as the auctioneers, accept anyresponsibility for their condition. In particular,mechanical objects of any age are notguaranteed to be in working order. However, inso far as we have examined the goods andmake a representation about their condition, weshall be liable for any defect which thatexamination ought to have revealed to theauctioneer but which would not have beenrevealed to the buyer had the buyer examinedthe goods. Additionally, in specifiedcircumstances lots misdescribed because theyare 'deliberate forgeries' may be returned andrepayment made. There is a 3 week time limit.(The expression 'deliberate forgery' is definedin our Conditions of Sale).7. Electrical goods. These are sold as'antiques' only and if bought for use must bechecked over for compliance with safetyregulations by a qualified electrician first.8. Export of goods. Buyers intending toexport goods should ascertain (a) whether anexport licence is required and (b) whether thereis any specific prohibition on importing goods ofthat character because, e.g. they may containprohibited materials such as ivory. Ask us ifyou need help.9. Bidding. Bidders may be required toregister before the sale commences and lotswill be invoiced to the name and address onthe registration form. Some form ofidentification may be required if you areunknown to us. Please enquire in advanceabout our arrangements for telephone bidding.10. Commission bidding. Commission bidsmay be left with the auctioneers indicating themaximum amount to be bid excluding buyers'premium. They will be executed as cheaply aspossible having regard to the reserve (if any)and competing bids. If two buyers submitidentical commission bids the auctioneers mayprefer the first bid received. Please enquire inadvance about our arrangements for theleaving of commission bids by telephone orFAX.11. Methods of Payment. As a general ruleany cheques tendered will need to be clearedbefore removal of the goods is permitted.Please discuss with our Office in advance ofthe sale if other methods of payment areenvisaged (except cash).12. Collection and storage. Please notewhat the Conditions of Sale state aboutcollection and storage. It is important thatgoods are paid for and collected promptly.Any delay may involve the buyer in payingstorage charges.
