This Court has orig<strong>in</strong>al jurisdiction over this action under 28 U.S.C. '' 1331, 1332,15 U.S.C. '' 1114, 1116, 1117, 1125 and related statutes and the pr<strong>in</strong>ciples ofpendent jurisdiction.3. The matter <strong>in</strong> controversy exceeds, exclusive of <strong>in</strong>terest and costs, the sum of TWOPage 2

Among many other trademarks, Pla<strong>in</strong>tiff is the owner of all right, title, and <strong>in</strong>terest<strong>in</strong> the <strong>federal</strong>ly registered trademark YOU CAN=T FAKE FRESH7, United StatesTrademark Registration No. 3,749,600 for restaurant services (here<strong>in</strong>afterAPla<strong>in</strong>tiff=s Mark@). See Exhibit 1.18. Pla<strong>in</strong>tiff’s Mark appears, among many other places, <strong>in</strong> the below images:Page 6

Pla<strong>in</strong>tiff offers to the consum<strong>in</strong>g public, under Pla<strong>in</strong>tiff=s Mark, its restaurant goodsand services and many related goods and services.20. Pla<strong>in</strong>tiff=s Mark is well known to the relevant consum<strong>in</strong>g public, is fully valid andlegally subsist<strong>in</strong>g and is enforced by Pla<strong>in</strong>tiff to prevent public confusion over thesource of Pla<strong>in</strong>tiff=s goods and services.21. Pla<strong>in</strong>tiff=s goods have been widely advertised and extensively offered to the publicunder Pla<strong>in</strong>tiff=s Mark. Throughout the United States, Pla<strong>in</strong>tiff=s Mark has beenused <strong>in</strong> <strong>in</strong>terstate commerce by Pla<strong>in</strong>tiff s<strong>in</strong>ce at least as early as 2004.22. Pla<strong>in</strong>tiff=s Mark has become, through widespread and favorable public acceptanceand recognition, an asset of substantial value as a symbol of Pla<strong>in</strong>tiff, its qualitygoods, services and its goodwill.23. Pla<strong>in</strong>tiff enjoys considerable success and an enviable reputation <strong>in</strong> its bus<strong>in</strong>ess andcommercial enterprises due <strong>in</strong> large part to its use of, and rights <strong>in</strong>, Pla<strong>in</strong>tiff=s Mark.24. Pla<strong>in</strong>tiff uses and promotes its goods and services under Pla<strong>in</strong>tiff=s Mark to createand benefit from brand and trade identity and to dist<strong>in</strong>guish its goods and servicesfrom those sold by other restaurants.25. Pla<strong>in</strong>tiff has made considerable expenditures to build its brand so successfully. Asa result of Pla<strong>in</strong>tiff=s <strong>in</strong>vestments, Pla<strong>in</strong>tiff=s Mark has become synonymous withPage 7

Pla<strong>in</strong>tiff=s Mark has been widely, prom<strong>in</strong>ently and cont<strong>in</strong>uously advertised andpromoted to the public through many and various means and modes, <strong>in</strong>clud<strong>in</strong>g butnot limited to on commercial signs, newspaper and other forms of pr<strong>in</strong>ted andelectronic materials, on menus, on radio and television ads and over the <strong>in</strong>ternet onits website at www.p<strong>in</strong>cherscrabshack.com as is shown below:.27. By reason of such advertis<strong>in</strong>g and promotion, the public has come to recognizePla<strong>in</strong>tiff=s goods and services offered under Pla<strong>in</strong>tiff=s Mark as emanat<strong>in</strong>g solelyfrom Pla<strong>in</strong>tiff.28. Pla<strong>in</strong>tiff’s mark is beyond dist<strong>in</strong>ctive and unique. Upon <strong>in</strong>formation and belief, <strong>in</strong>all of the history of the United States, no one has applied for or registered a markwith YOU CAN’T FAKE anyth<strong>in</strong>g <strong>in</strong> it for restaurant services. Pla<strong>in</strong>tiff was thePage 8

Pla<strong>in</strong>tiff enforces its rights <strong>in</strong> Pla<strong>in</strong>tiff=s Mark to protect itself and the public from<strong>in</strong>fr<strong>in</strong>gers and <strong>in</strong> order to preserve what Pla<strong>in</strong>tiff has worked so hard to build as asole and exclusive source for restaurant services under Pla<strong>in</strong>tiff’s Mark andPla<strong>in</strong>tiff’s excellent reputation.ILLEGAL ACTS OF DEFENDANTS30. Defendants are <strong>in</strong> the bus<strong>in</strong>ess of operat<strong>in</strong>g and licens<strong>in</strong>g others to operate anationwide network of <strong>in</strong> excess of approximately 6,500 <strong>in</strong>dividual restaurantsPage 9

Upon <strong>in</strong>formation and belief, Defendants ma<strong>in</strong>ta<strong>in</strong> locations throughout the UnitedStates and <strong>in</strong> each and every state, <strong>in</strong>clud<strong>in</strong>g with<strong>in</strong> the state of Florida, are one ofthe largest fast food cha<strong>in</strong>s <strong>in</strong> the United States, expend hundreds of millions ofdollars each year <strong>in</strong> the advertis<strong>in</strong>g and promotion of their restaurant goods andservices by various means and modes and generate billions of dollars <strong>in</strong> revenuefrom consumer sales each year.32. Defendants’ television, radio, and <strong>in</strong>ternet advertis<strong>in</strong>g occur <strong>in</strong> this Middle Districtand are viewed by customers <strong>in</strong> this Middle District.33. Defendants and Pla<strong>in</strong>tiff compete for the same and/or substantially similarrestaurant-go<strong>in</strong>g consumers.34. Upon <strong>in</strong>formation and belief, Defendants have adopted and used the term, YOUCAN’T FAKE FRESH, for Defendants’ food and restaurant services, and the samehas been broadcast to the public <strong>in</strong> commercial advertis<strong>in</strong>g by Defendants.35. Defendants are responsible for openly and actively advertis<strong>in</strong>g, both <strong>in</strong> this MiddleDistrict and throughout the United States the follow<strong>in</strong>g image by us<strong>in</strong>g the term“YOU CAN’T FAKE FRESH” for Defendants’ food and restaurant services(here<strong>in</strong>after the “Infr<strong>in</strong>g<strong>in</strong>g Mark 1”).36. Defendants caused the image below, among others, to be broadcast to thePage 10

The Infr<strong>in</strong>g<strong>in</strong>g Mark 1 and Pla<strong>in</strong>tiff’s Mark are exactly the same.38. The Infr<strong>in</strong>g<strong>in</strong>g Mark 1 and Pla<strong>in</strong>tiff’s Mark sound exactly the same when spoken.39. The Infr<strong>in</strong>g<strong>in</strong>g Mark 1 and Pla<strong>in</strong>tiff’s Mark are marketed to exactly the same groupof consumers, namely restaurant-go<strong>in</strong>g consumers.40. The Infr<strong>in</strong>g<strong>in</strong>g Mark 1 and Pla<strong>in</strong>tiff’s Mark are broadcast to consumers <strong>in</strong> exactlythe same location, namely Southwest Florida, among other geographies.41. The Infr<strong>in</strong>g<strong>in</strong>g Mark 1 and Pla<strong>in</strong>tiff’s Mark are for the exact same services, namelyrestaurant services.42. Upon <strong>in</strong>formation and belief, Defendants have openly and actively engaged <strong>in</strong> theunauthorized, <strong>in</strong>fr<strong>in</strong>g<strong>in</strong>g, unlicensed, and imitative use of the exact same trademarkregistered exclusively to Pla<strong>in</strong>tiff, namely YOU CAN’T FAKE FRESH for theexact same services protected <strong>in</strong> Pla<strong>in</strong>tiff’s <strong>federal</strong> registration, namely “restaurantservices”, <strong>in</strong> the exact same geographic area <strong>in</strong> which Pla<strong>in</strong>tiff uses its Mark, <strong>in</strong>Page 11

SeeExhibit 2.43. Additionally, as part of the illegal conduct described here<strong>in</strong>, Defendants caused thebelow image to be broadcast <strong>in</strong>to this Middle District, <strong>in</strong> television advertis<strong>in</strong>g,us<strong>in</strong>g the term, “YOU CAN’T FAKE FRESH:44. The above use of YOU CAN’T FAKE FRESH takes place with<strong>in</strong> a motion pictureor video presentation of Defendants’ commercial advertis<strong>in</strong>g.45. The Defendants’ use of YOU CAN’T FAKE FRESH mark is, for all <strong>in</strong>tents andpurposes, the functional equivalent of the Pla<strong>in</strong>tiff’s Mark and is <strong>in</strong>tended byDefendants to, and does, give rise to the same commercial impression as thePla<strong>in</strong>tiff’s Mark.Page 12

Pla<strong>in</strong>tiff has at no time granted to Defendants any permission or license to use thePla<strong>in</strong>tiff’s Mark.47. The use of the Infr<strong>in</strong>g<strong>in</strong>g Mark 1, YOU CAN’T FAKE FRESH, by Defendants isunauthorized and without permission.DEFENDANTS’ USE OF YOU CAN’T FAKE REALIS FRUIT OF THE POISONOUS TREE48. Out of the use of the Infr<strong>in</strong>g<strong>in</strong>g Mark 1, Defendants hatched an additional plan ofaction. Defendants developed yet another mark for the exact same services andgoods as that used under the Infr<strong>in</strong>g<strong>in</strong>g Mark 1, namely the Defendants adopted themark “YOU CAN’T FAKE REAL" (here<strong>in</strong>after “Infr<strong>in</strong>g<strong>in</strong>g Mark 2”).49. It may appear to a consumer that Defendants’ birth of the Infr<strong>in</strong>g<strong>in</strong>g Mark 2 asPage 13


Case 2:11-cv-00392-CEH-DNF Document 1 Filed 07/12/11 Page 14 of 55 PageID 14proceed<strong>in</strong>g from or <strong>in</strong> first conjunction with Infr<strong>in</strong>g<strong>in</strong>g Mark 1, is “fruit of thepoisonous tree”, so to speak, <strong>in</strong> that it is the progeny of <strong>in</strong>fr<strong>in</strong>g<strong>in</strong>g acts.50. The explanatory, visual, textual, collateral, and ancillary materials used byDefendants <strong>in</strong> connection with their use of the term YOU CAN’T FAKE REALdemonstrate clearly that Defendants wish the reader and consumer to <strong>in</strong>terpret theterm “REAL” as be<strong>in</strong>g synonymous with and convey<strong>in</strong>g the same commercialimpression as that which is created by the term “FRESH”.51. Defendants created a connection between the term YOU CAN’T FAKE FRESH,and the term YOU CAN’T FAKE REAL, and advertised that connectionrepeatedly.52. The image immediately below is a true and accurate depiction of the contentoffered at http://www.wendys.com/ads/ dur<strong>in</strong>g the month of July 2011.53. Infr<strong>in</strong>g<strong>in</strong>g Mark 1 and Infr<strong>in</strong>g<strong>in</strong>g Mark 2 are here<strong>in</strong>after also collectively referredto as the “Infr<strong>in</strong>g<strong>in</strong>g Marks”.Page 14

Defendants’ Infr<strong>in</strong>g<strong>in</strong>g Mark 2 is confus<strong>in</strong>gly similar to Pla<strong>in</strong>tiff’s Mark.55. Defendants’ use of both Infr<strong>in</strong>g<strong>in</strong>g Mark 1 and Infr<strong>in</strong>g<strong>in</strong>g Mark 2 is engender<strong>in</strong>gbad will <strong>in</strong> connection with Pla<strong>in</strong>tiff’s <strong>in</strong>novative, first, and dist<strong>in</strong>ctive mark, as thepublic responds to particular details about how Defendants do bus<strong>in</strong>ess, such as thatshown <strong>in</strong> Exhibit 3.56. Defendants have apparently targeted for use of their Infr<strong>in</strong>g<strong>in</strong>g Mark 1 andInfr<strong>in</strong>g<strong>in</strong>g Mark 2, with special attention, those restaurants <strong>in</strong> Pla<strong>in</strong>tiff’s geographicarea, as shown by the prom<strong>in</strong>ent national placement, over all other Wendy’slocations, of the <strong>in</strong>ternet advertis<strong>in</strong>g for Wendy’s Cape Coral, Florida location. SeeExhibit 2.57. Defendants’ conduct harms Pla<strong>in</strong>tiff and Pla<strong>in</strong>tiff’s trademark rights and has, andis, caus<strong>in</strong>g damage to Pla<strong>in</strong>tiff needlessly.58. This public offer<strong>in</strong>g for sale of compet<strong>in</strong>g goods and services under the Infr<strong>in</strong>g<strong>in</strong>gMark 1 and Infr<strong>in</strong>g<strong>in</strong>g Mark 2 by Defendants is and has been without the consent,permission or authority of Pla<strong>in</strong>tiff, as Defendants do not have any legitimate rights<strong>in</strong> or licenses to the Infr<strong>in</strong>g<strong>in</strong>g Mark 1 or Infr<strong>in</strong>g<strong>in</strong>g Mark 2.59. Infr<strong>in</strong>g<strong>in</strong>g Mark 1 and Infr<strong>in</strong>g<strong>in</strong>g Mark 2 have each been used by Defendants andoffered to the public utiliz<strong>in</strong>g this District as a forum for their <strong>in</strong>fr<strong>in</strong>g<strong>in</strong>g activitieswith actual and/or constructive knowledge that neither are genu<strong>in</strong>e nor authorizedby Pla<strong>in</strong>tiff.Page 15

Defendants have engaged <strong>in</strong> the widespread, regular and systematic transaction ofbus<strong>in</strong>ess under the Infr<strong>in</strong>g<strong>in</strong>g Mark 1 as well as under Infr<strong>in</strong>g<strong>in</strong>g Mark 2, haveengaged <strong>in</strong> the commission of tortious acts <strong>in</strong> Florida, <strong>in</strong>clud<strong>in</strong>g with<strong>in</strong> this MiddleDistrict, and are subject to the jurisdiction of this Court.61. By us<strong>in</strong>g the Infr<strong>in</strong>g<strong>in</strong>g Marks and offer<strong>in</strong>g services and goods for sale thereunder,Defendants, on a widespread basis, have misrepresented and falsely described tothe general public the orig<strong>in</strong> and source of Defendants= goods and services so as todeceive the public and deliberately create the likelihood of consumer confusion,which can <strong>in</strong>clude, but is not limited to, <strong>in</strong>itial <strong>in</strong>terest confusion and Areverseconfusion@ as that term is recognized under the law.62. By us<strong>in</strong>g the Infr<strong>in</strong>g<strong>in</strong>g Marks, and offer<strong>in</strong>g goods for sale thereunder, Defendantshave caused and cont<strong>in</strong>ue to cause mistake, or to deceive the consum<strong>in</strong>g public asto the affiliation, connection, or association of Defendants with Pla<strong>in</strong>tiff, or as tothe orig<strong>in</strong>, sponsorship, or approval of Defendants= goods and services, orcommercial activities by the ultimate purchaser as to both the source andsponsorship of Defendants= goods and services.63. Upon <strong>in</strong>formation and belief, Defendants= goods and services offered under theInfr<strong>in</strong>g<strong>in</strong>g Marks, to the extent that they are not the genu<strong>in</strong>e article of Pla<strong>in</strong>tiff andnot fully authorized by Pla<strong>in</strong>tiff, are or may be <strong>in</strong>ferior <strong>in</strong> quality to the goods andservices authorized to be sold by Pla<strong>in</strong>tiff, and the sale thereof has, does, and willPage 16

Defendants, upon <strong>in</strong>formation and belief and with full knowledge of the notorietyof Pla<strong>in</strong>tiff=s Mark, <strong>in</strong>tended to, and did, trade on the goodwill associated withPla<strong>in</strong>tiff, and have misled and will cont<strong>in</strong>ue to confuse, deceive and mislead thepublic <strong>in</strong> this regard.65. Defendants have advertised, distributed, offered for sale, and/or sold <strong>in</strong> the state ofFlorida and <strong>in</strong> <strong>in</strong>terstate commerce, related goods and services under the Infr<strong>in</strong>g<strong>in</strong>gMarks, thus creat<strong>in</strong>g the likelihood of confusion, deception, and mistake as to thesource, affiliation, connection, or association of the Pla<strong>in</strong>tiff’s genu<strong>in</strong>e services , oras to the orig<strong>in</strong>, sponsorship, or approval of Defendants= goods, services orcommercial activities.66. The use by Defendants of either or both of the Infr<strong>in</strong>g<strong>in</strong>g Marks constitutes aknow<strong>in</strong>g use of a false designation of orig<strong>in</strong> and a false description orrepresentation that wrongly and falsely designates Defendants= goods and servicesoffered to the public by Defendants as orig<strong>in</strong>at<strong>in</strong>g from, or connected with,Pla<strong>in</strong>tiff, and constitutes us<strong>in</strong>g false descriptions of fact or misrepresentations <strong>in</strong>commerce.67. The imitation, reproduction, and unauthorized use of either or both of theInfr<strong>in</strong>g<strong>in</strong>g Marks causes irreparable <strong>in</strong>jury to Pla<strong>in</strong>tiff, <strong>in</strong>clud<strong>in</strong>g <strong>in</strong>jury to itsPage 17

Defendants= use of either or both of the Infr<strong>in</strong>g<strong>in</strong>g Marks does, is likely to, causeDefendants to pass off their goods and services as those of Pla<strong>in</strong>tiff=s, all to thedetriment of Pla<strong>in</strong>tiff and to the unjust enrichment of Defendants.69. Defendants= use of either or both of the Infr<strong>in</strong>g<strong>in</strong>g Marks has caused, does cause,and/or is likely to cont<strong>in</strong>ue to cause, damage to Pla<strong>in</strong>tiff by tarnish<strong>in</strong>g the valuablereputation and image associated with Pla<strong>in</strong>tiff and its goods and services.70. Upon <strong>in</strong>formation and belief, the false and deceptive advertis<strong>in</strong>g of Defendants, asis set forth here<strong>in</strong>, is <strong>in</strong>tention and is calculated to provide Defendants withcommercial benefit to the detriment of its competitors, <strong>in</strong>clud<strong>in</strong>g Pla<strong>in</strong>tiff.71. Upon <strong>in</strong>formation and belief, the false and deceptive advertis<strong>in</strong>g of Defendants, asis set forth here<strong>in</strong>, is directed to the same or similar consumers as those to whichPla<strong>in</strong>tiff directs its advertis<strong>in</strong>g and is likely to deceive consumers <strong>in</strong>to mak<strong>in</strong>g adecision to purchase Defendant’s products over those offered by Pla<strong>in</strong>tiff underPla<strong>in</strong>tiff’s Mark.72. Defendants= unlawful activities results <strong>in</strong> irreparable harm and <strong>in</strong>jury to Pla<strong>in</strong>tiff.Among other harms, it:a. deprives Pla<strong>in</strong>tiff of its absolute right to determ<strong>in</strong>e the manner <strong>in</strong> which itsgoods and services are presented to the general public, <strong>in</strong>clud<strong>in</strong>g but notlimited to the right to determ<strong>in</strong>e the scope, manner and expansion of itsrights;Page 18


Case 2:11-cv-00392-CEH-DNF Document 1 Filed 07/12/11 Page 19 of 55 PageID 19b. dilutes and/or tarnishes Pla<strong>in</strong>tiff=s valuable and dist<strong>in</strong>ctive trademark rights;c. deceives the public as to the orig<strong>in</strong> and sponsorship of such goods andservices;d. wrongfully trades upon and cashes <strong>in</strong> on Pla<strong>in</strong>tiff=s reputation and exclusiverights <strong>in</strong> its trademarks;e. deceives the public as to the nature, quality and characteristics ofDefendants’ goods and services and, to the extent Defendants= goods andservices are or may be of <strong>in</strong>ferior quality or unauthorized for sale ordistribution, irreparably harms and <strong>in</strong>jures Pla<strong>in</strong>tiff=s reputation; and73. Among the other relief sought here<strong>in</strong>, Pla<strong>in</strong>tiff is entitled to a prelim<strong>in</strong>ary andpermanent <strong>in</strong>junction restra<strong>in</strong><strong>in</strong>g Defendants, their pr<strong>in</strong>cipals, officers, agents,servants, employees, and attorneys, and all persons act<strong>in</strong>g <strong>in</strong> concert with them,from engag<strong>in</strong>g <strong>in</strong> any further acts <strong>in</strong> violation of the applicable law, <strong>in</strong>clud<strong>in</strong>g butnot limited to 15 U.S.C. '' 1114, 1117 and 1125.74. Pla<strong>in</strong>tiff repeats and realleges all of the above paragraphs of this Compla<strong>in</strong>t as iffully set forth here<strong>in</strong>.146. Defendants= acts, as set forth here<strong>in</strong>, constitute, pass<strong>in</strong>g off <strong>in</strong> violation of theFlorida common law.147.
