statement or opinion of or representations by an officer or officers of the Company, unless suchcounsel knows that the certificate, statement or opinion or representations with respect to thematters upon which his certificate, statement or opinion may be based as aforesaid are erroneous,or in the exercise of reasonable care should know that the same are erroneous.Any certificate, statement or opinion of an officer of the Company or of counsel may bebased, insofar as it relates to accounting matters, upon a certificate or opinion of orrepresentations by an accountant or firm of accountants in the employ of the Company, unlesssuch officer or counsel, as the case may be, knows that the certificate or opinion orrepresentations with respect to the accounting matters upon which his certificate, statement oropinion may be based as aforesaid are erroneous, or in the exercise of reasonable care shouldknow that the same are erroneous.Any certificate or opinion of any independent firm of public accountants filed with theTrustee shall contain a statement that such firm is independent.Section 11.6Payments Due on Saturdays, Sundays and Holidays.If the date of maturity of interest on or principal, or premium, if any, of the Notes or thedate fixed for redemption of any Note shall not be a Business Day, then payment of interest,principal, or premium need not be made on such date, but may be made on the next succeedingBusiness Day with the same force and effect as if made on the date of maturity or the date fixedfor redemption, and no interest shall accrue for the period after such date.Section 11.7New York Law to Govern.THIS INDENTURE SHALL BE GOVERNED BY THE LAW OF THE STATE OFNEW YORK, WITHOUT REFERENCE TO THE CHOICE OF LAW PROVISIONSTHEREOF (OTHER THAN SECTION 5-1401 OF THE NEW YORK GENERALOBLIGATIONS LAW).Section 11.8Counterparts.This Indenture may be executed in any number of counterparts, each of which shall be anoriginal, but such counterparts shall together constitute but one and the same agreement.Section 11.9Effect of Headings.The Article and Section Headings herein and the Table of Contents are for convenienceof reference only and shall not affect the construction hereof.Section 11.10 Trust Indenture Act.When this Indenture is qualified under the TIA, the mandatory provisions thereof shall bedeemed to be incorporated by reference herein.58
