TERMS & CONDITIONS OF SALEThis catalog, as amended by any posted notices or oral announcements during the sale, is the <strong>Museum</strong> <strong>of</strong> <strong>Latin</strong> <strong>American</strong><strong>Art</strong>’s entire agreement with the purchaser relative to the property listed herein. The following Conditions <strong>of</strong> Sale and anyglossary contained herein are the complete and only terms and conditions on which all property is <strong>of</strong>fered for sale. TheConditions <strong>of</strong> Sale may be amended by posted notices or oral announcements made before or during the sale. By biddingat auction you agree to be bound by these terms and conditions.1We reserve the right to withdraw anyproperty before sale and shall have noliability for such withdrawal.2Lots <strong>of</strong>fered in this auction will be exhibitedfor preview at the <strong>Museum</strong> <strong>of</strong> <strong>Latin</strong> <strong>American</strong><strong>Art</strong> at 628 Alamitos Ave, Long Beach, CA90802 on Saturday, September 5, 2009 from11:00 a.m. - 5:00 p.m., and thereafter followingMOLAA’s regular hours <strong>of</strong> operation, throughFriday, October 16, 2009.3All bidders must register in order to bid onitems in the auction. Registration will beon a confidential basis and no bids will beaccepted from unregistered bidders. To register,prior to the day <strong>of</strong> the auction, call MOLAA at562.437.1689.4On the day <strong>of</strong> the auction, registered bidderswill receive a numbered paddle foridentification during the bidding and as aninstrument with which to make their bids. Thelots listed in the catalog will be <strong>of</strong>fered in theirnumerical order. We reserve the right to withdrawany property at any time and shall haveno liability for each such withdrawal. Wereserve the right to reject any bid. The highestbidder acknowledged by the auctioneer willbe the purchaser. In the event <strong>of</strong> any disputebetween the bidders or in the event <strong>of</strong> doubton our part as to the validity <strong>of</strong> any bid, theauctioneer will have the final discretion eitherto determine the successful bidder or tore-<strong>of</strong>fer and resell the article in dispute. If anydispute arises after the sale, our sale recordis conclusive. Although in our discretion wewill execute absentee bids as a convenienceto clients who are not present at the auctions,we are not responsible for any omissionstherewith.If the auctioneer decides that any opening5 bid is below the value <strong>of</strong> the article <strong>of</strong>fered,he may reject the same and withdraw the articlefrom sale, and if, having acknowledged anopening bid, he decides that any advance thereafteris insufficient, he may reject the advance.6On the fall <strong>of</strong> the auctioneer’s hammer, titleto the <strong>of</strong>fered lot will pass to the highestbidder acknowledged by the auctioneer, subjectto fulfillment by such bidder <strong>of</strong> all conditions setforth herein, and such thereupon (a) assumesfull risk and responsibility therefore and (b) willpay the full purchase price therefore. In additionto other remedies available to us by law, wereserve the right to impose a late charge <strong>of</strong> 1%per month <strong>of</strong> the total purchase price if paymentis not made in accordance with the conditionsset forth herein. The late charge will be imposedpro rata for periods <strong>of</strong> less than one month. Allproperty must be removed from our premisesby the purchaser at his or her expense not laterthan 5 business days following its sale, and if itis not so removed, (a) a handling charge <strong>of</strong> 1%<strong>of</strong> the purchase price per month until itsremoval will be payable to us by the purchaser,with a minimum <strong>of</strong> 5% for any property not soremoved within 60 days <strong>of</strong> the sale, or (b) wemay send the purchased property to a publicwarehouse at the account, risk and expense<strong>of</strong> the purchaser. If any applicable conditionsherein are not complied with by the purchaser,in addition to other remedies available to us bylaw, including without limitation the right to holdthe purchaser liable for the total purchase price,we at our option may either (a) cancel the sale,retaining as liquidated damages all paymentsmade by the purchaser, or (b) resell the propertyat public auction without reserve, and thepurchaser will be liable for any deficiency andcosts, including handling charges and incidentaldamages. We shall have the rights afforded asecured party under the California CommercialCode with respect to such property, and wemay apply against such obligations all moniesor other property held or received by us for theaccount <strong>of</strong>, or due from us to, such purchaser.At our option, payment will not be deemed tohave been made in full until we have collectedfunds represented by checks, or in the case <strong>of</strong>bank or cashiers checks, we have confirmed theirauthenticity. The purchaser may not remove anylotfromourpremisesuntilithasbeenpaidforinfull.7Each lot is <strong>of</strong>fered subject to a reserve,which is the confidential minimum pricebelow which such lot will not be sold. Wemay implement such reserves by bidding onMOLAA’s behalf.8Unless exempted by law, the purchaser willbe required to pay the California state andlocal sales tax, or any applicable compensatinguse tax <strong>of</strong> another on the total purchase price.The rate <strong>of</strong> such combined tax is 9.75%.9The Conditions <strong>of</strong> Sale as well as thepurchaser’s and our respective rights andobligations hereunder shall be governed by andconstrued and enforced in accordance withthe laws <strong>of</strong> the State <strong>of</strong> California. By biddingat an auction, whether present in person or byan agent, absentee bid or other means, thepurchaser shall be deemed to have consentedto the jurisdiction <strong>of</strong> the state and federal courts<strong>of</strong> the State <strong>of</strong> California.We are not responsible for the acts or10 omissions <strong>of</strong> carriers or packers <strong>of</strong>purchased lots, whether or not recommendedby us. Packing and handling <strong>of</strong> purchased lotsby us is at the entire risk <strong>of</strong> the purchaser. In noevent will our liability to the purchaser exceedthe purchase price actually paid.The information in this catalog is believed to be correct. However, MOLAA assumes no liability for omissions or errors. <strong>Art</strong>work is sold “as is”.11We assume no responsibility for theauthenticity or the authorship <strong>of</strong> anyproperty listed in this catalog (that is, theidentity <strong>of</strong> the creator or the period, culture,source or origin, as the case may be, <strong>of</strong> theproperty). All property is sold “as is”, and wemake no warranties or representations <strong>of</strong> thegenuineness or attribution <strong>of</strong> the property norany warranties or representations <strong>of</strong> thecorrectness <strong>of</strong> the catalog or other description<strong>of</strong> the physical condition, size, quality, rarity,importance, provenance, exhibitions, literatureor historical relevance <strong>of</strong> the property, and nostatement anywhere, whether oral or written,shall be deemed such a warranty or representation.Prospective bidders should inspectthe property before bidding to determine itscondition, size and whether or not it has beenrepaired or restored.
