«A med-tech product <strong>th</strong>at has proved its wor<strong>th</strong> in<br />

scene too». A ra<strong>th</strong>er extravagant claim?<br />

Perhaps. But certainly, any company <strong>th</strong>at successfully<br />

launches a medical technology product in<br />

Switzerland has a good chance of establishing itself<br />

on <strong>th</strong>e global market as well.<br />

«The med-tech industry is <strong>th</strong>e pearl of Switzerland’s<br />

national economy». Ano<strong>th</strong>er extravagant<br />

claim. Or is it? Fact: Switzerland has more medtech<br />

companies <strong>th</strong>an any o<strong>th</strong>er country in <strong>th</strong>e<br />

world. Ano<strong>th</strong>er fact: many foreign med-tech firms<br />

have deliberately chosen Switzerland for <strong>th</strong>e<br />

location of <strong>th</strong>eir European headquarters or as a<br />

production site. And finally: <strong>th</strong>e med-tech industry<br />

has for many years been noted for grow<strong>th</strong> figures<br />

<strong>th</strong>at are well above <strong>th</strong>e average, and <strong>th</strong>e industry<br />

employs a steadily increasing number of people –<br />

currently around 45,000.<br />

In <strong>2010</strong>, IFAS will once again act as a ‘showcase’ to<br />

document <strong>th</strong>e unique position <strong>th</strong>at Switzerland<br />

holds wi<strong>th</strong>in <strong>th</strong>e med-tech industry. And it will also<br />

sustainably consolidate your position vis-à-vis <strong>th</strong>e<br />

Thanks to partnerships wi<strong>th</strong> <strong>th</strong>e key Swiss industry associations, IFAS is able<br />

to count on <strong>th</strong>e work of seven extremely committed and helpful experts.<br />

The tasks and duties of <strong>th</strong>e seven members of <strong>th</strong>e IFAS trade fair advisory<br />

committee are multifaceted, demanding and sometimes challenging. In<br />

addition to being jointly responsible for <strong>th</strong>e concept of <strong>th</strong>e Swiss trade fair for<br />

<strong>th</strong>e heal<strong>th</strong>care market, <strong>th</strong>e members of <strong>th</strong>e Exhibition Advisory Committee<br />

must also – depending on <strong>th</strong>e association to which <strong>th</strong>ey belong – represent<br />

ei<strong>th</strong>er <strong>th</strong>e interests of <strong>th</strong>e exhibitors or <strong>th</strong>ose of <strong>th</strong>e visitors, and <strong>th</strong>is in an<br />

2 The following contract is concluded:<br />

<strong>th</strong>e above-mentioned company hereby lawfully registers its participation in <strong>th</strong>e IFAS <strong>2010</strong>, on 26<strong>th</strong> to 29<strong>th</strong> <strong>October</strong> <strong>2010</strong>, Ex hibition Center Zurich<br />

in Zurich-Oerlikon. The company undertakes to participate in <strong>th</strong>e exhibition and to recognise <strong>th</strong>e rules and in particular <strong>th</strong>e exhibition regulations<br />

(extracts of which are printed on <strong>th</strong>e reverse) drawn up by <strong>th</strong>e exhibition management which constitute an integral component of <strong>th</strong>is<br />

contract.<br />

The basic price per square metre of stand area is:<br />

� 1. Regular square metre price: CHF 265.–<br />

� 2. Regular square metre price + exhibited in 2008: CHF 245.–<br />

� 3. Regular square metre price wi<strong>th</strong> contract valid for <strong>2010</strong> and 2012: CHF 225.–<br />

The multi-front supplements are based on <strong>th</strong>e net stand hire charge. The multi-front supplements are: 2 fronts 20%, 3 and<br />

4 fronts 25%. For stands over 100 m 2 in area, no multi-front supplement is charged. Fur<strong>th</strong>ermore, it is understood <strong>th</strong>at a request<br />

for allocation of a multi-front stand will be viewed by <strong>th</strong>e exhibition management as a wish, but not as a condition for <strong>th</strong>e legality of <strong>th</strong>is Exhibitor<br />

Contract. Stands on two levels attract a supplement of CHF 75.– per m 2 of accessible area. For stands wi<strong>th</strong> a height (incl. advertising and<br />

signage) exceeding 3.5 metres, an additional charge of CHF 1000.– will be levied (all prices are exclusive of VAT). Please note <strong>th</strong>at your<br />

stand area has been reserved until 16 April <strong>2010</strong> as for IFAS 2008. If <strong>th</strong>e contract is not submitted by <strong>th</strong>is date, we will<br />

make use of your stand area.<br />

6 Obligatory exhibitor’s package: <strong>th</strong>e exhibitor’s package contains <strong>th</strong>e mandatory basic entry in <strong>th</strong>e catalogue and on <strong>th</strong>e Internet and will be<br />

charged to <strong>th</strong>e exhibitor company at CHF 950.– (excl. VAT).<br />

7 Payment terms: 50% on booking of stand, however not before confirmation of stand location and issue of invoice has occurred;<br />

50% by 31st August <strong>2010</strong>.<br />

8 Documentation for exhibitors containing order forms for electricity, telephone and water connections, for furniture etc. will be sent to <strong>th</strong>e<br />

exhibitor company in good time before <strong>th</strong>e start of <strong>th</strong>e exhibition.<br />

9 If <strong>th</strong>e company is a member of one of <strong>th</strong>e following listed associations, <strong>th</strong>en <strong>th</strong>e latter will be reimbursed to <strong>th</strong>e amount<br />

EXHIBITOR REGULATIONS<br />

A) Admission criteria and acceptance of Exhibitor Regulations<br />

Products and services specified by <strong>th</strong>e Exhibition Management or – where applicable – by an exhibition advisory<br />

board are allowed to be exhibited. The Exhibition Management – if applicable, in cooperation wi<strong>th</strong> a<br />

committee of experts – has sole au<strong>th</strong>ority to decide on <strong>th</strong>e admission or rejection of companies and/or<br />

products or services. The Exhibitor must state <strong>th</strong>e products and services he wishes to exhibit on <strong>th</strong>e contract<br />

form and in <strong>th</strong>e relevant lists. The advertising of brands, products, services or companies <strong>th</strong>at have not<br />

been registered in advance is not permitted. The Exhibition Management will not be held liable for any claims<br />

lodged by Exhibitors or <strong>th</strong>ird parties due to <strong>th</strong>e admission or rejection of companies and/or products or<br />

services.<br />

In signing <strong>th</strong>e Exhibitor Contract <strong>th</strong>e Exhibitor accepts <strong>th</strong>at <strong>th</strong>ese terms and conditions are binding on him<br />

and his employees or agents. Fur<strong>th</strong>ermore, he undertakes to comply wi<strong>th</strong> all regulations of <strong>th</strong>e exhibition<br />

site owner. Any «Exhibitor Regulations», «Operating Rules» or similar regulations shall form an integral part<br />

of <strong>th</strong>e Exhibitor Contract<br />

B) Boo<strong>th</strong> allocation<br />

Special requests concerning <strong>th</strong>e location of <strong>th</strong>e Exhibitor’s boo<strong>th</strong> will be taken into consideration wherever<br />

possible, but cannot be accepted as a condition for participation; <strong>th</strong>e Organiser must be advised by registered<br />

mail of any justified objections to <strong>th</strong>e boo<strong>th</strong> allocation wi<strong>th</strong>in 8 days of date of dispatch of <strong>th</strong>e hall<br />

plan. O<strong>th</strong>erwise <strong>th</strong>e boo<strong>th</strong> allocation shall be deemed accepted.<br />

The Exhibitor undertakes to leave <strong>th</strong>e fronts assigned to his boo<strong>th</strong> open (unless permitted<br />

to do o<strong>th</strong>erwise by <strong>th</strong>e Exhibition Management in writing).<br />

The Organizer reserves <strong>th</strong>e right, before or after confirming <strong>th</strong>e boo<strong>th</strong> allocation, to adjust <strong>th</strong>e location, <strong>th</strong>e<br />

number of square meters and <strong>th</strong>e number of open fronts to fit <strong>th</strong>e space available, i.e. to modify <strong>th</strong>e size or<br />

location of <strong>th</strong>e boo<strong>th</strong> wi<strong>th</strong>in reasonable limits. This does not give <strong>th</strong>e Exhibitor <strong>th</strong>e right to make any financial<br />

demands.<br />

If <strong>th</strong>e Exhibitor wishes to reduce <strong>th</strong>e boo<strong>th</strong> space after boo<strong>th</strong> allocation has been made and confirmed by<br />

<strong>th</strong>e Organiser, <strong>th</strong>e resulting difference is considered to be a partial wi<strong>th</strong>drawal from <strong>th</strong>e contract pursuant<br />

to article H «Wi<strong>th</strong>drawal from <strong>th</strong>e Exhibitor Contract».<br />

C) Co-Exhibitors<br />

The participation of Co-Exhibitors requires special registration as well as a corresponding confirmation by<br />

<strong>th</strong>e Organiser. Co-Exhibitors are companies <strong>th</strong>at are presented at <strong>th</strong>e Exhibitor’s boo<strong>th</strong> in any way, whe<strong>th</strong>er<br />

<strong>th</strong>rough notices displaying <strong>th</strong>eir address or referring to <strong>th</strong>em, exhibits or promotional material. For every<br />

Co-Exhibitor <strong>th</strong>e Exhibitor shall pay a basic fee and <strong>th</strong>e cost of a mandatory entry in <strong>th</strong>e exhibition catalogue.<br />

The respective main Exhibitor shall be responsible towards <strong>th</strong>e Organiser for each Co-Exhibitor. The<br />

main Exhibitor shall pay <strong>th</strong>e Co-Exhibitor’s fees for presence at <strong>th</strong>e boo<strong>th</strong> and entry in <strong>th</strong>e catalogue, and<br />

shall be liable for all consequences and costs arising from <strong>th</strong>e Co-Exhibitor’s presence.<br />

Advertisements for a brand, product, service or company not taking part in <strong>th</strong>e exhibition are not<br />

permitted.<br />

In cases where Co-Exhibitors have not been registered in advance, <strong>th</strong>e Exhibitor shall pay an additional<br />

administration fee of CHF 500 on top of <strong>th</strong>e usual basic fee for Co-Exhibitors.<br />

D) Boo<strong>th</strong> space<br />

The boo<strong>th</strong> space shall be defined as <strong>th</strong>e net floor area.<br />

For <strong>th</strong>e accessible floor space of upper levels, one-<strong>th</strong>ird of <strong>th</strong>e square metre price for ground floor space<br />

will be charged.<br />

Not included in <strong>th</strong>e boo<strong>th</strong> rent are:<br />

– any surcharges for multi-fronted boo<strong>th</strong>s and second floors<br />

– boo<strong>th</strong> construction and boo<strong>th</strong> interior as well as floor coverings<br />

– boo<strong>th</strong> cleaning<br />

– technical connections as well as fees and consumption<br />

– basic fees for Co-Exhibitors<br />

– entries and advertisements in <strong>th</strong>e exhibition catalogue, promotional material<br />

– o<strong>th</strong>er rents, additional orders and services requested via special order forms<br />

– insurances<br />

Contract services such as boo<strong>th</strong> construction, furnishings, technical installations, plants, insurances etc. will<br />

be invoiced directly by <strong>th</strong>e official suppliers.<br />

E) Boo<strong>th</strong> construction and boo<strong>th</strong> design<br />

The Exhibitor rents <strong>th</strong>e net boo<strong>th</strong> space wi<strong>th</strong>out boo<strong>th</strong> construction.<br />

The Exhibitor shall be free to engage a boo<strong>th</strong> constructor of his own choice or <strong>th</strong>e official boo<strong>th</strong> constructor<br />

for <strong>th</strong>e Exhibition. Boo<strong>th</strong> constructions must comply wi<strong>th</strong> <strong>th</strong>e site owner’s regulations.<br />

Upper floors require advance permission from <strong>th</strong>e Organiser.<br />

Particular reference is made to <strong>th</strong>e special regulations laid down by <strong>th</strong>e fire police.<br />

Work outside fixed working hours requires special permission. Corresponding applications are to be<br />

addressed to <strong>th</strong>e Organiser in writing. Permission will always be granted in writing. If <strong>th</strong>e Exhibitor or one of<br />

his suppliers causes additional costs (e.g. costs for personnel and energy, rent etc.) <strong>th</strong>rough using <strong>th</strong>e halls<br />

outside <strong>th</strong>e fixed working hours, <strong>th</strong>ese costs will be charged to <strong>th</strong>e Exhibitor according to time and expenditure.<br />

Any objects left behind can simply be disposed of by <strong>th</strong>e Organiser.<br />

F) Delivery, installation of heavy goods<br />

The Exhibitor is obliged to give <strong>th</strong>e Organiser advance notification of heavy goods (upwards of 500 kg per<br />

square meter) already when he submitting <strong>th</strong>e Exhibitor Contract. The Exhibitor shall be liable for damages<br />

if he has heavy goods transported into <strong>th</strong>e halls wi<strong>th</strong>out notifying <strong>th</strong>e Exhibition Management in good time.<br />

In his own interests, <strong>th</strong>e Exhibitor is requested to notify <strong>th</strong>e Exhibition Management in writing, so <strong>th</strong>at <strong>th</strong>e<br />

necessary substructures and supply lines can be preinstalled in good time and in <strong>th</strong>e required size and form.<br />

The Exhibitor shall be liable for any floor contamination and general damage to <strong>th</strong>e building caused by him.<br />

G) Prices, conditions of payment<br />

All prices are exclusive of <strong>th</strong>e Swiss VAT rate applicable at <strong>th</strong>e time of invoicing.<br />

Invoices will usually only be sent out after <strong>th</strong>e definitive allocation of boo<strong>th</strong>s. The invoiced amounts must be<br />

settled in due time according to <strong>th</strong>e payment conditions set out on <strong>th</strong>e invoice. In case of default <strong>th</strong>e Exhibition<br />

Management reserves <strong>th</strong>e right to charge additional fees for reminders and accumulated interest.<br />

Amounts charged less <strong>th</strong>an 60 days before <strong>th</strong>e opening of <strong>th</strong>e event are due immediately and must be paid<br />

wi<strong>th</strong>in five working days from date of invoicing.<br />

Exhibitors whose payments are late can be barred from occupying <strong>th</strong>eir boo<strong>th</strong> by <strong>th</strong>e Exhibition Management<br />

wi<strong>th</strong>out, however, being released from <strong>th</strong>eir financial obligations in respect of <strong>th</strong>eir exhibition boo<strong>th</strong><br />

and <strong>th</strong>e additional services <strong>th</strong>ey have ordered. The Exhibition Management may use for o<strong>th</strong>er purposes any<br />

boo<strong>th</strong> for which <strong>th</strong>e rent has not been paid wi<strong>th</strong>in <strong>th</strong>e time agreed wi<strong>th</strong>out, however, cancelling <strong>th</strong>e defaulting<br />

Exhibitor’s liability for boo<strong>th</strong> rent, additional services ordered and any fur<strong>th</strong>er consequential costs.<br />

H) Wi<strong>th</strong>drawal from <strong>th</strong>e Exhibitor Contract<br />

Wi<strong>th</strong>drawal from <strong>th</strong>e Exhibitor Contract must be notified by registered letter. If <strong>th</strong>e Exhibitor wi<strong>th</strong>draws<br />

from <strong>th</strong>e contract in due form after having signed it, it is deemed to have been agreed <strong>th</strong>at <strong>th</strong>e following<br />

damages will paid by <strong>th</strong>e Exhibitor to <strong>th</strong>e Exhibition Management:<br />

a) Contracts only for <strong>2010</strong>:<br />

for cancellation up to 22.04.10: 1/3 of <strong>th</strong>e stand rental costs<br />

for cancellation in <strong>th</strong>e period from 23.04.10 to 8.07.10: 2/3 of <strong>th</strong>e stand rental costs<br />

for cancellation in <strong>th</strong>e period from 9.07.10 up to <strong>th</strong>e opening of <strong>th</strong>e trade fair: 3/3 of <strong>th</strong>e<br />

stand rental costs<br />

b) Contracts only for <strong>2010</strong> and 2012:<br />

For cancellation before 26.10.<strong>2010</strong>, <strong>th</strong>e cancellation rules as for<br />

‘a) Contracts only for <strong>2010</strong>’ apply, plus 1/3 of <strong>th</strong>e stand rental costs.<br />

These damages will be waived if <strong>th</strong>e Exhibitor is able, wi<strong>th</strong>in 14 days of notifying his wi<strong>th</strong>drawal, to present<br />

to <strong>th</strong>e Exhibition Management ano<strong>th</strong>er Exhibitor for <strong>th</strong>e whole of <strong>th</strong>e area, who was not already registered<br />

at <strong>th</strong>e time of wi<strong>th</strong>drawal and who will be <strong>th</strong>e Exhibitor’s legal successor in <strong>th</strong>e Agreement. The replacement<br />

Exhibitor must fully comply wi<strong>th</strong> <strong>th</strong>e conditions for admission pursuant to article A).<br />

Wi<strong>th</strong> his wi<strong>th</strong>drawal from <strong>th</strong>e Exhibitor Contract <strong>th</strong>e Exhibitor forfeits all rights to <strong>th</strong>e agreed or confirmed<br />

boo<strong>th</strong> location and all fur<strong>th</strong>er claims towards <strong>th</strong>e Organiser.<br />

The Organiser can freely dispose of all boo<strong>th</strong> spaces and boo<strong>th</strong>s <strong>th</strong>at are not occupied by 15:00 h on <strong>th</strong>e<br />

day before <strong>th</strong>e exhibition opens. All <strong>th</strong>e Exhibitor’s rights to his boo<strong>th</strong> space, his boo<strong>th</strong> and fur<strong>th</strong>er services<br />

of <strong>th</strong>e Organiser are forfeited. However, <strong>th</strong>e Exhibitor is liable for <strong>th</strong>e full amount of boo<strong>th</strong> rent, overheads<br />

and services ordered, as well as all costs caused by his failure to occupy <strong>th</strong>e boo<strong>th</strong> space or boo<strong>th</strong>.<br />

I) Demonstrations, attractions, advertising and seminars outside <strong>th</strong>e boo<strong>th</strong><br />

Concepts for demonstrations and attractions in <strong>th</strong>e various boo<strong>th</strong>s must be submitted for approval to <strong>th</strong>e<br />

Organiser in good time and in writing and may not disturb, ei<strong>th</strong>er visually or acoustically, people in adjacent<br />

boo<strong>th</strong>s or visitors. Nei<strong>th</strong>er may <strong>th</strong>ey obstruct <strong>th</strong>e circulation of visitors in <strong>th</strong>e aisles; in particular it is not<br />

allowed to use any area outside <strong>th</strong>e confirmed boo<strong>th</strong> space.<br />

The area outside <strong>th</strong>e confirmed boo<strong>th</strong> space may not be used for advertising purposes. In particular, it is not<br />

permitted to distribute promotional material outside <strong>th</strong>e confirmed boo<strong>th</strong> space wi<strong>th</strong>out prior written<br />

approval by <strong>th</strong>e Organiser.<br />

Normally, <strong>th</strong>e Exhibitor may not hold seminar events of any kind during <strong>th</strong>e exhibition. Exceptions must be<br />

approved by <strong>th</strong>e Organiser in writing.<br />

In serious cases where Exhibitors infringe <strong>th</strong>e rules of fair competition, <strong>th</strong>ey may be excluded from <strong>th</strong>e event<br />

wi<strong>th</strong> immediate effect in <strong>th</strong>e interests of <strong>th</strong>e exhibition as a whole.<br />

K) Official permits/ legal requirements<br />

Exhibitors are expected to submit <strong>th</strong>eir own applications for any official permits required for <strong>th</strong>eir range of<br />

exhibits and to comply wi<strong>th</strong> all legal requirements and regulations.<br />

If <strong>th</strong>e fire inspector or <strong>th</strong>e exhibition site owner objects to <strong>th</strong>e boo<strong>th</strong> construction or part of it, or any of<br />

<strong>th</strong>e products exhibited, <strong>th</strong>en <strong>th</strong>e Organiser cannot be made liable for any consequential costs and activities<br />

in <strong>th</strong>is respect. The Exhibitor is responsible for clarifying <strong>th</strong>is in advance.<br />

L) Insurance<br />

Liability insurance as well as insurances against fire, explosions and natural hazards are mandatory for all<br />

Exhibitors and have to be taken out by <strong>th</strong>e Exhibitor himself.<br />

Exhibition and transport insurance, however, are not mandatory for <strong>th</strong>e Exhibitor. The Organiser recommends<br />

taking <strong>th</strong>ese out as well, <strong>th</strong>ough. An application form is included in <strong>th</strong>e documentation for Exhibitors.<br />

M) Presence at <strong>th</strong>e boo<strong>th</strong>, clearing and dismantling <strong>th</strong>e boo<strong>th</strong>s<br />

The boo<strong>th</strong>s must be manned by boo<strong>th</strong> personnel <strong>th</strong>roughout <strong>th</strong>e Exhibition.<br />

The stands may not be cleared or dismantled before <strong>th</strong>e end of <strong>th</strong>e event.<br />

N) Liability of <strong>th</strong>e Organiser and <strong>th</strong>e Exhibitors<br />

The Organiser assumes no obligation to take proper care of exhibition goods and boo<strong>th</strong> installations and<br />

excludes all liability. The Exhibitor is responsible for installing any protection devices on <strong>th</strong>e machines and<br />

equipment he is exhibiting <strong>th</strong>at may be required under accident prevention regulations. The Exhibitor is liable<br />

for injury to persons and damage to property caused by his exhibition goods, in particular during installation<br />

and dismantling.<br />

O) Force majeure, strikes<br />

In <strong>th</strong>e case of compelling reasons or in cases of force majeure, strikes, orders by <strong>th</strong>e au<strong>th</strong>orities, risk of terrorist<br />

attacks etc. <strong>th</strong>e Organiser is entitled to move <strong>th</strong>e exhibition to ano<strong>th</strong>er date, or shorten, extend or cancel<br />

it. In such cases <strong>th</strong>e Exhibitors shall nei<strong>th</strong>er be entitled to wi<strong>th</strong>drawal from <strong>th</strong>e Agreement nor to payment<br />

of damages.<br />

P) Applicable law and place of jurisdiction<br />

All legal relations between <strong>th</strong>e exhibitor and <strong>th</strong>e event organiser shall be subject to Swiss law.The<br />

registered office of Exhibit & More AG is agreed as <strong>th</strong>e exclusive place of jurisdiction. However,<br />

Exhibit & More AG shall be entitled to bring a claim against <strong>th</strong>e o<strong>th</strong>er party before any o<strong>th</strong>er court.<br />

5 Services to co-exhibitors<br />

The range of services offered by <strong>th</strong>e exhibition management can be made use of wi<strong>th</strong>in <strong>th</strong>e scope of <strong>th</strong>e exhibitor contract concluded for <strong>th</strong>is<br />

exhibition stand.<br />

6 Conditions for co-exhibitors<br />

1. Registration may only be submitted by <strong>th</strong>e company which has concluded an exhibitor contract wi<strong>th</strong> <strong>th</strong>e exhibition management.<br />

2. For registration of a co-exhibitor an administration fee of CHF 500.– (excl. VAT) will be charged.<br />

3. More <strong>th</strong>an one co-exhibitor may be registered. The number may never<strong>th</strong>eless be restricted by <strong>th</strong>e exhibition management wi<strong>th</strong>out stated<br />

reasons.<br />

4. Obligatory co-exhibitor’s package: <strong>th</strong>e co-exhibitor’s package contains <strong>th</strong>e mandatory basic entry in <strong>th</strong>e catalogue and on <strong>th</strong>e Internet and<br />

will be charged to <strong>th</strong>e principal exhibitor company at CHF 950.– (excl. VAT).<br />

5. A separate registration form must be completed for each co-exhibitor. Additional forms in French and German may be obtained from <strong>th</strong>e<br />

exhibition management.<br />

6. On <strong>th</strong>e exhibition stand <strong>th</strong>e co-exhibitor is to be presented in such a way <strong>th</strong>at <strong>th</strong>e exhibition visitors can easily establish <strong>th</strong>e presence of <strong>th</strong>e<br />

co-exhibitor. Moreover <strong>th</strong>e names of <strong>th</strong>e exhibitors on <strong>th</strong>e same exhibition stand are to be placed on <strong>th</strong>e stand panel.<br />

7. For <strong>th</strong>e duration of <strong>th</strong>e exhibition a contact person from <strong>th</strong>e co-exhibitor company must be present for visitors to <strong>th</strong>e exhibition.<br />

CO-EXHIBITOR REGULATIONS<br />

A) Admission criteria and acceptance of Exhibitor Regulations<br />

Products and services specified by <strong>th</strong>e Exhibition Management or – where applicable – by an exhibition advisory<br />

board are allowed to be exhibited. The Exhibition Management – if applicable, in cooperation wi<strong>th</strong> a<br />

committee of experts – has sole au<strong>th</strong>ority to decide on <strong>th</strong>e admission or rejection of companies and/or<br />

products or services. The Exhibitor must state <strong>th</strong>e products and services he wishes to exhibit on <strong>th</strong>e contract<br />

form and in <strong>th</strong>e relevant lists. The advertising of brands, products, services or companies <strong>th</strong>at have not<br />

been registered in advance is not permitted. The Exhibition Management will not be held liable for any claims<br />

lodged by Exhibitors or <strong>th</strong>ird parties due to <strong>th</strong>e admission or rejection of companies and/or products or<br />

services.<br />

In signing <strong>th</strong>e Exhibitor Contract <strong>th</strong>e Exhibitor accepts <strong>th</strong>at <strong>th</strong>ese terms and conditions are binding on him<br />

and his employees or agents. Fur<strong>th</strong>ermore, he undertakes to comply wi<strong>th</strong> all regulations of <strong>th</strong>e exhibition<br />

site owner. Any «Exhibitor Regulations», «Operating Rules» or similar regulations shall form an integral part<br />

of <strong>th</strong>e Exhibitor Contract<br />

B) Boo<strong>th</strong> allocation<br />

Special requests concerning <strong>th</strong>e location of <strong>th</strong>e Exhibitor’s boo<strong>th</strong> will be taken into consideration wherever<br />

possible, but cannot be accepted as a condition for participation; <strong>th</strong>e Organiser must be advised by registered<br />

mail of any justified objections to <strong>th</strong>e boo<strong>th</strong> allocation wi<strong>th</strong>in 8 days of date of dispatch of <strong>th</strong>e hall<br />

plan. O<strong>th</strong>erwise <strong>th</strong>e boo<strong>th</strong> allocation shall be deemed accepted.<br />

The Exhibitor undertakes to leave <strong>th</strong>e fronts assigned to his boo<strong>th</strong> open (unless permitted<br />

to do o<strong>th</strong>erwise by <strong>th</strong>e Exhibition Management in writing).<br />

The Organizer reserves <strong>th</strong>e right, before or after confirming <strong>th</strong>e boo<strong>th</strong> allocation, to adjust <strong>th</strong>e location, <strong>th</strong>e<br />

number of square meters and <strong>th</strong>e number of open fronts to fit <strong>th</strong>e space available, i.e. to modify <strong>th</strong>e size or<br />

location of <strong>th</strong>e boo<strong>th</strong> wi<strong>th</strong>in reasonable limits. This does not give <strong>th</strong>e Exhibitor <strong>th</strong>e right to make any financial<br />

demands.<br />

If <strong>th</strong>e Exhibitor wishes to reduce <strong>th</strong>e boo<strong>th</strong> space after boo<strong>th</strong> allocation has been made and confirmed by<br />

<strong>th</strong>e Organiser, <strong>th</strong>e resulting difference is considered to be a partial wi<strong>th</strong>drawal from <strong>th</strong>e contract pursuant<br />

to article H «Wi<strong>th</strong>drawal from <strong>th</strong>e Exhibitor Contract».<br />

C) Co-Exhibitors<br />

The participation of Co-Exhibitors requires special registration as well as a corresponding confirmation by<br />

<strong>th</strong>e Organiser. Co-Exhibitors are companies <strong>th</strong>at are presented at <strong>th</strong>e Exhibitor’s boo<strong>th</strong> in any way, whe<strong>th</strong>er<br />

<strong>th</strong>rough notices displaying <strong>th</strong>eir address or referring to <strong>th</strong>em, exhibits or promotional material. For every<br />

Co-Exhibitor <strong>th</strong>e Exhibitor shall pay a basic fee and <strong>th</strong>e cost of a mandatory entry in <strong>th</strong>e exhibition catalogue.<br />

The respective main Exhibitor shall be responsible towards <strong>th</strong>e Organiser for each Co-Exhibitor. The<br />

main Exhibitor shall pay <strong>th</strong>e Co-Exhibitor’s fees for presence at <strong>th</strong>e boo<strong>th</strong> and entry in <strong>th</strong>e catalogue, and<br />

shall be liable for all consequences and costs arising from <strong>th</strong>e Co-Exhibitor’s presence.<br />

Advertisements for a brand, product, service or company not taking part in <strong>th</strong>e exhibition are not<br />

permitted.<br />

In cases where Co-Exhibitors have not been registered in advance, <strong>th</strong>e Exhibitor shall pay an additional<br />

administration fee of CHF 500 on top of <strong>th</strong>e usual basic fee for Co-Exhibitors.<br />

D) Boo<strong>th</strong> space<br />

The boo<strong>th</strong> space shall be defined as <strong>th</strong>e net floor area.<br />

For <strong>th</strong>e accessible floor space of upper levels, one-<strong>th</strong>ird of <strong>th</strong>e square metre price for ground floor space<br />

will be charged.<br />

Not included in <strong>th</strong>e boo<strong>th</strong> rent are:<br />

– any surcharges for multi-fronted boo<strong>th</strong>s and second floors<br />

– boo<strong>th</strong> construction and boo<strong>th</strong> interior as well as floor coverings<br />

– boo<strong>th</strong> cleaning<br />

– technical connections as well as fees and consumption<br />

– basic fees for Co-Exhibitors<br />

– entries and advertisements in <strong>th</strong>e exhibition catalogue, promotional material<br />

– o<strong>th</strong>er rents, additional orders and services requested via special order forms<br />

– insurances<br />

Contract services such as boo<strong>th</strong> construction, furnishings, technical installations, plants, insurances etc. will<br />

be invoiced directly by <strong>th</strong>e official suppliers.<br />

E) Boo<strong>th</strong> construction and boo<strong>th</strong> design<br />

The Exhibitor rents <strong>th</strong>e net boo<strong>th</strong> space wi<strong>th</strong>out boo<strong>th</strong> construction.<br />

The Exhibitor shall be free to engage a boo<strong>th</strong> constructor of his own choice or <strong>th</strong>e official boo<strong>th</strong> constructor<br />

for <strong>th</strong>e Exhibition. Boo<strong>th</strong> constructions must comply wi<strong>th</strong> <strong>th</strong>e site owner’s regulations.<br />

Upper floors require advance permission from <strong>th</strong>e Organiser.<br />

Particular reference is made to <strong>th</strong>e special regulations laid down by <strong>th</strong>e fire police.<br />

Work outside fixed working hours requires special permission. Corresponding applications are to be<br />

addressed to <strong>th</strong>e Organiser in writing. Permission will always be granted in writing. If <strong>th</strong>e Exhibitor or one of<br />

his suppliers causes additional costs (e.g. costs for personnel and energy, rent etc.) <strong>th</strong>rough using <strong>th</strong>e halls<br />

outside <strong>th</strong>e fixed working hours, <strong>th</strong>ese costs will be charged to <strong>th</strong>e Exhibitor according to time and expenditure.<br />

Any objects left behind can simply be disposed of by <strong>th</strong>e Organiser.<br />

F) Delivery, installation of heavy goods<br />

The Exhibitor is obliged to give <strong>th</strong>e Organiser advance notification of heavy goods (upwards of 500 kg per<br />

square meter) already when he submitting <strong>th</strong>e Exhibitor Contract. The Exhibitor shall be liable for damages<br />

if he has heavy goods transported into <strong>th</strong>e halls wi<strong>th</strong>out notifying <strong>th</strong>e Exhibition Management in good time.<br />

In his own interests, <strong>th</strong>e Exhibitor is requested to notify <strong>th</strong>e Exhibition Management in writing, so <strong>th</strong>at <strong>th</strong>e<br />

necessary substructures and supply lines can be preinstalled in good time and in <strong>th</strong>e required size and form.<br />

The Exhibitor shall be liable for any floor contamination and general damage to <strong>th</strong>e building caused by him.<br />

G) Prices, conditions of payment<br />

All prices are exclusive of <strong>th</strong>e Swiss VAT rate applicable at <strong>th</strong>e time of invoicing.<br />

Invoices will usually only be sent out after <strong>th</strong>e definitive allocation of boo<strong>th</strong>s. The invoiced amounts must be<br />

settled in due time according to <strong>th</strong>e payment conditions set out on <strong>th</strong>e invoice. In case of default <strong>th</strong>e Exhibition<br />

Management reserves <strong>th</strong>e right to charge additional fees for reminders and accumulated interest.<br />

Amounts charged less <strong>th</strong>an 60 days before <strong>th</strong>e opening of <strong>th</strong>e event are due immediately and must be paid<br />

wi<strong>th</strong>in five working days from date of invoicing.<br />

Exhibitors whose payments are late can be barred from occupying <strong>th</strong>eir boo<strong>th</strong> by <strong>th</strong>e Exhibition Management<br />

wi<strong>th</strong>out, however, being released from <strong>th</strong>eir financial obligations in respect of <strong>th</strong>eir exhibition boo<strong>th</strong><br />

and <strong>th</strong>e additional services <strong>th</strong>ey have ordered. The Exhibition Management may use for o<strong>th</strong>er purposes any<br />

boo<strong>th</strong> for which <strong>th</strong>e rent has not been paid wi<strong>th</strong>in <strong>th</strong>e time agreed wi<strong>th</strong>out, however, cancelling <strong>th</strong>e defaulting<br />

Exhibitor’s liability for boo<strong>th</strong> rent, additional services ordered and any fur<strong>th</strong>er consequential costs.<br />

H) Wi<strong>th</strong>drawal from <strong>th</strong>e Exhibitor Contract<br />

Wi<strong>th</strong>drawal from <strong>th</strong>e Exhibitor Contract must be notified by registered letter. If <strong>th</strong>e Exhibitor wi<strong>th</strong>draws<br />

from <strong>th</strong>e contract in due form after having signed it, it is deemed to have been agreed <strong>th</strong>at <strong>th</strong>e following<br />

damages will paid by <strong>th</strong>e Exhibitor to <strong>th</strong>e Exhibition Management:<br />

a) Contracts only for <strong>2010</strong>:<br />

for cancellation up to 22.04.10: 1/3 of <strong>th</strong>e stand rental costs<br />

for cancellation in <strong>th</strong>e period from 23.04.10 to 8.07.10: 2/3 of <strong>th</strong>e stand rental costs<br />

for cancellation in <strong>th</strong>e period from 9.07.10 up to <strong>th</strong>e opening of <strong>th</strong>e trade fair: 3/3 of <strong>th</strong>e<br />

stand rental costs<br />

b) Contracts only for <strong>2010</strong> and 2012:<br />

For cancellation before 26.10.<strong>2010</strong>, <strong>th</strong>e cancellation rules as for<br />

‘a) Contracts only for <strong>2010</strong>’ apply, plus 1/3 of <strong>th</strong>e stand rental costs.<br />

In serious cases where Exhibitors infringe <strong>th</strong>e rules of fair competition, <strong>th</strong>ey may be excluded from <strong>th</strong>e event<br />

wi<strong>th</strong> immediate effect in <strong>th</strong>e interests of <strong>th</strong>e exhibition as a whole.<br />

K) Official permits/ legal requirements<br />

Exhibitors are expected to submit <strong>th</strong>eir own applications for any official permits required for <strong>th</strong>eir range of<br />

exhibits and to comply wi<strong>th</strong> all legal requirements and regulations.<br />

If <strong>th</strong>e fire inspector or <strong>th</strong>e exhibition site owner objects to <strong>th</strong>e boo<strong>th</strong> construction or part of it, or any of<br />

<strong>th</strong>e products exhibited, <strong>th</strong>en <strong>th</strong>e Organiser cannot be made liable for any consequential costs and activities<br />

in <strong>th</strong>is respect. The Exhibitor is responsible for clarifying <strong>th</strong>is in advance.<br />

L) Insurance<br />

Liability insurance as well as insurances against fire, explosions and natural hazards are mandatory for all<br />

Exhibitors and have to be taken out by <strong>th</strong>e Exhibitor himself.<br />

Exhibition and transport insurance, however, are not mandatory for <strong>th</strong>e Exhibitor. The Organiser recommends<br />

taking <strong>th</strong>ese out as well, <strong>th</strong>ough. An application form is included in <strong>th</strong>e documentation for Exhibitors.<br />

M) Presence at <strong>th</strong>e boo<strong>th</strong>, clearing and dismantling <strong>th</strong>e boo<strong>th</strong>s<br />

The boo<strong>th</strong>s must be manned by boo<strong>th</strong> personnel <strong>th</strong>roughout <strong>th</strong>e Exhibition.<br />

The stands may not be cleared or dismantled before <strong>th</strong>e end of <strong>th</strong>e event.<br />

N) Liability of <strong>th</strong>e Organiser and <strong>th</strong>e Exhibitors<br />

The Organiser assumes no obligation to take proper care of exhibition goods and boo<strong>th</strong> installations and<br />

excludes all liability. The Exhibitor is responsible for installing any protection devices on <strong>th</strong>e machines and<br />

equipment he is exhibiting <strong>th</strong>at may be required under accident prevention regulations. The Exhibitor is liable<br />

for injury to persons and damage to property caused by his exhibition goods, in particular during installation<br />

and dismantling.<br />

O) Force majeure, strikes<br />

In <strong>th</strong>e case of compelling reasons or in cases of force majeure, strikes, orders by <strong>th</strong>e au<strong>th</strong>orities, risk of terrorist<br />

attacks etc. <strong>th</strong>e Organiser is entitled to move <strong>th</strong>e exhibition to ano<strong>th</strong>er date, or shorten, extend or cancel<br />

it. In such cases <strong>th</strong>e Exhibitors shall nei<strong>th</strong>er be entitled to wi<strong>th</strong>drawal from <strong>th</strong>e Agreement nor to payment<br />

of damages.<br />

P) Applicable law and place of jurisdiction<br />

All legal relations between <strong>th</strong>e exhibitor and <strong>th</strong>e event organiser shall be subject to Swiss law.The<br />

registered office of Exhibit & More AG is agreed as <strong>th</strong>e exclusive place of jurisdiction. However,<br />

Exhibit & More AG shall be entitled to bring a claim against <strong>th</strong>e o<strong>th</strong>er party before any o<strong>th</strong>er court.<br />
