Private equity firm, Harbert Australia Private Equity (Harbert),invested in the merged entity, which has resulted in Harbert emerging with a 45 per cent stake in TCMS.Arnold Bloch Leibler advised Techdrill on its merger negotiations with RDA and in respect of Harbert’s investment inTCMS.Techdrill is an established NSW-based drilling contractor, and service provider to mining and resource explorationcompanies in eastern Australia. Techdrill’s business has expanded rapidly over the last two years.RDA is a Queensland-based drilling contractor that provides drilling services to infrastructure companies in the utilitiessector.The newly formed TCMS will operate as a diversified mining and infrastructure services group that will retain the dayto-dayoperational experience of the Techdrill and RDA management teams, and benefit from the additional capital andinvestment experience provided by Harbert.The matter was conducted by Arnold Bloch Leibler partner, Michael Dodge, senior associate, Clint Harding, and lawgraduate, Jing Chang.Michael Dodge comments: “The transaction is an outstanding outcome for Techdrill’s shareholders and management.It demonstrates that even in challenging financial times it is possible to complete transactions for companies that havea compelling business plan and a high calibre management team.
