Durch Verarbeitung dergelieferten Produkte erwirbt der KUNDE kein Eigentuman den ganz oder teilweise durch diese Verarbeitunghergestellten Sachen.Im Falle der Weiterverwendung derEigentumsvorbehaltsware – gleichgültig, ob verarbeitetoder unverarbeitet – tritt der KUNDE TIGER Coatings imvoraus sämtliche Ansprüche gegenüber dem Erwerber(z.B. gegen den Käufer oder den sonstigen Kunden) ab. DerKUNDE wird seinen Vertragspartner unverzüglich von derZession verständigen. Gewährleistung, Schadenersatz:8.1 GewährleistungTIGER Coatings leistet für eine Dauer von 6 Monaten abLieferung Gewähr, dass die von ihm gelieferten Produktehinsichtlich der Materialien und Verarbeitung keine Mängelaufweisen.Es obliegt dem KUNDEN, die gelieferten Produkte vorihrer Verwendung auf ihre Eignung für den vorgesehenenVerwendungszweck zu überprüfen. Zurückbehaltung, Aufrechnung:Der KUNDE ist nicht berechtigt, Zahlungen für gelieferteProdukte aus irgendeinem Grunde zurückzuhalten odereigene Zahlungsverpflichtungen mit ihm gegen TIGERCoatings etwa zustehenden Forderungen aufzurechnen.10. Zusagen, Beratung:Mündliche Zusagen aller Art werden erst mit schriftlicherBestätigung durch TIGER Coatings wirksam.Von TIGER Coatings geleistete anwendungstechnischeBeratung in Wort und Schrift erfolgt nach bestem Wissen.Sie kann jedoch die vom KUNDEN durchzuführendeUntersuchung der Produkte, insbesondere hinsichtlichihrer Eignung für einen bestimmten Verwendungszweck,nicht ersetzen und erfolgt daher unverbindlich und unterAusschluss jeglicher Haftung.11. Höhere Gewalt:Wenn die von TIGER Coatings geschuldete Leistungaufgrund von staatlichen Beschränkungen, Krieg, Aufruhr,arbeitsrechtlichen Streitigkeiten, Feuer, Naturereignissenetc. gänzlich oder teilweise unmöglich gemacht oderverzögert wird, trifft TIGER Coatings keine Haftung. TIGERCoatings ist diesfalls berechtigt, ganz oder teilweise ohneFristsetzung vom Vertrag zurückzutreten.12. Geltendes Recht, Gerichtsstand:Sämtliche mit TIGER Coatings abgeschlossenen Verträgeunterliegen österreichischem Recht. General:Unless otherwise agreed upon in writing, the making ofoffers, the conclusion of sales contracts, as well as the deliveryof products by TIGER Coatings shall be made exclusivelyaccording to the present Terms of Delivery and Payment inthe version applicable at the time of the making of eachcontract, any general terms of business or other variantterms of the CUSTOMER notwithstanding.2. Offers, Orders:Offers made by TIGER Coatings are not binding, especiallywith regard to the quoted prices, amounts, delivery timesand the general availability of the products. TIGER Coatingswill confirm the receipt of the CUSTOMER‘s order in writtenform. This acknowledgement of receipt of the order does notconstitute a binding acceptance of the CUSTOMER‘S order.Orders of the CUSTOMER will be binding on TIGER Coatingsonly upon actual delivery.3. Notice obligation of CUSTomER:Should the CUSTOMER intend to use the products orderedfrom TIGER COATINGS in the following fields of applicationa) Automotive;b) Aviation;c) Railroad;d) Wind energy;e) Railed vehicles;f) Cable cars;g) Power plants;h) Hydropower vehicles,the CUSTOMER shall notify TIGER Coatings of such intendeduse in written form- before TIGER Coatings submits the first design draft to theCUSTOMER in case of products developed specifically for theCUSTOMER;- before or – at the latest – at the time the CUSTOMER ordersthe products in case of standard products.The CUSTOMER shall also notify TIGER COATINGS in writtenform at the afore mentioned time (before TIGER COATINGSsubmits the first design draft in case of products specificallydeveloped for the CUSTOMER or, respectively, before or atthe latest at the time the CUSTOMER orders the standardproducts), should the ordered products be intended forapplication on parts that are typically subject to productsafety risks in the sense of the applicable product safetyregulations.4. Delivery, Ship Date:With orders amounting to Euro 120,-- (excl. VAT) deliverieswithin Austria are made on a freight prepaid basis, smallerorders are subject to a freight charge of Euro 8,-- (excl. VAT).lf requested by the CUSTOMER, delivery may also be madeby train or mail at the risk and expense of the CUSTOMER.Notice of discrepancy concerning the amount and weight ofthe products shall be made by the CUSTOMER immediatelyupon receipt of the products, otherwise they will not beaccepted. Ship date information we indicate is based onextensive experience, but not binding. No liability will beaccepted for non-compliance with given delivery dates.5. Returnable Packaging:Only packaging material that is explicitly marked asreturnable will be taken back by TIGER Coatings. Suchpackaging shall be returned at no cost to TIGER Coatings bythe CUSTOMER within three months. In case of return afterthe expiration of such term, no credit will be given.6. Retention of Title, Assignment:TIGER Coatings retains title to all products delivered untilfull settlement of the sales price and any and all connectedclaims. By processing the delivered products the CUSTOMERwill not acquire property rights in the goods produced partlyor entirely by such processing. In case of the continued useof - processed or unprocessed - products that are subject tosuch retention of title, the CUSTOMER shall assign any andall claims it may have against the transferee (e.g. against thebuyer or any other customer) to TIGER Coatings in advance.The CUSTOMER has to notify his contractual partner aboutthe assignment without delay. In case the right to retain titlelapses for whatever reason, TIGER Coatings and CUSTOMERhereby agree that, by means of the processing, title to theproducts shall pass over to TIGER Coatings, which acceptsthe transfer. The CUSTOMER remains bailee of the productsfor no consideration.7. Conditions of Payment, Default:Payment shall be made:a) either within 8 days as of invoice, less a 2 percent discount;orb) within 30 days as of the invoice date, net cash;In the event TIGER Coatings bottles products at the request ofthird parties, payment shall be made net cash upon receiptof the invoice.In case of payment by way of bills of exchange, bank discountcharges and collection fees shall be borne by the CUSTOMERSand shall be payable immediately in cash.Late payments shall be subject to interest on arrears inthe amount of 1 percent a month. Any reminder charges,collection charges and lawyer‘s fees in an adequate amountshall be borne by the CUSTOMER. lf a CUSTOMER defaults inthe payment of one or more deliveries, TIGER Coatings shallbe entitled to suspend any further deliveries until effectedpayment or to withdraw from existing contracts with theCUSTOMER.Any notice of defect etc. shall not release the CUSTOMERfrom its obligation to comply with the terms of payment asset forth above.

Warranty, Damages:8.1 WarrantyTIGER Coatings warrants for a period of 6 months afterdelivery that products delivered by it are free of flaws ordefects regarding material or workmanship. Before use, theCUSTOMER shall examine the delivered products for theirfitness for the intended use. TIGER Coatings does not warrantthat the products are fit for their intended use, nor does TIGERCoatings give a warranty for the quality of the painting,coating, etc. made of products.In general the warranty of TIGER Coatings is limited to anadequate price reduction or the exchange or taking back ofthe deficient product, at the option of TIGER Coatings.In case of sales according to samples, minor - in case of salesaccording to colour and effect cards also greater – variationsin quality, colour and effect are permissible.Notices of defect referring to the condition of the productshall be made in writing to TIGER Coatings before processingor mixing of the product and shall be submitted to TIGERCoatings within 7 days following receipt of the product,otherwise all claims shall be forfeited.8.2 Damagesa) The liability of TIGER Coatings, its legal representatives oragents in case of slight or simple gross negligence or shallbeexcluded.b)The liability of TIGER Coatings, its legal representativesor agents in case of gross negligence shall be limited to amaximum amount of e 5.000 per case.c)The liability of TIGER Coatings, its legal representativesor agents in case of intent or damages to persons shall bedetermined according to applicable statutory law.d)TIGER Coatings does further not assume liability for- damage or disadvantages of any kind which are due to theproduct’s subjection to any process or treatment other thansuch recommended in writing by TIGER Coatings;- products which were subjected to any form of furthertreatment by the CUSTOMER or products damaged after therisk has passed to the CUSTOMER.- damage resulting from the use of the products in fields ofapplication or in connection with parts subject to productsafety risks in the sense of section 3. above, provided thatthe CUSTOMER has failed to timely notify TIGER COATINGSpursuant to section 3. above.- for any violation of pre-contractual obligations, any violationof actual claims, any violations of obligations secondary to acontract, or for indirect or consequential damages.8.3 In any case, the liability of TIGER Coatings, its legalrepresentatives or agents shall be limited to the purchaseprice paid by CUSTOMER for the product giving rise to theclaim, defect, or damage.8.4 Products may only be returned to TIGER Coatings uponTIGER Coatings´ approval. In case of a notice of defector any other claim regarding genuinely or allegedlydefective products, TIGER Coatings is entitled to suspendfurther deliveries until the legitimacy of the raised claims isconclusively determined, and in such a case the delivery datesshall be postponed accordingly.9. Withholding Payments, Set-off:The CUSTOMER shall not be entitled for any reason whatsoeverto withhold payments for products delivered, not to set off hisown payment obligations against any claims he may havevis-à-vis TIGER Coatings.10. Representations, Technical Instructions:Any kind of oral representations shall become valid only uponTIGER Coatings‘ written confirmation.Written and oral instructions of TIGER Coatings concerningtechniques of application are given according to the bestknowledge of TIGER Coatings. However, such instructionscannot substitute for the examination of the product by theCUSTOMER, especially for its fitness for a specific use, and aretherefore given without obligation and to the exclusion ofany liability on our part.11. Force Majeure:lf TIGER Coatings‘ compliance with its contractual obligationsis made wholly or partially impossible or delayed due togovernmental restrictions, war, insurrection, labour disputes,fire, natural disasters, etc., TIGER Coatings cannot be heldliable. In such a case TIGER Coatings shall be entitled towithdraw from the contract in full or in part with immediateeffect.12. Applicable Law, Jurisdiction:Any contract concluded with TIGER Coatings shall be subjectto Austrian law. The applicability of the United NationsConventions on Contracts for the international sale of goodsis expressly excluded. Any disputes arising hereunder shallbe brought exclusively before the competent court in Wels,Austria. Nevertheless, TIGER Coatings is also entitled to turnto the courts of the CUSTOMER‘s registered principal offices.13. Partial Validity:Should one or more of the above terms and conditions be orbecome invalid or unenforceable, the parties shall replace itby such a provision as comes closest to the economic purposeof the invalid term of condition. For customers who areconsumers within the meaning of the Austrian ConsumerProtection Act, more advantageous provisions of the AustrianConsumer Protection Act shall prevail over the respectiveprovisions of the present terms of delivery and payment.Seite | page 45
