ORGANI<strong>SA</strong>TIONAL STRUCTUREGET <strong>SA</strong> is the new holding company of <strong>Eurotunnel</strong> Group, the linch-pin of the Reorganisation.EGP is an English law company wholly owned by GET <strong>SA</strong> with the exception of the shares held by each of thedirectors of EGP and the EGP Preferred Share. In accordance with the terms of the Safeguard Plan, on theClosing Date, all of the Tier 3 Debt and the Notes were transferred to EGP in consideration <strong>for</strong>, in particular, theissue by EGP of the NRS.TNU <strong>SA</strong> and TNU PLC are the companies which hold FM and CTG respectively. Their shares are joined as Units(each comprising one share of each company).FM and CTG jointly own the Concession to operate the Tunnel: these two companies have created apartnership called ‘‘<strong>Eurotunnel</strong>’’. FM and CTG are currently the borrowing entities under the financingagreements. FM and EFL were the borrowing entities under the <strong>for</strong>mer credit agreements.<strong>Eurotunnel</strong> Developments Limited is the entity responsible <strong>for</strong> the development of all properties in theUnited Kingdom which are not used in connection with the operation of the System. Gamond InsuranceCompany Limited is an entity entirely controlled by CTG, which is registered with the register of commerce inGuernsey and whose sole purpose is to provide <strong>Eurotunnel</strong> Group with insurance against acts of terrorism.Gamond Insurance Company Limited takes out reinsurance with Pool Re. ESGIE and ESL are charged withmanaging the personnel employed by <strong>Groupe</strong> <strong>Eurotunnel</strong>.Two French companies, <strong>Eurotunnel</strong> Participations 1 <strong>SA</strong>S and <strong>Eurotunnel</strong> Participations 2 <strong>SA</strong>S do not have anyoperating activities.The Cheriton Resources companies are finance or investment companies, mostly inactive. Le Shuttle Holidays Limited was a British tour operator which became inactive in 1998.The <strong>Eurotunnel</strong>Plus companies are distribution entities <strong>for</strong> the freight services. From 1 January 2008, thebusiness activities of the subsidiaries <strong>Eurotunnel</strong>Plus Distribution <strong>SA</strong>S, <strong>Eurotunnel</strong>Plus <strong>SA</strong>S, <strong>Eurotunnel</strong>Plus SLand <strong>Eurotunnel</strong>Plus GmbH were transferred to <strong>Eurotunnel</strong> SE, with the business transfer of <strong>Eurotunnel</strong>Plus B.V.anticipated during 2008. Prior to these transfers, FM sold all its shares in <strong>Eurotunnel</strong>Plus Distribution to<strong>Eurotunnel</strong> SE. These transfers were achieved by a universal transfer of the assets and liabilities of<strong>Eurotunnel</strong>Plus Distribution, which had previously received the assets and liabilities of <strong>Eurotunnel</strong>Plus <strong>SA</strong>S and<strong>Eurotunnel</strong>Plus SL by way of a universal transfer on 1 January 2008 via our asset deal between<strong>Eurotunnel</strong>Plus GmbH and <strong>Eurotunnel</strong> SE on 11 January 2008.Europorte 2, which holds a rail operator licence, started its activities on 26 November <strong>2007</strong>. <strong>Eurotunnel</strong> TrusteesLimited is no longer active.41
