38. Criteria for admission to various Membership Classes: Memberships in theCorporation shall be granted by the Board of Directors in accordance with the followingcriteria:a) Subject to the following, the Board of Directors shall have sole and absolutediscretion with respect to the issuance of memberships. The Directors may, if they sodesire, delegate admission of members to any officer or the executive director of theCorporation, and for the purposes of section 110(3)of the Act, there are no terms andno set manner in which memberships may be issued, it being the intention of thedirectors herein to authorize such delegate to use his or her discretion in theadmission of memberships, subject to review by the directors. The Directors may, ifthey so desires, prescribe fees to be paid annually or otherwise by any one or moreclasses of members, and for certainty the amount of such fees need not be the samefor each class of members.b) Individual and Club Memberships: Any person or club may apply for anindividual or club membership, respectively, in the Corporation and the Board ofDirectors shall have the discretion to accept or reject any application for membership,provided that such discretion is exercised in good faith, and subject to the following:(i) with the exception of the individual membership categories listed below, anyperson seeking an individual membership must be a registered participant of aClub Member;Exceptions:37(a)(ii) Coaches37(a)(iii) Judges37(a)(iv) Associate Members; and(ii) Club Memberships shall only be granted to clubs or groups comprised of 2 ormore persons.c) Lifetime Memberships: A lifetime membership may be granted to individuals whohave been recognized by the Board of Directors for their contribution to the missionof the Corporation.d) Honorary Memberships: An honorary membership may be granted to individualsor groups who the Board of Directors have recognized as being outstandingcontributors to the development of gymnastics, through financial or othercontributions.e) Affiliate Memberships: An affiliate membership may be granted by the Board ofDirectors to organizations which do not have gymnastics as their only activity andsole purpose, including such organizations as, without limitation, Public RecreationDepartments, Community Centres, YMCA, YWCA, and Schools.
