The board (the “Board”) of directors (the “Directors”) of Sungreen International Holdings Limited (the“Company”, together with its subsidiaries as the “Group”) has noted the recent fluctuations in the priceof the shares (the “Shares”) of the Company and wish to state that, save as disclosed in this announcementand the announcement of the Company dated 14 January 2008, it is not aware of any reasons for suchfluctuations in the price of the Shares.The Board is in discussion with a potential vendor, who is a third party independent of the Company andconnected persons (as defined in the Listing Rules) of the Company, for the acquisition by the Group inrelation to a possible acquisition of a mining business in the PRC. For the avoidance of doubt, the miningbusiness is another mining business different from that as announced in the announcement of the Companydated 14 January 2008.The Board wishes to emphasise that as at the date hereof, no binding agreement has yet been entered intoin relation to the possible acquisition, although the parties are finalising the terms of the possibleacquisition and it is expected that formal agreement regarding the possible acquisition will be enteredinto shortly. The possible acquisition, if materialised, will constitute a notifiable transaction under Chapter19 of the Listing Rules. Further announcement(s) will be made by the Company in compliance with theListing Rules upon the entering of any formal agreement regarding the possible acquisition.The potential acquisition disclosed herein may or may not proceed.
