III. INTRODUCTIONUdyog Bandhu: A Govt. of U.P. Agency lending helping hand to Entrepreneurs"Udyog Bandhu" [Friend of Industry], an organization of GoUP; is dedicated to facilitatingInvestment in Infrastructure, Industrial and Service Sectors, besides resolving issues of existingand up-coming industries with different Government departments.<strong>UDYOG</strong> <strong>BANDHU</strong> has its website at https://udyogbandhu.com . The organization is a nodalagency for implementation of online approval system named ‘Nivesh Mitra’, which is a webapplication.Nivesh Mitra is a unique Online platform for Entrepreneurs, in order to facilitate, simplify andrationalize and to provide congenial industrial environment for establishment of industries inState. This web-interface aims to facilitate faster and time bound issuance of various approvals tothe applicants (by various government departments) desirous of setting up an enterprise in UttarPradesh.In addition to existing 18 districts, Nivesh Mitra has now been expanded to 27 more districts.<strong>UDYOG</strong> <strong>BANDHU</strong> intends to equip government officials in these new districts by impartingtechnical know-how on web enabled system to ensure its smooth functioning. For effectivetransformation, training on Change Management involving awareness, desire, knowledge, abilityand reinforcement is essential so that the departmental officials should realize ownership.Further, awareness programmes with entrepreneurs of each district is planned, during whichindustrial associations and entrepreneurs in the districts shall be explained about the working ofNivesh Mitra.17 th January, 2012 Page 5


IV. INSTRUCTIONS TO BIDDERS1. INVITATION FOR BIDSThis “invitation for bids” is for Selection of Consultant for imparting attitudinal /motivationaland technical training related to Nivesh Mitra in districts of U.P.2. DUE DILIGENCEThe Bidder is expected to and shall be deemed to have examined all instructions, forms, termsand specifications in this Bid Document. The Bid should be precise, complete and in theprescribed format as per the requirement of the Bid Document. Failure to furnish all informationrequired by the Bid Document or submission of false information or submission of a bid notresponsive to the Bid Document in every respect shall result in rejection of the bid.<strong>UDYOG</strong> <strong>BANDHU</strong> shall at its sole discretion be entitled to determine the adequacy / sufficiencyof the information provided by the Bidder.3. CLARIFICATION OF BIDDING DOCUMENTS<strong>UDYOG</strong> <strong>BANDHU</strong> shall make best efforts to respond to any request for clarification of the BidDocument. Interested bidders are welcome to contact <strong>UDYOG</strong> <strong>BANDHU</strong> for clarifications/doubts by email at info@udyogbandhu.com. The queries received by mail by 12 th March, 2012upto 3:00 P.M only will be entertained.The designated contact person for clarifications, if any:Mr. K.S. 4. AMENDMENT OF BID DOCUMENTAt any time before the deadline for submission of bids, <strong>UDYOG</strong> <strong>BANDHU</strong> may, for any reason,at its own initiative, modify the Bid Document by amending, modifying and or supplementingthe same.All changes shall be posted on website http://udyogbandhu.com and prospective Bidders arerequired to go through the same before submission of bid. All such amendments shall be bindingon them without any further act or deed on <strong>UDYOG</strong> <strong>BANDHU</strong>’s part.In the event of any amendment, <strong>UDYOG</strong> <strong>BANDHU</strong> reserves the right to extend the deadline forthe submission of the bids, in order to allow prospective Bidders reasonable time in which to takethe amendment into account while preparing their bids.5. EARNEST MONEY DEPOSIT (EMD)i An earnest money of Rs.50,000/- in the form of bank draft in favour of <strong>UDYOG</strong><strong>BANDHU</strong>, payable at Lucknow shall be enclosed with the Technical Bid. Applicationswithout demand draft shall not be entertained. The EMD shall be non-interest bearing.ii Earnest Money of successful bidder shall remain with <strong>UDYOG</strong> <strong>BANDHU</strong> till thesuccessful completion of the contract and the same shall be refunded thereafter.iii Earnest money of the unsuccessful bidders will be refunded after the completion ofbidding process, except for 2 nd and 3 rd ranked shortlisted bidders. EMD of 2 nd and 3 rdranked shortlisted bidders shall be released after signing of agreement with the successfulbidder.iv The earnest money shall be forfeited in case of non-performance.6. OTHER POINTSi In the event of any additional information required by <strong>UDYOG</strong> <strong>BANDHU</strong> other than thatspecified in the Bid Document, the Bidder shall duly submit such information in theprescribed time to <strong>UDYOG</strong> <strong>BANDHU</strong>.ii Modification or withdrawal of offers is not permissible after its submission.17 th January, 2012 Page 7


iii To assist in the scrutiny, evaluation and comparison of offers, <strong>UDYOG</strong> <strong>BANDHU</strong> may,at its discretion, ask some or all Bidders for clarification of their offer.iv The Bidder shall abide by the terms and conditions specified in the Bid document.17 th January, 2012 Page 8


V. ELIGIBILITY CRITERIA OF THE BIDDER1. The bidder should have experience of 5 preceding years having executed at least oneassignment in conducting behavioral/attitudinal trainings during each year (from 2007onwards)2. The bidder must have a total minimum annual average turnover of Rs.15.00 lakhs in thelast 2 financial years (2009-10 & 2010-11)3. The bidder must have a team of atleast 4 trainers at its payroll to carry out theassignment.4. The team of trainers should have good knowledge of computers like use of MS PowerPoint, website surfing, comprehensive knowledge of internet etc.5. The team of trainers should be fluent in both Hindi and English17 th January, 2012 Page 9


VI. EVALUATION CRITERIA & METHODOLOGYThe qualified bidders would be required to make a Presentation to <strong>UDYOG</strong> <strong>BANDHU</strong>. VII. SCOPE OF WORK1. Training is to be conducted in following districts:1 Allahabad 15 Mainpuri2 Azamgarh 16 Mau3 Badaun 17 Meerut4 Bagpat 18 Mirzapur5 Bahraich 19 Muzaffarnagar6 Bareilly 20 Pilibhit7 Bijnore 21 Pratapgarh8 Bulandshahr 22 Raebareli9 Ferozabad 23 Kanpur Dehat10 Gorakhpur 24 Saharanpur11 Hamirpur 25 Shahjahanpur12 Hardoi 26 Sonbhadra13 Jhansi 27 Varanasi14 Kaushambi2. Training is to be given to officers/officials of 12 government departments in the district level3. All district level training sessions shall be of two-days duration4. The bidder should be prepared and equipped with sufficient human resources for conductingsimultaneous training sessions in more than one district, if need be5. Each training session shall be conducted by atleast 2 trainers6. Each batch may comprise of about 25-30 trainees7. Each session of training shall be comprised of 3 parts:a. Technical aspects of Nivesh Mitra web application explaining its working from bothentrepreneurs and departmental sidesb. Attitudinal/motivational/behavioral aspects covering topics such as ChangeManagement involving awareness, desire, knowledge, ability and reinforcement etc.c. An awareness program for entrepreneurs explaining its usefulness and working8. The bidder shall provide training modules incorporating the above requirements to UdyogBandhu for finalization9. After finalization of training modules, the bidder shall prepare relevant study material, feedbackforms and presentations etc. for the trainees10. The bidder shall ensure to get the feedback from participants during training programs, analyzethe same and submit to <strong>UDYOG</strong> <strong>BANDHU</strong> after conducting each training session11. Infrastructural facilities like venue, refreshment, projector with screen etc. shall be madeavailable at each district by Udyog Bandhu at its own cost17 th January, 2012 Page 12


12. Study material prepared by the consultant in consultation with Udyog Bandhu shall be gotprinted/photocopied by Udyog Bandhu at its own cost13. The selected bidder shall need to provide a Support System of Handholding for 6 monthssubsequent to the training. During this period, one visit shall be made by the trainer to thedistricts where trainings had been imparted for post-training clarifications/help/problemresolution etc. to the trainees. During this Handholding period, the bidder shall attend to thecalls, e-mails and other communications of trainees and resolve the issues, if any and help thetrainees in all respects. All the expenses in this regard shall be made by the bidder and shall beconsidered in the quote while submitting the bid document.17 th January, 2012 Page 13


VIII. TERMS AND CONDITIONS1. TIME FRAMEi. The selected bidder is required to finalize the training modules and modalities andii.iii.iv.submit the same to <strong>UDYOG</strong> <strong>BANDHU</strong> within 7 days from the date of signing ofagreement.The bidder shall submit relevant study material, feedback forms etc. to <strong>UDYOG</strong><strong>BANDHU</strong> within 15 days from the date of signing of agreement.The bidder shall also make a presentation outlining training module to seniormanagement of <strong>UDYOG</strong> <strong>BANDHU</strong> within 15 days from the date of signing ofagreement.The dates for imparting training shall be finalized on mutually convenient andagreeable dates, as far as possible.v. The entire assignment is to be completed within 6 months from the date of signing ofvi.agreement.The training team of bidding company should be available during the assignmentperiod.2. PAYMENT TERMSThe selected bidder shall submit bills only after successful completion of each phase(covering 9 sessions each). Further the bill towards Support System of Handholding shall besubmitted only after its completion.The fee shall be paid as per following schedule:Phase Particulars % of total feePhase- I On completion of 9 training sessions 25%Phase-II On completion of 18 training sessions 25%Phase-III On completion of all 27 training sessions 35%Handholding Completion of Support System ofHandholding15%17 th January, 2012 Page 14


Bidder should consider all the costs required for successful conducting of trainingprograms not mentioned in document. <strong>UDYOG</strong> <strong>BANDHU</strong> will not be liable to pay anyextra cost other than mentioned in offer of bidder.3. VALIDITY PERIOD OF BIDProposals for technical & financials should remain valid for 3 months from the date ofopening of financial bid. A bid valid for shorter period shall be rejected as non-responsive.4. UNDERTAKINGAn undertaking from the Bidder stating the compliance with all the conditions of the Bid andTechnical Specifications of the Bidding Document will be required since no deviation will beacceptable to <strong>UDYOG</strong> <strong>BANDHU</strong>. Further, the bidder shall have to provide an undertakingthat Key Personnel will remain on the assignment till the end of the contract.5. TERMINATION OF CONTRACT<strong>UDYOG</strong> <strong>BANDHU</strong> may terminate the Contract in whole or part without assigning anyreason if:-• The qualified Bidder fails to perform any other obligation(s) under the Contract.• If the Bidder is in material breach of the representations and warranties contained inthis Contract.The termination of contract shall be made by prior written notice of default sent to theBidder. The bidder is not authorized to terminate the agreement before its maturity.6. FORCE MAJEUREIf the performance as specified in the Letter of Award is prevented, restricted, delayed orinterfered by any unforeseen reasons or eventualities beyond control of the party affected,then the party affected shall be excused from its performance and provided the party soaffected uses its best efforts to remove such cause of non-performance and when removed,the party shall continue performance.17 th January, 2012 Page 15


7. PERFORMANCE BANK GUARANTEEi. The selected Bidder will be required to provide a Performance Guarantee of anamount equivalent to 15% of the finalized assignment fee (subject to a minimum ofRs. 1,00,000) in the form of bank guarantee from a scheduled commercial bank. Theperformance bank guarantee shall remain valid till at least three months periodbeyond the expiry of the contract period along with an invocation period of further 3months.ii. Format of performance bank guarantee shall be uploaded on our website prior to thedate of submission of bids8. PENALTY FOR DEFAULT IN SERVICESEach phase of training program shall be evaluated methodically. In case of feedback of nonsatisfactoryperformance in each phase, penalty equivalent to 50% of one-third of assignmentfee shall be imposed. If non-satisfactory performance persists, <strong>UDYOG</strong> <strong>BANDHU</strong> reservesthe right to cancel the order, invoke the performance guarantee and forfeit the earnest money.17 th January, 2012 Page 16


IX. BIDDING PROCESS1. SUBMISSION OF BIDSa) The bids shall be submitted in TWO lacquer separate sealed covers in two copies markedas 'ORIGINAL' and 'COPY'.b) The Technical Bid shall be placed in one sealed envelope clearly marking "TechnicalBid".c) Similarly, the Financial Bid shall be placed in separate sealed envelope clearly marking itas "Financial Bid".d) Both the bids shall be placed in a 3rd sealed envelope clearly marked as "Selection ofConsultant for imparting attitudinal /motivational and technical training related to NiveshMitra in districts of U.P.”.e) The original and all copies of the Bid Document shall be signed by a person dulyauthorized. The person signing the Bid Document shall initial all pages of the BidDocument.f) Any interlineations, erasures, alterations, additions or overwriting shall be valid only ifthe person or persons signing the bid have authenticated the same with signature/initial.g) If the envelope of Technical OR Financial Bid is not properly sealed and marked asrequired, <strong>UDYOG</strong> <strong>BANDHU</strong> will assume no responsibility for the Bid’s misplacementor premature opening.Bids complete in all respect shall be delivered on 23 rd March, 2012 between 10:00 A.M and3:00 P.M. to:Executive Director,Udyog Bandhu,12-C, mall Avenue,Lucknow-226001 (U.P.)2. QUOTING OF FINANCIAL BIDa) The Financial Quote shall be made by the bidder in the bid format enclosed in thisbid document.17 th January, 2012 Page 17


) The bidder shall include payment of all dues such as taxes & other statutory dues,service charges, administrative expenses, third party services, overhead charges viz.travelling, boarding & lodging, out of pocket expenses, Support System for 6 monthsetc, even if not specifically mentioned in the specification but essential for successfulcompletion of contract.c) <strong>UDYOG</strong> <strong>BANDHU</strong> shall not bear any extra charges in respect of such payments,which although not mentioned in the bid document, are incurred by the bidder anytime during the contract period. Extra charges, if any, shall be paid by the bidderonly.7. OPENING OF TECHNICAL BIDTechnical Bids would be opened on 23 rd March, 2012 at 4:00 P.M in the presence ofauthorized representatives of bidders, who wish to attend.8. PRESENTATIONThe Bidders whose Technical Offers are found to be in accordance with the specificationsmentioned in the Bid document would be intimated by e-mail/telephone, and will be calledfor a Presentation on 27 th March, 2012 at Udyog Bandhu at 11:00 A.M. onwards.9. OPENING OF FINANCIAL BIDSEvaluation of the bids shall be made on the basis of Evaluation Methodology as explained inChapter-VII. The bidders who meet the evaluation criteria of 80% shall be short-listed, whoshall be intimated by e-mail/telephone.Financial bids of the short-listed bidders only would be opened.The Financial Bids would be opened on 30 th March, 2012 at 2:30 P.M. in the presence ofauthorized representatives of short-listed bidders, who wish to attend.10. REJECTION OF BIDa. The Bid Document shall be submitted in the form of printed document. Technical ORFinancial Bids submitted by Telex, fax or email would not be entertained. condition put forth by the bidder not conforming to the bid requirements shall not beentertained at all and such bid shall be liable for rejection.b. Any bid received by <strong>UDYOG</strong> <strong>BANDHU</strong> after the deadline will be summarilyrejected. <strong>UDYOG</strong> <strong>BANDHU</strong> shall not be responsible for any postal delay or nonreceipt/ non-delivery of the documents. No further correspondence on this subjectwill be entertained.c. <strong>UDYOG</strong> <strong>BANDHU</strong> has the right to accept any Bid or to reject any Bid or all Bids.<strong>UDYOG</strong> <strong>BANDHU</strong> reserves the right to cancel / annul the bidding process and rejectall Bids at any time before the award of the Contract.11. FINAL SELECTION OF BIDDERa) The bid variable for Financial Bid is minimum fee charged for the assignment. Thelowest bid for the above assignment shall be the basis of selection of bidder.b) In the event that the lowest bidder withdraws or is not selected for any reason in the firstinstance (First round of bidding), <strong>UDYOG</strong> <strong>BANDHU</strong> may invite all the remainingbidders to match the financial quote of the aforesaid lowest bidder (Second round ofbidding).c) If in the second round of bidding, only one bidder matches the lowest bid, it shall beselected as successful bidder.d) If two or more bidders match the said lowest bidder (in the second round of bidding),then the bidder whose bid was lower as compared to other bidders in the first biddingshall be selected as successful bidder.e) <strong>UDYOG</strong> <strong>BANDHU</strong> shall be under no obligation to accept the lowest or any other offerreceived in response to this Bid notice and shall be entitled to reject any or all offersincluding those received late or incomplete offers without assigning any reasonwhatsoever.17 th January, 2012 Page 19


f) <strong>UDYOG</strong> <strong>BANDHU</strong> may choose to conduct negotiation or discussion with any or all theBidders. The decision of <strong>UDYOG</strong> <strong>BANDHU</strong> in the evaluation of echnical and FinancialBids shall be final and binding on all the parties.g) <strong>UDYOG</strong> <strong>BANDHU</strong> reserves the right to make any changes in the terms and conditionsof the Bid. <strong>UDYOG</strong> <strong>BANDHU</strong> will not be obliged to meet and have discussions with anyof the Bidders and or to listen to any representations.12. NOTIFICATION OF AWARDThe Bidder whose Bid has been accepted shall be notified of the award by <strong>UDYOG</strong><strong>BANDHU</strong>. The Bidder shall acknowledge in writing, the receipt of the Letter of Award andshall send his acceptance to enter into the Contract within 3 days from the receipt of theLetter of Award.13. SIGNING OF AGREEMENTiii.iv.Format of agreement shall be uploaded on our website prior to the date of submissionof bidsThe Bidder and <strong>UDYOG</strong> <strong>BANDHU</strong> shall promptly and in no event later than 10 daysfrom the date of letter of acceptance of the bidder, sign the Contract. <strong>UDYOG</strong><strong>BANDHU</strong> shall have the right and authority to negotiate certain terms with thesuccessful Bidder before signing of the Contract. The signing of the Contract shallamount to award of the Contract and the Bidder shall initiate the execution of thework as specified in the Contract.14. EXPENSES FOR THE CONTRACTAll incidental expenses of the execution of the Contract/ agreement shall be borne solely bythe successful Bidder and such amount shall not be refunded to the successful Bidder by<strong>UDYOG</strong> <strong>BANDHU</strong>.17 th January, 2012 Page 20
