The undersigned counsel is newly <strong>re</strong>tained on this matter <strong>and</strong> needs additional time <strong>to</strong><strong>re</strong>spond <strong>to</strong> two voluminous matters: (1) a Court-order <strong>re</strong>quiring Mr. Theodule <strong>to</strong>show cause why he should not be held in contempt <strong>for</strong> providing a deficientaccounting of his personal assets <strong>and</strong> the assets of Defendant C<strong>re</strong>ative CapitalConsortium, LLC, <strong>and</strong> (2) the Receiver’s approximately 117 page Second <strong>Motion</strong> <strong>to</strong>Exp<strong>and</strong> Receivership.2. We believe that we need 15 days <strong>to</strong> put <strong>to</strong>gether the in<strong>for</strong>mation available <strong>to</strong> Mr.Theodule <strong>to</strong> adequately <strong>re</strong>spond <strong>to</strong> the Court’s show cause order. The undersignedcounsel has met with Mr. Theodule <strong>for</strong> over 12 hours <strong>and</strong> spent at least four hours onthe phone with him pertaining <strong>to</strong> the allegations of the SEC’s Complaint filed in this


Case 9:08-cv-81565-DTKH Document 37 Ente<strong>re</strong>d on FLSD Docket 02/24/2009 Page 2 of 4matter <strong>and</strong> the Court’s ex parte order ente<strong>re</strong>d on December 29, 2008 <strong>re</strong>quiring Mr.Theodule <strong>to</strong> provide an accounting within a me<strong>re</strong> five days’ time. Mr. Theodule needsadditional time <strong>to</strong> complete the accounting as best as he is able, which, in part, hasbeen made mo<strong>re</strong> difficult because his home was burglarized in January <strong>and</strong> his lap<strong>to</strong>pcomputer <strong>and</strong> many other property items we<strong>re</strong> s<strong>to</strong>len. Mr. Theodule’s lap<strong>to</strong>pcomputer contained some in<strong>for</strong>mation that would have been useful in compiling thein<strong>for</strong>mation <strong>re</strong>qui<strong>re</strong>d by the accounting. We believe that we need 15 days <strong>to</strong> put<strong>to</strong>gether the in<strong>for</strong>mation available <strong>to</strong> Mr. Theodule. Granting Mr. Theodule theadditional time needed would serve the SEC’s <strong>and</strong> the Receiver’s inte<strong>re</strong>sts in that itwould enable Mr. Theodule ample time <strong>to</strong> do the best job that he is able <strong>to</strong> complywith the Court order <strong>and</strong> make mo<strong>re</strong> complete disclosu<strong>re</strong>s.3. Additional time is necessary <strong>to</strong> <strong>re</strong>spond <strong>to</strong> the Receiver’s Second <strong>Motion</strong> <strong>to</strong> Exp<strong>and</strong>the Receivership. The Receiver’s motion is comprised of approximately 117 pages ofargument <strong>and</strong> exhibits. Mr. Theodule will need a <strong>re</strong>asonable amount of time <strong>to</strong> gatherin<strong>for</strong>mation in order <strong>to</strong> properly frame a <strong>re</strong>sponse. On its face, the p<strong>re</strong>mise of the<strong>re</strong>quested expansion is based upon the Receiver’s errant conclusion that anywhe<strong>re</strong>that money went means that the <strong>re</strong>cipient is an alter ego of Mr. Theodule. Part of thein<strong>for</strong>mation necessary <strong>to</strong> <strong>re</strong>but these errant assertions will come from Mr. Theodule’sp<strong>re</strong>paration of the accounting. Accordingly, it is <strong>re</strong>asonable <strong>for</strong> Mr. Theoidule <strong>to</strong><strong>re</strong>spond first <strong>to</strong> the accounting <strong>and</strong> then <strong>to</strong> turn his attention <strong>to</strong> the Receiver’s motion.Much of the <strong>re</strong>maining evidence will come from witness declarations <strong>and</strong> supportingdocumentation that need <strong>to</strong> be gathe<strong>re</strong>d <strong>and</strong> submitted <strong>to</strong> the Court <strong>to</strong> show that it isimproper <strong>to</strong> assert jurisdiction over arm’s length transactions <strong>and</strong> non-parties’ assets.

The <strong>re</strong>quested extension of time is not made <strong>for</strong> the purpose of delay nor will itp<strong>re</strong>judice any of the parties involved in this action.5. In accordance with Local Rule 7.1, S.D.Fla.L.R., counsel <strong>for</strong> the movant hasconfer<strong>re</strong>d with counsels <strong>for</strong> the SEC <strong>and</strong> <strong>for</strong> the Receiver in a good faith ef<strong>for</strong>t <strong>to</strong><strong>re</strong>solve the issues raised in the motion <strong>and</strong> has been unable <strong>to</strong> do so. The motion <strong>to</strong>exp<strong>and</strong> time <strong>to</strong> <strong>re</strong>spond <strong>to</strong> the show cause order is categorically opposed by the SEC,<strong>and</strong> the <strong>re</strong>quested extension <strong>to</strong> <strong>re</strong>spond <strong>to</strong> the Receiver’s second motion <strong>to</strong> exp<strong>and</strong> the<strong>re</strong>ceivership is <strong>re</strong>jected by the Receiver as being <strong>to</strong>o long.6.
