The grounds of appeal<br />

[36] In their notice of appeal filed on 22 July 2015, Mr <strong>Finzi</strong>/Mahoe Bay advanced five<br />

complaints, which may be summarised as follows:<br />

1. With regard to Sykes J’s comment on whether there<br />

was any impediment to Mr <strong>Finzi</strong> entering into the<br />

James agreement, the learned judge erred in placing<br />

reliance on a clause in a mortgage document that was<br />

not before the court.<br />

2. The learned judge erred in failing to take into account<br />

the fraud/misrepresentation committed by <strong>JMMB</strong> in<br />

the sale agreement to ASL, by which <strong>JMMB</strong> asserted a<br />

right of sale over properties (Lots 15, 16, 17, 18, 19,<br />

74 <strong>and</strong> 75) that were not part of mortgage numbered<br />

1612988 under which the power of sale was<br />

purportedly being exercised.<br />

3. The learned judge erred in finding that ASL was a<br />

bona fide purchaser for value without notice, since it<br />

should have been put on enquiry by the fact that the<br />

agreement for sale disclosed other interests not<br />

covered under mortgage numbered 1612988 under<br />

which <strong>JMMB</strong> purported to sell.
