I. CHANGE OF CHAIR<br />

The <strong>Board</strong> <strong>of</strong> <strong>Control</strong> Bylaws requires that <strong>the</strong> Chair elected at <strong>the</strong> last regular meeting <strong>of</strong><br />

<strong>the</strong> fiscal year take <strong>the</strong> Chair at <strong>the</strong> first regular meeting <strong>of</strong> <strong>the</strong> next fiscal year.<br />

Stephen Hicks, Chair for 2012-13, will succeed Marty Richardson, Chair for 2011-12,<br />

and Julie Fream will become Vice Chair for <strong>the</strong> 2012-13 fiscal year.

V-F. MICHIGAN TECHNOLOGICAL UNIVERSITY/MICHIGAN TECH<br />

FUND AGREEMENT<br />

Attached is <strong>the</strong> form <strong>of</strong> a proposed agreement to continue <strong>the</strong> provision <strong>of</strong> space and<br />

services to <strong>the</strong> <strong>Michigan</strong> Tech Fund for <strong>the</strong> period September 1, 2012 to August 31, 2013.<br />

Successful continuation <strong>of</strong> <strong>the</strong> relationship between <strong>Michigan</strong> Tech and <strong>the</strong> <strong>Michigan</strong><br />

Tech Fund is subject to <strong>the</strong> Fund's qualification as an institution permitted certain<br />

privileges with respect to credits on <strong>Michigan</strong> income tax. Specifically, Public Act No.<br />

290 <strong>of</strong> 1974 reads in part:<br />

"The tax credit shall be permitted only where <strong>the</strong> donee<br />

corporation, fund, foundation, trust or association is<br />

controlled or approved and reviewed by <strong>the</strong> governing<br />

boards <strong>of</strong> <strong>the</strong> institutions benefitting from <strong>the</strong> charitable<br />

contributions. Such nonpr<strong>of</strong>it corporation, fund, foundation,<br />

trust, or association shall provide copies <strong>of</strong> <strong>the</strong>ir annual<br />

independently audited financial statements to <strong>the</strong> auditor<br />

general <strong>of</strong> <strong>the</strong> state and chairmen <strong>of</strong> <strong>the</strong> senate and house<br />

appropriations committees."<br />

RECOMMENDATION: That <strong>the</strong> <strong>Board</strong> <strong>of</strong> <strong>Control</strong> approves <strong>the</strong> <strong>Michigan</strong><br />

Technological University/<strong>Michigan</strong> Tech Fund agreement, and also, that <strong>the</strong> <strong>Board</strong> goes<br />

on record as having reviewed and approved <strong>the</strong> operations <strong>of</strong> <strong>the</strong> <strong>Michigan</strong> Tech Fund to<br />

continue as a recipient <strong>of</strong> donations eligible for <strong>the</strong> State <strong>of</strong> <strong>Michigan</strong> income tax credit.


AGREEMENT BETWEEN MICHIGAN TECHNOLOGICAL UNIVERSITY<br />

AND THE MICHIGAN TECH FUND<br />

This Agreement made September 1, 2012 between <strong>Michigan</strong> Technological<br />

University (“University”) and <strong>the</strong> <strong>Michigan</strong> Tech Fund (“Fund”).<br />

WHEREAS, <strong>the</strong> Fund’s work in receiving and managing charitable gift assets for<br />

<strong>the</strong> University is critical to its ability to fulfill its mission and strategic direction, and<br />

WHEREAS, Fund’s advocacy <strong>of</strong> <strong>the</strong> University’s mission and priorities<br />

constitutes a valuable service, and<br />

WHEREAS, <strong>the</strong> planning and execution <strong>of</strong> a major fundraising campaign is a<br />

joint priority <strong>of</strong> <strong>the</strong> University and <strong>the</strong> Fund, and<br />

WHEREAS, <strong>the</strong> University and <strong>the</strong> Fund desire to continue a heret<strong>of</strong>ore existing<br />

arrangement:<br />

IT IS AGREED:<br />

1. In consideration <strong>of</strong> <strong>the</strong> support directly inuring to <strong>the</strong> benefit <strong>of</strong> <strong>the</strong><br />

University from <strong>the</strong> activities <strong>of</strong> <strong>the</strong> <strong>Michigan</strong> Tech Fund, <strong>the</strong> University<br />

will provide to <strong>the</strong> Fund:<br />

a. supporting services including mail services, limited printing services,<br />

access to <strong>the</strong> phone network, and an internal audit <strong>of</strong> Fund transfers to<br />

<strong>the</strong> University;<br />

b. access to <strong>the</strong> Banner system for maintenance and upkeep <strong>of</strong> <strong>the</strong><br />

alumni/development database. The University will partially fund <strong>the</strong><br />

alumni database maintenance conducted by <strong>the</strong> Fund.<br />

2. The Fund agrees to continue its various fundraising administrative support<br />

and asset management functions for <strong>the</strong> betterment and advancement <strong>of</strong><br />

<strong>the</strong> University. The Fund also agrees to support consulting services as<br />

done in <strong>the</strong> past.

3. This agreement shall terminate on August 31, 2013 and will be considered<br />

for renewal for successive one-year periods. The grant or denial <strong>of</strong> such<br />

renewal shall be at <strong>the</strong> sole discretion <strong>of</strong> <strong>the</strong> <strong>Board</strong> <strong>of</strong> <strong>Control</strong> <strong>of</strong> <strong>Michigan</strong><br />

VI-C. APPOINTMENT TO MICHIGAN TECH FUND BOARD OF DIRECTORS<br />

The bylaws <strong>of</strong> <strong>the</strong> <strong>Michigan</strong> Tech Fund require <strong>the</strong> <strong>Board</strong> <strong>of</strong> <strong>Control</strong> to appoint three<br />

members to <strong>the</strong> <strong>Michigan</strong> Tech Fund <strong>Board</strong> <strong>of</strong> Directors.<br />

The current members <strong>of</strong> <strong>the</strong> <strong>Michigan</strong> Tech Fund <strong>Board</strong> <strong>of</strong> Directors are Mr. Brule, Mr.<br />

Hicks, and Mr. Gronevelt.<br />

RECOMMENDATION: That <strong>the</strong> <strong>Board</strong> <strong>of</strong> <strong>Control</strong> appoint three individuals to <strong>the</strong><br />

<strong>Michigan</strong> Tech Fund <strong>Board</strong> <strong>of</strong> Directors.


VI-D. APPROVAL OF A RIGHT-OF-WAY EASEMENT<br />

The Advanced Power Systems Research Center (APSRC, formerly <strong>the</strong> Blizzard<br />

Building) is undergoing electrical upgrades. The power to <strong>the</strong> building is increasing from<br />

300 Kilowatts to 1,000 Kilowatts. In addition, <strong>the</strong> capability to send power back to <strong>the</strong><br />

grid is being installed. The Ontonagon Rural Electrification Association, Inc. (REA) is<br />

<strong>the</strong> energy supplier to <strong>the</strong> Airpark in which <strong>the</strong> building resides. REA has requested that<br />

<strong>the</strong>ir equipment (1,000 Kilowatt transformer and recloser) be located on <strong>Michigan</strong> Tech<br />

property to protect <strong>the</strong>m from future costs that might be associated with county road<br />

improvements. The easement will give REA this protection and <strong>the</strong> ability to service <strong>the</strong><br />

equipment on our property.<br />

RECOMMENDATION: That <strong>the</strong> <strong>Board</strong> <strong>of</strong> <strong>Control</strong> approves <strong>the</strong> Right-Of-Way<br />

Easement with Ontonagon Rural Electrification Association, Inc. as presented herein.

below, licensees, and agents, <strong>the</strong> right to enter upon <strong>the</strong> lands <strong>of</strong> <strong>the</strong> undersigned, situated<br />

in <strong>the</strong> Township <strong>of</strong> ____________ , County <strong>of</strong> Houghton, State <strong>of</strong> <strong>Michigan</strong>, and more<br />

particularly described as follows:<br />

Lot 15, Houghton County Airpark according to <strong>the</strong> recorded plat <strong>the</strong>re<strong>of</strong>, for electric<br />

service to <strong>the</strong> Grantor’s Advanced Powertrain Systems Research Center, 23199 Airpark<br />

Blvd, in <strong>the</strong> locations as shown on <strong>the</strong> attached map, Exhibit A,<br />

and to locate, relocate, construct, reconstruct, repair, replace, extend, operate and maintain<br />

on <strong>the</strong> above-described land an overhead or underground (to be determined by Grantor)<br />

electric distribution line or system, system, and to assign such rights to any successor<br />

entity providing <strong>the</strong> same service to <strong>the</strong> above property <strong>of</strong> and at <strong>the</strong> request <strong>of</strong> Grantor.<br />

Also granting <strong>the</strong> license to cut, trim and treat trees and shrubbery located within fifteen<br />

feet <strong>of</strong> <strong>the</strong> center line <strong>of</strong> said line or system, or that may interfere with or threaten to<br />

endanger <strong>the</strong> operation and maintenance <strong>of</strong> said line or system. Said treatment is limited to<br />

<strong>the</strong> use <strong>of</strong> herbicide for stump treatment and/or basal application to trees less than three<br />

inches in diameter.<br />

The undersigned agree that all poles, wires and o<strong>the</strong>r facilities, installed on <strong>the</strong> abovedescribed<br />

lands at <strong>the</strong> Cooperative's expense, shall remain <strong>the</strong> property <strong>of</strong> <strong>the</strong> Cooperative,<br />

removable at <strong>the</strong> option <strong>of</strong> <strong>the</strong> Cooperative unless o<strong>the</strong>rwise provided in any agreement<br />

between Grantor and Grantee.<br />

In <strong>the</strong> event that Grantor’s operations require that <strong>the</strong> distribution facilities on <strong>the</strong> above<br />

easement be moved ot ano<strong>the</strong>r location on <strong>the</strong> property Grantor will provide to Grantee an<br />

alternate location for such facilities and subject to prior approval <strong>of</strong> <strong>the</strong> cost <strong>the</strong>re<strong>of</strong> assume<br />

<strong>the</strong> cost <strong>of</strong> relocation <strong>of</strong> such facilities.<br />

This easement is terminable by Grantor and its successors and assigns at any time that<br />

electrical power is not being provided by Grantee or its successors and assigns to <strong>the</strong> above<br />

facility <strong>of</strong> Grantor. In <strong>the</strong> event <strong>of</strong> such termination Grantor will provide 60 days written<br />

notice <strong>of</strong> termination and to remove facilities. If so terminated and facility removal<br />

requested Grantee will remove its poles, lines and equipment and restore <strong>the</strong> surface <strong>of</strong> <strong>the</strong><br />

property damaged by such removal within 90 days <strong>of</strong> receipt <strong>of</strong> <strong>the</strong> written notice to<br />

remove.

Note: During February <strong>of</strong> 2012, we performed some re-balancing <strong>of</strong> <strong>the</strong> portfolio<br />

Whenever <strong>the</strong>re is significant increase in stock market value, rebalancing is necessary<br />

to adjust exposure to equity markets. In this recent rebalancing, we reduced <strong>the</strong><br />

exposure in <strong>the</strong> Vanguard 500 index and shifted it to <strong>the</strong> Fidelity Cash Reserves,<br />

thus remaining in balance with our goals.

BOARD OF CONTROL REPORT<br />

DEVELOPMENT<br />

Capital Campaign stands at $177.8 million <strong>of</strong> gifts and pledges as <strong>of</strong> July 16, 2012.<br />

With <strong>the</strong> campaign scheduled to close on June 30, 2013, <strong>the</strong>re is extensive solicitation and closing activity<br />

occurring. This is <strong>the</strong> staff’s focus and also that <strong>of</strong> President Mroz, who will pursue an ambitious travel schedule<br />

to meet with selected campaign prospects.<br />

The overarching campaign priorities continue to be those that support people – named faculty positions and<br />

student financial aid in <strong>the</strong> form <strong>of</strong> scholarships and fellowships. O<strong>the</strong>r targeted projects include hockey facilities<br />

and Alumni Way/campus mall.<br />

A notable recent gift <strong>of</strong> $1 million was given by Chang Park ’73 <strong>of</strong> Armonk NY. The gift establishes an endowed<br />

scholarship in his name for engineering students. Chang is <strong>the</strong> owner and president <strong>of</strong> Universal Remote <strong>Control</strong>,<br />

Inc. <strong>of</strong> Mamaroneck NY. He was <strong>the</strong> speaker at <strong>Michigan</strong> Tech’s midyear commencement in December <strong>of</strong> last year,<br />

and will be inducted into <strong>the</strong> Department <strong>of</strong> Electrical and Computer Engineering Academy in August.<br />

Also <strong>of</strong> note is <strong>the</strong> successful effort to secure gifts for start-up expenses <strong>of</strong> <strong>the</strong> Doctor <strong>of</strong> Physical Therapy program,<br />

scheduled to commence in 2014. A total <strong>of</strong> $250,000 was raised from UP hospitals and o<strong>the</strong>r health care entities.<br />

ALUMNI RELATIONS<br />

Second annual Snowfall contest: Of <strong>the</strong> 944 entries ranging from a low <strong>of</strong> 73.8 inches to a high <strong>of</strong> 400 in <strong>the</strong><br />

Second Annual Snowfall contest, Scott Yager, a 2010 Electrical Engineering Tech alumnus was <strong>the</strong> closest without<br />

going over with his prediction <strong>of</strong> 131.5 inches.<br />

Alumni Reunion 2012 August 2, 3 & 4: Featured classes will be <strong>the</strong> Golden M’s (those who graduated 50 plus years<br />

ago), <strong>the</strong> classes <strong>of</strong> ’62, ’72, ’82, ’87, ’92 and ’02 as well as Men's Basketball alumni.<br />

For <strong>the</strong> first time ever, we are hosting an all-alumnae reunion to celebrate <strong>the</strong> Women <strong>of</strong> Tech. The Presidential<br />

Council <strong>of</strong> Alumnae hosts <strong>the</strong> celebration on campus Saturday evening in <strong>the</strong> Library.<br />

To celebrate <strong>the</strong> 50th Anniversary <strong>of</strong> Biological Sciences, <strong>the</strong>re will be several special events this year. Also, ME-EM<br />

are celebrating <strong>the</strong>ir 85th anniversary and it is <strong>the</strong> 35th anniversary <strong>of</strong> <strong>the</strong> <strong>Michigan</strong> Tech Student Foundation.<br />

We will be dedicating our newest facility, <strong>the</strong> Great Lakes Research Center, on Thursday, August 2 at 2:00 pm.<br />

Earlier that day, <strong>the</strong>re will be a Science Symposium from 9:00 am to noon at <strong>the</strong> GLRC.<br />

The Friday evening Alumni Reunion and Awards Dinner will recognize several outstanding alumni:<br />

Regional alumni events included an impressive parade entry into <strong>the</strong> Tech International Cherry Royale Festival<br />

featuring more than 30 members <strong>of</strong> <strong>the</strong> Huskies Pep Band, Blizzard T. Husky, a semi trailer loaded with five SAE<br />

competition vehicles along with a number <strong>of</strong> alumni and <strong>the</strong>ir families.<br />

We also hosted a social and MPR taping in Minneapolis MN, golf outings in Green Bay WI, Grand Rapids and<br />

Saginaw MI, a dinner in Chicago, and our local chapter hosted a social for <strong>the</strong> SFRES building art show opening.<br />

In conjunction with Admissions alumni chapters hosted Student Send Off events in Milwaukee, Chicago and Grand<br />

Rapids. Corporate alumni events were held at General Motors, Dow Chemical, Dow Corning & Hemlock Semi-<br />

Conductor, and Ford.<br />

Coming up is a Detroit Tiger game watch in Detroit, an alumni ga<strong>the</strong>ring at Caterpillar, and a full schedule <strong>of</strong><br />

football tailgates and hockey pregame events.

The Wall Street Journal’s MarketWatch website covered <strong>the</strong> Mind Trekkers being in<br />
