absence or incapacity to serve. In the Event that both the<br />

President and the Vice President are absent or unable to<br />

serve, the Board of Directors shall appoint an Executive Committee<br />

member to serve in that capacity until either officer<br />

has returned to service.<br />

Section 4. Whenever they deem necessary, the officers of the<br />

Association may, by a majority vote, call a meeting of the Executive<br />

Committee.<br />

Section 5. Removal. Any Executive Committee Member may<br />

be removed by a majority vote of the Board of Directors<br />

whenever in its judgment, the best interests of the Association<br />

would be served thereby. However, such removal shall be<br />

without prejudice to the contract rights, if any, of the person<br />

so removed.<br />

Section 6. Vacancies. If the office of any officer, or agent, one<br />

or more, becomes vacant for any reason, the Board of Directors<br />

may choose a successor or successors, who shall hold office for<br />

the unexpired time in respect of which such vacancy occurred.<br />

ARTICLE VII. BOARD OF DIRECTORS<br />

Section 1. The business of this Association shall be managed<br />

by its Board of Directors. The Board of Directors shall be comprised<br />

of the Executive Committee and a number of elected<br />

Directors including: Regional Directors as defined in Section<br />

1(a). and National Association Affiliate Directors (NAA Directors)<br />

as defined in section 1(c).<br />

(a) Regional Directors. The NRHA Board of Directors shall<br />

be empowered to create, delete or modify regions which<br />

shall encompass specified geographic areas on any Continent<br />

with an NRHA membership, the boundaries of which may<br />

change from time to time as determined by the Board of<br />

Directors of the Association. NRHA members from each Affiliate<br />

Region which has achieved an NRHA membership of<br />

500 shall elect at least one director to the NRHA Board of<br />

Directors. An additional director shall be elected from the<br />

Affiliate Region when total NRHA membership in the region<br />

reaches 1,000 members and another seat shall be elected<br />

for each additional 500 members. In order to maintain<br />

parity at the one (1) director for each 500 members ratio,<br />

total directors to be elected within each U.S. Region will<br />

be based on membership numbers as of December 31st<br />

of the prior year. Then a determination will be made of<br />

the additional directors to be elected based on the total<br />

U.S. NRHA membership. Regions with the greatest number<br />

of excess members over their 1/500 ratio will be allowed<br />

to elect one additional director until the 1/500 ratio is<br />

achieved in total for the U.S. Commencing with the 2012<br />

Election year, regional director terms shall be staggered<br />

based on a formula determined by the Board of Directors<br />

and published within Section A. Election Procedures,<br />
