2. Place Where Services Will Be Rendered<br />
The Consultant will perform all services in accordance with this engagement letter at the Consultant’s<br />
offices in Cleveland, OH via phone/web conference.<br />
3. Manner and TIming of Services<br />
We recognize that time is of the essence in accomplishing our goals, so the manner and timing of the<br />
performance of this work is at the discretion of the Consultant with a very rigorous work plan.<br />
Consultant will submit to Client all communications to be deployed on their behalf for review and<br />
approval prior to publication or deployment unless otherwise directed by Client.<br />
4. Confidential Information<br />
The Consultant agrees that any information received by the Consultant during the performance of<br />
the Consultant's obligations in accordance with this Memorandum of Engagement, which concerns all<br />
business, personal, financial or other affairs of the Client and their Customers will be treated by the<br />
Consultant in full confidence and will not be revealed to any other persons, firms or organizations.

5. Use of Services<br />
a) The Consultant may from time to time recommend the Client use the products or services of third<br />
party providers. Any additional costs will be paid exclusively by the Client. If these costs are paid by the<br />
Consultant, they will be reimbursed to the Consultant within 30 days.<br />
b) The Client may from time to time request that the Consultant arrange for third party services at an<br />
additional cost to either party or both. All costs to the Consultant for those services will be paid by the<br />
Client but in no event shall the Consultant engage third party services without the prior authorization of<br />
the Client.<br />
c) Client acknowledges that any contracting of products or services as described above is outside of<br />
this Memorandum of Engagement and the Consultant is not responsible and cannot be held liable for<br />
the nonperformance of any third party providers whether recommended by the Consultant or not.<br />
Additionally, such nonperformance does not affect the terms of this Memorandum of Engagement.<br />
6. Compensation and Terms of Payment<br />
The term of this engagement is ongoing, but there is no obligation or contract. Client agrees to pay<br />
Consultant $12,500 per month for the first three months and understands the first installment of<br />
$12,500 must be paid prior to starting work. After that, the ongoing engagement can be adjusted<br />
to a mutually agreed upon monthly rate based on the needs of the Client. All services rendered by<br />
National Strategic are included in this agreement. Cost per click of any Facebook advertising (paid<br />
directly to Facebook), Google advertising (paid directly to Google), or any other paid traffic source will<br />
be the responsibility of the client. All paid advertising budgets will be approved by the client prior to<br />
deployment. If travel is necessary, travel expenses will be reimbursed by Client.<br />
7. Life of This Engagement<br />
This engagement and its terms will continue on a monthly basis thirty (30) days after the Client Kick-Off<br />
Call is executed. The tentative date for the Client and Consultant Kick-Off Call is scheduled for June 28th,<br />
2018. It can be terminated at any time with 30 days written notice.<br />
8. Digital Property Ownership<br />
If the Client has paid in full for the first three months of this engagement, Client owns all web property,<br />
its content, high resolution images, videos and any other content created by the Consultant for Client.<br />
Consultant agrees to transfer all digital property including relevant logins, domain names and web<br />
property to Client upon request or termination of agreement.

9. Exclusivity<br />
During the term of this engagement, The River Source will be the only treatment facility<br />
in a 125-mile radius where Consultant will provide marketing for inpatient addiction<br />
treatment offerings.<br />
LEGAL DISCLAIMER<br />
a) Consultant does NOT provide legal, medical, psychological or financial advice. If you use any of the<br />
information from the consultant or during training, you agree to do so at your own risk.<br />
b) Client agrees to seek proper legal counsel and authorization regarding all Consultant recommendations<br />
and work. Consultant agrees to modify any applicable work in regards to FACT or LAW, as advised<br />
by the Client or the Client’s legal counsel.<br />
c) Consultant will take every measure possible to protect patient privacy in accordance with HIPAA<br />
regulations and behavioral health standards.<br />
