binnen max. 48 uur in Europa afgeleverd.

• Op sparepart orders met een netto waarde van minder dan €100,=
wordt €20,= handelingskosten berekend.

Elektrische ontdooiing
Op aanvraag kunnen de luchtkoelers worden voorzien van elektrische
ontdooiing. Hierbij wordt onderscheid gemaakt tussen zware
ontdooiing voor lagere ruimtetemperaturen en lichte ontdooiing
voor hogere ruimtetemperaturen (ruimtetemperatuur rond 0 °C). De
roestvast stalen ontdooielementen in het koelerblok worden goed
geleidend gemonteerd in binnenbuizen tussen de verdamperpijpen
en in de lekbak met aluminium profielen tegen de onderzijde van de
aluminium binnenlekbak. De elementen, geschikt voor 220/240 V
maximaal, worden aangesloten op een 3x380/415 V net met nulleider in
een of meerdere aansluitdozen (IP 55).
Electrical Defrost
On request aircoolers can be provided with electricl defrost. A distinction
here is the use of heavy electrical defrost load for low temperatures and
light defrost load for higher temperatures ( room temperature appr.
0°C). The stainless steel heating elements are fitted in the coil block
within aluminium tubes, which forms a highly conductive medium
between the heaters and the fins. In the drip tray heater elements
are fitted to the underside of the aluminium inner tray. The elements
are rated for 220/240 V and are connected (IP55) for 380/415 V (with
neutral) supply.
Elektrische Abtauung:
Auf Anfrage können die Luftkühler mit einer elektrischen Abtauung
ausgestattet werden. Hierbei wird ein Unterschied gemacht zwischen
einer starken Abtauung für niedrigere Raumtemperaturen und einer
leichten Abtauung für höhere Raumtemperaturen (Raumtemperatur um
0 oC). Die Heizstäbe, aus rostfreiem Stahl, werden in Rohren zwischen
den Kühlerrohren montiert. In der Abtauwanne sind sie mit Alu-Profilen
an der Unterseite der Innenwanne befestigt, derartig daß eine maximale
Warmeübertragung erreicht wird. Die einzelne Heizstäbe sind geeignet
für 220/240 Volt. Sie werden in eine oder mehreren Anschlußdosen
(IP 55) verdrahtet und müssen angeschlossen werden auf 3x380/415
V-Netz mit Nulleiter.

Dégivrage électrique
L’évaporateurs peut en option être muni d’un dégivrage électrique. Ici, il
faut faire une différence entre le dégivrage intensif pour les températures
ambiantes plus basses et le dégivrage plus modéré pour les températures
ambiantes plus élevées (aux alentours de 0 °C.). Les éléments de
dégivrage en acier inoxydable dans la batterie de réfrigération sont
montés de façon bien conductrice dans des tubes intérieurs entre les
tubes d’évaporation et dans l’égouttoir dans des profiles en aluminium
sur le côté inférieur de l’égouttoir intérieur en aluminium. Les éléments
applicables au 220/240 V au maximum sont raccordés sur un réseau
3x380/415 V avec conducteur à zéro dans une ou plusieurs boîtes de
raccordement (IP 55).
Desescarche eléctrico
Evaporadores se suministra, bajo demanda, con desescarche eléctrico.
Aquí se hace una distinción entre el desescarche pesada para
temperaturas bajas y el desescarche ligero para temperaturas elevadas
(temperatura aproximadamente 00C). Las resistencias eléctricas de
acero inoxidable del bloque evaporador se montan para lograr una
optima transmisión de calor en tubos interiores, situados entre los
tubos de refrigerante y en la bandeja de desagüe sujetos con perfiles
de aluminio contra la parte inferior de la bandeja interior de aluminio.
Las resistencias eléctricas, válidas para un máximo de 220/240 V, se
conectan en una o más cajas de conexión (IP 55) de 3x380/415 V, con
conductor neutro.

for an air temperature of +40°C.
For air temperatures lower then +40°C,
the current amperage can be calculated

thermo contact (TB) and must be connected
to prevent motor damages. The maximum
allowable working data in the table and on
the name plate of the fans are to operate in
an air temperature of 20 °C (air density of
ρ = 1,2 kg/m 3 ). For air temperatures lower
then +20 °C, the current amperage can be
calculated by using the diagram multiplication
factor, suitable thermal overloads can then be
selected..

Algemene leveringsvoorwaarden
ALGEMENE LEVERINGSVOORWAARDEN VAN DE BESLOTEN
VENNOOTSCHAP GEA GOEDHART B.V.
Statutair gevestigd te St.Maartensdijk. Gedeponeerd bij de Kamer van Koophandel
te Middelburg onder nr: 971976
Artikel 1: Algemeen
1. De navolgende algemene voorwaarden zijn van toepassing op elke offerte,
verkoopovereenkomst en dienstverlening van de besloten vennootschap GEA
Goedhart B.V.
2. Indien enige bepaling(en) van deze algemene voorwaarden danwel van een
met inachtneming van deze algemene voorwaarden gesloten overeenkomst,
naar rechterlijk oordeel niet (rechts)geldig blijkt te zijn, blijven de overige
bepalingen onverkort van kracht, tenzij de (rechts)ongeldigheid het wezen
van de overeenkomst raakt en gaat opdrachtgever ermee akkoord dat
de betreffende bepaling(en) wordt(en) geconverteerd in een rechtens
aanvaardbare bepaling.
3. Door het enkele feit van een opdracht aan GEA Goedhart doet opdrachtgever
afstand van eventuele ijnerzijds bestaande voorwaarden, hoe ook genaamd
en op welke wijze ook gedeponeerd, zodat op alle overeenkomsten slechts de
onderhavige voorwaarden van toepassing zijn.
4. Wijzigingen en afwijkingen van deze algemene voorwaarden zijn slechts van
kracht, indien deze schriftelijk tussen partijen zijn overeengekomen. Zij gelden
dan slechts voor het ene specifieke geval waarop zij betrekking hebben.
Artikel 2: Aanbiedingen en overeenkomsten
1. Alle aanbiedingen zijn geheel vrijblijvend, tenzij uitdrukkelijk het tegendeel
op de aanbieding is vermeld. Elke aanbieding is gebaseerd op uitvoering
van de opdracht onder normale omstandigheden en gedurende de bij GEA
Goedhart geldende werktijden.
2. Opdrachten aan GEA Goedhart gelden als onherroepelijk aanbod zolang de
opdracht niet door GEA Goedhart is geweigerd.
3. Een overeenkomst komt tot stand door de acceptatie van de gegeven opdracht
door GEA Goedhart.
4. Voor de verplichtingen van GEA Goedhart is de inhoud van haar schriftelijke
opdrachtbevestiging bindend en bij gebreke daarvan de offerte.
Artikel 3: Levertijd
1. GEA Goedhart zal de producten leveren danwel opgedragen diensten
verrichten binnen de op de orderbevestiging aangegeven termijn. Deze
termijn is naar beste vermogen bepaald en is gebaseerd op de ten tijde van
het sluiten van de overeenkomst geldende werkomstandigheden en op tijdige
levering van de voor de uitvoering van het werk door GEA Goedhart bestelde
materialen. Bij overschrijding van de levertijd verplicht GEA Goedhart zich
de opdrachtgever hiervan in kennis te stellen. Opdrachtgever kan indien
de levertijd wordt overschreden geen aanspraak maken op vergoeding
van eventueel geleden schade, tenzij tussen partijen schriftelijk anders is
overeengekomen.
2. Overschrijding van een levertijd door toedoen van GEA Goedhart met meer
dan 6 maanden geeft, met inachtneming van het bepaalde in artikel 5.
opdrachtgever het recht de overeenkomst tussen partijen te ontbinden. Indien
de opdrachtgever van dit recht gebruik maakt stelt hij GEA Goedhart hiervan
zo spoedig mogelijk in kennis. In ieder geval is opdrachtgever verplicht om dat
deel van de order dat gereed of nagenoeg gereed is tegen betaling pro rata
van GEA Goedhart af te nemen.
3. De levertijd gaat in na de totstandkoming van de overeenkomst en nadat GEA
Goedhart de beschikking heeft gekregen over alle voor de uitvoering van
de opdracht noodzakelijke bescheiden, gegevens, vergunningen e.d. en/of
betaling van een overeengekomen betalingstermijn.
4. Na opschorting van het werk door opdrachtgever zal GEA Goedhart een
nieuwe levertijd opgeven afhankelijk van de dan geldende levertijd voor
soortgelijke producten. Eventuele extra kosten komen voor rekening van
opdrachtgever.
5. Levering wordt geacht tot stand te zijn gekomen bij het aanbieden van de
producten op de afgesproken plaats.
6. Indien de uitvoering van een opdracht plaatsvindt door levering in gedeelten
zal iedere aflevering als een afzonderlijke transactie met alle rechtsgevolgen
worden beschouwd. Elke deellevering wordt afzonderlijk gefactureerd.
7. GEA Goedhart is bevoegd de nakoming van haar verplichtingen op te
schorten indien na het sluiten van de overeenkomst te harer kennis gekomen
omstandigheden, haar moeten doen vrezen dat opdrachtgever zijnerzijds zijn
verplichtingen niet zal kunnen nakomen.
Artikel 4: Plaats van levering
Tenzij anders schriftelijk is overeengekomen geschiedt levering onverpakt, af
fabriek/magaziijn.
Artikel 5: Overmacht
1. Indien de uitvoering van de overeenkomst wordt gehinderd door overmacht
van de zijde van GEA Goedhart en/of haar toeleveranciers / onderleveranciers
zullen de verplichtingen van GEA Goedhart worden opgeschort. De levertijd
zal met de tijdsduur der vertraging door overmacht worden verlengd zonder
dat GEA Goedhart gehouden is tot vergoeding van enige schade.
2. Onder overmacht in de zin van dit artikel wordt verstaan alle omstandigheden
waardoor naar regelen van billijkheid en redelijkheid nakoming ofwel tijdige
nakoming van de overeenkomst of een gedeelte daarvan niet kan worden
gevergd van GEA Goedhart. Hieronder wordt mede begrepen de situatie
die ontstaat doordat het door toedoen van derden voor GEA Goedhart
onmogelijk blijkt de voor de vervulling van de overeenkomstessentiële
informatie van derden te verkrijgen alsook o.a. oorlog, oorlogsgevaar,

rellen, revoluties, piraterij, sabotage, natuurrampen (storm, cyclonen,
aardbevingen, overstromingen, waterschade, blikseminslag), explosies, brand,
bedrijfsstoornis, vernietiging van machines en/of fabriek c.q. overige installaties,
boycotten, bedrijfsbezetting, werkonderbreking, overheidsmaatregelen,
in- en uitvoerbelemmeringen, gebrek aan of vertraagde levering van
door GEA Goedhart benodigde of bestelde grondstoffen, materialen of
onderdelen, storingen in de levering van energie, gebrek aan arbeidskrachten,
stagnatie door vorstverlet en alle andere omstandigheden buiten schuld of
toedoen van GEA Goedhart waardoor tijdige nakoming der overeenkomst
redelijkerwijze niet van GEA Goedhart kan worden gevergd, onverschillig of
deze omstandigheden al dan niet voorzienbaar waren.
3. Indien door overmacht de levering meer dan 6 maanden vertraagd wordt, zijn
zowel GEA Goedhart als opdrachtgever gerechtigd de overeenkomst zonder
rechterlijke tussenkomst te ontbinden. Overmacht dient te worden bewezen.
GEA Goedhart heeft tevens het recht de overeenkomst zonder rechterlijke
tussenkomst te ontbinden zodra vast staat dat zij als gevolg van overmacht
blijvend gehinderd wordt haar verplichtingen jegens opdrachtgever na te
komen.Opdrachtgever heeft in deze gevallen geen recht op vergoeding van
enigerlei schade en is gehouden de reeds door GEA Goedhart gemaakte
kosten te vergoeden alsmede de ter uitvoering van de overeenkomst
gereserveerde, in bewerking genomen en gefabriceerde grondstoffen,
materialen en onderdelen van GEA Goedhart tot zich te nemen en aan GEA
Goedhart te betalen, bij gebreke waarvan GEA Goedhart gerechtigd is deze
zaken voor rekening en risico van opdrachtgever op te slaan danwel voor
zijn rekening te verkopen.Indien partijen van hun recht tot ontbinding van
de overeenkomst gebruik willen maken, verplichten zij zich de andere partij
hiervan onmiddellijk doch in ieder geval binnen een week na ommekomst van
de termijn van 6 maanden c.q. het moment waarop voor GEA Goedhart vast
staat dat zij niet aan haar verplichtingen kan voldoen, schriftelijk in kennis te
stellen. In ieder geval is opdrachtgever verplicht om dat deel van de order dat
gereed is tegen betaling pro rata van GEA Goedhart af te nemen.
Artikel 6: Prijzen
Tenzij uit de offerte c.q. opdrachtbevestiging anders blijkt gelden de prijzen af
fabriek. De prijzen zijn exclusief omzetbelasting en emballage-, verpakkings-,
transport- en inklaringskosten.
Artikel 7: Risico-overgang en eigendomsvoorbehoud
1. Geleverde producten blijven het eigendom van GEA Goedhart totdat
opdrachtgever aan al zijn financiële verplichtingen terzake de tussen partijen
gesloten overeenkomst, met inbegrip van rente en kosten, jegens GEA
Goedhart heeft voldaan.
2. Onverminderd de GEA Goedhart toekomende rechten wordt GEA Goedhart
onherroepelijk door opdrachtgever gemachtigd om indien deze zijn jegens
GEA Goedhart aangegane betalingsverplichtingen niet of niet op tijd nakomt,
zonder rechterlijke tussenkomst de door haar geleverde goederen op eerste
vordering tot zich te nemen of indien deze aan enig roerend of onroerend
goed zijn bevestigd, te demonteren en tot zich te nemen.
3. Indien de wet van het land van opdrachtgever zich verzet tegen toepassing
van het onder lid 2 vermelde, is opdrachtgever gehouden om ten opzichte van
GEA Goedhart die rechten te respecteren die door GEA Goedhart gegeven het
desbetreffende rechtsstelsel wel ingeroepen kunnen worden.
4. Opdrachtgever is verplicht GEA Goedhart alle bijstand te verlenen nodig om de
in lid 2 en 3 genoemde rechten te effectueren.
5. Opdrachtgever is indien GEA Goedhart dit verlangt verplicht zekerheid
te stellen voor de nakoming van haar verplichtingen. In dat geval gaat de
eigendom van de producten over nadat een deugdelijke zekerheid is gesteld.
6. Ongeacht het eigendomsvoorbehoud zijn de producten vanaf het moment van
levering voor rekening en risico van opdrachtgever.
Artikel 8: Verzending
1. Verzending geschiedt voor rekening en risico van opdrachtgever tenzij
schriftelijk anders overeengekomen. Tenzij opdrachtgever aanwijzingen voor
het vervoer heeft gegeven is GEA Goedhart gerechtigd de wijze van vervoer
zelf te bepalen.
2. Transportverzekering door bemiddeling va GEA Goedhart geschiedt alleen op
uitdrukkelijk verzoek en voor rekening van opdrachtgever.
3. Indien opdrachtgever in gebreke blijft de vervaardiging en/of af te leveren
producten op te halen danwel in ontvangst te nemen staat het GEA Goedhart
vrij:
• de producten voor rekening en risico van opdrachtgever op te slaan en
de daaruit voortvloeiende extra kosten en schaden op opdrachtgever te
verhalen. De producten worden alsdan geacht te zijn geleverd tenzij
• de overeenkomst zonder nadere ingebrekestelling en zonder dat
hiervoor rechterlijke tussenkomst zal zijn vereist ontbonden te verklaren
en de door haar hierdoor gemaakte kosten en geleden schade op
opdrachtgever te verhalen.
Artikel 9: Tekeningen en modellen
1. Tekeningen, ontwerpen, modellen, schema’s, auteursrechten, merken en
octrooien, programmatuur, e.d. blijven het eigendom van GEA Goedhart en
mogen zonder haar schriftelijke toestemming niet geheel danwel gedeeltelijk
worden gekopieerd, nagemaakt of aan derden ter hand gesteld danwel
ter inzage gegeven. Opdrachtgever kan geen rechten daaraan ontlenen,
tenzij uitdrukkelijk anders door GEA Goedhart in de opdrachtbevestiging is
aangegeven, noch aan maten en gewichtsopgaven.
2. Alle met betrekking tot ontwerpen, afbeeldingen, tekeningen, modellen
etc. gevestigde rechten (waaronder auteursrechten) worden voorbehouden
en dienen te worden eerbiedigt. GEA Goedhart garandeert dat de door
haar verstrekte programmatuur geen inbreuk maakt op enig in Nederland
geldend recht van intellectuele eigendom van derden en het gebruik ervan

ook anderszins niet onrechtmatig is jegens derden. Zij vrijwaart opdrachtgever
voor aanspraken van derden terzake.
3. Ingeval van fabricage naar tekeningen, modellen of andere aanwijzingen van
opdrachtgever neemt deze de volle verantwoordelijkheid op zich dat door de
fabricage en/of levering van het product geen merk, octrooi of soortgelijk
recht van derden wordt aangetast. Indien derden op grond van enig beweerd
recht tegen de fabricage en/of levering van het betreffende product bezwaar
maken, is GEA Goedhart gerechtigd terstond de fabricage en/of levering
te staken, zonder tot enige schadevergoeding jegens opdrachtgever en/
of derden gehouden te zijn. GEA Goedhart zal opdrachtgever onmiddellijk
hiervan in kennis stellen. GEA Goedhart heeft alsdan recht op vergoeding
van de door haar gemaakte kosten onverminderd haar recht op volledige
schadeloosstelling. Opdrachtgever vrijwaart GEA Goedhart terzake van
eventuele aanspraken van derden jegens haar.
Artikel 10: Betaling
1. Betaling dient zonder enige aftrek en/of verrekening door opdrachtgever
binnen 30 dagen na factuurdatum te geschieden aan GEA Goedhart, tenzij
anders schriftelijk overeengekomen. Een betaling wordt door GEA Goedhart
als ontvangen beschouwd zodra het verschuldigde is bijgeschreven op een van
haar rekeningen.
2. Eventuele garantie-aanspraken schorten de betalingsverplichtingen van
opdrachtgever niet op.
3. Bij niet c.q. niet-tijdige betaling zal de opdrachtgever in verzuim zijn door het
enkele verloop van de termijn, zonder dat enige sommatie of ingebrekestelling
is vereist. Vanaf het ogenblik waarop de betaling had moeten plaatsvinden is
opdrachtgever over hetgeen hij aan GEA Goedhart is verschuldigd een rente
verschuldigd gelijk aan de wettelijke rente + 1%.
4. De op de incasso vallende buitengerechtelijke kosten, daaronder begrepen
de kosten van degene aan wie GEA Goedhart de opdracht tot incasso heeft
verstrekt (o.a kosten deurwaarder, incassobureau, advocaat) komen geheel
voor rekening van opdrachtgever. De buitengerechtelijke incassokosten
belopen tenminste 15% van het te vorderen bedrag met een
minimum van € 350,=, zonder dat GEA Goedhart behoeft aan te tonen dat
deze kosten zijn gemaakt. Bij te late betaling kan GEA Goedhart ook de
koerswijzigingen gerekend vanaf de vervaldag doorberekenen.
5. Indien opdrachtgever niet aan zijn betalingsverplichting voldoet, wordt
de volledige aan GEA Goedhart te betalen koopsom terstond opeisbaar tot
het volle bedrag ongeacht de stand van het werk en kan GEA Goedhart de
onmiddellijke betaling daarvan vorderen en de in opdracht genomen orders
opschorten totdat volledige betaling heeft plaatsgevonden.
6. Betalingen aan GEA Goedhart strekken eerst in mindering op de kosten,
vervolgens op de rente en daarna op de hoofdsom.
Artikel 11: Ontbinding
1. Indien opdrachtgever een of meer van zijn verplichtingen niet, niet-tijdig
nakomt danwel niet behoorlijk nakomt, overlijdt, in staat van faillissement
wordt verklaard of surseance van betaling aanvraagt, overgaat tot liquidatie
van zijn bedrijf, onder curatele wordt gesteld, zijn producten geheel of
gedeeltelijk in beslag worden genomen of anderszins insolvent blijkt, is
GEA Goedhart gerechtigd de overeenkomst over het nog niet uitgevoerde
gedeelte eenzijdig te ontbinden zonder dat enige rechterlijke tussenkomst zal
zijn vereist en de geleverde nog niet betaalde producten terug te vorderen,
danwel de uitvoering van de overeenkomst voor maximaal 6 maanden op te
schorten.
2. In al deze gevallen is iedere vordering op opdrachtgever terstond en ineens
opvorderbaar en GEA Goedhart bevoegd om de ter uitvoering van de
overeenkomst door haar geleden schade op opdrachtgever te verhalen. Deze
schade wordt bepaald op 50% van de overeengekomen prijs, onverminderd
het recht van GEA Goedhart volledige schadevergoeding te vorderen.
3. Opdrachtgever verplicht zich GEA Goedhart te vrijwaren tegen vorderingen
van derden als gevolg van de ontbinding van de overeenkomst.
4. Opgaven door GEA Goedhart omtrent capaciteiten, prestaties en resultaten
van door haar te leveren producten binden GEA Goedhart indien dit
schriftelijk is overeengekomen. Geringe afwijkingen met de gebruikelijke
of redelijke toleranties geven de opdrachtgever geen recht op reclame,
afkeuring, vervanging danwel ontbindingsverklaring van de overeenkomst
en/of vergoeding van schade.
Artikel 12: Aansprakelijkheid
1. GEA Goedhart aanvaardt haar wettelijke aansprakelijkheid voor schade
veroorzaakt door een gebrek in haar product, tenzij:
• Zij het product niet in het verkeer heeft gebracht.
• Het gebrek het gevolg is van naleving van dwingende
overheidsvoorschriften.
• Door de stand van technische kennis het onmogelijk was het gebrek te
ontdekken
• Opdrachtgever bepaalde materialen en/of constructies heeft
voorgeschreven danwel heeft verstrekt.
2. Voor door GEA Goedhart geleverde onderdelen van een product dat niet als
eindproduct door GEA Goedhart in het verkeer is gebracht, kan GEA Goedhart
niet aansprakelijk worden gehouden. Opdrachtgever dient zich in geval van
het voordoen van productschade zich rechtstreeks tot de fabrikant te wenden.
GEA Goedhart verplicht zich alle mogelijke informatie te verschaffen.
3. GEA Goedhart kan niet aansprakelijk worden gesteld voor schade, hoe
ook genaamd, aan producten van opdrachtgever, ontstaan als gevolg
van de uitvoering van de haar opgedragen werkzaamheden door haar
ondergeschikten en niet ondergeschikten, tenzij er sprake is van opzet en/of
grove schuld. Deze uitsluiting van aansprakelijkheid geldt niet alleen jegens
opdrachtgever en zijn personeel doch ook jegens derden. Opdrachtgever
vrijwaart GEA Goedhart te dier zake voor eventuele aanspraken van derden.
Algemene leveringsvoorwaarden
4. Voor beschadiging of verlies van door opdrachtgever ter beschikking gestelde
materialen is elke aansprakelijkheid van GEA Goedhart uitgesloten. De kosten
van vervoer van dergelijke materialen aan GEA Goedhart komen geheel voor
rekening en risico van opdrachtgever.
5. Schadevergoeding vindt in eerste instantie plaats door reparatie van het
geleverde product. Indien reparatie naar de mening van GEA Goedhart
niet mogelijk of economisch niet verantwoord is vindt vergoeding van de
geleden schade plaats door geldelijke schadeloosstelling. GEA Goedhart
is niet aansprakelijk voor derdenschade en gevolgschade, de vergoeding
van koelvloeistof (koudemiddel / koudedrager) daaronder begrepen. De
verplichting tot schadevergoeding van GEA Goedhart is in ieder geval beperkt
tot het totaalbedrag van de desbetreffende order.
6. GEA Goedhart is niet tot enigerlei schadevergoeding gehouden anders dan
uit hoofde van hetgeen in dit artikel is bepaald, tenzij bij het sluiten van de
overeenkomst anders wordt overeengekomen.
7. Verdergaande aanspraken uit welke hoofde of van welke strekking ook,
waaronder begrepen vergoeding van gevolgschade en schade aan derden, zijn
uitgesloten, behoudens de aansprakelijkheid krachtens de wettelijke regeling
inzake productaansprakelijkheid. Opdrachtgever verplicht zich GEA Goedhart
te dier zake te vrijwaren.
8. Indien door enigerlei oorzaak schade is ontstaan zijn partijen verplicht zo veel
mogelijk schadebeperkende maatregelen te treffen.
Artikel 13: Garantie
1. GEA Goedhart staat in voor de deugdelijkheid van de door haar geleverde
producten alsook voor de kwaliteit van het daarvoor gebruikte en/of
geleverde materiaal. Ten aanzien van gebreken inzake de aard of de kwaliteit
der toegepaste materialen, die geheel danwel gedeeltelijk het gevolg zijn van
enig overheidsvoorschrift wordt geen garantie verstrekt. In geval van gebreken
aan de geleverde producten, ontstaan als direct gevolg van een onjuistheid in
de door GEA Goedhart ontworpen constructie danwel ten gevolge van een
gebrekkige afwerking of gebruik van slecht materiaal, is GEA Goedhart indien
opdrachtgever aantoont dat de gebreken aan de geleverde producten zich
voordoen binnen 12 maanden na ingebruikstelling van de producten doch
uiterlijk binnen 18 maanden na het moment van aflevering, verplicht tot
herlevering van de gebrekkige onderdelen. Kosten van uitbouw en inbouw
komen voor rekening van opdrachtgever. Opdrachtgever verplicht zich GEA
Goedhart onmiddellijk schriftelijk van dergelijke fouten in kennis te stellen en
de defecte goederen franco aan het adres van GEA Goedhart te retourneren
en tevens al datgene te doen opdat de schade zo veel mogelijk wordt beperkt.
De oude materialen worden na vervanging eigendom van GEA Goedhart.
De garantie vervalt zodra opdrachtgever aan het geleverde wijzigingen
heeft aangebracht c.q. heeft laten aanbrengen zonder toestemming van
GEA Goedhart danwel in strijd heeft gehandeld met de door GEA Goedhart
gegeven bedrijfs- resp. bedieningsvoorschriften.Opdrachtgever is gehouden
GEA Goedhart tot garantieverlening in staat te stellen.
2. Bij levering van gebruikte materialen of gebruikte producten in overleg met
opdrachtgever wordt geen garantie gegeven, tenzij partijen uitdrukkelijk
anders overeenkomen. Indien opdrachtgever aan GEA Goedhart producten
danwel grondstoffen ter bewerking verstrekt, wordt alleen garantie gegeven
op de deugdelijkheid van de uitvoering van de bewerking.
3. Goedhart is niet verplicht tot enige garantie indien de opdrachtgever niet
behoorlijk of niet tijdig enige verplichting welke voor hem uit de betreffende
overeenkomst voortvloeit, nakomt. Het beweerdelijk niet nakomen van enige
garantieverplichting door GEA Goedhart ontheft opdrachtgever niet van
de verplichtingen, welke voor hem uit de overeenkomst met GEA Goedhart
voortvloeien.
4. Wanneer fouten, gebreken en storingen zijn toe te schrijven aan ondeskundige
behandeling door opdrachtgever danwel zijn personeelsleden c.q. derden is
GEA Goedhart niet aansprakelijk. Dit geldt eveneens indien opdrachtgever
zijn personeel danwel derden, reparaties zonder schriftelijke toestemming van
GEA Goedhart gedurende de garantieperiode verrichten.
5. Reclame’s terzake van direct waarneembare gebreken aan producten dienen
onmiddellijk na ontvangst van de goederen schriftelijk bij GEA Goedhart te
worden ingediend, bij gebreke waarvan elke aanspraak tegen GEA Goedhart
vervalt.
Artikel 14: Geschillen en toepasselijk recht
1. Op de met opdrachtgever gesloten overeenkomst is uitsluitend het Nederlands
recht van toepassing.
2. Eventuele geschillen, welke voortvloeien uit of verband houden met de
tussen partijen gesloten overeenkomst(en) en de uitvoering daarvan, zullen
onderworpen worden aan het oordeel van de bevoegde rechter in het
Arrondissement te Middelburg tenzij GEA Goedhart de voorkeur geeft aan
een andere bevoegde rechter ter woon- of verblijfsplaats van opdrachtgever.
3. Indien een vordering tegen GEA Goedhart wordt ingesteld in een land waar
de hiervoor vermelde rechtskeuze als niet bindend wordt beschouwd, zullen
de aan bedoelde vordering ten grondslag liggende geschillen naar Nederlands
recht worden beslecht door arbitrage overeenkomstig het Reglement van het
Nederlands Arbitrage Instituut.

GENERAL CONDITIONS OF DELIVERY GEA GOEDHART B.V.

Article 1: General
1. The General Conditions set out below apply to all offers, contracts of sale and
provision of services by the private limited liability company GEA Goedhart B.V.
2. If any condition(s) specified in these General Conditions or in any agreement
entered into with these General Conditions in mind should not appear, in the
opinion of the Court, to be (legally) valid, then the other conditions specified
will remain in force unless the (legal) invalidity affects the essence of the
agreement, and the principal agrees that the condition(s) in question may be
converted to a condition(s) which is legally acceptable.
3. The principal, by the mere fact that he has placed an order with GEA Goedhart,
waives his right to use any conditions however they may be named and however
they may have been deposited. This means that only these conditions will
apply to all agreements entered into.
4. Alterations to and deviations from these General Conditions are only valid if
they have been agreed upon in writing by the parties. They will in that case
only apply to the one specific case concerned.
Article 2: Offers and agreements
1. All offers made are completely non-binding unless the offer in question states
otherwise. Each offer is based on carrying out the order under normal circumstances
and during normal working hours.
2. Orders placed with GEA Goedhart will be considered to be irrevocable unless
GEA Goedhart refuses to accept the order.
3. An agreement takes effect when the order placed has been accepted by GEA
Goedhart.
4. GEA Goedhart is bound by the obligations specified in their written confirmation
of the order; if no written confirmation is given, then GEA Goedhart will
be bound by that specified in the offer.
Article 3: Time allowed for delivery
1. GEA Goedhart will supply the products or carry out the services ordered within
the period of time specified on the order confirmation. That period of time
will be determined to the best of their ability, based on the labour conditions
prevailing at the time when the agreement was entered into, and on delivery
in good time of the materials ordered by GEA Goedhart for the work obe carried
out. GEA Goedhart agrees, if goods or services have not been delivered
or supplied within the time allowed for delivery, to notify the principal of that
fact. The principal cannot, if the time allowed for delivery has passed, claim
compensation for any damage which he may suffer because of late delivery
unless otherwise has been agreed between the parties in writing.
2. The principal is entitled, if delivery is more than 6 months late and that is due
to GEA Goedhart, bearing in mind that specified in Article 5, to terminate the
agreement entered into between the parties. If the principal should make use
of this right then he will notify GEA Goedhart of that fact as soon as possible.
The principal is, in any case, obliged to purchase from GEA Goedhart that part
of the order which is ready or which is more or less ready against payment on
a pro rata basis.
3. The time allowed for delivery will commence after the agreement has been
entered into and after all documents, information, licences and the like are
available to GEA Goedhart and/or an instalment which has been agreed upon
has been paid.
4. GEA Goedhart will, if the principal suspends the work in question, indicate a
new time for delivery, depending on the delivery time prevailing at the time
for similar products. Any extra costs incurred will be paid for by the principal.
5. Delivery will be considered to have been made when the products ordered
have been offered at the place agreed upon.
6. If an order which has been placed is carried out in instalments, then each delivery
will be considered to be a separate transaction subject to all legal onsequences.
Each partial delivery will be invoiced separately.
7. GEA Goedhart is authorised to suspend compliance with the obligations incurred
by them if, after the agreement has been entered into, circumstances
become known to them which cause them to fear that the principal will be
unable to comply with the obligations incurred by him.
Article 4: Place of delivery
Delivery will be made, unless otherwise has been agreed in writing: unpacked, exfactory/stores.
Article 5: Force majeure
1. If GEA Goedhart is unable to carry out the agreement because of circumstances
beyond their control and/or of their suppliers/sub contractors, then the obligations
incurred by GEA Goedhart will be suspended. The time allowed for
delivery will be extended by the length of time that force majeure prevailed.
Goedhart cannot be required to pay any compensation of any kind whatsoever
for damage caused.
2. The term “force majeure” as used here in this Article must be taken to mean all
circumstances which, within reason and in all fairness, would make it difficult
for GEA Goedhart to carry out the agreement in good time or part thereof.
This also includes a situation brought about by actions of third parties and
makes it impossible for GEA Goedhart to acquire information which is essential
for the agreement to be carried out, as well as, among other things: war,
danger of war, riots, revolutions, piracy, sabotage, natural disasters (storm, cyclones,
earthquakes, flooding, water damage, thunderbolts), explosions, fire,
factory breakdowns, destruction of machines and/or factory respectively other
installations, boycott, occupation of factory, walkouts, measures imposed by

government, import and export hindrances, lack of or delay in delivery of raw
materials required or ordered by GEA Goedhart, labour shortages, hold-ups
due to frost, and all other circumstances which are not the fault of or due to
actions by GEA Goedhart and which mean that GEA Goedhart cannot, within
reason, be expected to carry out the agreement entered into in good time,
whether or not those circumstances were foreseeable.
3. If delivery is delayed for more than 6 months because of force majeure, then
both GEA Goedhart and the principal are authorised to terminate the agreement
without legal intervention being required. Force majeure must be
proven. GEA Goedhart is also entitled to terminate the agreement without
legal intervention as soon as it has been established that they are, because
of circumstances beyond their control, hindered from complying with the obligations
incurred by them towards the principal. The principal is not in that
case entitled to claim compensation for damage of any kind whatsoever, and is
required to pay the costs already incurred by Goedhart, as well as take possession
of and pay for raw materials, materials and components which have been
reserved, processed and manufactured by GEA Goedhart, so that the latter
could carry out the agreement. Failure by the principal to do so will mean that
GEA Goedhart is authorised to store those items at the risk and expense of the
principal, or to sell them and collect the proceeds from that sale. If the parties
should wish to exercise their right to terminate the agreement, then they
agree to inform the other party, in writing, immediately but not later than one
week after a period of 6 months has expired respectively the moment when
GEA Goedhart has established that they cannot comply with the obligations
incurred by them. The principal is obliged in any case to purchase and pay GEA
Goedhart pro rata for that part of the order which is ready or nearly ready
Article 6: Prices
Prices charged are, unless the offer respectively the order confirmation states otherwise,
ex-factory. Prices quoted are exclusive Sales Tax and costs for containers, packaging,
transport and clearance charges.
Article 7: Transfer of risks and reservation of proprietary rights
1. Products delivered will continue to belong to GEA Goedhart until the principal
has complied with all financial obligations, including interest and costs,
incurred by him under the terms of the agreement entered into with GEA
Goedhart.
2. The principal gives GEA Goedhart irrevocable authority, without prejudice to
rights which GEA Goedhart has, if the principal does not comply with or is late
complying with financial obligations incurred by him towards GEA Goedhart,
to repossess, without legal intervention being required and the first time GEA
Goedhart so requests, the goods delivered or, if they have been attached to
any moveable property or real estate to dismantle and repossess them.
3. If the law of the country where the principal is established does not permit the
action specified in section 2 to be taken, then the principal is required, insofar
as GEA Goedhart is concerned, to respect those rights which GEA Goedhart
may appeal to and which are permitted by the laws of the country in question.
4. The principal is obliged to assist GEA Goedhart in every way possible to make
use of the rights specified in sections 2 and 3.
5. The principal is obliged, if GEA Goedhart wishes him to do so, to provide guarantees
that he will comply with the obligations incurred by him. Ownership
of the products in question will, in that case, only be transferred after such
guarantees have been given.
6. Products are, notwithstanding the reservation of proprietary rights, for the
account and risk of the principal from the moment when delivery has taken
place.
Article 8: Dispatch
1. Goods are dispatched at the expense and risk of the principal unless otherwise
has been agreed in writing. GEA Goedhart is authorised, unless the principal
has given instructions about the way in which goods are to be dispatched, to
determine the method of transport to be used.
2. Goods will only be insured by GEA Goedhart against damage and the like during
transportation if the principal explicitly requests and pays for that insurance.
3. If the principal fails to collect the finished products and/or products which are
to be delivered, or to accept products, then GEA Goedhart may:
• store the products in question at the expense and risk of the principal,
and recover the extra costs incurred for that as well as compensation for
damage suffered by GEA Goedhart from the principal. Products will in
that case be considered to have been delivered, or
• declare the agreement terminated, without further notice of default being
required to be given and without legal intervention being necessary,
and recover costs incurred by them because of this and compensation for
damage suffered from the principal.
Article 9: Drawings and models
1. Drawings, designs, models, schedules, copyrights, trademarks and patents,
software and the like will continue to belong to GEA Goedhart and may not,
without written permission from GEA Goedhart to do so, be copied in full or in
part, imitated or given to third parties, and third parties may not examine the
items referred to above. The principal cannot claim any rights associated with
the above, or with regard to measurements and weights stated, unless GEA
Goedhart has explicitly stated otherwise in the order confirmation.
2. All rights established and associated with designs, illustrations, drawings,
models etc. (including copyrights) are reserved and must be honoured. GEA
Goedhart guarantees that the software provided by them does not infringe
any of the rights valid in The Netherlands concerning intellectual ownership
by third parties and that use of that software, in another way, is not an unlawful
act towards third parties. GEA Goedhart indemnifies the principal against
claims made by third parties in that respect.

3. The principal accepts all responsibility, if goods are manufactured according
to drawings, models or other instructions given by the principal, that
manufacture and/or delivery of the product in question does not infringe
any trademarks, patents or similar rights belonging to third parties. If third
parties should lodge a complaint(s), which is(are) based on any right(s) which
they claim to have, about the manufacture and/or delivery of the product in
question, then GEA Goedhart is authorised to cease manufacture and/or delivery
immediately, without being required to pay compensation of any kind
whatsoever to the principal and/or third parties. GEA Goedhart will notify the
principal immediately about this. GEA Goedhart will in that case be entitled to
claim compensation for the costs incurred by them without prejudice to their
right to claim full compensation for damage suffered. The principal indemnifies
GEA Goedhart against any claims which third parties may make about this.
Article 10: Payment
1. The principal must pay GEA Goedhart, without any deduction and/or discount
of any kind whatsoever, within 30 days after the date shown on the invoice
unless otherwise agreed in writing. A payment will be considered to have been
received by GEA Goedhart as soon as the amount owed has been credited to
one of their accounts.
2. Any claims which may be made under the terms of a guarantee given do not
entitle the principal to suspend his obligation to pay.
3. The principal will, if payment is not made respectively is not made in good
time, be considered to be in default by the mere fact that the period of time
allowed for payment has passed. No summons or notice of default is required
to be given. Interest equal to the rate of interest which may be charged by law
plus 1% will be charged on the amount owed, and will become payable by the
principal with effect from the moment when the payment should have been
made to GEA Goedhart.
4. The principal will be required to pay the extra-judicial costs incurred for collec
tion of debts owed, including the costs incurred by those parties whom GEA
Goedhart has instructed to collect the debt owed (among other things the
costs incurred by the bailiff, debt collection agency, advocate). Extra-judicial
costs incurred for collection of debts owed will amount to at least 15% of the
amount owed, with a minimum of € 350,=. Goedhart will not be required to
prove that those costs have been incurred. GEA Goedhart may, if payment is
too late, also charge the principal for fluctuations in the rates of exchange with
effect from the date on which payment was due.
5. If the principal fails to comply with the obligations incurred by him to pay,
then the total amount owed to GEA Goedhart for the purchase price will become
payable on demand until the total amount, whatever the state of the
work may be, and GEA Goedhart may require that amount to be paid on demand
and suspend the orders given by the principal until full payment has
been made.
6. Payments made to GEA Goedhart will be applied in the first instance to reduction
of the costs, then the interest and after that the principal amount owed.
Article 11: Dissolution
1. If the principal fails to comply with or is late complying with or does not comply
satisfactorily with one or more of the obligations incurred by him under
the terms of the agreement, or becomes deceased, is declared bankrupt or
applies for suspension of payments, liquidates his company, is placed under
legal control, or all or some of his products are seized or if he should appear to
be insolvent in any other way then GEA Goedhart is entitled to terminate the
agreement unilaterally with regard to that part of the agreement which has
not yet been carried out. No legal intervention will be required; GEA Goedhart
may repossess products which have been delivered but not yet paid for, or GEA
Goedhart may suspend carrying out the agreement for a maximum period of
6 months.
2. Each claim made against the principal in respect of all the cases referred to
above is payable on demand and GEA Goedhart is authorised to recover compensation
from the principal with regard to carrying out the agreement. That
compensation is fixed at 50% of the price agreed, without prejudice to the
rights of GEA Goedhart to claim full compensation for damage suffered.
3. The principal agrees to indemnify GEA Goedhart against claims made by third
parties because the agreement was terminated.
4. GEA Goedhart is bound by statements made by them about capacity, performance
and results concerning products to be delivered by them if that has
been agreed in writing. Minor deviations from the usual or reasonable tolerances
do not entitle the principal to make a complaint, reject goods or require
replacement or to make a statement about termination of the agreement and/
or compensation for damage caused.
Article 12: Liability
1. GEA Goedhart accept the liability imposed upon them by law for damage
caused by a defect in their products unless:
• they did not place the product on the market;
• the defect which caused the damage did not exist at the time when GEA
Goedhart placed the product on the market or that defect was caused
later;
• it was impossible, because of technical knowledge available at the time,
to discover the defect;
• the principal has prescribed or provided certain materials and/or constructions.
2. GEA Goedhart cannot be held liable for components supplied by GEA Goedhart
which are used in a product which is not marketed by GEA Goedhart as a
finished product. The principal is required, if product damage should occur, to
approach the manufacture directly. GEA Goedhart agrees to provide all possible
information which may be required.
3. GEA Goedhart cannot be held liable for damage, whatever it may be called,

caused to products belonging to the principal and caused by the work ordered,
carried out by GEA Goedhart employees and persons not employed by GEA
Goedhart, unless there is talk of deliberate damage and/or gross negligence.
This exclusion of liability does not only apply to the principal and his employees
but also to third parties. The principal indemnifies GEA Goedhart in this matter
against eventual claims which may be made by third parties.
4. GEA Goedhart cannot be held liable in any way whatsoever for damage to or
loss of materials made available by the principal. Costs incurred for transportation
of such materials to GEA Goedhart will be for the account and risk of the
principal.
5. Compensation shall in the first instance take place in the form of repair of
the product supplied. If in GEA Goedhart’s opinion repair is not possible or
economically not justified, compensation of the damage suffered shall be effected
by financial indemnification. GEA Goedhart shall not be liable for thirdparty
damage and consequential damage, including the compensation for
cooling liquid (primary refrigerant / refrigerating medium). GEA Goedhart’s
obligation to pay compensation shall in any case be limited to the total amount
of the order in question.
6. GEA Goedhart cannot be held liable in any way whatsoever, other than that
which is specified in this Article, unless otherwise was agreed in writing when
the agreement was entered into.
7. Far-reaching claims of any kind whatsoever or for any reason whatsoever are,
except for product liability which is required by law, also excluded. That includes
payment of compensation for consequential damage and damage
caused to third parties. The principal agrees to indemnify GEA Goedhart
against the above.
8. If damage is caused, for any reason whatsoever, then the parties are obliged to
take measures which will limit that damage as far as possible.
Article 13: Guarantee
1. GEA Goedhart guarantees the good quality of products supplied by them as
well as the quality of the materials used and/or delivered for that purpose. No
guarantee is given for defects in the nature or the quality of materials used, if
those defects are due either in full or in part to any governmental requirement
of any kind. Should flaws or deficiencies be discovered in the products supplied
as a direct result of their construction as designed by GEA Goedhart or due
to faulty workmanship or the use of inferior materials, GEA Goedhart will be
obliged to replace the faulty parts, provided that the client can establish that
the faults in the delivered products occurred within a 12 month period of product
use, or at the latest within 18 months after the time of delivery. The costs
involved in extension and installation are for the client’s account. The principal
agrees to notify GEA Goedhart immediately in writing of any such faults and
to return the defective goods post-paid to the address of GEA Goedhart, and
to do everything possible to limit the damage. Old material will belong to GEA
Goedhart after replacement.
2. The guarantee is no longer valid as soon as the principal has made alterations
to the goods delivered respectively has had alterations made without permission
from GEA Goedhart to do so or if the principal has acted contrary to that
which is specified in the business or operating instructions supplied by GEA
Goedhart. The principal is required to enable GEA Goedhart to carry out the
guarantee.
3. No guarantee is given for the delivery of materials or products used in consultation
with the principal unless the parties have explicitly agreed otherwise.
If the principal makes products or raw materials available to GEA Goedhart
for processing then a guarantee will only be given on the good quality of the
processing.
4. GEA Goedhart is not obliged to give any guarantee of any kind if the principal
does not comply with or does not comply satisfactorily with or is late
complying with any obligation incurred by him under the terms of the agreement
concerned. Alleged non-compliance by GEA Goedhart with obligations
incurred by them does not release the principal from complying with the obligations
incurred by him under the terms of the agreement entered into with
GEA Goedhart.
5. GEA Goedhart cannot be held liable if errors, defects and breakdowns may be
attributed to inexpert handling by the principal or his employees respectively
third parties. This also applies if the principal, his employees or third parties
carry out repairs during the lifetime of the guarantee without written permission
from GEA Goedhart to do so.
6. Complaints about defects which are directly visible in products must be submitted
to GEA Goedhart in writing immediately after receipt of the goods in
question. Failure to do so will render every claim against GEA Goedhart null
and void.
Article 14: Disputes and legislation applicable
1. Agreements entered into with the principal are subject only to the laws of
The Netherlands. On the grounds of article 6 of the United Nations Charter,
regarding international sales agreements for moveable property (Vienna Sales
Treaty), the application of this treaty is explicitly barred.
2. Any disputes which may arise from or in connection with an agreement(s) entered
into between the parties and the performance thereof will be submitted
to the District Court in Middelburg, which is competent to deal with the
dispute, unless GEA Goedhart prefers to submit the dispute to another Court
which is competent in the principal’s place of residence.
3. If a claim is made against GEA Goedhart in a country where the choice of legislation
referred to above is not considered binding, then the claim meant and
which is the subject of the dispute will be settled according to Dutch law by
arbitration, in accordance with that specified in the Regulations of the Dutch
Institute of Arbitration (Nederlands Arbitrage Instituut).

§ 1: Allgemeines
1. Die nachstehenden allgemeinen Bedingungen finden Anwendung auf alle Offerten,
Verkaufsverträge und Dienstleistungen der Gesellschaft mit beschränkter Haftung
niederländischen Rechts ‘GEA Goedhart B.V.’
2. Falls irgendwelche Bestimmung(en) dieser allgemeinen Bedingungen oder eines unter
Berücksichtigung dieser allgemeinen Bedingungen geschlossenen Vertrages sich, nach
richterlicher Ansicht als nicht (rechts)gültig herausstellen sollte(n), bleiben die übrigen
Bestimmungen ungeschmälert in Kraft, es sei denn, die (Rechts-) Ungültigkeit berührt
das Wesen des Vertrages und der Auftraggeber erklärt sich damit einverstanden, daß
die betreffende(n) Bestimmung(en) in (eine) rechtens akzeptable Bestimmung(en)
umgewandelt wird/werden.
3. Durch die alleinige Tatsache der Erteilung eines Auftrages an GEA Goedhart verzichtet
der Auftraggeber auf allfällige, seinerseits bestehende Bedingungen, wie auch immer
geheißen und auf welche Art und Weise auch immer hinterlegt, so daß auf alle Verträge
ausschließlich die nachstehenden Bedingungen anwendbar sind.
4. Änderungen dieser und Abweichungen von diesen allgemeinen Bedingungen gelten
nur, wenn diese schriftlich zwischen den Parteien vereinbart worden sind. Sie gelten
dann lediglich für den einen spezifischen Fall, auf den sie sich beziehen.
§ 2: Angebote und Verträge
1. Alle Angebote sind völlig unverbindlich, es sei denn, es ist ausdrücklich etwas anderes
vereinbart worden. Jedes Angebot basiert auf der Ausführung des Auftrages unter
üblichen Umständen und während der bei GEA Goedhart geltenden Arbeitszeiten.
2. Aufträge an GEA Goedhart gelten als unwiderrufliche Angebote, solange der Auftrag
nicht von GEA Goedhart geweigert worden ist.
3. Ein Vertrag kommt zustande durch die Annahme des erteilten Auftrages durch GEA
Goedhart.
4. Für die Verpflichtungen von GEA Goedhart ist der Inhalt ihrer schriftlichen Auftragsbestätigung
verbindlich und in Ermangelung dessen die Offerte.
§ 3: Lieferzeit
1. GEA Goedhart wird die Produkte liefern, beziehungsweise aufgetragene Dienste
leisten innerhalb der auf der Auftragsbestätigung angegebenen Frist. Diese Frist ist
nach besten Kräften bestimmt worden und basiert auf zum Zeitpunkt des Vertragsabschlusses
geltenden Arbeitsumständen und auf rechtzeitiger Lieferung der für die Ausführung
der Arbeit durch GEA Goedhart bestellten Materialien. Bei Überschreitung
der Lieferzeit verpflichtet GEA Goedhart sich, den Auftraggeber davon in Kenntnis
zu setzen. Der Auftraggeber kann, wenn die Lieferzeit überschritten wird, keinen
Anspruch auf Ersatz eventuell erlittenen Schadens machen, es sei denn, zwischen den
Parteien ist schriftlich etwas anderes vereinbart worden.
2. Überschreitung einer Lieferzeit durch Dazutun von GEA Goedhart um mehr als 6
Monate, gewährt, unter Berücksichtigung der Bestimmungen des § 5, dem Auftraggeber
das Recht, den Vertrag zwischen den Parteien aufzulösen. Wenn der Auftraggeber
von diesem Recht Gebrauch macht, setzt er GEA Goedhart darüber möglichst bald in
Kenntnis. Auf jeden Fall ist der Auftraggeber gehalten, jenen Teil der Order, der fertig
oder nahezu fertig ist, gegen verhältnismäßige Zahlung von GEA Goedhart abzunehmen.
3. Die Lieferzeit fängt nach dem Zustandekommen des Vertrages an und nachdem GEA
Goedhart die Verfügung über alle für die Ausführung des Auftrages erforderlichen
Unterlagen, Daten und Angaben, Genehmigungen u.ä. und/oder die Bezahlung einer
vereinbarten Zahlungsrate erhalten hat.
4. Nach Aufschub der Arbeit durch den Auftraggeber wird GEA Goedhart eine neue Lieferzeit
angeben, abhängig von der dann geltenden Lieferzeit für gleichartige Produkte.
Allfällige zusätzliche Kosten entfallen auf den Auftraggeber.
5. Lieferung wird erachtet, zustande gekommen zu sein beim Anerbieten der Produkte
an der vereinbarten Stelle.
6. Wenn die Ausführung eines Auftrages durch die Lieferung in Teilen erfolgt, wird jede
Ablieferung als eine Einzeltransaktion mit allen Rechtsfolgen betrachtet werden. Jede
Teillieferung wird einzeln fakturiert.
7. GEA Goedhart ist befugt, die Einhaltung ihrer Verpflichtungen auszusetzen, wenn
nach dem Abschluß des Vertrages zu ihrer Kenntnis gelangte Umstände, sie befürchten
lassen müssen, daß der Auftraggeber seinerseits seinen Verpflichtungen nicht wird
nachkommen können.
§ 4: Erfüllungsort
Wenn nicht schriftlich etwas anderes vereinbart worden ist, erfolgt die Lieferung:
unverpackt, ab Werk/Lager.
§ 5: Höhere Gewalt
1. Wenn die Ausführung des Vertrages durch höhere Gewalt seitens GEA Goedhart und/
oder ihrer Zulieferer/ Unterlieferanten behindert wird, werden die Verpflichtungen
von GEA Goedhart ausgesetzt werden. Die Lieferzeit wird um die Zeitdauer der Verzögerung
durch die höhere Gewalt verlängert werden, ohne daß GEA Goedhart zur
Vergütung irgendwelchen Schadens gehalten ist.
2. Unter höherer Gewalt im Sinne dieses Paragraphen werden verstanden: alle Umstände,
durch welche nach den Regeln der Angemessenheit und Billigkeit die Erfüllung oder
die rechtzeitige Erfüllung des Vertrages oder eines Teils davon nicht von GEA Goedhart
gefordert werden kann. Darunter wird auch begriffen die Situation, die sich dadurch
ergibt, daß es sich durch das Dazutun Dritter für GEA Goedhart als unmöglich herausstellt,
die für die Erfüllung des Vertrages wesentlichen Informationen von Dritten zu
bekommen, sowie u.a. Krieg, Kriegsgefahr, Wirren, Revolutionen, Piraterie, Sabotage,
Naturkatastrophen (Sturm, Zyklone, Erdbeben, Überflutungen, Wasserschaden,
Blitzschlag), Explosionen, Brand, Betriebsstörnis, Zerstörung von Maschinen und/oder

der Fabrik, bzw. von sonstigen Anlagen, Boykotts, Betriebsbesetzung, Arbeitsunterbrechung,
behördliche Maßnahmen, Ein- und Ausfuhrbehinderungen, Mangel an oder
Verzug der Lieferung von von GEA Goedhart benötigten oder bestellten Grundstoffen,
Materialien oder Teilen, Störungen in der Lieferung von Energie, Mangel an Arbeitskräften,
Stagnation durch frostbedingten Arbeitsausfall und alle sonstigen Umstände
außerhalb der Schuld oder des Dazutuns von GEA Goedhart, durch welche die rechtzeitige
Erfüllung des Vertrages in aller Angemessenheit nicht von GEA Goedhart gefordert
werden kann, gleichgültig, ob diese Umstände vorhersehbar waren oder nicht.
3. Wenn durch höhere Gewalt die Lieferung um mehr als 6 Monate verzögert wird, sind
sowohl GEA Goedhart als der Auftraggeber berechtigt, den Vertrag ohne richterliche
Vermittlung aufzulösen. Höhere Gewalt soll nachgewiesen werden. GEA Goedhart hat
zugleich das Recht, den Vertrag ohne richterliche Vermittlung aufzulösen, sobald feststeht,
daß sie infolge höherer Gewalt nachhaltig behindert wird, ihren Verpflichtungen
dem Auftraggeber gegenüber nachzukommen. Der Auftraggeber hat in diesen Fällen
keinen Anspruch auf Ersatz irgendwelchen Schadens und ist gehalten, die schon auf
Seiten der GEA Goedhart angefallenen Kosten zu vergüten, sowie die zur Ausführung
des Vertrages reservierten, in Bearbeitung genommenen und hergestellten Grundstoffe,
Materialien und Teile der GEA Goedhart an sich zu nehmen und an GEA Goedhart
zu bezahlen, in Ermangelung wovon GEA Goedhart berechtigt ist, diese Sachen
auf Rechnung und Gefahr des Auftraggebers zu lagern, oder für seine Rechnung zu
verkaufen. Wenn die Parteien von ihrem Recht auf Auflösung des Vertrages Gebrauch
machen möchten, verpflichten sie sich, die jeweilige andere Partei diesbezüglich unmittelbar
aber auf jeden Fall binnen einer Woche nach Ablauf der Frist von 6 Monaten
bzw. nach dem Augenblick, an dem es für GEA Goedhart feststeht, daß sie nicht ihre
Verpflichtungen erfüllen kann, schriftlich in Kenntnis zu setzen. Auf jeden Fall ist der
Auftraggeber verpflichtet, jenen Teil der Order, der fertig oder nahezu fertig ist, gegen
verhältnismäßige Bezahlung von der GEA Goedhart abzunehmen.
§ 6: Preise
Wenn aus der Offerte, bzw. aus der Auftragsbestätigung nichts anderes hervorgeht, gelten
die Preise ab Werk. Die Preise verstehen sich zuzüglich der Umsatzsteuer und der Emballage-,
Verpackungs-, Transport- und Verzollungskosten.
§ 7: Eigentumsvorbehalt
1. Gelieferte Produkte bleiben Eigentum der GEA Goedhart bis der Auftraggeber seine
Finanzverpflichtungen in Sachen des zwischen den Parteien geschlossenen Vertrages,
einschließlich Zinsen und Kosten, gegenüber GEA Goedhart erfüllt hat.
2. Unbeschadet der GEA Goedhart zustehenden Rechte, wird GEA Goedhart unwiderruflich
vom Auftraggeber dazu ermächtigt, wenn dieser seinen GEA Goedhart gegenüber
eingegangenen Zahlungsverpflichtungen nicht oder nicht rechtzeitig nachkommt,
ohne richterliche Vermittlung, die von ihr gelieferten Güter auf erste Forderung an
sich zu nehmen oder, wenn diese an irgendwelcher Mobilie oder Immobilie befestigt
worden sind, zu demontieren und an sich zu nehmen.
3. Wenn das Gesetz des Landes des Auftraggebers sich der Anwendung des zu Absatz 2
Erwähnten widersetzt, ist der Auftraggeber gehalten, gegenüber GEA Goedhart jene
Rechte zu respektieren, die von GEA Goedhart angesichts des betreffenden Rechtssystems
wohl geltend gemacht werden können.
4. Der Auftraggeber ist gehalten, GEA Goedhart allen Beistand zu gewähren, der nötig
ist, um die in den Absätzen 2 und 3 genannten Rechte zu effektuieren.
5. Der Auftraggeber ist, wenn GEA Goedhart dies fordert, gehalten, Sicherheiten bereitzustellen
für die Erfüllung ihrer Verpflichtungen. In diesem Fall geht das Eigentum der
Produkte über, nachdem eine taugliche Sicherheit bereitgestellt worden ist.
6. Ungeachtet des Eigentumsvorbehaltes sind die Produkte ab dem Augenblick der Lieferung
für Rechnung und Risiko des Auftraggebers.
§ 8: Verschickung
1. Verschickung erfolgt auf Rechnung und Gefahr des Auftraggebers wenn nicht schriftlich
etwas anderes vereinbart worden ist. Wenn der Auftraggeber keine Anweisungen
für den Transport erteilt hat, ist GEA Goedhart berechtigt, die Art und Weise des Transportes
selbst zu bestimmen.
2. Transportversicherung durch Vermittlung von GEA Goedhart erfolgt nur auf ausdrückliche
Bitte und für Rechnung des Auftraggebers.
3. Wenn der Auftraggeber in Verzug bleibt, die hergestellten und/oder abzuliefernden
Produkte abzuholen oder entgegenzunehmen, steht es der GEA Goedhart frei, entweder
• die Produkte auf Rechnung und Gefahr des Auftraggebers zu lagern und sich
für die ihr daraus entstandenen zusätzlichen Kosten und Schäden an dem
Auftraggeber schadlos zuhalten. Die Produkte werden alsdann erachtet, geliefert
worden zu sein, oder
• den Vertrag ohne nähere Inverzugsetzung und ohne daß dafür eine richterliche
Vermittlung erforderlich sein wird, für aufgelöst zu erklären und sich für die bei
ihr dadurch angefallenen Kosten und erlittenen Schäden an dem Auftraggeber
schadlos zu halten.
§ 9: Zeichnungen, Modelle und Muster
1. Zeichnungen, Entwürfe, Modelle und Muster, Schemata, Urheberrechte, Warenzeichen
und Patente, Software u.ä. bleiben das Eigentum von GEA Goedhart und dürfen
ohne ihre schriftliche Zustimmung nicht ganz oder teilweise kopiert, nachgeahmt
oder Dritten ausgehändigt, beziehungsweise zur Einsichtnahme gegeben werden. Der
Auftraggeber kann darauf nicht irgendwelche Rechte gründen, es sei denn, es ist ausdrücklich
etwas anderes von GEA Goedhart in der Auftragsbestätigung angegeben
worden, und auch nicht auf Maßen und Gewichtsangaben.
2. Alle bezüglich Entwürfe, Abbildungen, Zeichnungen, Modelle, Muster etc. begründeten
Rechte (darunter Urheberrechte) werden vorbehalten und sind zu respektieren.
GEA Goedhart gewährleistet, daß die von ihr erteilte Software nicht gegen
irgendwelches in den Niederlanden geltende geistige Eigentumsrecht Dritter verstößt
und deren Benutzung auch anderswie nicht unrechtmäßig gegenüber Dritten ist. Sie
schützt den Auftraggeber vor diesbezüglichen Ansprüchen Dritter.
3. Im Falle der Herstellung anhand von Zeichnungen, Modellen, Mustern oder sonstigen
Anweisungen des Auftraggebers, übernimmt dieser die volle Verantwortung, daß
durch die Herstellung und/oder Lieferung des Produktes kein Warenzeichen, Patent

oder gleichartiges Recht Dritter verletzt wird.Wenn Dritte sich aufgrund irgendwelchen
angeblichen Rechtes, gegen die Herstellung und/oder Lieferung des betreffenden
Produktes beschwerden, ist GEA Goedhart berechtigt, sofort die Herstellung und/
oder die Lieferung einzustellen, ohne zu irgendwelchem Schadensersatz gegenüber
dem Auftraggeber und/oder Dritten gegenüber gehalten zu sein. GEA Goedhart wird
den Auftraggeber unmittelbar diesbezüglich informieren. GEA Goedhart hat alsdann
Anspruch auf Vergütung der ihr entstandenen Kosten, unbeschadet ihres Anspruchs
auf vollständigen Schadensersatz. Der Auftraggeber schützt GEA Goedhart vor allfälligen
Ansprüchen Dritter ihr gegenüber.
§ 10:Bezahlung
1. Bezahlung soll ohne jeden Abzug und/oder Verrechnung durch den Auftraggeber binnen
30 Tagen nach dem Rechnungsdatum erfolgen an GEA Goedhart, es sei denn,
schriftlich ist etwas anderes vereinbart worden. Eine Bezahlung wird von GEA Goedhart
als erhalten betrachtet, sobald der zu bezahlende Betrag einem ihrer Konten gutgeschrieben
worden ist.
2. Allfällige Garantieansprüche setzen die Zahlungsverpflichtungen des Auftraggebers
nicht aus.
3. Bei Nichtzahlung bzw. nichtfristgerechtiger Zahlung wird der Auftraggeber in Verzug
sein durch den alleinigen Ablauf der Frist, ohne daß irgendwelche Mahnung oder Inverzugsetzung
erforderlich wäre. Ab dem Augenblick, an dem die Bezahlung hätte
erfolgen müssen, schuldet der Auftraggeber über das, was er GEA Goedhart zu zahlen
hat, Zinsen in Höhe der gesetzlichenm Zinsen zuzüglich 1%.
4. Die in Sachen der Einkassierung anfallenden außergerichtlichen Kosten, darunter begriffen
die Kosten desjenigen, den GEA Goedhart mit der Einkassierung beauftragt hat
(u.a Kosten für den Gerichtsvollzieher,Inkassobüro, Rechtsanwalt) entfallen ganz auf
den Auftraggeber. Die außergerichtlichen Inkassospesen belaufen sich auf mindestens
15% des zu fordernden Betrages mit einem Mindestbetrag von €350,= ohne daß GEA
Goedhart nachweisen muß, daß diese Kosten angefallen sind. Bei zu später Bezahlung
kann GEA Goedhart auch die Kursänderungen, gerechnet ab dem Fälligkeitstag,
weitergeben.
5. Wenn der Auftraggeber nicht seiner Bezahlungsverpflichtung nachkommt, wird die
vollständige, an GEA Goedhart zu bezahlende Kaufsumme sofort fällig zum vollständigen
Betrag, ungeachtet der Phase, in der die Arbeit sich befindet, und kann GEA
Goedhart deren unverzügliche Bezahlung fordern und die in Auftrag genommenen
Aufträge aussetzen bis die vollständige Bezahlung erfolgt ist.
6. Bezahlungen an GEA Goedhart dienen zunächst zur Minderung der Kosten, dann der
Zinsen und dann der Hauptsumme.
§ 11:Auflösung
1. Wenn der Auftraggeber einer oder mehreren seiner Verpflichtungen nicht, nichtfristgerecht
oder nicht ordentlich nachkommt, stirbt, der Konkurs über ihn verhängt wird,
oder er gerichtlichen Zahlungsaufschub beantragt, zur Liquidation seines Betriebes
übergeht, unter Vormundschaft gestellt wird, seine Produkte ganz oder teilweise
beschlagnahmt werden oder er sich anderswie als zahlungsunfähig erweist, ist GEA
Goedhart berechtigt, den Vertrag über den noch nicht ausgeführten Teil einseitig aufzulösen,
ohne daß irgendwelche richterliche Vermittlung dazu erforderlich wäre und
die gelieferten noch nicht bezahlten Produkte zurückzufordern, oder die Ausführung
des Vertrages für die Dauer von maximal 6 Monaten auszusetzen.
2. In all diesen Fällen ist jede Forderung an den Auftraggeber sofort und auf einmal fällig,
und ist GEA Goedhart befugt, sich für den in Ausführung des Vertrages von ihr
erlittenen Schaden an den Auftraggeber schadlos zu halten. Dieser Schaden wird festgesetzt
auf 50% des vereinbarten Preises, unbeschadet des Rechtes von GEA Goedhart,
vollständigen Schadensersatz zu fordern.
3. Der Auftraggeber verpflichtet sich, GEA Goedhart vor Forderungen Dritter infolge der
Auflösung des Vertrages zu schützen.
4. Von GEA Goedhart gemachte Angaben über Kapazitäten, Leistungen und Ergebnisse
der von ihr zu liefernden Produkte sind für GEA Goedhart verbindlich, wenn dies
schriftlich vereinbart worden ist. Geringfügige Abweichungen mit den üblichen und
vertretbaren Toleranzen gewähren dem Auftraggeber keinen Anspruch auf Mängelrüge,
Untauglichbefund, Ersatz oder Aufgelösterklärung des Vertrages
und/oder Schadensersatz.
§ 12:Haftung
1. GEA Goedhart übernimmt ihre Haftpflicht für durch einen Fehler ihres Produktes verursachten
Schaden, es sei denn:
• sie hat das Produkt nicht in den Verkehr gebracht
• der Fehler, der den Schaden verursacht hat, bestand nicht zum Zeitpunkt, da
GEA Goedhart das Produkt in den Verkehr gebracht hat, oder daß sich dieser
Fehler später ergeben hat
• der Fehler ist die Folge der Einhaltung zwingender behördlicher Maßnahmen
• der Auftraggeber hat bestimmte Materialien und/oder Konstruktionen vorgeschrieben
oder erteilt.
2. Für von GEA Goedhart gelieferte Teile eines Produktes, das nicht als Endprodukt von
GEA Goedhart in den Verkehr gebracht worden ist, kann GEA Goedhart nicht haftbar
gemacht werden. Der Auftraggeber soll sich, falls sich ein Produktschaden ereignet,
direkt an den Fabrikanten wenden. GEA Goedhart verpflichtet sich, alle möglichen
Informationen zu verschaffen.
3. GEA Goedhart kann nicht haftbar gemacht werden für Schaden, welchen Namens
auch immer, an Produkten des Auftraggebers, entstanden infolge der Ausführung der
ihr aufgetragenen Arbeiten durch ihre Untergeordneten und Nichtuntergeordneten, es
sei denn, es liegt Absicht und/oder grobe Fahrlässigkeit vor. Dieser aftungsausschluß
gilt nicht nur gegenüber dem Auftraggeber und dessen Personal sondern auch Dritten
gegenüber. Der Auftraggeber schützt GEA Goedhart diesbezüglich vor allfälligen
Ansprüchen Dritter.
4. Für Beschädigung oder Verlust von durch den Auftraggeber zur Verfügung gestellten
Materialien ist jede Haftung von GEA Goedhart ausgeschlossen. Die Kosten des Transportes
solcher Materialien zu GEA Goedhart gehen ganz auf Rechnung und Gefahr
des Auftraggebers.
5. Schadenersatz erfolgt zunächst, indem das gelieferte Produkt ausgebessert wird. Sollte

Reparaturarbeiten nach Ansicht von GEA Goedhart nicht möglich oder wirtschaftlich
nicht zu vertreten sein, so erfolgt Schadenersatz in Form einer finanziellen Entschädigung.
GEA Goedhart haftet nicht für Drittschaden und Folgeschaden einschließlich der
VergütungderKühlflüssigkeit(Kältemittel / Kälteträger). Die Schadenersatzpflicht von
GEA Goedhart ist auf jeden Fall auf den Gesamtbetrag des diesbezüglichen Auftrags
beschränkt.
6. GEA Goedhart ist nicht zu irgendwelchem anderen Schadensersatz gehalten, als aufgrund
dessen, was in diesem Paragraphen bestimmt worden ist, es sei denn, beim
Abschluß des Vertrages wird etwas anderes vereinbart.
7. Weiterführende Ansprüche aus welchem Grunde oder zu welchem Zweck auch immer,
darunter begriffen die Vergütung von Folgeschäden und Schäden an Dritten,
sind ausgeschlossen, vorbehaltlich der Haftung kraft gesetzlicher Regelung in Sachen
Produkthaftung. Der Auftraggeber verpflichtet sich, GEA Goedhart diesbezüglich zu
schützen.
8. Wenn sich durch irgendwelche Ursache Schaden ergeben hat, sind die Parteien verpflichtet,
soviel wie möglich schadenseinschränkende Maßnahmen zu treffen.
§ 13: Garantie
1. GEA Goedhart steht ein für die Tauglichkeit der von ihr gelieferten Produkte wie auch
für die Qualität des dafür verwendeten und/oder gelieferten Materials. Hinsichtlich
Fehler und Mängel in Sachen der Art oder der Qualität der angewandten Materialien,
die ganz oder teilweise die Folge irgendwelcher behördlichen Vorschrift sind, wird
keine Garantie geleistet. Bei Mängeln an den gelieferten Produkten, die auf Fehler
in der von GEA Goedhart entworfenen Konstruktion, auf eine mangelhafte Ausführung
oder der Verwendung schlechten Materials zurückzuführen sind, ist, falls der
Auftraggeber beweisen kann, dass innerhalb von 12 Monaten nach Inbetriebnahme
der Produkte, spätestens jedoch innerhalb von 18 Monaten nach Lieferdatum, Mängel
an den gelieferten Produkten auftreten, GEA Goedhart zur Lieferung der fehlerhaften
Zubehörteile verpflichtet. Ein- und Ausbaukosten gehen zu Lasten des Auftraggebers.
Der Auftraggeber verpflichtet sich, GEA Goedhart unverzüglich schriftlich über solche
Mängel in Kenntnis zu setzen und die defekten Güter franko an die Adresse der GEA
Goedhart zurückzuschicken und zugleich alles zu machen, damit der Schaden soviel
wie möglich eingeschränkt wird. Die alten Materialien werden nach Ersatz Eigentum
von GEA Goedhart. Die Garantie verfällt, sobald der Auftraggeber, ohne Zustimmung
von GEA Goedhart, an dem Gelieferten Änderungen vorgenommen hat, bzw. hat
vornehmen lassen, oder im Widerstreit mit den von GEA Goedhart erteilten Betriebs-,
bzw. Bedienungsvorschriften gehandelt hat. Der Auftraggeber ist gehalten, GEA
Goedhart die Garantieleistung zu ermöglichen.
2. Bei Lieferung von benutzten Materialien oder benutzten Produkten in Abstimmung
mit dem Auftraggeber, wird keine Garantie gewährt, es sei denn, die Parteien vereinbaren
ausdrücklich etwas anderes. Wenn der Auftraggeber an GEA Goedhart Produkte
oder Grundstoffe zur Bearbeitung erteilt hat, wird nur Garantie an der Tauglichkeit
der Ausführung der Bearbeitung gewährt.No guarantee is given for the delivery of
materials or products used in consultation with the principal unless the parties have
explicitly agreed otherwise. If the principal makes products or raw materials available
to GEA Goedhart for processing then a guarantee will only be given on the good quality
of the processing.
3. GEA Goedhart ist nicht verpflichtet, irgendwelche Garantie zu leisten, wenn der
Auftraggeber nicht, nicht ordentlich oder nicht fristgerecht irgendwelcher Verpflichtung,
welche für ihn aus dem betreffenden Vertrag hervorgeht, nachkommt. Die
behauptete Nichteinhaltung irgendwelcher Garantieverpflichtung durch GEA Goedhart,
befreit den Auftraggeber nicht von den Verpflichtungen, welche für ihn aus dem
Vertrag mit GEA Goedhart hervorgehen.
4. Wenn Fehler, Mängel und Störungen unsachgemäßer Handhabung durch den
Auftraggeber oder dessen Mitarbeiter bzw. Dritte zuzuschreiben sind, ist GEA Goedhart
nicht haftbar. Diesgilt ebenfalls, wenn der Auftraggeber, dessen Personal oder
Dritte ohne schriftliche Zustimmung von GEA Goedhart während der Garantieperiode
Reparaturen verrichten.
5. Mängelrügen in Sachen direkt wahrnehmbarer Mängel an Produkten sind sofort nach
Erhalt der Güter schriftlich bei GEA Goedhart einzureichen, in Ermangelung wovon
jeder Anspruch gegen GEA Goedhart hinfällig wird.
§ 14: Streitfälle und anwendbares Recht
1. Die mit dem Auftraggeber geschlossenen Verträge unterstehen dem niederländischen
Recht. Aufgrund Paragraph 6 der Vertrages der Vereinten Nationen in der Sache
Kaufverträge bezüglich bewegliche Sachen (Wiener Kaufvertrag), wird die Anwendung
dieses Vertrages ausdrücklich ausgeschlossen.
2. Allfällige Streitigkeiten, welche hervorgehen aus oder im Zusammenhang stehen mit
dem/den zwischen den Parteien geschlossenen Vertrag/Verträgen und dessen/deren
Ausführung, werden dem zuständigen Richter im Gerichtsbereich NL-Middelburg
zwecks Urteilssprechung unterbreitet, es sei denn, GEA Goedhart bevorzugt einen
anderen zuständigen Richter im Wohn- oder Aufenthaltsort des Auftraggebers.
3. Wenn eine Forderung gegen GEA Goedhart in einem Land geltend gemacht wird,
in dem die obenerwähnte Rechtswahl als nichtverbindlich betrachtet wird, werden
die der obenbesagten Forderung zugrundliegenden Streitfälle nach niederländischem
Recht mittels Schiedsspruches gemäß der Schiedsgerichtsordnung des ‘Nederlands Arbitrage
Instituut’ (niederländischen Instituts für Schiedsgerichtsverfahren) geschlichtet
werden.

Article 1: Généralités
1. Les conditions générales suivantes sont applicables à toute offre, tout contrat de vente
et toute prestation de services de la société à responsabilité limitée GEA Goedhart B.V.
2. Si une (ou plusieurs) disposition(s) des présentes conditions générales ou d’un contrat
conclu compte tenu des présentes conditions générales s’avère(nt), selon un avis
judiciaire, n’être pas valable(s) (en droit), les autres dispositions resteront intégralement
en vigueur, à moins que la non-validité (juridique) ne touche l’essence du contrat,
et le maître de l’ouvrage consent à ce que la/les disposition(s) en question soi(en)t
convertie(s) en une disposition acceptable de droit.
3. Du simple fait qu’il passe une commande à GEA Goedhart, le maître de l’ouvrage
renonce à toutes éventuelles conditions existant de son côté, quel que soit leur nom et
de quelque façon qu’elles aient été déposé es, de sorte que seules les présentes conditions
sont applicables à tous les contrats.
4. Les modifications et dérogations aux présentes conditions générales ne seront en vigueur
que si elles ont été convenues par écrit entre les parties. Elles ne seront applicables
que pour le cas spécifique auquel elles se rapportent.
Article 2: Offres et contrats
1. Toutes les offres s’entendent entièrement sans engagement, à moins que le contraire
ne soit expressément stipulé dans l’offre. Toute offre est basée sur une exécution des
travaux dans des conditions normales et durant les horaires de travail en vigueur chez
GEA Goedhart.
2. Les commandes passées à GEA Goedhart comptent pour une offre irrévocable tant que
la commande n’a pas été refusée par GEA Goedhart.
3. Le contrat est formé du fait de l’acceptation par GEA Goedhart de la commande passée.
4. A l’égard des obligations de GEA Goedhart, la teneur de sa confirmation de commande
écrite est impérative ou la teneur de l’offre s’il n’y a pas de confirmation de commande.
Article 3: Délai de livraison
1. GEA Goedhart livrera les produits ou fournira les services commandés à l’intérieur du
délai stipulé dans la confirmation de commande. Ce délai est fixé du mieux possible
et basé sur les conditions de travail au moment de la conclusion du contrat et sur
une livraison effectuée à temps des matériaux commandés par GEA Goedhart pour
la réalisation des travaux. En cas de dépassement du délai de livraison, GEA Goedhart
s’engage à en informer le maître de l’ouvrage. Si le délai de livraion est dépassé, le maître
de l’ouvrage ne peut réclamer le remboursement des dommages é ventuellement
subis, à moins qu’autre chose n’ait été stipulé par écrit entre les parties.
2. Tout dépassement du délai de livraison de plus de six mois par la faute de GEA Goedhart
donne au maître de l’ouvrage le droit, compte tenu de ce qui est stipulé à l’article
5, de résilier le contrat entre les parties. Si le maître de l’ouvrage fait usage de ce droit,
il en informe GEA Goedhart le plus rapidement possible. Le maître de l’ouvrage est en
tout cas tenu d’acheter à GEA Goedhart moyennant paiement proportionnel la partie
de la commande qui est achevée ou pratiquement achevée.
3. Le délai de livraison commence après la formation du contrat et lorsque GEA Goedhart
dispose de tous les documents, informations, permis etc. nécessaires pour l’exécution
de la commande, et/ou du paiement d’une échéance convenue.
4. Après la suspension des travaux par le maître de l’ouvrage, GEA Goedhart indiquera
un nouveau délai de livraison en fonction du délai de livraison alors en vigueur pour
les produits de cette sorte. Les frais supplémentaires éventuels sont à la charge du
maître de l’ouvrage.
5. La livraison est censée avoir eu lieu lorsque les produits ont été proposés à la réception
à l’endroit convenu.
6. Si l’exécution d’une commande se fait par livraisons partielles, chaque livraison sera
considérée comme une transaction séparée avec toutes les conséquences juridiques
qui s’ensuivent. Chaque livraison partielle est facturée séparément.
7. GEA Goedhart est autorisée à suspendre le respect de ses obligations si des circonstances
portées à sa connaissance après la conclusion du contrat l’incitent à craindre
que le maître de l’ouvrage ne puisse pas remplir ses obligations de son côté.
Article 4: Lieu de livraison
A moins qu’autre chose ne soit convenu par écrit, la livraison a lieu : produits non emballés,
départ usine/magasin.
Article 5: Force majeure
1. Si l’exécution du contrat est entravée par un cas de force majeure du côté de GEA
Goedhart et/ou de ses fournisseurs/sous-traitants, les obligations de GEA Goedhart
seront suspendues. Le délai de livraison sera prolongé de la duré e du retard dû à la
force majeure sans que GEA Goedhart soit tenue d’indemniser tout dommage.
2. Par force majeure dans le sens du présent article on entend toutes les circonstances
en raison desquelles on ne peut raisonnablement et équitablement exiger de GEA
Goedhart l’exécution, ou l’exécution en temps voulu, du contrat ou d’une partie du
contrat. On entend également la situation qui survient du fait que, par la faute de tiers,
il s’avère impossible pour GEA Goedhart d’obtenir de tiers les informations essentielles
pour l’exécution du contrat, ainsi que, entre autres choses, la guerre, la menace de
guerre, les troubles, révolutions, actes de piraterie, sabotages, catastrophes naturelles
(tempêtes, cyclones, tremblements de terre, inondations, dégâts causés par l’eau ou
la foudre), les explosions, incendies, perturbations dans l’entreprise, la destruction des
machines et/ou de l’usine ou des autres installations, les boycottages, occupations
d’usine, arrêts du travail, mesures des pouvoirs publics, entraves à l’importation et à
l’exportation, l’absence de livraison ou le retard dans la livraison des matières premières,
matériaux ou pièces dont GEA Goedhart a besoin et qu’elle a commandés, les
perturbations dans la livraison de l’énergie, le manque de main-d’oeuvre, la stagnation
en raison du chômage pour cause de gelée, et toutes les autres circonstances non im-

putables à un acte ou une faute de GEA Goedhart, et en raison desquelles on ne peut
raisonnablement exiger de GEA Goedhart qu’elle exécute le contrat dans le délai fixé,
que ces circonstances aient été prévisibles ou non.
3. Si, en raison d’un cas de force majeure, la livraison est retardée de plus de 6 mois,
GEA Goedhart et le maître de l’ouvrage ont chacun le droit de résilier le contrat sans
intervention judiciaire. La force majeure doit être prouvée. GEA Goedhart a également
le droit de résilier le contrat sans intervention judiciaire dès qu’il est établi qu’en conséquence
d’un cas de force majeure elle sera empêchée de façon durable de
remplir ses obligations vis-à-vis du maître de l’ouvrage. Dans ces cas, le maître de
l’ouvrage n’a pas droit au remboursement de tout dommage subi et il est tenu de
rembourser les frais déjà faits par GEA Goedhart et de réceptionner et payer à GEA
Goedhart les matières premières, matériaux et pièces réservés, transformés et fabriqués
pour l’exécution du contrat, faute de quoi GEA Goedhart aura le droit de stocker
ces marchandises aux risques et périls du maître de l’ouvrage et à sa charge, ou de les
vendre pour le compte du maître de l’ouvrage. Si les partiesdé sirent faire usage de leur
droit de résilier le contrat, elles s’engagent à en informer l’autre partie par écrit immédiatement,
du moins dans un délai d’une semaine après expiration du délai de 6 mois ou
à compter du moment où il est établi pour GEA Goedhart qu’elle ne pourra pas remplir
ses obligations. Le maître de l’ouvrage est en tout cas tenu d’acheter à GEA Goedhart
moyennant paiement proportionnel la part de la commande qui est déjà achevée ou
pratiquement achevée.
Article 6: Prix
A moins qu’il ne ressorte autre chose de l’offre ou de la confirmation de commande, les prix
s’entendent départ usine. Les prix ne comprennent pas la taxe à la valeur ajoutée, ni les frais
de conditionnement, d’emballage, de transport et de dédouanement.
Article 7: Transfert du risque et réserve de propriété
1. Les produits livrés restent la propriété de GEA Goedhart jusqu’à ce que le maître de
l’ouvrage ait rempli vis-à-vis de GEA Goedhart toutes ses obligations financières à
l’égard du contrat conclu entre les parties, y compris les frais et intérêts.
2. Sans préjudice des droits revenant à GEA Goedhart, GEA Goedhart est irrévocablement
autorisée par le maître de l’ouvrage, si celui-ci ne remplit pas ou pas en temps
voulu ses obligations de paiement contractées vis-à-vis de GEA Goedhart, à reprendre,
à la première sommation et sans intervention judiciaire, les marchandises livrées par
elle ou, si ces marchandises sont fixées sur des biens mobiliers ou immobiliers, à les
démonter et à les reprendre.
3. Si la législation du pays du maître de l’ouvrage s’oppose à l’application de ce qui est
stipulé à l’alinéa 2, le maître de l’ouvrage est tenu de respecter vis-à-vis de GEA Goedhart
les droits qui peuvent êtreinvoqués par GEA Goedhart étant donné le système
juridique en question.
4. Le maître de l’ouvrage est tenu d’accorder à GEA Goedhart son entier concours, nécessaire
pour mettre en oeuvre les droits visés aux alinéas 2 et 3.
5. Si GEA Goedhart en fait la demande, le maître de l’ouvrage est tenu de fournir caution
pour le respect de ses obligations. Dans ce cas, la propriété des marchandises est
transférée une fois qu’une caution valable a été fournie.
6. Indépendamment de la réserve de propriété, les produits sont à la charge du maître de
l’ouvrage et à ses risques et périls à compter du moment de la livraison.
Article 8: Expédition
1. Les produits sont expédiés aux risques et périls du maître de l’ouvrage et à sa charge,
à moins qu’autre chose ne soit convenu par écrit. A moins que le maître de l’ouvrage
n’ait donné des instructions pour le transport, GEA Goedhart est autorisée à déterminer
elle-même le mode de transport.
2. L’assurance du transport par l’intermédiaire de GEA Goedhart se fait uniquement à la
demande expresse du maître de l’ouvrage et à la charge de ce dernier.
3. Si le maître de l’ouvrage néglige de venir chercher les produits fabriqués et/ou à livrer
ou d’en prendre réception, GEA Goedhart sera libre :
• de stocker les produits aux risques et périls du maître de l’ouvrage et de se faire
rembourser les frais supplémentaires et dommages en découlant par le maître
de l’ouvrage. Les produits sont alors considérées comme ayant été livrés, soit
• de déclarer la résiliation du contrat sans autre mise en demeure et sans que
pour cela une intervention judiciaire soit requise, et de se faire rembourser par le
maître de l’ouvrage les frais qu’elle devra faire en l’espèce et les dommages subis.
Article 9: Dessins et modèles
1. Les dessins, projets, modèles, schémas, droits d’auteur, marques et brevets, logiciels
etc. restent la propriété de GEA Goedhart et ne peuvent être copiés, imités ni remis à
des tiers ou communiqués à des tiers entièrement ou partiellement sans l’autorisation
écrite de GEA Goedhart. Le maître de l’ouvrage ne peut en tirer aucun droit, à moins
qu’autre chose ne soit expressément stipulé par GEA Goedhart dans la confirmation de
commande, non plus que des mesures et des indications de poids.
2. Tous les droits constitués à l’égard des projets, illustrations, dessins, modèles etc. (y
compris les droits d’auteur) sont réservés et doivent être respectés. GEA Goedhart
garantit que les logiciels qu’elle fournit ne portent préjudice à aucun droit de propriété
intellectuelle de tiers en vigueur aux Pays-Bas et que leur utilisation n’est pas non plus
illicite de toute autre façon vis-à-vis de tiers. Elle garantit le maître de l’ouvrage de
toutes prétentions de tiers en la matière.
3. En cas de fabrication d’après des dessins, modèles ou autres indications du maître de
l’ouvrage, ce dernier répond entièrement de ce que la fabrication et/ou la livraison du
produit ne porte atteinte à aucune marque, aucun brevet ni aucun autre droit similaire
de tiers. Si des tiers, en vertu de tout droit allégué, font opposition à la fabrication
et/ou la livraison du produit en question, GEA Goedhart est autorisée à cesser immédiatement
la fabrication et/ou la livraison, sans être tenue à aucun dédommagement
envers le maître de l’ouvrage et/ou des tiers. GEA Goedhart informera immédiatement
le maître de l’ouvrage. GEA Goedhart aura alors droit au remboursement des frais
qu’elle aura faits, sans préjudice de son droit à un dédommagement intégral. Le maître
de l’ouvrage garantit GEA Goedhart en l’espèce de toutes prétentions é ventuelles de
tiers envers elle.

Article 10: Paiement
1. Le paiement doit être effectué par le maître de l’ouvrage à GEA Goedhart sans aucune
réduction ni compensation, dans les 30 jours à compter de la date de la facture, à
moins qu’autre chose n’ait été convenu par écrit. Un paiement est considéré comme
reçu par GEA Goedhart dès que le montant dû a été inscrit sur l’un de ses comptes.
2. Les éventuelles réclamations dans le cadre de la garantie ne suspendent pas les obligations
de paiement du maître de l’ouvrage.
3. Si le paiement n’est pas effectué ou pas effectué en temps voulu, le maître de l’ouvrage
sera en défaut du simple fait que le délai est expiré, sans qu’une sommation ou mise
en demeure soit requise. A partir du moment où le paiement aurait dû être effectué, le
maître de l’ouvrage devra, sur ce qu’il doit à GEA Goedhart, un intérêt égal à l’intérêt
légal plus 1 %.
4. Les frais extrajudiciaires se rapportant à la somme à recouvrer, y compris les frais de
la personne que GEA Goedhart aura chargée du recouvrement (entre autres les frais
d’huissier, bureau d’encaissement, avocat) seront entièrement à la charge du maître
de l’ouvrage. Les frais d’encaissement extrajudiciaires sont fixés à 15 % au moins du
montant à recouvrer, avec un minimum de € 350,=, sans que GEA Goedhart doive
prouver que ces frais ont été faits. Si le paiement est effectué trop tard, GEA Goedhart
pourra également répercuter les modifications de cours à compter de l’échéance.
5. Si le maître de l’ouvrage ne remplit pas son obligation de paiement, le prix d’achat
total à payer à GEA Goedhart devient immédiatement exigible jusqu’à concurrence
du montant total quel que soit l’état des travaux et GEA Goedhart peut en exiger le
paiement immédiat et suspendre les commandes notées jusqu’à ce que le paiement
intégral ait été effectué.
6. Les paiements effectués à GEA Goedhart servent d’abord à l’acquittement des frais,
puis des intérêts et ensuite du capital.
Article 11: Résiliation
1. Si le maître de l’ouvrage ne remplit pas, pas en temps voulu ou pas correctement une
ou plusieurs de ses obligations, s’il vient à décéder, est déclaré en faillite ou demande
un sursis de paiement,s’ilprocède à la liquidation de son entreprise, est placé sous
curatelle, si ses produits sont saisis entièrement ou partiellement, ou s’il s’avère insolvable
de toute autre façon, GEA Goedhart aura le droit de résilier le contrat en ce
qui concerne la partie qui n’a pas encore été exécutée, par décision unilatérale, sans
qu’une intervention judiciaire soit requise, et de réclamer la restitution des produits
livrés qui n’ont pas encore été payés, ou de suspendre l’exécution du contrat pour 6
mois au maximum.
2. Dans tous ces cas, toute créance sur le maître de l’ouvrage devient immédiatement et
entièrement exigible et GEA Goedhart a le droit de se faire rembourser par le maître
de l’ouvrage tous les dommages subis par elle en rapport avec l’exécution du contrat.
Ces dommages sont fixés à 50 % du prix convenu, sans préjudice du droit de GEA
Goedhart de réclamer une indemnisation intégrale.
3. Le maître de l’ouvrage s’engage à garantir GEA Goedhart de toutes créances de tiers
en conséquence de la résiliation du contrat.
4. Les indications de GEA Goedhart concernant les capacités, performances et résultats
des produits livrés par elle engagent GEA Goedhart si ceci a été convenu par écrit. Des
écarts minimaux avec les tolérances usuelles ou raisonnables ne donnent pas
au maître de l’ouvrage droit à des réclamations, refus ou remplacements, ni le droit de
déclarer la résiliation du contrat et/ou de réclamer des dommages-intérêts.
Article 12: Responsabilité
1. GEA Goedhart assume sa responsabilité légale pour les dommages causés par un défaut
de son produit, sauf si :
• elle n’a pas mis ce produit en circulation
• le défaut qui a provoqué le dommage n’existait pas au moment où GEA Goedhart
a mis le produit en circulation ou si ce défaut est apparu plus tard
• le défaut est la conséquence de l’observation de prescriptions impératives des
pouvoirs publics
• le maître de l’ouvrage a prescrit ou fourni certains matériaux et/ou certaines
constructions.
2. GEA Goedhart ne peut être tenue responsable quant aux pièces d’un produit qui n’est
pas mis en circulation par GEA Goedhart en tant que produit fini. Dans le cas d’un
dommage dû au produit, le maître de l’ouvrage doit s’adresser directement au fabricant.
GEA Goedhart s’engage à fournir toutes les informations possibles.
3. GEA Goedhart ne peut être tenue responsable des dommages, quelle qu’en soit la
désignation, subis par les produits du maître de l’ouvrage et survenus en conséquence
de l’exécution des travaux, qui lui ont été confiés, par ses subalternes et non subalternes,
à moins qu’il ne soit question de mauvaise intention et/ou de faute grave. Cette
exclusion de responsabilité n’est pas seulement valable vis-à-vis du maître de l’ouvrage
et de son personnel, mais aussi vis-à-vis des tiers. Le maître de l’ouvrage garantit GEA
Goedhart en l’espèce de toutes prétentions éventuelles de tiers.
4. Toute responsabilité de la part de GEA Goedhart est exclue à l’égard de
l’endommagement ou de la perte des matériaux fournis par le maître de l’ouvrage. Les
frais de transport de ces matériaux vers GEA Goedhart sont entièrement aux risques et
périls du maître de l’ouvrage et à sa charge.
5. L’indemnisation se fait en premier lieu sous forme de réparation du produit livré. Si la
réparation est jugée impossible ou injustifiée par GEA Goedhart, l’indemnisation se
fera sous forme de dédommagement financier. La responsabilité de GEA Goedhart ne
pourra être engagée pour des dommages causés aux tiers, ou pour des conséquences
dommageables, incluant le remboursement de liquide de refroidissement (ou liquides
dits porteurs). L’obligation d’indemnisation de GEA Goedhart est en tout cas limitée au
montant total de la commande concernée.
6. GEA Goedhart n’est tenue de payer aucun dédommagement autrement que du chef
de ce qui est stipulé au présent article, à moins qu’autre chose ne soit convenu au moment
de la conclusion du contrat.
7. Toutes autres prétentions de quelque chef et de quelque teneur que ce soit, y compris
l’indemnisation de dommages consécutifs et dommages subis par des tiers, sont exclues,
à l’exception de la responsabilité en vertu de la règlementation légale en matière
de responsabilité du fait des produits. Le maître de l’ouvrage s’engage à garantir GEA
Goedhart en l’espèce.
Conditions Generales de Livraison
8. En cas de dommages, quelle qu’en soit la cause, les parties sont tenues de prendre des
mesures de façon à limiter le plus possible les dégâts.
Article 13: Garantie
1. GEA Goedhart se porte garante de la bonne qualité des produits fournis par elle, ainsi
que de la qualité des matériaux utilisés et/ou livrés pour ses produits. Aucune garantie
n’est accordée à l’égard des défauts concernant la nature ou la qualité des matériaux
utilisés, lesquels défauts sont entièrement ou partiellement dus aux prescriptions des
pouvoirs publics. En cas de défauts constatés sur les produits livrés, dus directement
à un vice de construction de la part de GEA Goedhart, ou bien dus à une finition
défectueuse ou à l’emploi de mauvais matériaux, GEA Goedhart s’engage, si le client
amène la preuve que les défauts sur les produits livrés sont apparus dans les douze
mois suivants la mise en service des produits et au plus tard dans les dix-huit mois
suivant la date de la livraison, à remplacer les pièces défectueuses. Les frais de montage
et de démontage sont à la charge du client. Le maître de l’ouvrage s’engage à
informer GEA Goedhart immédiatement et par écrit de ces défauts, à retourner les
marchandises défectueuses franco à l’adresse de GEA Goedhart, et d’autre part à tout
faire pour limiter les dommages le plus possible. Après leur remplacement, les anciens
matériaux deviennent la propriété de GEA Goedhart. La garantie est supprimée dès
que le maître de l’ouvrage a apporté ou fait apporter des modifications aux produits
livrés sans l’autorisation de GEA Goedhart ou s’il a agi à l’encontre des instructions de
fonctionnement ou de commande données par GEA Goedhart. Le maître de l’ouvrage
est tenu de permettre GEA Goedhart de mettre en oeuvre la garantie.
2. En cas de livraison de matériaux ou produits d’occasion en concertation avec le maître
de l’ouvrage, aucune garantie n’est accordée, à moins que les parties ne conviennent
expressément autre chose. Si le maître de l’ouvrage fournit à GEA Goedhart des produits
ou matières premières en vue d’un traitement, la garantie accordée ne porte que
sur la bonne qualité de l’exécution de ce traitement.
3. GEA Goedhart n’est tenue à aucune garantie si le maître de l’ouvrage ne satisfait pas,
pas convenablement ou pas en temps voulu toute obligation découlant pour lui du
contrat en question. Le prétendu non-respect d’une obligation de garantie par GEA
Goedhart ne décharge pas le maître de l’ouvrage des obligations qui découlent pour
lui du contrat avec GEA Goedhart.
4. Lorsque des erreurs, défauts et pannes sont imputables à un traitement incompétent
de la part du maître de l’ouvrage, des membres de son personnel ou de tiers,
GEA Goedhart n’est pas responsable. Ceci s’applique également si le maître de
l’ouvrage, des membres de son personnel ou des tiers effectuent des réparations sans
l’autorisation de GEA Goedhart durant la période de garantie.
5. Les réclamations concernant des défauts directement perceptibles présentés par les
produits doivent être déposées par écrit chez GEA Goedhart immédiatement après
la réception des marchandises, faute de quoi tout droit vis-à-vis de GEA Goedhart
est supprimé.
Article 14: Litiges et droit applicable
1. Le droit néerlandais, à l’exclusion de tout autre, est applicable aux contrats conclus
avec le maître de l’ouvrage. En vertu de l’article 6 du Traité des Nations Unies relatif aux
contrats d’achat internationaux concernant les affaires mobilières (le Traité commercial
de Vienne), l’application de ce traité est expressément exclue.
2. Les éventuels litiges se rapportant avec ou découlant du/des contrat(s) conclu(s) entre
les parties et de leur exécution seront soumis au jugement du tribunal compétent dans
l’Arrondissement de Middelburg, à moins que GEA Goedhart ne donne la préférence
à un autre tribunal compétent du domicile ou de la résidence du maître de l’ouvrage.
3. Si une action est intentée contre GEA Goedhart dans un pays où le choix ci-dessus de la
loi applicable est considéré comme non obligatoire, les litiges à la base de cette action
seront tranchés par arbitrage selon le droit néerlandais, conformément au Règlement
de l’Institut d’Arbitrage Néerlandais.

Con domicilio social en St. Maartensdijk [Países Bajos]. Depositadas en la Cámara de
Comercio del municipio de Middelburg [Países Bajos] con el número 971976.
Artículo 1: General
1. Las presentes condiciones generales se aplicarán a todas las ofertas, contratos
de venta y servicios prestados por la Sociedad de responsabilidad limitada GEA
Goedhart B.V.
2. Si, por decisión judicial, cualquier estipulación de las presentes condiciones
generales, o de un contrato perfeccionado con arreglo a las mismas no resulta
tener validez (legal), esto no afectará las demás estipulaciones, siempre que
la ausencia de la validez (legal) no afecte la esencia del contrato, y que el
cliente exprese su conformidad en que las estipulaciones concernientes se
transformen en una estipulación aceptable conforme a derecho.
3. Por el simple hecho de perfeccionar un contrato con GEA Goedhart, el cliente
renunciará a las eventuales condiciones que puedan existir por su parte,
independientemente de cómo se llamen y de cómo hayan sido depositadas,
de modo que a todos los contratos se les aplicarán únicamente las presentes
condiciones.
4. Sólo regirán las modificaciones y las variaciones de las presentes condiciones
generales, si han sido acordadas por escrito previamente entre las partes. En
ese caso, sólo regirán para el caso concreto a que se refieran.
Artículo 2: Ofertas y contratos
1. Todas las ofertas serán sin compromiso alguno, a menos que se indique
explícitamente lo contrario en la oferta. Todas las ofertas estarán basadas en
la ejecución del encargo bajo circunstancias normales y durante la jornada
laboral vigente en GEA Goedhart.
2. Todos los encargos serán considerados como ofertas irrevocables siempre que
no sean rechazados por GEA Goedhart.
3. Un contracto se perfeccionará mediante la aceptación del encargo por parte
de GEA Goedhart.
4. Para las obligaciones de GEA Goedhart, será vinculante el contenido de la
confirmación por escrito del encargo y, en su defecto, la oferta.
Artículo 3: Plazos de entrega
1. GEA Goedhart suministrará los productos, o bien prestará los servicios
encargados dentro del plazo acordado en la confirmación del encargo. Este
plazo habrá sido estipulado de acuerdo con sus posibilidades y estará basado
en las circunstancias laborales vigentes en el momento de perfeccionar el
contrato y en el suministro dentro del plazo prometido, de los materiales que
haya encargado GEA Goedhart para la ejecución de las labores. GEA Goedhart
deberá notificar al cliente en caso de extralimitación del plazo. Si se supera el
plazo, el cliente no tendrá derecho a indemnización de los eventuales daños
sufridos, a no ser que las partes hayan acordado algo diferente.
2. Con arreglo a lo estipulado en el artículo 5, el cliente podrá rescindir el
contrato perfeccionado entre las partes en caso de que la extralimitación del
plazo prometido por GEA Goedhart supere los 6 meses. Si el cliente hace valer
dicho derecho, tendrá que comunicarlo lo antes posible a GEA Goedhart. En
cualquier caso, el cliente estará obligado a comprar aquella parte del encargo
que ya esté terminada o casi finalizada, a cambio de su pago a prorrata a GEA
Goedhart.
3. El plazo de entrega comenzará a contar tras la perfección del contrato y después
de que se hayan puesto a disposición de GEA Goedhart todos los documentos,
datos, licencias y similares necesarios para la ejecución del encargo o se haya
pagado el plazo de pago acordado.
4. Si el cliente suspende el trabajo, GEA Goedhart indicará otro plazo de entrega
de acuerdo con los plazos vigentes en aquel momento para productos similares.
Eventuales gastos extra correrán por cuenta del cliente.
5. El suministro se considerará efectuado en el momento de ofrecer los productos
en el lugar acordado.
6. Si un encargo se efectúa mediante el suministro en partes, cada suministro será
considerado como una transacción por separado, con todos sus efectos legales.
Cada suministro parcial será facturado por separado.
7. GEA Goedhart tendrá la facultad de suspender el cumplimiento de sus
obligaciones, si después de haber perfeccionado el contrato, recibe información
que le debe hacer temer que el cliente no puede cumplir sus obligaciones.
Artículo 4: Lugar de suministro
A menos que se haya acordado por escrito algo diferente, el suministro se efectuará
sin embalaje, ex fábrica / almacén.
Artículo 5: Fuerza mayor
1. Si la ejecución del contrato se ve dificultada por fuerza mayor por parte de GEA
Goedhart o sus proveedores/subproveedores, se suspenderán las obligaciones
de GEA Goedhart. El plazo de suministro se prorrogará por la duración del
retraso ocasionado por fuerza mayor, sin que GEA Goedhart esté obligada a
indemnizar cualquier daño.
2. En el sentido de este artículo, se entenderá por fuerza mayor todas las
circunstancias en virtud de las cuales no pueda exigirse de GEA Goedhart, de
acuerdo con la equidad y con lo que es razonable, que cumpla o que cumpla
a tiempo el contrato o parte del mismo. Entre estas circunstancias se incluye
también la situación que se origine cuando, por intervención de terceras
personas, resulte imposible para GEA Goedhart conseguir la información
esencial para la ejecución del contrato, así como situaciones de, entre otras,
guerra, peligro de guerra, desordenes públicos, revoluciones, piratería,
sabotaje, desastres naturales (tempestad, ciclones, terremotos, inundaciones,
daños causados por el agua o por rayos), explosiones, incendio, trastornos

laborales, destrucciones de las máquinas o la fábrica o, en su caso, otras
instalaciones, boicots, ocupación de la empresa, huelgas, medidas tomadas
por las autoridades, obstrucciones de importación y exportación, escasez de
materias primas, materiales o partes necesarias pedidas por GEA Goedhart, o
retraso del suministro de las mismas, fallos en el suministro de energía, escasez
de empleados, estancamiento debido a la paralización del trabajo por heladas,
así como todas las demás circunstancias ocasionadas sin culpa o intervención
de GEA Goedhart, por lo que no se podrá requerir dentro de lo razonable que
GEA Goedhart cumpla el contrato, indiferente si las circunstancias pudiesen
haber sido previstas o no.
3. Si se retrasa el suministro por más de 6 meses debido a fuerza mayor, tanto GEA
Goedhart como el cliente podrán rescindir el contrato sin la intervención de un
Juez. La fuerza mayor habrá de ser probada. GEA Goedhart también tendrá
el derecho de rescindir el contrato sin intervención judicial tan pronto se dé
cuenta que, como consecuencia de la fuerza mayor, no va a poder cumplir sus
obligaciones con el cliente. En todos estos casos, el cliente no tendrá derecho
a indemnización alguna y tendrá la obligación de compensar los gastos
efectuados por GEA Goedhart, así como de comprar y pagar a GEA Goedhart
las materiales primas, materiales y partes de GEA Goedhart reservadas,
elaboradas y fabricadas para la ejecución del contrato, en cuyo defecto GEA
Goedhart tendrá el derecho de almacenar los bienes, o venderlos por cuenta
y riesgo del cliente. Si las partes quieren hacer valer su derecho de rescindir
el contrato, estarán obligadas a comunicárselo sin demora a la otra parte, en
cualquier caso, dentro de la semana siguiente al vencimiento del plazo de 6
meses o, en su caso, en el momento en el que GEA Goedhart haya constatado
que no puede cumplir sus obligaciones. En todo caso, el cliente estará obligado
a comprar aquella parte del encargo que ya está lista, pagando a prorrata a
GEA Goedhart.
Artículo 6: Tarifas
A menos que se indique lo contrario en la oferta o, en su caso, en el encargo, los
precios serán ex fábrica. A los precios se aplicarán los impuestos comerciales y gastos
de embalaje, empaquetado, transporte, empaquetado y los trámites aduaneros.
Artículo 7: Traspaso del riesgo y reserva de dominio
1. Los productos suministrados seguirán perteneciendo a GEA Goedhart hasta
el momento en que el cliente haya cumplido con GEA Goedhart todas sus
obligaciones financieras derivadas del contrato perfeccionado entre las partes,
incluidos los intereses y los gastos.
2. Sin perjuicio de los derechos que le correspondan a GEA Goedhart, el cliente
le concede poder irrevocable para adquirir en una primera reclamación y sin
intervención judicial, los productos suministrados por ella, o desmontarlos y
adquirirlos si están montados a algún bien inmueble o inmueble, si el cliente
no cumple o no cumple a tiempo sus obligaciones de pago.
3. Si la legislación del país del cliente se opone a la aplicación de lo mencionado
bajo el punto 2, el cliente deberá respetar los derechos indicados por GEA
Goedhart, que sí podrán ser reclamados según el ordenamiento jurídico
correspondiente.
4. El cliente estará obligado a prestar a GEA Goedhart todo el apoyo necesario
para poder realizar los derechos mencionados en los apartados 2 y 3.
5. Si GEA Goedhart así lo desea, el cliente estará obligado a constituir una
garantía del cumplimiento de sus obligaciones. En este caso, la propiedad
de los productos pasará a la otra parte después de que haya prestado una
garantía suficientes.
6. Sin perjuicio de la reserva de dominio, los productos serán por cuenta y riesgo
del cliente desde el momento de la entrega.
Artículo 8: El envío
1. El envío se realizará por cuenta y riesgo del cliente, a menos que se haya
acordado por escrito algo diferente. A no ser que el cliente haya dado
indicaciones al respecto, GEA Goedhart tendrá el derecho de elegir la forma
de transporte.
2. El seguro de transporte por mediación de GEA Goedhart se efectuará sólo por
expresa solicitud y por cuenta del cliente.
3. Si el cliente no recoge o no recibe la elaboración de los productos a suministrar,
GEA Goedhart tendrá libertad para:
• almacenar los productos por cuenta y riesgo del cliente y exigir que el
cliente pague los gastos y daños que de ello se derive. En este caso, se
considerará que los productos han sido suministrados, a menos que
• se declare anulado el contrato sin requerimiento previo y sin que se exija
la intervención del Juez y se requiera que el cliente pague los gastos y
daños ocasionados.
Artículo 9: Planos y modelos
1. Los planos, diseños, modelos, diagramas, derechos de autor, marcas y patentes,
programaciones y similares seguirán siendo propiedad de GEA Goedhart y no
podrán, sin su consentimiento por escrito, ser copiados, imitados, o puestos
en manos de terceras personas, ni ser expuestos parcial o completamente. El
cliente no podrá derivar ningún derecho de ellos, a menos que GEA Goedhart
haya acordado explícitamente algo diferente en el encargo, ni tampoco de las
medidas y listas de pesos.
2. Todos los derechos constituidos en relación con los diseños, imágenes, planos,
modelos etc. (incluidos los derechos de autor) están reservados y deberán
ser respetados. GEA Goedhart garantiza que todas las programaciones
distribuidas por ella no infringen ningún derecho de propiedad intelectual
vigente de terceras personas en los Países Bajos, y que el uso de las mismas
tampoco será ilícito de otro modo para con terceras personas. Ella liberará al
cliente de las reclamaciones que puedan hacer al respecto terceras personas.
3. En caso de fabricación basada en planos, modelos u otras indicaciones del
cliente, éste asumirá toda la responsabilidad para que dicha fabricación
o entrega del producto, la marca, el patente o similares no perjudique

los derechos de terceras personas. Si terceras personas oponen alguna
objeción a la fabricación o suministro del producto, basada en una supuesta
infracción de algún derecho, GEA Goedhart tendrá el derecho a paralizar
inmediatamente la fabricación o el suministro, sin que esté obligada a
satisfacer indemnización alguna al cliente o a terceras personas. GEA Goedhart
informará inmediatamente al cliente sobre esta circunstancia. En este caso,
GEA Goedhart tendrá derecho a una compensación de los gastos sin perjuicio
del derecho a una indemnización total. El cliente liberará a GEA Goedhart de
eventuales reclamaciones que puedan hacer al respecto terceras personas.
Artículo 10: El pago
1. El cliente deberá pagar a GEA Goedhart, sin descuento o compensación alguna,
como máximo dentro de los 30 días siguientes a la fecha de facturación,
a menos que se haya acordado por escrito algo distinto. GEA Goedhart
considerará recibido el pago desde la fecha en que lo reciba en una de sus
cuentas bancarias.
2. Los eventuales derechos de garantía no eximirán al cliente de su obligación
de pago.
3. Si el cliente no paga o, en su caso, no paga a tiempo, será considerado en mora
por el simple transcurso del plazo, sin necesidad de reclamación o intimación
al respecto. Desde el momento en que se debería haber efectuado el pago, el
cliente deberá abonar un interés sobre la cantidad de la factura igual al interés
legal +1%.
4. Todos los gastos de cobranza extrajudiciales correrán plenamente por cuenta
del cliente, incluidos los gastos de aquél a quién GEA Goedhart haya dado
la orden de cobranza (entre otras cosas, los gastos del agente judicial, de la
oficina de cobranza, del abogado). Los gastos de cobranza extrajudiciales
ascenderán al menos al 15% del importe por reclamar, con un máximo de 350
euro, sin que GEA Goedhart esté obligada a justificar que haya hecho estos
gastos. En caso de que el pago se efectuase fuera de plazo, GEA Goedhart
también podrá repercutir los tipos de cambio calculados desde la fecha de
vencimiento.
5. Si el cliente no cumple sus obligaciones de pago, el precio total de venta por
pagar a GEA Goedhart podrá ser reclamado inmediatamente y por el importe
total, independientemente del estado del trabajo, y GEA Goedhart podrá
reclamar el pago inmediato y aplazar los pedidos aceptados hasta que el
cliente realice el pago total.
6. Los pagos a GEA Goedhart se atribuirán primero a la disminución de los gastos,
luego a los intereses y finalmente al importe principal.
Artículo 11: Rescisión
1. Si el cliente no cumple una o más obligaciones, no las cumple a tiempo o
no las cumple correctamente, fallece, es declarado en quiebra o solicita la
suspensión de pagos, está sometido a tutela, sus productos son embargados
total o parcialmente, o resulta ser insolvente de cualquier otra forma, entonces
GEA Goedhart tendrá el derecho de rescindir el contrato unilateralmente para
lo relativo a la parte del contrato todavía sin ejecutar, sin que sea necesaria
ninguna intervención judicial, y podrá reclamar los productos no pagados o
bien suspender por un plazo de 6 meses la ejecución del mismo.
2. En todos los casos antes mencionados, las reclamaciones sobre el cliente serán
exigibles en el acto, y GEA Goedhart tendrá la facultad de reclamarle los daños
sufridos en relación con la ejecución del contrato. La indemnización será fijada
en un 50% del precio acordado, sin perjuicio del derecho de GEA Goedhart de
reclamar la indemnización total.
3. El cliente se obligará a liberar a GEA Goedhart frente a eventuales
reclamaciones que puedan hacer terceras personas como consecuencia de la
rescisión del contrato.
4. Todas las indicaciones hechas por GEA Goedhart sobre las capacidades,
prestaciones y resultados de los productos suministrados por ella vincularán
a GEA Goedhart, si así se ha acordado por escrito. Las anomalías de carácter
reducido en relación con las tolerancias usuales o razonables no darán al
cliente el derecho a reclamar, rechazar, sustituir o rescindir el contrato, ni a
percibir una indemnización de los daños.
Artículo 12: Responsabilidad.
1. GEA Goedhart acepta su responsabilidad legal por los daños causados por un
defecto en su producto, a menos que:
• ella no haya puesto en circulación el producto.
• el defecto sea consecuencia de la observancia de normas estatales
imperativas.
• el estado de la técnica no permitiera descubrir tal defecto.
• el cliente haya prescrito o suministrado ciertos materiales o
construcciones.
2. GEA Goedhart no será responsable por las partes que haya suministrado de un
producto pero que no haya comercializado como producto final. En caso de que
se produjeran daños en el producto, el cliente deberá dirigirse directamente
al fabricante. GEA Goedhart se obliga a facilitar toda la información posible.
3. GEA Goedhart no será responsable por los daños de cualquier tipo que se
produzcan en los productos del cliente, a consecuencia de la ejecución de los
trabajos que se le han encargado por parte de sus empleados y no empleados,
a menos que exista dolo o culpa grave. Esta exclusión de responsabilidad no
sólo se aplicará al cliente y sus empleados sino también a terceras personas. El
cliente liberará a GEA Goedhart de las eventuales reclamaciones que terceras
personas puedan hacer al respecto.
4. Se excluirá toda responsabilidad por parte de GEA Goedhart en el caso de
daños o perdidas de los materiales puestos a disposición por el cliente. Los
gastos de transporte de tales materiales hasta GEA Goedhart, correrán
totalmente por cuenta y riesgo del cliente.
5. En primera instancia, la indemnización consistirá en la reparación del producto
suministrado. Si GEA Goedhart opina que no es posible ni responsable desde el
punto de vista económico reparar el producto, se efectuará la indemnización
del daño en dinero. GEA Goedhart no será responsable por daños de terceras
personas y daños indirectos, incluyendo la compensación por líquido
refrigerante (anticongelante / líquidos portadores de frío). En cualquier caso,
la indemnización que deberá pagar GEA Goedhart se limitará al importe total
del encargo correspondiente.
6. GEA Goedhart no estará obligada a pagar ningún tipo de indemnización
distinta de las estipuladas en el presente artículo, a menos que se haya
acordado algo diferente al perfeccionar el contrato.
7. Quedarán excluidas el resto de las reclamaciones, independientemente
del concepto por el que se reclamen o del alcance que tengan, incluyendo
la indemnización por daños indirectos y daños a terceras personas, con
excepción de las responsabilidades que puedan existir en virtud de las normas
legales sobre responsabilidad de producto. El cliente se obliga a liberar a GEA
Goedhart en este caso.
8. Si se han producido daños por el motivo que fuera, las partes estarán obligadas
a tomar medidas para limitar los daños lo máximo posible.
Artículo 13: Garantía.
1. GEA Goedhart responderá de la corrección de los productos suministrados por
ella, así como de la calidad de los materiales usados o suministrados para ello.
No se garantizarán los defectos de índole o calidad de los materiales utilizados,
que sean total o parcialmente consecuencia de cualquier reglamento
administrativo. En caso de defectos en los productos suministrados, surgidos
como consecuencia directa de un error en las construcciones diseñadas
por GEA Goedhart o como consecuencia de un defecto de terminación o
del uso de materiales de mala calidad, GEA Goedhart estará obligada a
suministrar de nuevo las partes defectuosas, si el cliente puede mostrar
que los defectos se han manifestado dentro de los 12 meses posteriores a la
puesta en funcionamiento de los productos, o como máximo dentro de los
18 meses después del momento del suministro de las mercancías. Los gastos
de ampliación y empotración correrán por cuenta del cliente. El cliente estará
obligado a informar inmediatamente por escrito a GEA Goedhart de tales
defectos y a devolver los productos defectuosos a porte pagado al domicilio
de GEA Goedhart, así como a hacer todo lo posible para limitar los daños lo
máximo posible. Después de haber sustituido los materiales viejos, estos serán
propiedad de GEA Goedhart. La garantía caducará en el momento en que el
cliente haya efectuado modificaciones a lo suministrado o, en su caso, haya
hecho que se efectúen sin el consentimiento de GEA Goedhart o haya obrado
de forma contraria a las normas empresariales o de manejo, respectivamente.
El cliente estará obligado a posibilitar a GEA Goedhart que conceda garantías.
2. Si se suministran materiales usados o productos usados de acuerdo con el
cliente, no se dará ninguna garantía, a menos que las partes hayan acordado
explícitamente algo diferente. Si el cliente entrega a GEA Goedhart productos
o materias primas para su elaboración, sólo se garantizará que el procesamiento
se ha realizado de forma correcta.
3. GEA Goedhart no estará obligada a conceder garantía alguna si el cliente no
cumple o no cumple a tiempo una obligación que se deriva del contrato. Si se
mantiene que GEA Goedhart no cumple con alguna obligación de garantía,
esto no eximirá al cliente de las obligaciones que se derivan del contrato
perfeccionado.
4. GEA Goedhart no será responsable si los errores, defectos y deficiencias son
debidos al manejo inexperto por parte del cliente o sus empleados, o en su
caso por terceras personas. Esto se aplicará también si el cliente, sus empleados
o terceras personas, dentro del periodo de garantía, efectúan reparaciones sin
la autorización por escrito de GEA Goedhart.
5. Todas las reclamaciones relativas a defectos de los productos que
sean directamente visibles deberán ser comunicadas a GEA Goedhart
inmediatamente y por escrito tras el recibo de los bienes, en defecto de lo cual
desaparecerá cualquier derecho de reclamación contra GEA Goedhart.
Artículo 14: Controversias y ley aplicable.
1. Al contrato perfeccionado con el cliente, se le aplicará exclusivamente la
legislación holandesa.
2. Las controversias que pudieran surgir de, o en relación con el contrato o
contratos perfeccionados entre las partes, y con la ejecución de los mismos,
se someterán a la jurisdicción y competencia del Juez del distrito judicial de
Middelburg [Países Bajos], a no ser que GEA Goedhart prefiera someterlas a
la competencia de otro Juez en el lugar de domicilio o residencia del cliente.
3. Si se entabla una acción contra GEA Goedhart en un país donde no sea
vinculante la elección de fuero antes mencionada, las controversias en que
se base la reclamación se resolverán mediante arbitraje de acuerdo con
el Reglamento del Instituto de Arbitraje Holandés [Nederlands Arbitrage
Instituut].
