of the Association, as these may be promulgated from time to time, shall be<br />
qualified to be an Associate <strong>Member</strong>.<br />
(c). Non-Voting Affiliate <strong>Member</strong>s. Any individual, employee, partnership,<br />
corporation, or other entity affiliated with either a Full <strong>Member</strong> or Associate<br />
<strong>Member</strong>.<br />
(d). Non-Voting Honorary <strong>Member</strong>s. <strong>Member</strong>ship can be extended by the Board<br />
of Directors to Honorary members.<br />
(e). <strong>Member</strong>s. Full <strong>Member</strong>s, Associate <strong>Member</strong>s, Non-Voting Affiliate <strong>Member</strong>s<br />
and Non- Voting Honorary <strong>Member</strong>s are referred to jointly as "<strong>Member</strong>s"<br />
throughout the By Laws, unless noted otherwise.<br />
Section 3.3. Application for <strong>Member</strong>ship.<br />
A qualified applicant for any Class of <strong>Member</strong>ship will be subject to approval for<br />
membership upon:<br />
(a) Payment of such annual dues, fees and assessments as the Board of<br />
Directors may establish; and<br />
(b) Approval by an affirmative vote of a majority of the Board of Directors.<br />
Section 3.4. <strong>Member</strong>s Subject to By-Laws.<br />
All <strong>Member</strong>s of the Association are subject to the regulations set forth in these By-<br />
Laws and as they may from time to time be amended.<br />
Section 3.5. Voting Rights.<br />
Each Full <strong>Member</strong> and Associate <strong>Member</strong>, shall be entitled to one vote on each<br />
matter submitted for a vote of the <strong>Member</strong>s. Each Full and Associate <strong>Member</strong><br />
which is a partnership, a corporation or other similar entity shall appoint one<br />
individual who shall represent and vote for that Full or Associate <strong>Member</strong>. Each<br />
Full and Associate <strong>Member</strong> shall have one vote regardless of the number of<br />
facilities the Full or Associate <strong>Member</strong> owns or controls.<br />
Section 3.6. Termination of <strong>Member</strong>ship.<br />
The Board of Directors, by affirmative vote of two-thirds of all the <strong>Member</strong>s of the<br />
Board, may suspend or terminate a member for cause, including but not limited<br />
to, violation of these By-Laws, unethical practices, or conduct inconsistent with<br />
the purposes of the Association.<br />
