Board of Directors not less than thirty (30) days prior to the membership meeting<br />

at which a vote for Directors is to be held.<br />

All nominees to the board/officers shall be required to complete a questionnaire<br />

that discloses their percentage ownership in any facilities and other questions as<br />

deemed necessary by the Board.<br />

Current Board <strong>Member</strong>s of competing Georgia Self-Storage Organizations shall<br />

not be allowed to serve on the Georgia Self-Storage Association, Inc. Board of<br />

Directors.<br />

Section 5.4 Ballots for Elections<br />

Election shall be held by written or electronic ballot listing the names of all<br />

nominees.<br />

Ballots shall be tabulated and certified as determined by the Board of Directors<br />

and those nominees who, by a plurality, receive the most votes shall be deemed<br />

elected. Ballots may be created for each voting <strong>Member</strong> only. There will be no<br />

nominations from the floor. Full <strong>Member</strong>s should vote only for Full <strong>Member</strong>s in<br />

Board elections. Associate <strong>Member</strong>s should vote only for Associate <strong>Member</strong>s in<br />

Board elections. Full members only shall be entitled vote for the President Elect.<br />

Section 5.5. Resignation of Director.<br />

A Director may resign at any time by giving written notice to the Board of<br />

Directors. The resignation shall take effect at the time specified or, if no time is<br />

specified, at the time of acceptance by the Board of Directors. Failure by a Director<br />

to attend three consecutive meetings of the Board of Directors may be considered<br />

a tender of resignation of such Director. Such tender of resignation may be<br />

accepted by the Board upon an affirmative vote of a majority of the Directors<br />

excluding the Director whose resignation is being considered.<br />

Section 5.6. Removal of Director.<br />

A Director (and officer) may be removed at any time, with or without cause, by a<br />

two-thirds (2/3) vote of <strong>Member</strong>s of the Board of Directors.<br />

Section 5.7. Vacancies.<br />

Any vacancy occurring in the Board of Directors, and any Directorship to be filled<br />

by reason of an increase in the number of Directors, shall be filled by the Board<br />

of Directors. A Director elected to fill a vacancy shall be elected for the unexpired<br />

term of his, her or its predecessor in line. The Board of Directors shall have the<br />

option to wait until the next annual meeting to fill a vacancy by the normal<br />

nomination and election process.<br />
