The Mission
Hummingbird Music (‘HML’) has been established to take advantage of the early-stage talent
investment void.
As a Talent Incubator, it will supply skills and supporting infrastructure, enabling artists to flourish
and progress to the next level, with the potential of up-selling to established/major record
companies.
Drawing on a World-class in-house song-writing and production team that has a proven track
record of developing emerging talent to major global deals, HML’s intention is to invest in three
artists, Jack Rainey, LOOPi and AN Other (TBC) to create, distribute and exploit contemporary
‘pop’ music.
In addition to generating income from music-based activities, HML will benefit by building a
catalogue of both recording and publishing rights, retaining an interest in both.

The Plan
• The HML song-writing and production team will create 6 masters per artist with a 50%
interest
• Develop 4 related assets per master (original, remix, acoustic, piano)
• All assets to be promoted via Spotify/Apple targeted playlists and digital marketing
activity (socials/biogs) supported by video
• Tracks to be released in digital format only via HML securing an appropriate distribution
partner
• Principal income generated from streaming activity and publishing
• Ancillary income generated from live, merchandising, brand partnerships and sync
licensing into film and television
• Possibility of highly lucrative royalty participation via licensing recordings to established/
major record companies
• Creation and retention of rights in IP (i.e. catalogue of songs/recordings) accruing future
value

The Team
Torsten Stenzel
PRINCIPAL PRODUCER & DIRECTOR
Carrying a rep as one of the world’s top trance producers, Torsten Stenzel is probably bestknown
for his efforts as one half of the duo York. Hailing from Germany, he grew up on classical
music and was a skilled piano and organ player from an early age.
When the dance music scene exploded across Europe during the early ‘90s, the young Stenzel
couldn’t help but get involved. With his first No.1 hit before the age of 21 (N.U.K.E. - Nana),
his work has regularly graced dance charts all over the continent ever since, mainly with DJ
Taucher, Diver & Ace, and, of course, York.
Following their first single, “Awakening”, in 1998, they have caused waves all over Europe, in
particular, the U.K. - with their delectable brand of trance house. Torsten has also remixed and/
or produced for Moby, DJ Sakin, Faithless, Mike Oldfield, Chris Rea and many others.
With several Platinum and Gold records under his belt, including with Hummingbird cofounder
Adrian Zagoritis, recently Torsten has worked as an A&R, developing young artists
from ‘unknowns’ (Shady Brothers, Au/Ra) into signed artists with major labels. His experience
managing his own daughter Jamie, whom he helped sign a five album worldwide deal with Sony,
has been invaluable, and he has discovered and nurtured other artists to a high standard.
He continues to produce and release excellent remixes on his long-time record label Planet
Love Records.

Adrian Zagoritis
PRINCIPAL SONGWRITER & DIRECTOR
Born and bred in Kenya, Adrian’s passion for music brought him to the UK, where in the late 90s
he worked with Maxi Priest and hitmakers Stock & Aitken. His song-writing success in the early
OOs included a platinum-selling hit in seven countries (Automatic - EliZe), and several pop/
dance releases with fellow Hummingbird co-founder Torsten Stenzel. These saw Adrian signed
to a worldwide deal with Universal Music Publishing.
Since then he had hits with several X-Factor winners, and worked with Rob Harris and Matt
Johnson of Jamiroquai. Many of Adrian’s 450 record releases worldwide have charted in over a
dozen countries. He has achieved four IFPI Platinum Awards and eight IFPI Gold Awards.
In 2011 he set up his own company Shimmer Music Publishing, and has twice been invited as
guest speaker at the UK Music Publisher’s Association (MPA).
Adrian continues to enjoy success as a writer and producer. He had a recent UK Dance chart Top
10 with Funkstar De Luxe (producer of Bob Marley’s ‘Sun Is Shining’), and is currently writing a
musical called ‘Handbags and Gladrags’ with Ivor Novello award-winner Mike D’Abo (ex-Manfred
Mann).
Torsten and Adrian’s fruitful longstanding collaboration, and their dynamism in spotting
and nurturing young artists, makes them the ideal duo to drive Hummingbird forward
into an exciting future.

Ed Wood
COMMERCIAL DIRECTOR
Ed Wood, Chartered Accountant by training, Entrepreneur by inclination, has worked with many
companies, smaller and larger, across many sectors, for almost half a century.
He is widely experienced with start-ups, scale-ups and growth situations.
His skills, as both an auditor and then an entrepreneur, have benefitted companies as diverse
as Gore Browne Investment Management, Savills Rural, Yousoft, Marine & Aviation Finance
International, among many others. He also has considerable experience in the roles of Director,
Non Executive Director, Chairman, and Trustee.
Ed is also the Arbishop of Canterbury’s appointee as Trustee to The Magdalen Hospital Trust.
His new company, Runway Advisors, brings together twenty-five other professionals who give
forensic advice to both start-ups and established companies.
He is well able to keep a cool head as a former commercial helicopter pilot with several thousand
hours of flying experience, and has the knack of getting quickly to the pith of what needs doing.
As the Chairman of a firm of accountants in the music industry, and as a Non Executive Director
and former Managing Director of Standon Calling, a well-known music festival, Ed brings to
Hummingbird a combination of his broader experience and music industry-specific focus.

Nick Lawrence
FINANCE DIRECTOR
Nick is the founder & CEO of BigStar Business Management.
Nick has a decade of senior experience of blue-chip corporate accountancy. But for all the skills
and practical expertise he gained in his corporate past, he became disillusioned with traditional
accountancy. The spreadsheets. The detachment. The elevator music. All of that was precisely
what he didn’t want to be a part of.
Meanwhile, bubbling away in the background, Nick had nursed a lifelong obsession for music
and the arts. Had he been a better DJ, he might have just run off and done that. Instead, he
decided to put his passion and his profession together and do accountancy his way.
In 2017, he founded BigStar Business Management. And he’s not looked back, building a roster
of world-beating talent from both the front and back stages of the entertainment industry - all
of whom share his belief that good accountancy and business management should be actively
in sync with career ambitions, aspirations and success.

The Talent
Jack Rainey
Jack Rainey was born in the paradise of Antigua growing up in a happy, musical household, with
both his parents earning their livings as professional musicians.
By the age of 10 Jack could play the piano, guitar and flute. He wrote his first song aged 13, and
has continued to express himself as a singer/composer ever since.
Spotted at the age of 15 by visiting modelling agency BHS in Antigua, he was invited to London,
eventually signing to Select Model Management. Advertising campaigns featuring Jack included
Topman, and he remained with Select until the age of 19. He left Antigua for the USA, where his
talents were recognised in his being accepted into the prestigious Berklee College of Music.
On returning to Antigua, work included gigging as guitarist and vocalist with a 5-piece band rock
band Sound Citizens. Now bitten by the performing bug, Jack continued to gain more valuable
stage experience by immersing himself in ‘open mic’ nights where his musical improvisation and
instrumental skills improved exponentially.
Recently he became acquainted with Hummingbird director Torsten Stenzel, who instantly
recognised his considerable appeal. A writing and recording session with Jack soon convinced
Torsten that he had chanced upon a rare commodity: namely, a naturally- gifted young artist
with a flair for music from an early age, a gift for performance and a deep desire and ability to
communicate his music to a wider audience.

LOOPi
LOOPi was born a free spirit in Sweden. She was one of two students who achieved a music
scholarship on finishing High School. She now studies music in Malmo at Spinneret, a prestigious
institution with a focus on the personal development of artists, with a premium placed on truthful
self-expression and live performance.
At 19, LOOPi created her first album, which gave her complete responsibility over the entire
writing, producing, recording, mixing, and even video production processes. Successfully released
after months of hard work, the standout song was Fade Away, which reached over 300,000 plays
on Spotify.
LOOPi’s stage experiences then included accompanying a Symphony Orchestra at Helsingborg
Concert Hall, culminating in three soldout shows. Festival appearances in Denmark and several live
solo shows followed. Her reputation for live performance and stage presence continued to grow.
At the age of 21 LOOPi was hand-picked to be a part of Major Tom, an incubator for artists who
are given the opportunity to learn about the music business, receive individual coaching, and work
with talented people within the world of music.
Recently she came to the attention of Hummingbird, who were impressed with her talent,
charisma, and artistic integrity. Her passion for live performance and profound understanding of
the entire creative process convinced them that here indeed was a unique talent, ready to fulfil
her considerable potential. Like the lyric from her song - “I’d rather burn than fade away” - it’s a
mantra that LOOPi holds close to her heart.

Investment
HML is seeking investment of £150k to fund asset creation and promotion costs, plus
overhead.
51% of the issued share capital is to be retained by HML founders, leaving 49% available to
investors in the form of ordinary shares.
Investors should understand that this is not an initiative that generates a swift return and
therefore exit. The creation of music as an art-form with absolute integrity is paramount, and
timing cannot be appropriated to its financial return. It is therefore envisaged that exit cannot
be considered for a minimum of 5 years post money.
SEIS assurance will be progressed but cannot be guaranteed. .
