Section 8.2. Checks and Drafts.All checks, drafts or orders for payment of money, notes or other evidences ofindebtedness issued in the name of the Association shall be signed by such officeror officers, agent or agents, of the Association and in such manner as shall fromtime to time be determined by resolution of the Board of Directors.Section 8.3. Deposits and Depository.All funds of the Association shall be deposited within five (5) business days ofreceipt to the credit of the Association in such banks, trust companies or otherdepositories as the Board of Directors may select, except that all such depositoriesmust be insured by the Federal Deposit insurance CorporationSection 8.4. Gifts.The Board of Directors may accept, on behalf of the Association, any contribution,gift, bequest or devise for the general purposes or for any special purpose of theAssociation.Section 8.5 Salaries of Employees.The Board of Directors shall hire and fix the compensation of any and allemployees which they in their discretion may determine to be necessary for theconduct of the business of the Association.56ARTICLE IXBOOKS AND RECORDSSection 9.1 Books and Records:The Association shall keep correct and complete books and records of accountand shall also keep minutes of the proceedings of its Members, Board of Directorsand committees having any of the authority of the Board of Directors, and shallkeep at the registered or principal office giving the names and addresses ofthe Members entitled to vote. All books and records of the Association may beinspected by any member, or their agent or attorney, for any proper purpose atany reasonable time. Financial reports consisting of at least an Income Statementand Balance Sheet shall be provided annually to the membership.ARTICLE XDUES, FEES AND ASSESSMENTSSection 10.1. Amount.The Board of Directors may determine from time to time the amount of initiationfee, if any, and the annual dues and assessments payable to the Association byMembers.
Section 10.2. Payment.Dues shall be set by the Board of Directors and shall be paid annually. Duesshall be payable in advance and shall cover a membership period of twelve (12)months or at the discretion of the Board of Directors. In the event of a Member'sresignation or the termination of any membership, there shall be no refund of anydues previously paid. Dues, fees and special assessments shall be collected by theTreasurer of the Association.ARTICLE XIINDEMNIFICATIONSection 11.1 Indemnification.Any person who at any time serves or has served as a Director or Officer of theAssociation shall be indemnified by the Association to the fullest extent permittedby law against (a) expenses, including reasonable attorneys, fees, actually andnecessarily incurred by him or her in connection with any threatened, pendingor completed action, suit or proceeding, whether civil, criminal, administrativeor investigative, whether formal or informal, and whether or not brought by oron behalf of the Association, arising out of his or her status as such director, orhis or her status as an officer, employee or agent of the Association, or his or herservice, at the request of the Association, as a director, officer, partner, trustee,employee or agent of any other association, partnership, joint venture, trustor other enterprise or as a trustee or administrator under an employee benefitplan, or his or her activities in any of the foregoing capacities; and (b)any liabilityincurred by him or her, including without limitation, satisfaction of any Judgment,money decree, fine (including any excise tax assessed with respect to an employeebenefit plan), penalty or settlement, for which he or she may have become liablein connection with any such action, suit or proceeding.The Board of Directors of the Association shall take all such action as maybe necessary and appropriate to authorize the Association to pay theindemnification required by these By-Laws, including without limitation, to theextent necessary, (a) making a good faith evaluation of the manner in which theclaimant for indemnity acted and of the reasonable amount of indemnity duehim or her, and (b) giving notice to and obtaining approval by the Members of theAssociation, if such approval is required.Expenses incurred by a Director or an Officer in defending an action, suit orproceeding may be paid by the Association in advance of the final disposition ofsuch action, suit or proceeding upon receipt of an undertaking by or on behalf of57
