the Director to pay such amount unless it shall ultimately be determined that heor she is entitled to be indemnified by the Association against such expenses.Any person who at any time after the adoption of these By-Laws serves orhas served as a Director or Officer of the Association shall be deemed to bedoing or to have done so in reliance upon, and as consideration for, the rightof indemnification provided herein, and any modification or repeal of theseprovisions for indemnification shall be prospective only and shall not affect anyrights or obligations existing at the time of such modification or repeal. Suchright shall inure to the benefit of the legal representatives of any such person,shall not be exclusive of any other rights to which such person may be entitledapart from the provisions of these By-Laws, and shall not be limited by theprovisions for indemnification in applicable Georgia law as of the date of theadoption of these By-Laws or any successor statutory provisions. Any person whois entitled to indemnification by the Association hereunder shall also be entitledto reimbursement of reasonable costs, expenses and attorneys' fees incurred inobtaining such indemnification.Section 11.2 Insurance.The Association shall at all times maintain one or more policies of insurancecovering the Directors and Officers ("D&O Policy") in such amounts and on suchterms as the Board of Directors deem advisable. The Association may maintainsuch other insurance policies and coverages as the Board of Directors may fromtime to time deem necessary or desirable.Section 11.3 Conflict of Interest and Board Membership Agreement.All members of the Board of Directors shall sign a Conflict of Interest Statementannually. Such Conflict of Interest Statement shall bind all members of the Boardof Directors to the rules and regulations stated in the GASSA Conflict of InterestPolicy. In addition to the Conflict of Interest Policy, all members of the Boardof Directors shall sign the annual Board Membership Agreement, listing theresponsibilities of board membership.ARTICLE XIIDISSOLUTIONUpon dissolution of the Association, any funds remaining shall be distributed toone (1) or more qualified charitable or educational non-profit organizations, to beselected by the Board of Directors. No part of the funds shall be distributed to theMembers of the Association.58
ARTICLE XIIIAMENDMENTS TO BY-LAWSThese By-Laws may be altered, amended or repealed and new By-Laws may beadopted by a vote of the membership via electronic ballot, with said electronicballot sent to all voting members. A vote of thirty five percent (35%) of the votingmembership is required to pass any alteration, amendment or the repeal of theseBy-laws.ARTICLE XIVNOTICESNotice to the GASSA may be provided in writing by verified mail or via e-mail(receipt required) at the following address:Georgia Self Storage Association, Inc.
