CONTRACT AGREEMENT
THIS CONTRACT AGREEMENT (the “Agreement”) dated this 11th day
of December, 2019.
BETWEEN:
MUEBLERÍA DEL PÓRTICO
Garay 305, S2000 Rosario, Santa Fe, Argentina
(The “Client”)
AND
Carl Coleman Lumberjack Company,
Texas, United States of America.
(The ‘Contractor”)
BACKGROUND:
A. This contract is awarded by Mueblería Del Pórtico, the “Client” to Carl Coleman
Lumberjack Company, the "Contractor" for Tree Felling, Sorting, Chipping & Grinding,
Mulch Turning & all activities involved in the supply of timber in Weogufka forest in
Cossa County.
B. The Client is of the opinion that the Contractor has the necessary qualifications,
experience and ability to provide these services to the Client.
C. The Contractor is agreeable to providing such services to the Client on the terms and
conditions set out in this Agreement.
IN CONSIDERATON Of the matters described above and of the mutual benefits and obligations

set forth in this Agreement, the receipt and sufficiency of which consideration is hereby
acknowledged, the Client and the Contractor (individually the “Party” and collectively the
“Parties” to this Agreement) agree as follows:
SERVICES PROVIDED:
1. The Client hereby agrees to engage the Contractor to provide the Client with
Lumberjack services.
2. The Services include Tree Felling, Sorting, Chipping & Grinding, Mulch Turning & all
activities involved in the supply of timber in Weogufka forest in Cossa County.
3. The Contractor hereby agrees to provide these services to the Client.
TERMS OF AGREEMENT
4. The term of this Agreement (the “Term”) will begin on the 11th December, 2019, and
will remain in full force and effect until 18th day of October, 2020, subject to earlier
termination as provided in this Agreement.
5. The Contractor shall commence the project on the 20th day of December, 2019.
PERFORMANCE
6. The Parties agree to do everything necessary to ensure that the terms of this agreement
take effect.
CURRENCY
7. Except as otherwise provided in this Agreement, all monetary amounts referred to in
this Agreement are in the United States Dollars.
8. For the services rendered by the Contractor as required by this Agreement, the Client
will provide compensation to the Contractor.
COMPENSATION
9. For the services rendered by the Contractor as required by this Agreement, the Client
will provide compensation, Five Million and, Six Hundred Thousand Dollars
($5,600,000.00) to the Contractor.
10. 70% of the total compensation amounting to Three Million, Nine Hundred Thousand
Dollars ($3,920,000.00) shall be paid to the Contractor before commencement of the
project.
11. The balance of One Million, Six Hundred and Eighty Thousand Dollars ($1,680,000.00)
will be payable upon completion of the services.
FORM OF COMPENSATION.
12. The Client agrees to pay via Direct Bank Transfer.
TERMINATION OF CONTRACT
13. The Contractor agrees that if the project is not completed on or before the 18th day of
October, 2020, the contract would be declared null and void. No monies shall be

remitted to the Contractor by the Client, and a lawsuit instituted against the Contractor
for breach of contract.
IN WITNESS WHEREFORE the Parties have duly affixed their signatures under hand and seal on
this December 11th, 2019.
