In academies all around the world, children teach themselves

to be a Climate Justice Ambassador – over 88 000

children from 74 unique countries are already part of the

GENERAL TERMS AND CONDITIONS OF BUSINESS

METHOD OF PRINTING:

We work with the following methods of printing:

Flexo printing (flexible materials)

Pad printing (tins)

Offset printing

In the above mentioned printing methods positioning deviations may occur due to technical

grounds. With flexo printing positioning deviations may occur in the motif up to 0,5 mm

FORMAT OF FILES:

Preferably: Adobe Illustrator (CC), Adobe Photoshop (CC) or Adobe InDesign (CC).

RESOLUTION:

Required resolution for motifs: minimum 300 dpi Required resolution for non-screen and

screen motifs: 1200 dpi. Please provide vectorized files.

Lettertypes: if not vectorized please provide the corresponding lettertype format file.

COLOURS:

We work partly with translucent colours. These translucent colours may not cover completely

the surface below and a white under layer is often necessary to obtain the required colour.

Please let us know the exact colour required. We work with HKS and Pantone colours. We do

not work with RAL colours. We can approximate RAL colours (according to Pantone or HKS

colours). Letterheads, business cards and brochures can be used as colour artwork. The print

result may vary according to the material used. We will try to match colours, but do not take

responsibility for the result obtained if detailed HKS or Pantone colours are not provided.

Variations in the nuances of the Pantone and HKS colours are no grounds for a claim.

Each motif and each product will be handled individually. It is not possible to assume all eventualitiesin

written form. Here and in the technical data sheets is written basic information

only, for which we cannot take full responsibility. We are happy to advise about the product

and the motif. It is not possible to advise without the print motif, therefore the print motif is

required before any offer advice is offered.

No film or artwork is to be prepared with a raster motif without prior consultation.

A copy of the motif as colour artwork is required when data is sent digitally. The colours have

to be colour binding. Printing is not possible without paper artwork or colour binding artwork.

FOOD INFORMATION REGULATION:

Since December 13, 2014 the rules of EU-regulation 1169/2011 concerning the Food Information

Regulation (LMIV) have to be observed. This regulation includes the ingredients list, the labeling

of allergens, the product name (within the visual area), the net quantity (within the visual

area), the best before date as well as the full name and address of the distributor. All legal

requirements have to be printed clearly and readably with a minimum font size of 1,2 mm

related to the letter „x“. As soon as the maximum surface area of the packaging is less than 80

cm², the minimum font size is 0,9 mm. Concerning smallest packaging - that is less than 10

cm² for the maximum surface area - only the most important legal requirements (such as the

product name, the net quantity, the best before date) have to be mentioned - however in the

font size of 0,9 mm related to the small x.

DELIVERY QUANTITY VARIATIONS:

Variations in the quantity delivery of up to 10% may occur. This is unavoidable.

PERISHABLE FOODS:

Perishable foods are non returnable. Please inspect the merchandise upon receipt and inform

us immediately or within 24 hours if there is a problem.

Subsequent claims cannot be accepted. As soon as the goods leave our premises, they are

no longer our responsibility. Neither qualitative nor legal responsibility can be taken concerning

the food.

DAMAGE OR LOSS:

Damage due to transit and delivery are to be noted on the consignment note upon receipt of

the goods and are to be confirmed and signed by the carrier. Pallet damages which have not

been noted on the consignment note cannot be considered as shipping damages. Attention

should be made upon delivery of the packaging. Irregularities are to be noted and photographed

immediately.

DELIVERY TIME:

The date/week of dispatch is considered as the delivery date or delivery week, this is not to

be confused with the date/week of arrival.

An arrival date/week cannot be confirmed and is therefore not binding. Once the goods have

been handed to our forwarding agent, the transit time required by our forwarding agent is not

our responsibility. A forwarding agent may be stipulated by yourselves.

A fixed delivery date can not be confirmed, however, in the case of a fixed delivery date we

hold no responsibility for the forwarding agent.

This will depend upon the date of printing approval from yourselves and not upon receipt of

artwork. We will not print without any printing approval. No delivery time will be confirmed

without any printing approval. Any corrections made must be corrected by our appointed

graphic designer. A new copy of the corrections will be sent to you for acceptance and must

receive a final approval before printing commences.

CORRECTIONS:

Please read through the corrections thoroughly. If you cannot recognise a part of the copy

please contact us. Once the text has been approved for printing we are not responsible for

errors overlooked by yourselves. Approval for printing is a mandatory part of an order.

In case of cancellation, costs incurred up to approval for printing are to be paid.

Colours variations for reprints may occur due to technical grounds and are unavoidable.

Variations in the nuances of the Pantone and HKS colours will not be recognised as part of a

claim.

Two corrections may be made at no extra cost. In the case of a third or more correction we

have the right to charge a fixed amount. We recommend you contact us before the production

of the print files. Therefore unnecessary costs will be avoided.

Assistance can be offered throughout layout proposals. An offer concerning these costs will be

made after the calculation of expenditure.

An original print samples is possible, this will be charged according to the motif. However, a

print sample will delay delivery time.

CLAIMS:

Claims have to be proved. A minimum amount of 10% of the entire quantity of an order must

be affected and returned in the original packaging. In the case of a print claim, 10% of the

entire quantity of an order must also be affected and returned in the original packaging.

Claims concerning the flavour and the constitution of the foods will only be accepted if the

goods have been kept and stored correctly. Please contact us concerning the latest date of

consumption and other important facts.

It should be noted for example that foods such as chocolate should be stored at room

temperature and jellies are sensitive to heat and humidity

Our products are either packed according to weight or are counted. The quantity variation per

carton depends on the machine and the products. The final quantity is controlled. In case of

irregularities per carton, please check the final quantity supplied.

We ask for your patience if a slight delay occurs in response to your enquiries. We believe it

approved in writing by us.

2. OFFERS AND CONCLUSION OF CONTRACTS

2.1 Offers are subject to alteration without prior notice and agreement.

Orders are to be confirmed in writing from both us and the client and are legally binding. Any

additions, modifications or collateral agreements are also to be agreed in writing.

2.2 Liability of drawings, pictures, proof sheets, films, measures, patterns, any necessary tools

required for production, master stamps, etc required for special designs of all kinds, weights

or any other units of performance are subject to an agreement in writing.

2.3 Offers are exclusive of freight costs and film costs, unless agreed to in writing.

2.4 Due to insolvency or credit-unworthiness of the purchaser or severe violations of his contractual

agreement we have the right to withdraw fully or partially from the contract, unless an

appropriate payment is made in advance by the purchaser.

3. SAMPLES

3.1 We maintain the copyright and intellectual ownership of all product samples sent to the

purchasers. This also applies if the purchaser buys the samples.

3.2 We are to be compensated if the purchaser executes an order with another producer after

having received product samples for approval. We reserve the right to apply for injunction.

4. TOOLS OF ALL KINDS, MOULDS, FILMS, DRAWINGS, CLICHEES

4.1 Tools of all kinds, moulds, films, drawings, any necessary tools required for production,

master stamps, and clichees required for special designs of all kind and remain our property

– irespective if the purchaser contributes to the productioncosts.

4.2 Tools of all kinds, moulds, films, drawings, tools for production and artworks, master stamps

and clichees, etc. required for special designs of all kinds will not be used in any way for

other clients for a time period of 5 years starting from the order delivery date.

4.3 The moulds and clichees are to be stored for a time period of 5 years starting from the order

invoice date. digital data which is received via ISDN or e-mail for example will be erased after

12 months. This does not require the purchaser’s agreement.

5. PROOF SHEETS, PRINT

5.1 The production will commence once the purchaser has approved the proof sheet. Any later

claims are to be excluded.

5.2 The printing techniques used are Flexo printing (for flexible packagings), Pad printing (metal

boxes), Offset and Silk Screen printing. Slight deviations from the print positioning are unavoidable

due to technical grounds and are to be accepted by the purchaser. The print colours

accepted are HKS or Pantone colours. RAL colours can be reached only approximately.

The purchaser must accept slight deviations in the RAL colours and any claims from the

purchaser shall be excluded.

6. PRICES

6.1 Provided that no other agreements have been made, the offered price is valid for 30 working

days from date of the offer. The prices stated in the order confirmation will be valid.

6.2 Prices are exworks. The V.A.T. applicable on the day of delivery is added to the prices.

6.3 Prices are exclusive of packaging, freight costs, moulding costs, film costs, drawings,

clichees, additional costs for any necessary tools required in the production, costs for master

stamps and special designs of all kinds, unless agreed in writing.

6.4 Prices do not contain design costs. Costs for design proposals, layouts etc. are to be agreed

before placement of an order. We reserve the right to charge for design and layout costs.

6.5 We retain the copyright and intellectual ownership of all design and layout proposals, even if

the purchaser’s logo has been used. In case the purchaser performs the order with another

supplier by using our design and layout proposals the purchaser agrees to compensate us

for the damage. We reserve the right to apply for injunction. We are under no obligation to

hand out our designs and layouts.

6.6 If the purchaser orders less than the quantity offered by ourselves then we have the right to

add 10 % to the net price for this shortage.

6.7 The purchaser has to accept a tolerance of +/- 10 % to the ordered quantity, without change

to the agreed prices. Quantity deviations may occur on technical grounds and the purchaser

has no right to any supplementary deliveries.

7. TIME OF DELIVERY AND SERVICE

7.1 All dates and time limits are subject to change, unless agreed otherwise.

7.2 We are not responsible for any delays regarding delivery and service even if datesand time

limits had been agreed due to Force Majeure or occurrences which severlyimpede or make

delivery impossible – this also includes difficulties in gainingraw materials, breakdowns, strike,

lock-out, official instructions etc., even if theyoccur with our suppliers or subcontractors.

We are permitted to postpone the delivery date or service for the time of impediment plus a

suitable initial time or to withdraw partially or completely from the contract for the up to that

time unfulfilled delivery or service.

7.3 If the impediment lasts more than 3 months after the suitable additional time the purchaser

may withdraw from the unfulfilled part of the contract.

7.4 We are authorized to make partial deliveries and perform partial services at any time.

8. RISK TRANSMISSION

8.1 The risk transfers to the purchaser immediately the merchandise has been accepted by the

forwarding agent or has left our premises to be shipped. If shipment is impossible through

no fault of our own, the risk transfer to the purchaser with the information that the goods are

ready for shipment. The purchaser is free to nominate a forwarding agent. If this is not the

case, we are authorized to nominate the forwarding agency who work for us. If the transport

costs of our forwarding agent are higher than those compared to other forwarding agent,

then the purchaser has to pay these costs.

9. WARRANTY

9.1 The merchandise we supply is perishable. Only fresh products are delivered. The purchaser

must consult us regarding the shelf life of the individual products. The minimum shelf life we

state applies only if the goods are stored correctly.

9.2 Complaints must be made in writing by registered letter or by fax and are to be made within

3 days after receipt of the merchandise. In case of justified complaints we are required to

redeliver new goods or to reduce the purchase price. Any further claims are excluded. The new

goods will be delivered to the purchaser without delay at our expenses. The price reduction

is determined by ourselves.

9.3 The stipulations above contain the entire warranty for our products and exclude any other

warranty claims of any type.

10. PAYMENT

10.1 Our invoices are payable within 30 days after issue, unless agreed upon, without any

deduction.

10.2 Payment is considered as having been made only when the amount is at our disposal. In the

case of payment by cheque, payment is considered as having been made only when the

cheque has been credited to our account.

10.3 If the purchaser should fall into payment arrears, we are entitled to add interest at a rate of 5

percentage points above the relevant basic discount rate.

10.4 If the purchaser does not meet his liability to pay or if conditions become known which throw

doubt on the credit-worthiness of the purchaser the entire remaining debt of the purchaser

shall immediately become due for payment, even if cheques had been accepted. In this case

we are furthermore entitled to demand payments in advance or security deposits.

10.5 The purchaser is entitled to claim offsetting, retention or diminution, even when complaints

or counter-claims have been raised, only if we have given our express consent in writing or if

the counter-claims have been established as final.

10.6 We reserve the right to charge the agreed services either by mail or by email.

11. PLACE OF EXECUTION AND JURISDICTION, PARTIAL INVALIDITY

11.1 German law applies.

11.2 As far as legally authorised the place of execution and jurisdiction for any disputes that may

arise between the parties out of their contractual relationship shall be Fürstenfeldbruck,

Germany.

11.3 Should any provision of these Terms and Conditions of Business or of any other agreement

prove to be invalid, this shall not affect the validity of the other provisions or agreements.

11.4 The purchaser is to give his consent to the storage of his data in our EDV system and to the

utilization of these data for the entire execution of the contract.
