They say no winter lasts forever, no spring skips its turn. As we move into a new<br />
season, we would thank you for your continued business after yet another<br />
unprecedented year and share some excitement over what’s to come.<br />
Our team has been hard at work designing new collections while bringing you<br />
signature favorites. In our core assortment, we’ve added extended sizing and<br />
new prints, and in seasonal we have new colors and styles arriving. Recognizing<br />
how our organic clothing uniquely captures the magic and beauty of childhood,<br />

MINIMUM PURCHASE COMMITMENT<br />
All the little details...<br />
As a partner of Pehr, you need to commit to reach $10,000 CAD/USD per year.<br />
Expectations and growth for the coming year will be discussed and agreed in partnership<br />
with your account manager, no later than 2 months before the end of the year.<br />
PLACING AN ORDER<br />
This Agreement is between Pehr Designs (referred to as we, our or us) and the<br />
Customer (referred to as you or your) and consists of these Key Terms and the<br />
General Conditions:<br />
Please submit your order via our vendor Shopify – once you have been approved you will<br />
be given the link to your account. For any questions, please email orders@pehrdesigns.<br />
com. Please note, orders not placed via our portal may be subject to delays.<br />
SHIPPING<br />
APPROVED RETAILER / 3RD PARTY<br />
To become an authorized retailer, please complete our application form.<br />
We do not allow you to re-sell our products on a third-party marketplace such as<br />
Amazon or eBay (non-exhaustive list).<br />
Please allow 7-10 business days for order processing and shipping.Shipping Rates<br />
are automatically calculated based on your total cart value at checkout. Our default<br />
carrier is Purolator. You can request for rushed orders at your expense. Orders ship from<br />
Mississauga, ON. Order ship from St louis, MO’ for US and INTL customers.<br />
SHIPPING ERRORS/DAMAGED GOODS<br />
WHOLESALE PRICES – MAP/MSRP<br />
Please contact orders@pehrdesigns.com if you need to make a return.<br />
<strong>Wholesale</strong> prices* are available to approved retail store and/or website.<br />
You are not permitted to sell any Pehr products for less than the MAP/MSRP.<br />
For temporary discount, please contact your sales rep prior to the sale. *Prices<br />
do not include freight, insurance, applicable surcharges, taxes, duties or other<br />
government charges, all which are your responsibility.<br />
PAYMENT<br />
Payment is due at order submission. We accept credit cards including MasterCard, Visa,<br />
and Amex. We also accept wire transfers. It is your responsibility to keep all credit card<br />
information up to date with Pehr Designs.<br />
MINIMUM ORDER<br />
The minimum order is $2,000 CAD/USD for the opening order and $600 CAD/ $500<br />
USD for any re-orders. Please note shipping is not included.<br />
For Nursery and Décor, we ask for:<br />
- a minimum of 4 units per SKUs for categories under $25 CAD/$19 USD<br />
(small storage, hats, bibs, swaddles, crib sheets, change pads ...),<br />
- a minimum of 2 units per SKUs for categories above $26 CAD/ $20 USD<br />
(larger storage, hooded towels, mobiles, playmats, …)<br />
For apparel, we ask for:<br />
- a minimum of 2 units for separates and rompers (excepted for seasonal<br />
collections)<br />
- a minimum of 4 units for hats (and seasonal collections).<br />
EXCLUSIVITY<br />
We do not offer exclusivity of the Pehr Designs brand products in any one geographical<br />
area. However, we strive to coordinate a non-competitive environment among our<br />
customers by selling to customers that are a reasonable distant from each other or offer<br />

TERMINATION<br />
If the Customer fails to meet the annual minimum purchase commitment, or fails to<br />
comply with the terms and conditions of the trading agreement as set out above, Pehr,<br />
at its sole discretion, has the right to terminate the trading agreement with Customer on<br />
providing 60 days notice to the Customer<br />
