ORGANIZATION, ACTIVITIES AND BENEFITS OF THE ENGINEERING 

SOCIETY OF BUFFALO, INC. 

The Engineering Society of Buffalo has ―roots‖ which were seeded in 1889 by a Civil Engineer, Mr. George R. Sikes. 

Exploratory letters to Buffalo area Engineers and Industrialists began on August 16, 1889 and sounded the interest to 

forming an Engineers Club. 

Responses were mixed and the matter is seemingly put to rest when suddenly an April 2, 1894 letter invites prominent 

Engineers to a meeting, the sole purpose to form a Society of Engineers. 

Then, in November of the same year, another meeting is held in the Committee Rooms of the Common Council of the 

City of Buffalo, the decision being made to form an Engineering Society. 

The original Constitution and By-Laws is adopted December 19, 1894 with the original Membership of this Engineers’ 

Society of Western New York totaling twenty-five. Western New York was opted instead of Buffalo to obviously 

encourage Membership from Niagara Falls, Lockport and other surrounding areas. 

The Society was reformed in 1912 as the Engineering Society of Buffalo with a revised Constitution and 

By-Laws accepted March 13, 1913. 

Seven years later, the Society opted for Incorporation and the petition for same was filed about August 30. Six weeks 

later, on October 13, 1920, the Society became ―The Engineering Society of Buffalo, Incorporated.‖ 

Various Memberships to this Society include Regular Membership, Student Membership, Sustaining Membership, Life 

Membership, Honorary Membership, Retired Membership, and the 1996 classification of Corporate Membership which 

then includes Associate Membership. 

The Engineering Society of Buffalo, Inc. is a publicly supported organization under section 501 (C) (3) of the Internal 

Revenue Code and is accepted under the Not-For-Profit Corporation Law. Contributions in the form of bequests, 

legacies, devices, transfers or gifts are deductible for Federal Estate and gift tax purposes. 

The rise and fall of the Industry on the Niagara Frontier is chronicled in our Memorabilia and our presence remains 

strong with timely technical meetings, interesting tours, educational seminars/courses and social events. 

One of our most important contributions is to foster the Engineering Profession by providing Engineering Scholarships 

for sixteen students each year. An Annual Scholarship Run is held each summer to raise funds and it provides a great 

opportunity for the Membership to support of a worthy cause. The technical tours are second to none, and expose the 

attending Membership to the current technologies. 

It is with pride that we have conducted Professional Engineering Review Courses since 1935. These review courses 

are presented by qualified lecturers at evening sessions to prepare the attendant for the Professional Engineer 

Examination. 

The ESB numbers among its Members leading Engineers, Business and Industrial leaders. It is here that our Members 

meld with their peers, realizing the many career opportunities and responsibilities. 

The local Business and Industry showcase their equipment, products and services in the Society newsletter, the 

Western New York Engineer. 

To balance technical pursuits the ESB arranges a well-rounded program of social activities including the Past President’s 

Dinner, Annual Golf Outing, Holiday Social, Bowling League and Annual May meeting for Election of Officers 

and Directors. 

The Society actively pursues the February Engineer’s Week and exhibits our wares to the public. All of the foregoing is 

visually and verbally professed for community awareness. 

Membership in the ESB provides an excellent way of networking with people through leadership and speaking skills. An 

ancillary unity is the ESB Toastmasters, dedicated to speech and demeanor and presentation before others. 

Members receive monthly issues of the Western New York Engineer providing technical, educational and social events 

of the Society, while producing interesting and thought provoking articles. A calendar of local 

affiliated Society events are published as received.

A BRIEF ESB HISTORY - (1944 - 2001) 

In 1944, the Engineering Society of Buffalo was celebrating it’s 50 th birthday. The U.S. was in a bitter struggle of World War II but the tide was rapidly 

turning in our favor. We were victorious and the war ended in 1945. This year was the first year of our next ―50‖ Golden Years. 

The ESB office was located at the Statler Hotel, our monthly publication was titled ―Engineering‖, Executive Secretary was Margaret Dewyr, our 

President was Clair O. Dean and the 50 th Anniversary Roster extra copies sold for $1.00 each. 

The bowling league consisted of 10 teams and the top bowler was George King with a 179 average. Jim DeSerio was awarded the Kenmore Junior 

Chamber of Commerce Silver Key for outstanding civic work in Kenmore. 600 people attended a technical meeting in February 1945. Mr. Pendary of 

Westinghouse spoke on ―Going to the Moon via Rockets‖ which will drive the moon vehicle through the air faster than sound. 

March 1945, designation of Edward B. Green of Green and James as Architect for the engineering laboratory building to be erected by the University of 

Buffalo has been announced by Chancellor Samuel P. Capen. The building will cost approximately $150,000. Funds were provided by a campaign 

during 1944. Prof. Paul E. Mohn, Head of the Department of Engineering, conferred with Mr. Green about the plans for the building. This structure 

became the Karr Parker Engineering Building in which many current members matriculated to earn their Engineering degrees. Kenneth K. Koontz was 

the ESB president during this period. 

The July 1945 meeting was held on Thursday the 19 th and the topic was ―This Plastic Age‖ followed by Red Hot World War II Army pictures. 

The Annual Fall Stag in November 1945 was free to members, $3.50 for guests. The Christmas Party in December cost $7.50 per couple which 

included cocktails, dinner and dancing to live music. 

The Engineering Council was formed in February 1946 with ESB taking the lead in forming this organization. In July 1946, the Engineering Council 

name was changed to ―Technical Societies Council of the Niagara Frontier‖ with ESB member George W. Gleasner the first chairman. 

In September 1946, our Paul E. Mohn, new Dean of the School of Engineering at UB announced that the new School of Engineering building would be 

dedicated October 3,1946. 

In September 1950, ESB established a scholarship for the study of engineering at UB. The first winner was Mitchell J. Banas, who was awarded $100 

per year for a total of $400. Tuition at UB was about $650 per year at that time. This important and very significant program began under the presidency 

of Charles D. Zacher. 

The Past President’s Dinner in September 1956 featured Melvin H. Baker as our guest speaker. Mr. Baker was the founder and Chairman of the Board 

of National Gypsum Company, the largest corporation with headquarters in Buffalo. He spoke on ―The Future of the Construction Industry‖. 

Total ESB membership in 1956 was 800 (an all time high). 

Mildred Fritz (later Vater) was appointed Executive Secretary of ESB in July 1957. 

The Toastmaster’s Club of ESB was started December 1958. 

Still another first- Diana Franklin became the first female ESB scholarship winner to SUNY at Buffalo in 1961. 

An article appeared in the September 1964 issue of the Bulletin entitled ―The Erie Canal‖. The first earth of the Erie Canal was turned at Rome, New 

York on July 4, 1817. The first hydraulic cement for the canal was imported from Britain. On November 4, 1825, DeWitt Clinton emptied into the ocean 

the much celebrated keg of Lake Erie water. The cost of the canal was $9,027,455.05, or some $24,869 per mile. 

John Elfvin announced that ESB would be involved in awarding Karr Parker Scholarship Fund money. (While a member of the ESB, Mr. Elfvin became 

a U.S. Judge for the Western District of N.Y.) When Howard Strauss became provost at UB, ESB awarded $3000-$4000 annually among several ESB 

scholarship applicants in addition to our awards. This became possible through Howard Strauss and continued until 1989 when the Karr Parker 

Scholarship Fund was depleted per court order in 1974. 

In 1982, the 1 st Annual ESB Scholarship Run was conducted at Delaware Park. Over 230 runners participated which raised over $2,000 for the 

Scholarship Fund. Co-Chairmen, John Beishline and Lee Jasienski, put together a wonder team which included many members wives and friends. The 

enthusiasm, willingness to help, and camaraderie of this group was heartwarming. 

On August 1,1983 ESB moved to our current location at 3200 Elmwood Ave. in Kenmore. This was the former Phillip Sheridan School which provided 

ESB with a readily accessible location, good parking, and very reasonable rent. The same year, 1983, ESB merged with the Erie Niagara Chapter New 

York Society of Professional Engineers and SUNYAB to sponsor the P.E. Refresher Course for the 51 st consecutive year. We were blessed in 

November when Acres American (through the efforts of their president Chuck Witte) donated a Xerox Copier to ESB. 

In January 1984, Marion Reddien retired after 14 years of dedicated, unselfish, friendly, and efficient service to ESB. She was followed by Gayle 

Kenney as our new executive secretary. 

Frank J. McGuire, President 1962-1963, was appointed to the Corporate Board of Directors of Merchants Insurance Group in October 1984. This was 

another in a long list of accomplishments by Frank. 

Professor Howard Strauss was our distinguished speaker at the Past President’s Dinner in September 1985. Howard Strauss, P.E. was associate Dean 

at SUNYAB, Faculty of Engineering. Howard was presented with the Dean’s Award for Engineering Achievement during commencement exercises. 

Howard also had a long, illustrious Military career, retiring in 1970 from the U.S. Navy Reserve with the Rank of Commander. Professor Strauss 

continued to serves with the Scholarship Committee as Co-Chairman with Ed Rutkowski for many years. 

In 1986, Maurice Crook donated $5,000 to the Endowment Fund. As a result, the first ESB Maurice Crook Scholarship was awarded to Michael Leach. 

Marcia Dutko became the ESB executive secretary in November 1986, replacing Kim Sapienza. Good news for scholarship applicants because 

beginning in September 1987 ESB awarded two scholarships to SUNYAB and two to ECC. This doubled the total annual scholarship from two to four. 

Also, Frank L. Ciminelli Construction Co. donated $5,000 (through the diligent efforts of Lee Jasienski) to become the second such donor. 

ESB office efficiency was improved by upgrading our MacIntosh Computer and call waiting was added to our phone capability. 

Michael J. Bauda died November 19, 1989. The Michael J. Bauda Scholarship was funded in December 1989. Recognizing Mike’s love and devotion to 

the scholarship committee, his wife Nancy and brothers Doctor Charles and Joe donated $5,000 to fund the Michael J. Bauda Scholarship which 

became the third such funded scholarship. The first winner of this scholarship was Tiffany A. Baker. 

Horizons Waterfront Commission needed some volunteers with technical capabilities to assist in evaluating current projects. About twenty ESB 

volunteers’ names were submitted along with resumes. To date, Lee Jasienski, Stan Blas, and Dick Weimer have served on this commission. 

The new ESB logo was adopted for use in 1994 to commemorate our 100 th Anniversary. The regular logo was used after 1994. 

In 1995, ―ESB Vision 2000‖ was spearheaded by a special committee to guarantee the vitality of the society through the next century.

THE ENGINEERING SOCIETY OF BUFFALO 

SCHOLARSHIP PROGRAM 

Three new scholarships are available each year for students planning Engineering careers through academic enrollment at 

the State University of New York at Buffalo and Buffalo State College. Past recipients have also represented Erie Community 

College and Niagara County Community College. High school students from Erie and Niagara Counties who anticipate 

acceptance in an appropriate curriculum by one of the institutions above may apply for the scholarships. Recipients must be 

accepted for enrollment beginning with the first semester in the fall following graduation from high school. The awardee is 

selected on the basis of scholastic achievement, financial need, extracurricular activities, and leadership qualities. Currently, 

fourteen students are sponsored by ESB Scholarship Funds under this program. 

Applications must be submitted to the ESB office on or before June 1 st . Application forms may be obtained from the 

Scholarship Committee, The Engineering Society of Buffalo, Inc. 3200 Elmwood Avenue, Room 206, Buffalo, NY 14217 or 

phone 873-4455 between 9:30 A.M. and 1:30 P.M. 

Six special scholarships have been established largely as a result of the tireless work of Ed Rutkowski and Lee Jasienski. The 

six specially sponsored scholarships are: The Maurice C. Crook Scholarship, The Frank L. Ciminelli Scholarship, The Michael 

J. Bauda Scholarship, the Northeast Caissons Scholarship, Edward J. Rutkowski Scholarship, and Mick and Barb Honeck

“FAITH OF THE ENGINEER”

I AM AN ENGINEER. In my profession I take deep pride, but without vain glory; 

to it I owe solemn obligations that I am eager to fulfill. 

As an Engineer, I will participate in none but honest enterprise. To him that has 

engaged my services, as employer or client, I will give the utmost performance 

and fidelity. 

When needed, my skill and knowledge shall be given without reservation for the 

public good. From special capacity springs the obligation to use it well in the 

service of humanity; and I accept the challenge that this implies. 

Jealous of the high repute of my calling, I will strive to protect the interest and the 

good name of any engineer that I know to be deserving; but I will not shrink, 

should duty dictate, from disclosing the truth regarding anyone that, by 

unscrupulous act, has shown himself unworthy of the profession. 

Since the Stone Age, human progress has been conditioned by the genius of my 

professional forbearers. By them have been rendered usable to mankind nature’s 

vast resources of material and energy. By them have been vitalized and turned to 

practical account the principles of science and the revelations of technology. 

Except for this heritage of accumulated experience, my efforts would be feeble. I 

dedicate myself to the dissemination of engineering knowledge, and especially, 

to the instruction of younger members of my profession in all its arts and 

traditions. 

To my fellows I pledge, in the same full measure I ask them, integrity and fair 

dealing, tolerance and respect, and devotion to the standards and dignity of our 

profession; with the consciousness, always, that our special expertness carries 

with it the obligation to serve humanity with complete sincerity.

ARTICLE I 

Name and Objective 

Section 1. The name of this organization shall be ―The Engineering 

Society of Buffalo, Incorporated.‖ 

Section 2. The objectives of this society shall be: 

The advancement of engineering knowledge and practice; 

The professional improvement of its members by means of meetings, 

tours, seminars or papers regarding appropriate technical matters; 

The dissemination of facts & information in a suitable manner brought 

to light through the societies deliberations; 

To cooperate with other organizations which have objectives similar 

in whole or in part to the objectives of our society, such that in 

matters of common interest, the engineering profession may take 

concerted action; 

To foster the spirit of camaraderie amongst technical professionals 

and to provide a venue in which our membership may form a liaison 

with others of similar education and interests; 

To consider technical matters which may affect the general welfare of 

the community and take suitable action with reference thereto; 

To administer a fund to be known as the ―Endowment Fund‖ to take 

and acquire real and personal property by gift, devise or purchase 

and to use the income or principal thereof for the provision of 

scholarships, bursaries or other areas deemed pertinent to our 

mission. 

ACTICLE II 

Membership 

Section 1. Membership in the Society shall be limited to those 

persons who are interested in engineering matters and who qualify 

for membership in accordance with the Constitution and By-Laws of 

the Society. The annual membership fee, due each September 1 st , 

shall be established by the Board of Directors. Members in good 

standing are eligible to vote, to receive the Western New York (WNY) 

Engineer (the society newsletter), and to receive notices of the 

Societies activities. 

Student Membership 

Section 2. Any student registered in a Buffalo-Niagara Region 

community college, college or university, with a matriculation in an 

engineering or related program shall be eligible as a student member 

of the Society. He/She must present evidence from his/her school of 

attendance and matriculation accompanied by a fee of $15.00 which 

will be credited as the first year’s dues; thereafter the dues shall be 

$15.00 payable on or before September 1 st of each year. ESB 

student scholarship recipients shall be registered as Student 

Members and their first year’s dues waived. A Student Membership 

Card will entitle the holder to receive the Western New York Engineer 

and notices of all meetings. 

He/She will be privileged to attend regular and special meetings, but 

will not be entitled to vote. After completion of schooling, the Student 

Member may apply for full membership. His/Her dues will be 

increased to the then current regular dues per year and the dues 

already paid will be credited towards the annual dues allotment. 

Sustaining Membership 

Section 3. Sustaining Membership in the Society shall be available 

to any member or corporate member, in current good standing, who 

wishes to pay in excess of the respective yearly membership fee the 

follows amounts: 

Corporate Member $150 per year 

Individual Member $70 per year 

The list of sustaining Members shall be published in the Western 

New York Engineer and yearbook/ Roster in alphabetical order. 

It is further understood that the funds derived from Sustaining 

Membership shall be principally devoted to the promotion of the 

Society’s activities. 

THE ENGINEERING SOCIETY OF BUFFALO, INC. 

CONSTITUTION 

Life Membership. 

Section 4. Any person qualified for active membership who has been 

a member in good standing for at least ten consecutive years may be 

elected to Life Membership, and shall thereby be exempt from the 

payment of annual dues. The fee for Life Membership shall be 10 

times the annual rate at the time a Life Membership becomes 

available and shall accompany the application for such membership. 

Life members shall be entitled to all privileges of active membership. 

Life Members shall be limited to thirty. 

Honorary Membership 

Section 5. Honorary Membership without voting privilege may be 

given by vote of the Board of Directors to individuals who have 

performed some service of merit to the Society. The Honorary 

Membership Card will entitle the holder to receive the Western New 

York Engineer and notices of the meetings, and shall be excused from 

payment of dues. 

Non-Resident Membership 

Section 6. Any person, who otherwise is qualified for membership in 

the Society and whose place of residence and business is at least 50 

miles from the Society Headquarters in Buffalo, shall be eligible for 

Non-Resident Membership. Non-Resident Members shall have the 

same rights and privileges as Regular Members. Dues for Non- 

Resident members shall be established by the Board of Directors. 

Retired Membership 

Section 7. Any member in good standing for at least five years and 

who becomes retired from his business may request Retired 

Membership status. A Retired Membership shall have the same rights 

and privileges as Regular Members. Dues for Retired Members shall 

be established by the Board of Directors. 

Corporate Membership 

Section 8. Corporate Membership shall entitle a company, approved 

for membership by the Board of Directors to sponsor three technical or 

engineering employees for membership. The voting privilege shall be 

only one (1) vote per Corporate Membership. This also entitles one of 

the sponsored employees to run for the Board of Directors. In the 

event that a sponsored employee is elected to the Board of Directors, 

and during his/her term that corporate sponsorship is withdrawn, the 

individual can join as an individual member and retain his/her position 

on the Board. If the sponsored employee is elected to the Board of 

Directors and loses his/her sponsorship and declines to become an 

individual member, then that position shall be filled as per Article VII 

Section 6 of the ESB Constitution. 

Acceptance of such Corporate Membership shall be approved by a 

majority (7) of the Board of Directors. The Corporate Member’s Liaison 

that is to receive one copy of each issue of the WNY Engineer and all 

meeting notices shall be so indicated on the Membership Application. 

The Corporate Member is encouraged to submit a 150 word 

description of its products or services for publication in a future issue 

of the WNY Engineer. A certificate shall be awarded designating the 

firm as a Corporate Member. Annual dues for such Membership shall 

be due by September 1 st of each year or with application. The annual 

dues shall be established by the Board of Director and upon payment 

assigned to the general fund for administering the programs and 

functions of the Engineering Society of Buffalo (ESB). 

ARTICLE III 

Directors 

Section 1. The affairs of the Society shall be managed by a Board of 

Directors consisting of the President of the Society, the Vice- 

President, the Secretary, the Treasurer, together with eight (8) 

Directors.

Section 2. The qualifications for Directors shall be membership in good 

standing in the Society. 

Section 3. The Board of Directors shall normally meet on a monthly 

basis between September and June as scheduled by the President, Vice- 

President or Secretary. 

Section 4. A quorum for meetings of the Board of Directors shall consist 

of seven members, one of which shall be an officer. 

Section 5. If a Director has three (3) unexcused absences from three 

consecutive Board of Director meetings, he/she shall be asked to resign 

as Director by the President. The empty Directors position shall be filled 

as per Article VII Section 6. 

ARTICLE IV 

Period of Operation 

Section 1. The fiscal year shall begin September 1 st and end August 

31 st of the following year. The dues per year for all types of membership 

shall run concurrent with the fiscal year. 

ARTICLE V 

Officers 

Section 1. The officers of the Society shall be a President, Vice- 

President, Secretary and a Treasurer. The Vice-President shall be 

elected annually to a continuing two-year term, the first year as Vice- 

President and the second year as President. The Secretary and the 

Treasurer shall each be elected annually for a term of one year. The 

officers are elected by a majority vote of the Board of Directors 

(see Article Vll) 

ARTICLE VI 

Meetings 

Section 1. Meetings of this Society shall normally be held on a monthly 

basis from September to May. 

Section 2. The program of these meeting shall be arranged by the 

Program Committee. The membership shall be advised in advance of 

each meeting and the subject of that meeting. Meetings planned shall be 

of interest to the general membership. 

Section 3. The annual meeting shall be held in September, generally on 

the third Thursday. 

ARTICLE VII 

Nominations and Elections 

Section 1. The election shall be held annually in May, generally on the 

third Thursday. 

Section 2. At least ninety days prior to the Election, the President shall 

appoint up to five (5) members who shall act as a Nominating 

Committee. One member of the Committee shall be the Immediate Past 

President, who shall act as Chairman of the Nominating Committee. 

They shall prepare a ballot and distribute it to the members at least ten 

days before the Election. The ballot shall contain the names of up to 

eight (8) candidates for directors, of whom, four (4) shall be elected for a 

term of three years. These candidates shall be members who have been 

in good standing for a minimum of one (1) year. The Nominating 

Committee shall be responsible for the conduct of the election and shall 

make all rules and regulations pertaining thereto, including a code of 

ethics governing the activities of the candidates during the election 

period. 

Section 3. The duties of the officers and Directors shall begin 

September 1 st and end August 31 st of the following year. 

Section 4. Following the election of Directors and within one week, the 

Board of Directors shall meet with the four (4) newly elected members of 

the Board, and elect from their number the officers specified under Article 

V, Section 1. 

Section 5. Past Presidents of the Society shall be Ex-Officio members 

of the Board of Directors for a period of three years 

following their term of office. In the event of a President 

succeeding himself, the status of the other Past Presidents shall 

remain unchanged. 

Section 6. Any vacancy on the Board of Directors shall be filled 

by the Board of Directors at their next regular meeting. Selection 

shall be made from the paid up membership of the Society. 

ARTICLE VIII 

Quorum, Rules and Amendments 

Section 1. A quorum for the transaction of business at a meeting 

of the Society shall consist of twenty-five members in good 

standing. 

Section 2. Roberts ―Rules of Order‖ shall govern the deliberations 

of this Society, unless otherwise provided for. 

Section 3. Proposed amendments to this Constitution signed by 

at least five (5) members shall be submitted at a monthly meeting. 

The proposed amendment may be discussed, but not acted upon 

at this meeting. Prior to the next monthly meeting at which the 

proposed amendment shall be voted upon, the Secretary shall 

send notice to all members of the Society of the proposed 

amendment. A two-thirds affirmative vote of the members present 

at this meeting shall be necessary for the adoption of such 

proposed amendment. 

ARTICLE IX 

Termination and Liquidation 

Section 1. Upon termination and liquidation of the Engineering 

Society of Buffalo, Inc. pursuant to Sections 55 and 56 of the 

Membership Corporation Laws of the State of New York, all assets 

of said Society so liquidated shall go to and belong to a not-forprofit 

organization whose charter is based in part on the 

advancement of engineering and the mentoring/encouragement of 

engineering education. Such transfer of assets shall be 

recommended by the Endowment Committee, approved by the 

Board of Directors, and by a majority vote of members in good 

standing at the ESB annual meeting. No part of said liquidation or 

assets shall be disposed of directly or indirectly in any manner or 

way which shall ―insure to the benefit of an individual, private 

person or member of the society.

BYLAWS 

Section 1. The President, or in his absence, the next senior officer or 

one of the Directors, shall preside at all meetings of this Society. In the 

absence of the above, the Executive Director or his appointed 

representative, a member in good standing, shall preside. The 

President shall act as Chairman of the Board of Directors. He shall also 

appoint all committees hereinafter provided for or any other permanent 

committee. The presiding officer at any meeting shall appoint any 

temporary committee authorized at the meeting. 

Section 2. The Vice-President shall perform all the duties of the 

President in the absence of the latter. 

Section 3. The Secretary shall maintain a record of the transactions of 

the Society and submit a written report of such transactions. The 

Secretary shall also maintain copies of notices and other documents as 

directed by the Board of Directors. He/She shall act as the secretary of 

the Board of Directors. There shall be an Office Administrator appointed 

by the Board of Directors, whose duties shall be those which are 

customary to such a position and/or as may be prescribed by the Board 

of Directors. 

Section 4. The Treasurer shall receive all monies due to The 

Engineering Society of Buffalo, Incorporated, and shall pay, subject to 

the approval of the Board of Directors, all claims against the Society. 

He shall deposit all funds of the Society in a Bank or Trust Company as 

shall be directed by the Board of Directors. He shall keep a book 

record of his official transactions, and submit monthly and/or annual 

report at meetings or more often if directed by the Board of Directors. 

Section 5. The Board of Directors shall annually designate an audit 

committee, consisting of the Treasurer and up to two other members 

(one who may be representative of an accredited accounting firm) 

whose duty it shall be to audit the accounts of the Treasurer and submit 

and file their verified written report with the Secretary of the Society. 

The Secretary shall thereupon notify the membership at large that the 

report of the audit has been made and filed with him and is available for 

the inspection of any member. 

Section 6. The Membership Committee shall consist of up to five (5) 

members, one of whom shall be a member of the Board of Directors. It 

shall be the duty of this committee to solicit applications for membership 

in the Society from desirable candidates; to investigate all such 

applications received and to report to the Board of Directors. An 

affirmative vote of a majority of the Board of Directors is necessary for 

election to membership in the Society. 

Section 7. Special Committees shall be established as needed. It 

shall be the duty of these committees to act subject to the approval of 

the Board of Directors, in relation to any subject which affects the 

general welfare of the Nation, Community or the Society. 

Section 8. Paragraph 1. The initiation fee and membership dues shall 

be established annually for the coming fiscal year by the Board of 

Directors. 

Paragraph 2. A member joining the Society after January 1 st 

shall pay prorated dues established based on the month he/she is 

accepted as a member. 

Paragraph 3. Any member whose dues shall remain unpaid 

for a period of one month after they are due shall received a second 

notice from the Treasurer, if his/her dues remain unpaid for a further 

period of one month, he/she shall forfeit the right to vote and receive 

his/her final Western New York Engineer and he/she shall receive a 

final notice from the Treasurer. If at the end of the three month period, 

his/her dues still remain unpaid his/her name may be stricken from the 

roll of the membership by the Board of Directors. If such a member is 

suspended for non-payment of dues, he/she may not be re-elected to 

membership without satisfactory payment of all past unpaid dues, a 

certification of the Membership Committee, and approval of the Board 

of Director. 

Paragraph 4. Any member may withdraw from the Society 

by sending a written resignation to the Secretary provided all 

indebtedness to the Society has been paid, including dues up to the 

dues period referred to in Paragraph 2 of this Section. Any member 

who resigned form the Society in good standing, shall be eligible for 

reinstatement, subject to approval by the Board of Directors. 

Section 9. Order of Business. The following shall be observed: 

1. Approval of Agenda 

2. Reading of minutes of previous meeting and approval 

3. Treasurer’s Report. 

4. Reading of papers 

5. Discussion of papers 

6. Reports of standing and special committees 

7. Unfinished business 

8. New business 

9. Scheduled date, time and place for next meeting 

10. Adjournment. 

Section 10. A proposed amendment to these By-Laws, signed by 

at least five (5) members, shall be submitted at a monthly meeting. 

The proposed amendment may be discussed, but not acted upon at 

this meeting. Previous to the next meeting, at which time the 

proposed amendment shall be voted upon, the Secretary shall send 

notice to all members of the Society of the proposed amendment. A 

two-thirds affirmative vote of the members present at this meeting 

shall be necessary for the adoption of such proposed amendment. 

Section 11. Paragraph 1. No past President, nor current Officer, 

nor Director of the Society shall take part as manager of any 

campaign of any candidate for election as Director, or shall be a 

member of any Committee of any such candidate in connection with 

such election. 

Paragraph 2. No Director shall succeed himself in 

that office except after a lapse of one year he may again become 

eligible as a candidate for election to the Board of Directors. 

Paragraph 3. No member of the Nominating 

Committee shall be eligible as a candidate nor participate as a 

member of any candidate’s committee, during the year in which he 

serves as a member of the Nominating Committee.

Following is the Resolution as adopted by the Board of Directors of the 

Engineering Society Buffalo, Inc.(ESB), on January 3, 1944, 

formulating and putting into operation the ESB Endowment Fund. 

WHEREAS: The Board of Directors of the ESB, wish to assure the 

future financial security of said Society, and provide a sufficient fund to 

promote its various objectives and activities, and 

WHEREAS: An Endowment Fund is deemed to be the most 

satisfactory solution, therefore 

BE IT RESOLVED: 

1. The Board of Directors of ESB does authorize the establishment of 

a fund to be known as ―The Engineering Society of Buffalo, Inc. 

Endowment Fund.‖ 

2. There shall be no limitation of origin or amount of contribution to the 

Fund. 

3. Contributions shall be in the form of cash or securities only. 

4. Contributors shall have no control over their contributions beyond 

the designation of ―Endowment Fund‖. 

5. Contributions made to the Endowment Fund shall be deposited only 

in the Endowment Fund account. 

6. Interest, dividends or other accruals from principal shall be 

re-deposited only in the Endowment fund. 

7. Termination and liquidation of the Endowment Fund shall be made 

only upon resolution of the Board of Directors. 

ENDOWMENT FUND 

8. Management of the Fund shall be vested in the Endowment Fund 

Committee consisting of up to 12 members, that can be comprised of 

the nine consecutive Past Presidents and three qualified members 

who are willing to serve and are appointed by the Board of Directors to 

act as an advisory committee. The current President of The 

Engineering Society of Buffalo, Inc., shall become an Endowment 

Committee Member as of January 1 st following his/her election 

replacing the member who has been a Past President the longest. 

Withdrawals from the Endowment shall be made only upon the 

recommendations of the Endowment Committee with the approval of 

the Board of Directors. 

9. The Endowment Committee shall meet generally on a quarterly 

basis beginning in September, the start of the ESB fiscal year. Any 

action taken by the Endowment Committee shall require a majority 

vote of the members attending, but not less than three votes to carry 

any motion. 

10. Membership in the Endowment Committee shall be terminated 

only as outlined in Paragraph 8 above or by resignation or death. 

11. The Endowment Committee shall elect a Chairman, First Vice- 

Chairman, and Second Vice-Chairman at its first quarterly meeting, in 

September from its own membership. If the Chairman is not available 

to call a special meeting the First Vice-Chairman or the Second Vicechairman 

may do so. 

12. The Endowment Committee shall prepared an annual statement of 

the Endowment Fund showing accruals and withdrawals, and submit 

same to the Board of Directors at its September meeting and at other 

times as directed by the Board of Directors.

HOW TO BECOME A PROFESSIONAL ENGINEER 

Many young graduates of an engineering college assume that, 

armed with an engineering degree, they are sufficiently prepared for 

their working career in the technical world. 

However, in New York State as in most other states, there are 

many legal requirements such as environmental permits, building 

designs and public works projects that specify a licensed 

Professional Engineer. 

In this state, the licensing is administered by the State Education 

Department, which conducts examinations twice a year, usually in 

April and October. The examination consists of two parts. The first 

one, Fundamentals of Engineering, test the applicant’s knowledge of 

fundamental principles of mathematics, science, engineering science, 

and appropriate related subjects. Admission requirements for this 

examination require a minimum of three years education in an 

accredited engineering college. The second one, Principles and 

Practice of Engineering, is a comprehensive problem solving 

examination to test the applicant’s ability to apply fundamental 

knowledge to the solution of practical engineering problems. 

Admission requirements of this part include four years of engineering 

education and four years of engineering experience or an approved 

equivalent combination. 

To assist potential applicants in preparing for this examination, the 

Engineering Society of Buffalo conducts Professional Engineering 

review courses every year in a schedule timed to meet the 

examination dates. The Society has been offering these courses for 

over sixty years. In 1983, the Engineering Society of Buffalo 

combined with the Erie-Niagara Chapter of the New York State 

Society of Professional Engineers to offer an updated Fundaments of 

Engineering review course and a Principles and Practice review 

course with specific disciplines such as Mechanical, Civil, Electrical 

and Chemical Engineering. 

It is strongly recommended that any applicants for the license 

examinations take the review course to properly prepare themselves. 

Experience has shown that a high percentage of those who took the 

review courses have passed the examination.
