Varius • Collapsible block-out 

Varius, the collapsible block-out, was developed for multiple use 

at construction sites and in pre-cast works. Extremely short setting and 

striking times (approx. 10 minutes per block-out) make the Varius 

most economical. Made of steel completely – incl. the formwork facing – 

even multiple uses can not damage the Varius. By the module-system 

it can be convertet into other dimensions with only little expenses.

General terms and conditions of sale and delivery of Quick Bauprodukte GmbH company 

I. General provisions 

1. All deliveries and services of Quick Bauprodukte GmbH (hereinafter called Supplier) are 

subject to the following terms and conditions of sale and delivery. 

2. If the Supplier keeps silent in view of differing conditions imposed by the Purchaser, 

this shall not denote consent to these conditions; they shall be deemed as contradicted. 

Any deviation from the Supplier's general terms and conditions shall be considered as a 

rejection of the order; however, factual acceptance of a delivery - even with reservation 

- shall denote consent with the Supplier's terms and conditions. 

3. Any deviations from the Supplier's terms and conditions of sale and delivery shall only 

be binding, if the Supplier has agreed hereto in writing. 

II. Scope of deliveries and services 

1. All quotations made by the Supplier are subject to change without notice. 

2. The Supplier may be increase or decrease the ordered number of items by up to 10 per 

cent, if his material requirement planning should make this necessary. 

3. In the case of call orders, the date of the last call shall be regarded as the final date of 

acceptance. After the final date, but in any case 12 months after the placing of the order, 

the Supplier shall be entitled to effect the outstanding delivery as a whole or to withdraw 

from the contract with regard to the outstanding delivery. 

4. Additional agreements, reservations, amendments or supplements to a contract and 

declarations of the Supplier's sales representatives shall only be valid, if the Supplier has 

agreed hereto in writing. 

III. Prices and conditions of payment 

1. All prices are ex warehouse, excluding the appropriate rate of Value Added Tax at a 

given time and excluding packing and carriage, if applicable. 

2. If the Supplier should increase the general prices before delivery, he shall also be entitled 

to raise the prices agreed with the Purchaser, provided the Purchaser is a fully qualified 

merchant under the terms of the German Commercial Code. 

3. Payment to the Supplier is due at the latest upon making available the goods and 

services to the Purchaser. 

4. The Purchaser may only claim set-off against the Supplier, if such debts are undisputed 

or non-appealable. 

5. If the Purchaser is a fully qualified merchant and the contract has got to do with his 

commercial enterprise, he shall not have the right to withhold performance pursuant §320 

German Civil Code and the right of retention. This shall also apply to the right of retention 

because of alleged defects of the delivered goods or performance, before the warranty is 

executed, and to the merchant's right of retention pursuant §369 German Commercial Code. 

IV. Deadlines for delivery or performance 

1. All delivery times shall be approximately, except if a fixed date of delivery has been 

agreed expressly. The time for delivery shall be extended by the corresponding period of delay 

caused by a temporary delivery impediment beyond the Supplier's reasonable control. 

2. An agreed deadline is met when the goods are made available to the Purchaser. If 

delivery has been agreed, the deadline is met when the ready-for-use goods have been 

handed over to the carrier. 

V. Passing of risk and carriage 

1. Even if carriage-free delivery has been agreed, the goods shall be at the Purchaser's risk 

from the moment when the goods are made available to him in the Supplier's warehouse 

and, in the case of carriage, from the moment when the ready-for-use goods are handed 

over to the carrier. 

2. Packing and carriage are at the expense of the Purchaser and shall be effected with 

due diligence. Upon request and at the expense of the Purchaser the delivery can insured 

against - insurable - risks as specified by the Purchaser. 

VI. Default and impossibility 

1. Compensation claims of the Purchaser based on damage resulting from delay and 

compensation claims for breach of contract because of the delay or impossibility of the 

Supplier's performance are limited to 10 per cent of the value of that part of the delivery 

or performance which cannot be used suitably or in time because of the impossibility 

and/or the delay. Compensation claims beyond this limit are excluded in all cases of default 

and impossibility, even upon expiration of an additional period of time granted to the 

Supplier. This shall not be applicable when liability is mandatory in cases of wilful or grossly 

negligent default. 

2. The Purchaser shall be obliged to take receipt of the delivered goods, even if they have 

minor defects. Partial delivery is permitted. Complaints about defects must be submitted 

immediately. 

VII. Warranty 

The Supplier's liability for defects, including but not limited to the absence of warranted 

quality, is subject to the following provisions: 

1. The Purchaser's warranty claims are limited to the right of having the defect remedied. 

Provided the Supplier fails to remedy the defect, the Purchaser can reduce the purchase 

price or choose to terminate the contract. Compensation claims pursuant item VIII are not 

affected hereby. Any claims of the Purchaser because of necessary expenses, in particular 

transport, travelling, labour and materials costs, are excluded, if the expenses are increased, 

because the delivered object has been brought to another place than the place of delivery, 

unless this transportation was inevitable because of the object's earmarked use. 

2. Complaints about defects are only considered if they are presented immediately in 

writing, including supporting documents, samples, packing slips and indicating the invoice 

number and initialling on the packing. 

3. In the case of hidden defects the written complaint must be submitted immediately 

upon discovery of the defect, but at the latest within 5 months after the delivery of the 

good; the statutory period of limitation shall be unaffected by this provision. 

4. If a complaint about a defect has been submitted, the goods may only be sent back 

with the express consent of the Supplier. 

VIII. Compensation claims 

1. Compensation claims of the Purchaser because of the Supplier's positive failure to 

perform, because of faults prior to the conclusion of the contract or from tort are excluded, 

unless the Supplier, his agents or servants have acted with gross negligence or wilfully. 

2. Under the aforementioned legal concepts, the Supplier shall not be liable for consequential 

harms resulting from any defect and damages that were unforeseeable at the time of 

concluding the contract, unless the Supplier, his agents or servants have acted with gross 

negligence or wilfully. 

3. The aforementioned limitations do not apply to damages resulting from harm to a 

person's life, body or health and to cases where liability is imposed by law, for example 

in the case of liability from obligations under a guarantee, liability based on the German 

Product Liability Act or in cases of a culpable infringement of essential contractual duties 

(cardinal obligations). 

IX. Limitation of action 

In cases of §438 section 1 number 3 German Civil Code, all warranty claims shall be barred 

under the statutory limitation rules in one year's time after the date, when the statutory 

period of limitation begins to run. In cases of §438 section 1 number 2 German Civil Code 

all warranty claims shall be barred in two years' time after the statutory period of limitation 

begins to run. Mandatory statutory limitations rules remain unaffected hereby. 

X. Instructions and product observation 

1. The Purchaser shall be obliged to carefully observe the product instructions published 

by the Supplier or his subsuppliers and to pass on these instructions to his customers. 

2. If the Purchaser does not fulfil his obligation according to number 1 above and if this 

results in claims from product liability or manufacturer's liability, the Purchaser shall exempt 

the Supplier from claims in their internal relationship; if the claims go back to circumstances 

of which the Supplier is partially responsible, the exemption shall be according to the 

proportion of causation. 

XI. Supplier's security rights 

1. Goods supplied to the Purchaser shall remain the property of the Supplier until the full 

payment of all current and future claims of the Supplier against the Purchaser on whatever 

legal account. 

2. The Purchaser shall be entitled to sell the goods in the ordinary course of his business. 

This authorisation to resale shall be cancelled automatically in the case of an unsatisfied 

execution attempt against the Purchaser, the protest of a cheque or bill of exchange unpaid 

by the Purchaser and in the case of the submission of an application to open insolvency 

proceedings against the Purchaser's assets. No other form of disposition of the reservation 

goods, in particular their pledging and transfer of ownership by way of security, is permitted. 

3. Already now the Purchaser assigns all receivables and accessory rights from the resale 

of the goods to the Supplier. Subject to revocation at any time, the Purchaser shall be 

entitled to collect the outstanding debts in the ordinary course of his business. The Supplier 

will not make use of his right to collect the receivables, as long as the Purchaser meets 

with his contractual payment obligations - also in his relationship towards third parties. 

4. The Supplier's security rights shall only cease to exist when all payment obligations 

towards the Supplier have been fulfilled. In the case of payment per cheque or bill of 

exchange the security rights shall only cease to exist, when the Supplier has finally paid 

and no recourse to the Supplier is possible. The Supplier shall be obliged to release securities 

at his discretion, when the value of existing securities exceeds the existing debt by more 

than 20 per cent. 

5. The Purchaser shall be obliged to inform the Supplier immediately about execution 

proceedings of third parties against the reservation goods and other securities and to hand 

over the necessary documents for lodging a protest. 

XII. Place of jurisdiction and applicable law 

1. If the Purchaser is a fully qualified merchant, the sole place of jurisdiction for all litigation 

resulting indirectly or directly from the contractual relationship shall be Schwerte, Germany. 

2. German law shall apply to the contractual relationships with the express exclusion of 

the Uniform Law on the International Sale of Movable Goods and the provisions of the 

UN Convention on Contracts for the International Sale of Goods. 

XIII. Final provisions 

If one of the provisions of these terms and conditions and other agreements should be 

or become invalid, the validity of the other provisions shall not be affected. The contracting 

parties shall be obliged to replace the invalid provision by any other provision that comes 

nearest to the invalid provision in terms of the intended economic purpose.
