SUPPLY AGREEMENT BETWEEN

Terms of Supply Agreement (chemical products only)
• The term of this agreement shall be for 36 months from date of signing.
The agreement may be extended for a further 36 months if both parties
are agreed.
• A review meeting will take place every six (6) months. At the review
meeting any increases in product manufacture will be discussed and by
mutual arrangement and negotiation will be addressed.
• Product supply- Car Cleaning Company agree to buy all their water based
cleaning chemicals from Applied Chemicals NZ. Where Applied cannot
supply a comparable product, Car Cleaning company have the right to
purchase it elsewhere, after giving Applied 4weeks notice to produce a
comparable product.
• The schedule of products covered in this agreement are under Schedule A
of this document.
• Service. The terms of the service schedule is under Schedule B of this
document.
• Payment terms are to be as follows;
Year1 August 2011- August 2012 100% bartercard trade $$
Year 2 August 2012- August 2013 50% barter 50% cash
Year 3 August 2013- August 2014 100% cash

Schedule B
SERVICE COMMITMENT
The service program of Applied's system is the most critical part of
our package. Applied's program guarantees customers a high
standard of monitoring and training schedules. As a supplier to Car
Cleaning Company Ltd, Applied would commit to the following:
Set chemical regimes and assist with training of Car Cleaning
Company staff in the use of the Applied product range. (up to 2
times per year)This training will assist with ensuring the most
effective cleaning and sanitising procedures are used within
your Facilities
Area Managers would visit the site at a minimum frequency of
once per fortnight in the initial stages to observe and check
equipment and procedures to assist in ensuring the highest
level of cleaning is maintained. After this time- we would visit
the Auckland Airport depot and Mt Wtgn site once per month.
We would attend on an as required basis to assist with the
resolution of specific cleaning problems should they occur.
Ensure management is kept informed of the latest technology
in cleaning with our worldwide resources, with particular focus
put on HACCP compliance issues. Regular safety reviews of
processes and procedures on site- that concern our chemicals
and their application.
Routine review meetings(6mthly) with an established agenda to
review routine and project orientated tasks with Car Cleaning
Company .
